    NOTICE INVITING TENDER(NIT)

    (LAST DATE OF SUBMISSION: 20 May 2013, 3.00 PM)

    Dear Sir,

    PREPARATION OF DETAILED PROJECT REPORT (DPR)AND REQUEST

    FOR PROPOSAL (RFP)FOR SETTING UP OF PV SOLAR POWER PLANT

    IN ANANTAPUR DIST. OF ANDHRA PRADESH

    In response to the subject NIT, we request for bids from interested agencies

    fulfilling the eligibility criteria stipulated for the PREPARATION OF DETAILED

    PROJECT REPORT (DPR) AND REQUEST FOR PROPOSAL(RFP) FOR

    SETTING UP OF PV SOLAR POWER PLANT WITH INSTALLED CAPACITY OF

    25 MW IN ANANTAPUR DISTRICT, ANDHRA PRADESH.

    1. SCOPE OF WORK

    Detailed Scope of Work shall be as under but not limited to

    (a) Preparation of Detailed Project Report and Request for Proposal

    including selection of latest cost effective technology and suitable design &

    engineering for setting up of 25 MW (1X25 MW) PV Solar Power Plant inAnantapur district of Andhra Pradesh.

    (b) Furnishing details on System Design and Technical Specifications:

    Type of solar cell, technology, arrangement / facility, layout of the array and

    plant layout, comparison of different type of accessories and

    recommendations, area requirement and layout.

    (c) Furnishing Specifications and relevant Standards (Indian and

    international).

    (d) Preparation of detailed solar radiation assessment for Anantapur dist

    and projection for power generation.

    (e) Listing and detailed deliberation on Operating norms, Control

    systems, Scheme for best power evacuation option and also Schematic

    diagram for power evacuation, back up arrangement.

    (f) Listing of statutory approvals required and deliberating on the

    detailed procedures for obtaining the same and Regulations (State &

    Central) / suggesting other options available for distribution of power and

    making recommendations.

    (g) Furnishing details for submitting application for Renewable Energy

    Certificate (REC) Registration of Solar Power Project to AP Nodal Agency

    (NEDCAP).

    (h) Preparation of financial analysis including projected profit and loss

    and cash flow statements, break-even analysis, payback period and internal

    rate of return for a period of ten (10) years operation of the plant.

    (i) Calculation of levellised tariff for 25 years based on the estimated cost

    of the project including Interest during construction (IDC), miscellaneous

    charges and the guidelines released by Central Electricity Regulatory

    Commission (CERC) for determination of tariff for Solar PV projects.

    (j) Listing details of Incentives available for the project from Central and

    State Govt.

    (k) Providing detailed Recommendations for Clean Development

    Mechanism (CDM) benefits and consideration of the same in the DPR.

    (l) Listing of details of equipment suppliers for the plant, Materials and

    procurement process.

    (m) Furnishing details of Water and power requirement for the project

    activities.

    (n) Furnishing details ofEfficiency and Plant Load Factor (PLF), overload

    capacity etc, Life of the project, maintenance schedule with major O & M

    activities.

    (o) Preparation of road map / action plan for implementation of the

    project from step one till commissioning and commencing distribution of

    generated power.

    (p) Preparation of time schedule bar chart.

    (q) Preparation of RFP (Request for Proposal) which also to include under

    the scope of Plant equipment supplier to undertake liaison with various

    statutory authorities and other agencies for facilitating commissioning of the

    PV Solar Plant on turnkey basis and distribution of generated power, besides

    extending AMC services till the specified period.

    (r) Evaluation of offers (to arrive at L1 bidder) received from Plantequipment suppliers based on RFP floated.

    (r) Any other relevant information.

    2. PRE-QUALIFICATION CRITERIA

    The bidder who is submitting the tender document shall fulfill the following

    pre-qualification and should furnish documentary evidence for the same.

    (a) The bidder should have average annual financial turnover of at least

    `30 Lakhs (Rupees Thirty Lakhs) from consultancy services only during the

    last 03 financial years ending 31st March 2012.

    Note: Audited Profit & Loss account and Balance sheet for past three

    completed financial years ending 31 March 2012 should be furnished clearly

    depicting the turnover from consultancy service.

    (b) The bidder should have completed at least 01 Similar Project

    Consultancy Services for preparation DPR & RFP of minimum 25 Mw in the

    last 03 financial years ending 31st March 2012.

    OR

    (c) The bidder should have completed at least 02 similar Project

    Consultancy Services for preparation DPR & RFP of minimum 10 Mw each in

    the last 03 financial years ending 31st March 2012.

    Note:

    i. The works completion certificates along with work orders should be

    furnished and the details should be given as per following proforma:

    (d) KIOCL reserves the right to seek more information / clarifications /

    details / documents from the bidders in order to assess the capacity of the

    bidders to undertake the tendered assignments.

    3. DELIVERABLE OF DOCUMENTS

    Bidder shall prepare reports in English language and in metric system.

    Bidder will submit various reports, documents prepared by him in number

    of copies mentioned as under:

    (a) Draft Report: 05 copies as draft + 1 soft copy

    (b) Final Report: 05 copies as final +1 soft copy.

    (c) Making presentations of draft report and final report to KIOCL at

    Corporate office, Bangalore to KIOCL Management / KIOCL Board, as

    required.

    (d) Draft RFP: 03 Copies + 1 Soft Copy

    (e) Final RFP: 03 Copies + 1 Soft Copy

    4. TIME SCHEDULE

    (a) Three (03) Weeks for data collection, preparation & submission of

    draft report from the date of issue of Work Order.

    (b) One (01) Week for KIOCL to furnish comments.

    (c) One (01) Week for submission of final report on receipt of comments

    from KIOCL.

    (d) One (01) Week for KIOCL to furnish comments on the draft RFP.

    (e) One (01) Week upon receipt of comments from KIOCL on the draft for

    submission of final RFP.

    5. TERMS OF PAYMENTS

    (a) 10% of the lump sum fee is payable on detailed discussions /

    presentation on draft report at KIOCLs Corporate Office, Bangalore and

    obtaining consent for preparation of final report by KIOCL.

    (b) 20% of lump sum fee is payable on submission of the final report

    along with soft copies and presentation to be made to KIOCLs Corporate

    Office, Bangalore on the final report. Also presentation to KIOCLs Board of

    Directors at the venue where the Board meeting takes place (generally

    meetings are held at Bangalore or New Delhi). The suggestions, if any,made by Board will also be required to be incorporated and the DPR

    amended and resubmitted.

    (c) 10% of the lumpsum fee is payable upon submission of the draft RFP.

    (d) 20% of lumpsum fee is payable after discussions with KIOCL on draft

    RFP and obtaining consent for preparation of Final RFP.

    (e) 40% of lumpsum fee is payable upon completion of evaluation of

    offers received in response to RFP and submission of final recommendationto KIOCL.

    6. PRICES

    (a) Price quoted shall be lump sum inclusive of all expenses towards the

    scope in complete, including applicable taxes & duties, expenses towards

    site visits and visit to KIOCLs Corporate Office at Bangalore, to and fro travel

    expenses, boarding, lodging and local travel etc. except the service tax and

    cess which will be reimbursed by KIOCL along with each invoice.

    (b) The quoted price shall be firm and binding without any escalation

    whatsoever till completion of works in all respects.

    (c) Income tax as per prevailing rate shall be deducted from each invoice

    and the TDS certificate will be issued by KIOCL Limited at the end of the

    financial year.

    (d) Prices shall be filled in the Price Schedule at Annexure-III B with ball

    pen ink. There shall not be any corrections or over writing. Please ensure

    that the column where price needs to be mentioned is filled up.

    (e) Price schedule shall be signed and shall not contain any

    alterations/conditions/notes whatsoever.

    (f) All amounts would be payable to Bidder electronically through RTGS /

    NEFT only and Bidders are requested to provide Account No., Bank details

    and other information in this regard.

    (g) Any variation in govt. taxes, statutory levies, & duties imposed after

    the date of submission of offer will be paid /recovered by KIOCL as the case

    may be, only during the tenure of contract, depending upon the nature of

    levies and enabling clauses to pay / recover the same from the concerned

    party.

    7. PENALTY

    (a) In the event of failure to complete the work or the component part of

    the work within the stipulated completion date or the component milestone

    stipulated in the Work Order, Agency shall pay to KIOCL, as penalty for such

    default (unless extension of time is granted by KIOCL) as below which lapse

    between the date of completion as prescribed in the order and the actual

    date of completion of the work. The amounts shall be determined on the

    basis of percentages of the proportioned value as specified herein.

    (i) Delay for first 20 days 0.1 % per day.

    (ii) Delay beyond first 20 days 0.15 % per day.

    Subject to a maximum of 5% of the total work order value.

    (b) KIOCL reserves the right to waive the Penalty Clause either in part orin full at its sole discretion.

    8. VALIDITY OF THE BID

    (a) Bidder shall keep the bid valid for a period of not less than 180 days

    from the date of opening of PART- I (TECHNOCOMMERCIAL OFFER).

    (b) If due to any reason the bid could not be finalized within the validity

    period of the bid, in such case, the bidder will be advised to extend thevalidity of the bids for a suitable period. If the bidder does not extend the

    validity of the bids for required period, the bids will not be considered

    further.

    9. TENDER DOCUMENT FEE AND EARNEST MONEY DEPOSIT

    (a) In this Notice Inviting Tender (NIT), Tender Document/Participation

    Fee is not envisaged.

    (b) The Bid shall be accompanied with Earnest Money Deposit (EMD) of

    ` 10,000/- (Rupees Ten Thousand only) in the form of Demand draft in favour

    of KIOCL LIMITED payable at Bangalore. Bids not accompanied with EMD

    are liable for rejection.

    (c) EMD will be returned to the unsuccessful Bidders without any interest

    after the award of the work to Successful Bidder. For the Successful Bidder

    the EMD amount will be returned on completion of Work without any

    interest.

    10. BRIEF DESCRIPTION OF THE SELECTION PROCESS

    (a) The Bidder shall submit the bid in two parts as:

    PART I

    TECHNICAL AND COMMERCIAL DOCUMENTS:

    (i) Letter of Undertaking in the format as at ANNEXURE I.

    (ii) Bidders Profile as at ANNEXURE II.

    (iii) Signed copy of Price Bid (without Price Quotes mentioned) as at

    ANNEXURE III-A.

    (iv) Power of Attorney.

    (v) EMD as per clause 9 (b) above.

    (vi) On-line bidding-cum-e-Reverse auction procedure as per

    ANNEXURE-IV.

    PART II

    PRICE BID:

    As per ANNEXURE III-B.

    (b) The bid shall be submitted by the Bidder in the manner as described

    below:

    (i) First sealed envelope shall contain one full set of NIT document

    along with document as prescribed at clause 10 (a) PART I, dulysigned by authorized signatory with official seal on all pages. This

    envelope shall be super-scribed as TECHNICAL AND

    COMMERCIAL DOCUMENTS PART I PREPARATION OF

    DETAILED PROJECT REPORT (DPR) and RFP FOR SETTING UP

    OF PV SOLAR POWER PLANT WITH INSTALLED CAPACITY OF

    25 MW IN ANANTAPUR DISTRICT, ANDHRA PRADESH.

    (ii) Second sealed envelope shall contain Price Bid as per ANNEXURE

    III-B, duly signed by authorized signatory with official seal on all pages

    without any correction(s)/modification(s) and overwriting and super-

    scribed as PRICE BID PART II PREPARATION OF DETAILED

    PROJECT REPORT (DPR) and RFP FOR SETTING UP OF PV SOLAR

    POWER PLANT WITH INSTALLED CAPACITY OF 25 MW IN

    ANANTAPUR DISTRICT, ANDHRA PRADESH.

    (iii) Both the above envelopes should be kept in one single cover andsealed and super-scribed as CONFIDENTIAL PREPARATION

    DETAILED PROJECT REPORT (DPR) and RFP FOR SETTING UP OF

    PV SOLAR POWER PLANT WITH INSTALLED CAPACITY OF 25 MW

    (c) Last date for submission of the Bid in complete is 20 May 2013.

    11. PRE BID MEETING

    A Pre-Bid Meeting will be scheduled at 3.00 PM on 03 May 2013 at the Office

    of GENERAL MANAGER (BD & Project), KIOCL LIMITED, II BLOCK,

    KORAMANGALA, BANGALORE 560 034 KARNATAKA, INDIA to clarify the

    queries of Bidders, if any. The clarifications, if any, to the NIT, arising out of the

    Pre-Bid meeting, will be communicated to all the Bidders. Bidders intending to

    attend Pre-Bid Meeting shall inform along with queries to the e-Mail

    [email protected] least 04 days prior to the meeting date.

    12. SIGNING AUTHORITY

    A person signing the bid or any documents forming part thereof on behalf of

    the Bidder shall be deemed to warrant that he has the requisite authority to

    sign such document. A Copy of power of attorney for the authorized

    signatory for signing of bid shall be submitted along with proposal. If,

    subsequently it is revealed that the person so signing has no authority to do

    so, KIOCL may, without prejudice to any other civil and criminal remedies,

    cancel the contract and hold the signatory liable for all costs and damages.

    13. FORCE MAJEURE

    Any delay, in or failure of performance of the Contract by Bidder or KIOCL

    shall not constitute defaults by such party or give rise to any claim for

    damages against it, if and to the extent such delay or failure of performance

    is caused by acts of God, acts of war or hostilities, acts or omissions of

    Government, invasion, revolution, civil commotion, blockade, embargo,

    sabotage, fires, severe earth quakes, typhoons, cyclones, lightning, plague,

    epidemic or other act, omission or circumstances, which are beyond the

    reasonable control of the parties affected which they could not have

    reasonably foreseen and guarded against which by exercise of reasonable

    care and diligence, they are unable to prevent (herein after referred to as

    Force Majeure). KIOCL shall be the sole judge to decide and the decision is

    final and binding. Monsoon season is not considered a Force Majeure.

    14. SECRECY

    Both the Bidder and KIOCL undertake that they shall hold in confidence one

    Part to the other directly or indirectly in connection with the report. All

    information gathered there from and therein shall not be disclosed to any

    third party.

    15. TERMINATION AND SHORT CLOSING OF WORK ORDER

    (a) KIOCL reserves the right to cancel the tendering process at any stage

    at its discretion without assigning any reasons.

    (b) Conditional bids will be rejected without assigning any reasons

    thereof.

    (c) Under exceptional circumstances KIOCL reserves the right to

    terminate the order/contract either in whole or portion thereof without

    assigning any reason whatsoever. In such cases, KIOCL will be

    compensating for the services carried out till the date of cancellation as per

    mutually agreed terms.

    (d) In case the contract is short closed by the company for reasons not

    attributable to the consultant; the company shall pay 40 % (forty percent) of

    payment only for the immediate next milestone under payment terms.

    16. CONFIDENTIALITY

    All the information, in any form, provided by KIOCL to the Agency in

    connection with the assignment, shall be kept Strictly Confidential by the

    Consultant.

    17. BIDDERS RESPONSIBILITIES

    Bidder shall perform the contract with such level of standards of care

    as normally and customarily exercised by professional consultants. KIOCL

    requires that the Bidder provides professional, objective, and impartial

    advice and at all times hold KIOCLs interests paramount, avoid conflicts with

    other assignments or its own interests and act without any consideration for

    future work. The Bidder hereby represents and warrants that the advice,

    assistance, information or material provided by them shall be correct, true,

    justified, realistic, without any motive and not inflated. Bidder hereby

    represents and warrants that after entering into contract it shall not take or

    fail to take any action in an investment banking capacity which would affect

    the performance of its duties and obligations under this contract or may

    cause a conflict of interest to the transaction. The Bidder shall be liable forany loss to KIOCL in case of any breach of above representation.

    18. ACCEPTANCE OF TERMS AND CONDITIONS

    Bidder is requested to submit one full set of signed and stamped

    affixed copy of this NIT including all Annexures, along with bid, as a token of

    acceptance of all terms and conditions of this NIT. Submission of the bid by

    Bidder will be deemed as agreeing to all the terms & conditions of KIOCL

    including payment terms specified herein.

    19. The tender is also subject to the VERY IMPORTANT NOTE (VIN) in thefollowing

    a) First stage: Receipt of complete bidding documents and Evaluation ofTechno Commercial Bids:

    i) Issue of Enquiry: by KIOCLii) Receipt of quotation in Two Bid systemby KIOCL directly from

    bidders, i.e. Techno-Commercial and Price Bid in two separate sealedcovers.

    iii) The Techno-Commercially qualified bidders will be allowed toparticipate in the online bidding cum reverse auction process to beheld by the service provider appointed by KIOCL.

    b) Second stage : Online bidding cum Reverse auction

    All techno-commercially acceptable bidders, those, who have accepted

    business rules provided by our service provider would be required to

    participate in the online bidding cum e-reverse auction, on a date and time

    to be intimated by service provider.

    After the online bidding cum reverse auction, KIOCL will collect final pricebid comparative statement from service provider.

    c) Third stage : Composite price comparative statementAfter the receipt of the price comparative statement from the serviceprovider, the sealed price bids of all the techno- commercially acceptabletenders received along with the techno-commercial offers will be openedand a composite price comparative statement shall be made (i.e. price bidssubmitted in sealed covers & online bid cum e-reverse auction pricescomparative statement received through service provider) of all the tenders.Placement of order shall be considered on the L-1 price so arrived.

    d) In case of L-1 price discovered through e-reverse auction and L-1

    price found on opening of sealed price bid, being same, between two

    different parties, KIOCL Limited shall place the order on the bidder whose

    L-1 price has been discovered through e-reverse auction.

    e) If no bid is received within the specified time & duration of the online

    bidding cum reverse auction, then KIOCL at its discretion may scrap the

    online bidding cum reverse auction process and open only sealed price bids

    of the techno-commercially qualified bids. Accordingly Contract will be

    finalized on L-1 basis.

    20. AWARD OF WORK, CONTRACT AGREEMENT AND

    COMMENCEMENT OF WORK

    (a) KIOCL will issue the Two (02) Original copies of Work Order to

    successful Bidder and Successful Bidder will sign and seal all the pages of

    One (01) copy of the Work Order as a token of unconditional acceptance and

    return that copy to KIOCL within a week of the receipt of Work Order.

    (b) The NIT including all enclosures and other correspondences between

    KIOCL and the Bidder including Work Order shall be treated as an

    agreement between KIOCL and the Bidder for this work. No separate

    agreement will be executed. Effective date of contract shall be from the date

    of issue of Work Order/Letter of Intent.

    (c) The successful bidder immediately on receipt of Work Order/Letter of

    Intent shall commence the work.

    21. ACCEPTANCE OF TERMS AND CONDITIONS

    Bidder is requested to submit one full set of signed and stampedaffixed copy of this NIT including all Annexures, along with bid, as a token ofacceptance of all terms and conditions of this NIT. Submission of the bid byBidder will be deemed as agreeing to all the terms & conditions of KIOCLincluding payment terms specified herein.

    22. GOVERNING LAW AND ARBITRATION

    (a) Bidder will be governed by the substantive laws of India, without

    giving effect to any choice of law/ rules that may require the application of

    the laws of another jurisdiction.

    (b) Any disputes or difference which may arise between KIOCL and

    Bidder in connection with this contract shall be to the extent possible settled

    amicably between the parties. In the event such dispute or difference is not

    resolved within 30 days any dispute or difference whatsoever arising

    between the parties out of this contract or the breach thereof shall be settled

    by arbitration in accordance with the Rules of Arbitration of the Indian

    Council of Arbitration and the Award made in pursuance thereof shall be

    binding on the parties.

    23. FRAUD PREVENTION POLICY

    Every one may take note that a Fraud Prevention Policy is being followed

    by KIOCL, which provides a system for prevention/detection/reporting of

    any fraud. It also forbids everyone from involvement in any fraudulent

    activity and that where any fraudulent activity is suspected by anyone, the

    matter must be reported to the `Nodal Officer` (Chief Vigilance Officer) as

    soon as he / she comes to know of any fraud or suspected fraud. KIOCL

    requires that Bidder under this contract observe the highest standard of

    ethics during the execution of this contract.

    24. All other general terms & conditions governing this contract shall be as per

    28. DISCLAIMER

    The information contained in this NIT or subsequently provided to Bidders,

    whether verbally or in documentary or any other form by or on behalf of

    KIOCL or any of its employees or advisers, is provided to Bidders on the

    terms and conditions set out in this NIT and such other terms and conditions

    subject to which such information is provided. This NIT is not an agreement

    or an offer by KIOCL to the prospective Bidders or any other person. Thepurpose of this NIT is to provide interested parties with information that may

    be useful to them in the formulation of their offer pursuant to this NIT. This

    NIT includes statements, which reflect various assumptions and assessments

    arrived at by KIOCL in relation to the consultancy. Such assumptions,

    assessments and statements do not purport to contain all the information that

    each Bidder may require. This NIT may not be appropriate for all persons,

    and it is not possible for KIOCL, its employees or advisers to consider the

    objectives, technical expertise and particular needs of each party who reads

    or uses this NIT.

    KIOCL accepts no responsibility for the accuracy or otherwise for any

    interpretation or opinion on the law expressed herein. KIOCL, its employees

    and advisers make no representation or warranty and shall have no liability

    to any person including any Bidder under any law, statute, rules or

    regulations or tort, principles of restitution or unjust enrichment or otherwisefor any loss, damages, cost or expense which may arise from or be incurred

    or suffered on account of anything contained in this NIT or otherwise,

    in its absolute discretion, but without being under any obligation to do so,

    contained in this NIT. The issue of this NIT does not imply that KIOCL is

    bound to select a Consultant or to appoint the Selected Bidder, as the case

    may be, for the Consultancy and KIOCL reserves the right to reject all or any

    of the proposals without assigning any reasons whatsoever. The Bidder shall

    bear all its costs associated with or relating to the preparation and

    submission of its offer including but not limited to expenses associated with

    E PROCUREMENT PROCEDURE

    The Country's prestigious Mini Ratna Company, KIOCL Limited has its

    Pelletisation Complex and Pig Iron Complex at Mangalore, coastal city of

    Karnataka and is engaged in the business of manufacturing and exporting high

    quality Iron Ore Oxide Pellets and also supply of Pig Iron for domestic market.

    KIOCL Limited has introduced to procure goods / services through e-Procurement

    process except steel, cement & proprietary items where the purchase value is

    more than Rs. 5.00 Lakhs. As a part of e-procurement process, online bidding

    cum reverse auction is being conducted through service provider with the

    following main objectives:

    To bring transparency in the procurement system.

    To provide opportunity for bidders to quote their most competitive price.

    To get more competitive prices

    To save in procurement cost.

    The required IT system for eprocurement shall be developed and same

    i.e. lower among ebidding cum reverse auction prices and hard copy prices

    will be arrived and accordingly placement of order on composite L1 will be

    considered.

    Digital signatures, a form of electronic signatures, are created and verifiedusing Public Key Cryptography that is based on the concept of a key pair

    generated by a mathematical algorithm, the public and private keys. The

    bidders should have a valid digital Certificate issued by any of the valid

    certifying authorities (CA) to participate in the online bidding.

    BUSINESS RULES FOR ON LINE PRICE BIDDING CUM REVERSE AUCTION

    ANNEXURE A

    A) General Terms and Conditions of Online Price Bidding cum ReverseAuction

    1.Against the Tender Enquiry for the required item/system with detailed scope ofsupply as per requisite specification, KIOCL Limited, hereinafter referred to asKIOCL, may resort to ONLINE PRICE BIDDING CUM REVERSE AUCTIONPROCEDURE to obtain most competitive price.

    2.For the Online price bidding cum reverse auction, technically and commerciallyacceptable bidders are only shall be eligible to participate. Bidders are to ensurethat they have valid digital certificate well in advance so as to confirm participationbefore the online price bidding cum reverse auction.

    3.KIOCLs authorized service provider who will provide all necessary training andassistance before commencement of on line price bidding on Internet. Serviceprovider shall also explain to the bidders, all the rules related to the Online Pricebidding cum Reverse Auction / Business Rules.

    4.Business rules like event date, time, bid decrement, extensions, etc. also will be

    communicated through service provider.

    5. Any commercial loading shall be intimated to bidders in advance and it shall beadded to price during ONLINE PRICE BID dynamic auction process. For evaluationpurpose, commercial loading if any, shall be added to the quoted price of respectivebidder. However for ordering only the final bid placed by the bidder shall beconsidered.

    6.Bidding Currency, Price Terms, Bid Price, Unit of Measurement, Validity of Bids : Asper techno-commercial bid submitted by the bidders in line with to the terms and

    7.Vendors have to fax / e-mail the compliance form in the prescribed form providedby service provider, before start of Online price bidding. Without this the vendorwill not be eligible to participate in the event.

    8.Online price bidding cum Reverse auction will be conducted on schedule date &

    time.

    9.At the end of Online price bidding cum reverse auction event, the bidders who hadparticipated in the event has to fax / e-mail the duly signed filled-in prescribedformat in their company letter head as provided on case-to-case basis to KIOCLthrough service provider within 24 hours of auction without fail.

    B) Business Rule for finalization of the Online Price Bidding cum ReverseAuction.

    1. Online price bidding cum reverse auction shall be conducted by KIOCL, on pre-specified date, while the vendors shall be quoting from their own offices/ placeof their choice. Internet connectivity shall have to be ensured by vendorsthemselves. In extreme case of failure of Internet connectivity, (due to anyreason whatsoever may be) it is the bidders responsibility / decision to sendfax communication immediately to KIOCLs authorized service providerfurnishing the price the bidder wants to bid online with a request to the serviceprovider to upload the faxed price on line so that the service provider will upload that price on line on behalf of the Bidder. It shall be noted clearly that theconcerned bidder communicating this price to service provider has to solely

    ensure that the fax message is received by the service provider in a readable /legible form and also the Bidder should simultaneously check up with serviceprovider about the clear receipt of the price faxed. It shall also be clearlyunderstood that the bidder shall be at liberty to send such fax communicationsof prices to be up loaded by the service provider only within the closure of Bidtime and under no circumstance it shall be allowed beyond the closure of Bidtime / reverse auction. It shall also be noted that the service provider should begiven a reasonable required time by the bidders, to upload such prices onlineand if such required time is not available at the disposal of the Service providerat the time of receipt of the fax message from the bidders, the service providerwill not be uploading the prices and either KIOCL or the service provider are notresponsible for this unforeseen circumstances. In order to ward-off suchcontingent situation bidders are requested to make all the necessaryarrangements/ alternatives whatever required so that they are able tocircumvent such situation and still be able to participate in the online pricebidding cum reverse auction successfully. Failure of power at the premises ofvendors during the Online price bidding cum Reverse auction cannot be thecause for not participating in the Online bidding auction. On account of this, thetime for the auction cannot be extended and neither KIOCL nor service provideris responsible for such eventualities.

    2. The detailed process for online price bidding cum reverse auction isexplained below:

    The online price bidding event will be conducted in three stages :-

    STAGE -I : Online initial price bid

    At scheduled time, the screen for On-line price bidding will be launched wherein

    the techno-commercially qualified bidders will be allowed to submit their offers

    through online.

    During the Stage-I online initial price bidding, the bidders would be required to

    quote price only on the basis of price terms indicated in their sealed price bid

    submitted along with techno-commercial bid before.

    STAGEII : Start Bid Price

    After the expiry of the time for submission of on-line initial price bids, the

    lowest Price will be frozen by the system as the Start Bid Price (SBP) for Stage

    III on line bidding.

    Stage III: Reverse Auction on Start Bid Price

    a)In Stage III of the online competitive bidding, computer screen will displayStart Bid Price and which shall be visible to the all vendors participated in theinitial online price bid auction during the start of the reverse Auction. Biddersare required to start bidding after announcement of Start Bid Price anddecrement amount. Also, please note that the start price of an item in onlinereverse auction is open to all the participated online bidders. Any bidder canstart bidding, in the online reverse auction, from the start price itself. If thestart price is your own price, you still need to bid in the online reverseauction. Also, please note that the first online bid that comes in the systemduring the online reverse auction can be equal to the auction's start price, orlesser than the auction's start price by one decrement, or lesser than theauction's start price by multiples of decrement. The second online bid andonwards will have to be lesser than the L1 rate by one decrement value, orlesser than the L1 rate by multiples of the decrement value.

    b)Those vendors who have participated in the Initial online Price BidAuction, will only be eligible to participate in the subsequentEnglish Reverse Auction.

    c)Online Initial Price Bid will be for 30 minutes and Online English Reverse(no ties) Auction shall be for a period of one hour with a 30 minutes time

    difference between Initial Price Bid and RA. If a bidder places a bid in the last10 minutes of closing of the Reverse Auction and if that bid gets accepted,then the auctions duration shall get extended automatically for another 10minutes, for the entire auction (i.e. for all the items in the auction), from thetime that bid comes in. Please note that the auto-extension will take place

    only if a bid comes in those last 10 minutes and if that bid gets accepted. Ifthe bid does not get accepted, the auto-extension will not take place even ifthat bid might have come in the last 10 minutes. In case, there is no bid inthe last 10 minutes of closing of Reverse Auction, the auction shall get closedautomatically without any extension. However, vendors are advised not towait till the last minute or last few seconds to enter their bid during the auto-extension period to avoid complications related with internet connectivity,network problems, system crash down, power failure, etc.

    d)The commercial loading factor, bid decrement amount shall be specified by

    KIOCL before start of bidding. The bidder can bid lower than the start bidprice in reverse auction by a bid decrement or multiple of Bid decrement.

    e)Any commercial loading shall be intimated to bidders in advance and it shallbe added to price during dynamic auction process. For evaluation purpose,commercial loading if any, shall be added to the quoted price of respectivebidder.

    f)Bidder will be able to view the following on your screen along with thenecessary fields in the English Reverse (no ties) {Reverse Auction}:

    a. Leading Bid in the Auction (only total price)b. Bid Placed by youc. Your Own Rankd. Start Bid Price & Bid Decrement value.

    g)After the completion of English Reverse Auction (no ties), the Closing Price(CP) shall be available.

    h)At the end of the Reverse Auction, Service Provider will evaluate all

    the bids (final price) submitted and final price comparativestatement will be forwarded to KIOCL for further processing.

    i) The bidders who have participated in the event, shall be required to submitthe final prices, quoted during the English Reverse (no ties) in Annexure-CFormat after the completion of Auction to Service Provider / KIOCL dulysigned and stamped as token of acceptance without any new condition otherthan those already agreed to before start of auction.

    j)Bids once made by the bidders, cannot be cancelled / withdrawn.

    k)During the Online English Reverse (No Ties) Auction, if no bid is received inthe auction system/website within the specified time duration of the onlineprice bidding cum reverse auction, then KIOCL, at its discretion, may scrapthe online price bidding cum reverse auction process and open only sealedprice bids of all technically and commercially acceptable bidders submitted

    earlier along with techno-commercial bids.

    l) KIOCL shall be at liberty to cancel the Online price bidding cum reverseauction process / tender at any time, before ordering, without assigning anyreason.

    3. KIOCL shall not have any liability to bidders for any interruption or delay inaccess to the site irrespective of the cause.

    4. Bidders are required to submit their acceptance to the terms and conditionsgiven above before participating in the reverse auction.

    5. Our Service provider shall explain all the Rules related to the Online PriceBidding cum Reverse Auction/ Business Rules Document to be adopted alongwith bid manual. Bidders are required to give their compliance on it before startof bid process.

    6.At the end of the reverse auction, bidder has to provide a detail price break upfor his lowest offer (if KIOCL insists the same) within 24 hours

    OTHER TERMS & CONDITIONS:

    1. The Bidder shall not involve himself or any of his representatives in Pricemanipulation of any kind directly or indirectly by communicating with othersuppliers / bidders.

    2. The Bidder shall not divulge either his Bids or any other exclusive details ofKIOCL to any other party.

    3. KIOCLs decision on award of Contract shall be final and binding on all theBidders.

    4. Service Provider shall not have any liability to Bidders for any interruption ordelay in access to the site irrespective of the cause.

    5. Service Provider is not responsible for any damages, including damages thatresult from, but are not limited to negligence.

    6. Service Provider will not be held responsible for consequential damages,

    including but not limited to systems problems, inability to use the system, lossof electronic information etc.

    Change in Business Rules, Terms & Conditions of Reverse Auction :

    1) KIOCL reserves the right to modify / withdraw any of the Business rules, Terms

    3) Modifications made during the online price bidding and Reverse Auction eventwill be advised to participating Bidders immediately.
