Old Business Approval of the January 2017 Board Minutes was moved and supported via e-mail on 1/30/17 (Cichocki/Jackson); voting completed on 2/4/17. The minutes passed as presented by majority vote. February 21, 2017; 6:15 p.m.; EC3 Gym

Present: Brad Barron, Cameron Cichocki, Betsy Clinton (staff), Peter Cunningham, Lauren Gewirtz, Chris Jackson, Steve Purchase, Lis Weston (staff), Stephanie Winslow, Brad Wurfel

Call to Order: 6:21 p.m.

Public Comments No members of the public were in attendance.

Old Business Approval of the January 2017 Board Minutes was moved and supported via e-mail on 1/30/17

(Cichocki/Jackson); voting completed on 2/4/17. The minutes passed as presented by majority vote.

Director Report The directors’ report is attached to these minutes; Lis presented the report to the Board.

Finance & Facilities Committee Report The committee report is attached to these minutes; Peter Cunningham presented the report to

the Board.

Regarding the need for garbage can replacements, Lis explained that she was able to make due for now by buying several new lids for existing cans. Brad Wurfel has a contact at Granger and will inquire about the possibility of getting new cans from them.

Directors Report: February 2017

Program Update Enrollment patterns for the most recent four years are shown in the chart below, with the

horizontal axis placed at the budgeted breakeven point for the 2016-17 fiscal year.

We currently have 124 children enrolled, representing 99 families.

We are looking for two (2) full-time teachers, plus several more support staffers. We purchased an advertisement on CareerBuilder in order to broaden our reach beyond the typical ads on college websites. The market appears to be very tight, as we are not getting many applications at all. This puts an incredible strain on all staff, as it’s harder to maintain ratio and consistency in the classrooms.

We have offered a summer camp teaching position to Nick Sauve, a member of our support staff who is currently teaching part-time in the Lansing Schools. Nick is an excellent teacher and is very interested in the position; we expect he will accept. His wife is a teacher with DeWitt Schools, and we may have an opportunity to hire her for the summer as well.

We will be revising our teaching staff performance policies to more strongly emphasize our ban on the use of exclusion as a behavioral management tool. In the last couple years we have witnessed an increase in teachers taking away gym- or playground-time for students who misbehave, as well as giving other exclusionary consequences unrelated to the misbehavior.

We have provided general trainings on best disciplinary practices, and we have corrected individual teachers who employ poor tactics, but we believe the formality of a policy change will allow us to better emphasize the importance of positive behavioral supports. We intend to make this the focus of the March Program Committee meeting.

This month’s in-service training will feature several teachers in the instructor role, rather than Lis and Betsy. Betsy has been working with several teachers to deliver the required trainings as part of their own professional development. This in-service covers our annual required training on emergency procedures and allergy awareness, as well as training on updated classroom procedures, teaching social skills to children, and environments that enhance learning.

Finance & Facilities Update As money begins to come in for auction sponsorships ($5,900 pledged, $4,600 collected so

far), we are beginning to chip away at the past-due bills. Thus far, our creditors have been very understanding.

Development & Marketing Update Auction update: We’ve got 31 silent auction items thus far, some of which will be packaged

with others to make more significant offerings. The most updated list will be distributed later in the Board meeting.

The annual report will include a pre-printed envelope, bound in the center, that people can use to mail in contributions.

Lis submitted a preliminary grant application to the Capital Region Community Foundation, for a capacity-building grant in the amount of $50,000. If funded, the money would go toward strategic re-visioning for the purposes of (1) revising EC3’s mission statement to reflect service to families and the community; and (2) developing a management/governance transition plan that brings sustainability to EC3 beyond its current leadership personnel. We will know by mid-March whether we may submit a formal application; if so, it would be due by mid-April and awards will be given in early August.

Finance & Facilities Committee Meeting Report

FINANCE MATTERS The committee reviewed the financial statements from January. Revenue was higher than budgeted for the period, due to three tuition billing cycles rather

than two. Expense was below budget for the period. Cash flow was practically flat—we spent merely $383 more than we brought in for the

period. Our financial position remains the same: stable, but highly leveraged.

We were not able to make any of our budgeted “extra payments” for the period (to reduce the line of credit balance and to increase savings for payroll liabilities and building improvements).

FACILITIES MATTERS The committee reiterated its intent to upgrade the security system and replace the Tiger room

bathroom door when funds are available.

The task list of projects awaiting funding was not reviewed, due to lack of funds.

Lis Weston reported that several of our heavy-duty trash cans are in questionable condition and may need to be replaced prior to EC3’s license renewal inspection. The typical price for commercial-grade receptacles is $200-$500. The committee determined that if the inspection reveals the need for replacement, Lis will seek approval to use BBC funds for the purchase. Until then, she will purchase some new lids for the existing cans.

Update on Auction Preparations Lis Weston reported to the committee members on tasks that have been accomplished to-date. Raffle license has been procured Tables, chairs, and stage have been reserved Auctioneer has been notified (waiting on contract) Letters and forms have been updated

Committee members reviewed the list of sponsors and donors from previous years, and discussed this year’s prospects for both. Lis Weston agreed to bring updated lists to the Board meeting, where members can discuss specific targets and contacts.

Beverage procurement (water, beer, wine) is still needed.

FY2015 Annual Report The committee discussed the content and general design of the annual report for FY2015 (Oct.

1, 2015 – Sep. 30, 2016), which has been submitted to Redhead Design Studio for production.

The target completion date is March 31, 2017.

The committee discussed the distribution plan. The target recipients for the report have always been EC3 current and alumni families, and

EC3 donors. The committee suggested we investigate whether the Michigan Nonprofit Association

campaign funds Tuition Round-up: $6,150 (2013 – present) Sales-based Fundraisers: EC3 does not participate in fundraising activities that do not

relate to our missional activities. E.g., Scholastic Book Fairs promote literacy, so we participate in those; selling popcorn, cookies, or gift-wrap does not relate to education or family welfare in any way, so we do not participate in those.

Event Fundraisers: Other than the auction each spring, we have not been successful raising money through events because we have limited manpower to plan, publicize, and execute such events on a valuable level.

Todd Walsh suggested we investigate the use of PayPal as a means to make it easier for people to donate funds. He will gather information and pass it along to Lis, who will also make some inquiries about what programming changes might need to be made on our end.
