Job Description Job title Assistant to General Counsel and Company Secretary Team Legal & Governance Band 6 Reporting to Deputy Company Secretary Management responsibility None Purpose of the job To work with the Company Secretary/General Counsel and the Legal and Governance team to provide high quality administrative support and legal duties. The job holder will be part of the Company Secretariat team and provide some holiday and absence cover to the PA team when required. Main duties (but not limited to): Company Secretariat team Accountable for communicating with NEDs and the executive Role in the creation of processes and procedures to assist with the organisation of the company secretariat team Responsibility for board meetings to include: o collating board meeting documentation o working with the Deputy Co Sec to collate minutes and action points from meetings and circulating o working through action points and liaising with members to ensure points have been actioned o Assisting with regulatory matters including the filing of annual confirmation statements and other compliance filings o working with the Deputy Co Sec to assist in coordinating ongoing governance training o working with the Deputy Co Sec to assist in maintaining accurate records of past and present directors and secretaries, register of all shareholders/partners – updating Companies House as required Helping with the co-ordination and distribution of board and committee papers Legal Team Co-ordinate the work loads of the legal team and resource planning requirements Work with external law firms to manage the MI on external legal spend Work with the finance team to ensure that Purchase Orders are raised and invoices are paid in a timely manner producing first drafts of standard documentation such as NDAs, Preparing agendas for and preparing and following up on action points from the Legal/Governance team meeting Responsibility for monitoring the legal team mail box and allocating work to team members Responsibility for gathering and collating financial information from law firms to monitor legal spend General Counsel and Company Secretary Effective diary management of board and other meetings Obtaining and preparing paperwork ahead of the meetings and organising review time and travel time Managing expenses claims using the Bank’s on-line claims processing system Responding to emails and correspondence in a timely and efficient manner Assisting with the management of the legal team, co-ordinating annual and mid-level performance reviews Knowledge and experience

Knowledge and experience

Experience of billing and invoicing in the legal services sector Experience of budgeting and cost management Ability to manage complex diaries Excellent IT and administration skills including working knowledge of word processing, spreadsheet and presentation

software packages including Microsoft Office - Word, Excel and PowerPoint; Ability to assimilate large quantities of written and verbal communication quickly and prioritise effectively Proven expertise in providing high quality support to senior management Excellent communication skills Ability to handle high volume of confidential information with discretion Experience of interacting with and handling multiple stakeholders, sound judgement when handling internal and

external stakeholders

finance, risk and compliance, HR, and IT Ability to work closely with business colleagues in both Sheffield and London Willingness to get involved in all “business as usual” aspects of a busy, high-performing in-house legal department

Qualifications

Required for the role Qualifications to a legal executive level Proven experience with senior management team Worked in a financial or legal background
