New Bidder Registration

Bidders not yet registered with with Mjunction Services Limited have to complete their registration formalities with Mjunction Services Limited positively one day prior to the auction. Kindly contact the Mjunction executives mentioned on the cover page for details about the registration formalities.

Advance Payment and Delivery

Advance payment will be accepted lot wise only.

Vehicle may be placed after prior permission from unit.

Material will be sold on “As is where is & no complaint basis” cutting and

sorting will not be allowed. No issue will be entertained at the time of delivery of material.

Any issue related to material may be brought out in notice, in writing at the time of inspection of item.

C Form and Tax and Duties

Customers for which CST is applicable will have to submit “C” Form at the time of lifting of material, otherwise full sales tax will be charged.

Tax and Duties are extra as applicable at the time of delivery.

Any dispute on quality of material and bid cancellation shall not be entertained at any point after the auction. It is requested to make a physical verification of the lot before the auction.

At any point of time, retracting from a bid would not be entertained and serious consequences would be levied ranging from penalty to ban of up to 3 months according to managements direction.

Loading

Chanderiya & Dariba Smelter - Loading in HZL Scope

All other locations – Loading in customer’s scope at his own costs & risk. All tools and tackles, Labor, Forklifts, and Crane etc. will be arranged by the purchasers at their own cost. Non availability of the same will not be considered as a ground for 'Late-Lifting' of the materials.

Loading shall be given strictly as per the statutory norms & safety norms of HZL

Loading Time: 8 AM to 4 PM

*During loading – female laborers would not be allowed

Weighment

1. Each truck shall be weighed at HZL unit weighbridge. 2. The weight as determined at HZL shall be accepted as final for settlement.

Earnest Money Deposit (EMD)

In case of any increase in quantity, HZL will intimate to party well in advance to deposit the advance payment and to lift entire lot on ground clearance basis.

INSTRUCTIONS TO THE Tender cum E-auction PARTICIPANTS

1. All those who have registered online with the auctioneer and wish to participate in the auction, should send their Caution Money Deposit (CMD) as instructed above. CMD must reach the Auctioneers as mentioned in cover page by the cut-off time.

2. Declaration and Letter of Interest (LOI) received thereafter or on the day of Tender cum E-auction for becoming Registered Participants will be rejected out rightly and such bidders will not be allowed to participate in the Live Tender cum E-auction and their DD will be returned to them through Courier at

his/their risks. Hence, in your own interest, you are requested to complete all the formalities to become Registered Participant in advance and well in time.

3. Please Note the DD against CMD must be received by us in advance along with Registration Form and Profile Form attached herewith on or before date and time mentioned above. The Auctioneers / Seller are not liable for the delay or late receipt of DD whether sent through Courier or Post.

4. Please do not reveal / pass your User ID and Password to any other person/s. It is your personal property and we will not be responsible for any leakage or misuse or illegal use of your User ID and Password. Nevertheless, you will be held personally liable to the Seller and the Auctioneers for any misuse or illegal use of your User ID and password by other person/s and any successful transaction online by such unauthorized person due to your negligence will be considered as your own transaction and you will be required to fulfill the contract as per terms and conditions of the sale.

5. HZL reserves the right to modify and amend the terms & conditions and announce the same at any time before the auction concludes. Announcements during the auction on the website including announcement of any additional conditions OR correction in the catalogue and/or additions or deletions of items being offered for sale are being done with the consent and knowledge of the seller, and it is binding on the bidder.

6. Participation and bidding / submitting Offer in this tender shall be treated as conclusive evidence of the fact that the bidder has inspected the Tendered Material/goods and the documents pertaining to it and is satisfied in all respects regarding quantity, quality, condition of the Tendered goods, taxes and duties, and other extraneous factors and the Principle of Caveat Emptor (let the buyer beware) will apply. It shall also imply that the bidder has carefully gone through and understood the terms and conditions of Tender including the amendments if any, prevailing at the time of Tender. Seller will not entertain any complaints or objections once Offer is submitted.

7. Seller does not give warranty or guarantee of the quality, quantity, measurement, condition Chemical composition of each individual item/s or lot/s that form the auction / tender property and about its “End Use” or fitness for a particular purpose. Sale is on “AS IS WHERE IS BASIS” and “NO COMPLAINT BASIS.”

8. The highest bidder/ offer do not get any right to demand acceptance of his offer. SELLER reserves the right to accept/ reject/ cancel any bid, withdraw any portion of the Auction / tender Property/material/goods at any stage from Auction / tender. Even after acceptance of bid/ issue of delivery order or release order/ deposit of full value by successful bidder, seller can reject/cancel the deal without assigning any reason there of. In the event of such rejection/ cancellation/ withdrawal, SELLER, shall refund the value of Auction / tender Property, if paid for, to the successful bidder. SELLER shall not be responsible for any damages/loss whatsoever to the successful bidder on account of such withdrawal.

9. In the event of default on the part of the bidder in fulfilling his contractual obligations, seller reserves the right to debar such bidder from participating in any future auction / tenders conducted on behalf of seller.

10. The prospective bidder has to register with the Auctioneer. 11. On payment of CMD, and on satisfying the pre-qualification norms as may be fixed from time to time by HZL,

Auctioneer will activate the User – Identity to enter into Website as mentioned above. 12. Bidders SHOULD NOT disclose their PASSWORD to anyone and safeguard its secrecy. Bidders are advised to

change the Password. 13. Time Extension: If any leading bid (bid higher than the highest at the point in time) is received within the last 5

minutes of closing time, the time will be extended automatically by 3 minutes. 14. Training: auctioneer will provide training (online) if required by the bidders at a mutually convenient date and time

before the Auction. 15. Bids: All bids placed are legally valid bids and are to be considered as bids from the bidder himself. Once the bid is

placed, the Bidders cannot reduce or withdraw the bid for whatever reason. If done so, the seller will forfeit the EMD. The highest and the latest bid on the Auction shall supersede all the previous bids of the bidder. Bidders may please note that in the event of a manual bid amount matching that of an auto bid, the manual bid will prevail and be considered. The bidder with the highest offer/ bid does not get any right to demand acceptance of his Bid.

16. Proxy Bid: - a. Proxy Bid facility is provided for bidders intending to place a maximum value for a lot/lots.

b. Proxy bid is not a confirmed bid. It is only the maximum ceiling amount set by the bidder to enable the auction engine to place bids on his behalf, whenever he is outbidded, up to the ceiling set by him.

c. Once proxy bid is set, the auction engine will consider the ceiling amount for the next possible Bid only, depending on the highest bid prevailing at that point of time and the increment amount prescribed for that particular lot.

d. Bidders may please note that in the event of a manual bid amount matching that of proxy bid, the proxy bid will prevail and be considered

However HZL/ Auctioneer will not be held responsible for any failure of power, Network, server, hosting server, Internet connectivity, ISP or otherwise at Bidder's end or at auctioneer directly or indirectly affecting online method of Bidding.

any reason whatsoever.

2. Inspection of the materials: For inspection of materials lying at various units of Hindustan Zinc Ltd, Please contact the concerned person as mentioned in list attached herewith on any working day during working hours.

3. BALANCE PAYMENT & DELIVERY

a. Materials must be removed (after making balance payment along with Sales Tax, Excise Duty and TCS, if any) on or before due date, failing which penalty for delay in collection / balance payment (As given below) of the terms and conditions of the sale will be applicable.

b. In the event of the failure of the purchaser to pay the Balance sale value of Lot mentioned in clause for Balance payment & delivery ( As above ), the contract will automatically stand terminated and the Earnest Money Deposited will stand forfeited for the breach of contract by the purchaser. The lot in question shall be resold by the Company without any further reference to the Purchaser.

c. Balance to be paid within prescribed time by DD to the respective Unit directly. DD to be drawn on Bank as mentioned in Annex. – I.

4. Description of Materials and Quality and Quantity:

a. The materials shall be disposed off in “AS-IS-WHERE-IS basis & NO COMPLAINT” AND “WET, DRY OR RUSTY” conditions. Only material mentioned in the catalogue/bid sheet shall be delivered. Inside & outside attachment shall be removed from the nearest point, unless and otherwise mentioned.

b. Oxy-cutting / cutting may be considered on specific request by the purchaser depending upon the merit of the case, at the sole discretion of the Seller. Necessary cutting tools should be arranged by the purchaser at his own cost. However, CLZS shall not allow cutting

Numbers, quantities or tonnage or nature of materials given in the catalogue are approximate and the materials will be sold without any regard or consideration to these numbers/ tonnage or nature of materials and no Warranty or guarantee shall implied. The quantity of material may vary considerably viz. it may be much more than the approximate quantity indicated in the catalogue or much less. The Purchaser must lift the entire quantity within the prescribed time.

d. Description given in our enclosed list is in brief. Offers by the bidders will be deemed to have been made on the clear understanding that intending bidder / bidders have satisfied themselves fully with regard to the nature, condition, quality of goods during inspection or otherwise. No error, omission or mis-statement or mis-description whatsoever and howsoever made or published whether in advertisement or list or otherwise and no defects or faults in the goods shall invalidate the contract or be subject matter of any claim on the part of the bidder whether in compensation or otherwise howsoever nor will any such claim be entertained by the sellers.

e. The quantity indicated in our list of scrap items is only an estimate for calculating the amount of deposits required to be paid by the bidder, and has nothing to do with quantity of material that may be available. However, since the paramount interest of the Seller is to get the area cleared from the accumulated material, the purchaser will have to remove the entire quantity whether these are far beyond the limit of approximation indicated or much less than the approximation indicated.

5. Removal of Materials:

a. Purchaser is responsible to weight the empty truck at the Seller weigh bridge and produce the necessary document so that the weight of the empty truck so taken could be deducted from the weight of the fully loaded truck.

b. All the consignments must be weighed even if they are sold on lot basis for Seller’s record.

c. In order to facilitate the Seller to complete the transaction before 4.00 p.m. the goods should be collected before 3.30 p.m. on any working day with prior permission from the concerned Department within the stipulated delivery period.

d. Should the Actual purchaser wish to take delivery of the scrap material through a representative, he must authorize the later through a letter of authority or continuing authority which shall be presented to the officer concerned. Officer concerned may refuse to act on such authority and the authority holder/agent/purchaser to satisfy the officer concerned that the authority is genuine. Delivery to such person shall be sole responsibility of the purchaser & no claim shall lie against the Seller on any account whatsoever, if delivery is offered to a wrong person.

e. The Seller reserves the right to unload the vehicles for inspection purpose. If it is suspected at any point of time that the purchaser has loaded the material / materials for which he is not actual purchaser or if the purchaser is found to carry excess material than what has mentioned in the documents, the Co. has all power and authority to detain the truck, unload the goods at the cost & expenses of the purchaser & terminate the contract forthwith and forfeit the sale value & claim such further losses and damages that may be caused to the Seller.

f. It shall be the responsibility of the purchaser to see that he or his servants or agents collect and load only that quality and kind of scrap that is covered under the contract and in the event of his servants or agents finding any other quality or kind or scrap mixed with the scrap allotted to him he should forthwith bring it to the notice of the yard master and lift scrap only after segregation.

g. During the course of removal of the scrap material, if any damage is caused to the Seller's premises, installations or instruments, the buyer will be entirely held responsible to make good such losses. Till such period, the damage is repaired or compensated to the Seller; delivery of any lot/s will not be affected to the said bidder.

h. Lots sold on Accumulated / Arranged basis as per the tender must be removed by the purchaser on or before the scheduled period as mentioned hereinabove.

6. Decision in case of disputes:

a. In case of any dispute regarding the contract, the decision of the Seller shall be final and binding. If there is any dispute as to the last or highest bid or dispute in identifying the item belonging to particular lot, the dispute shall be determined by the Seller and their decision shall be final and binding to all.

b. Only the appropriate Court in Udaipur, Rajasthan will have Jurisdiction to deal with any disputes arising out of this contract.

c. In case of any dispute arising out of or relating to the terms of this contract the matter shall be referred to Sole Arbitrator appointed by the Seller. The arbitrator so appointed shall act in accordance with the provision of Arbitration & Conciliation Act, 1996 and the venue of arbitration shall be Seller’s Office or as suggested by the Seller.

7. Right of Acceptance / Rejection of offer :

a. The Seller reserves the right to withdraw wholly or partially any or all the items set for sale at any time during the period of contract without assigning any reasons.

b. The Auctioneer / Seller also reserve the right to accept any bid on "Subject To Confirmation” and the Seller’s final decision will be informed to the purchaser as mentioned above.

c. The goods are sold subject to the reserve price fixed by the Seller. The Seller is not bound to accept the highest offer. The Seller reserves the right to reject any CONDITIONAL offers.

8. Termination of Contract: The Seller reserves the right to terminate the contract at any point of time by giving three days’ notice on the following ground.

a. Unsatisfactory execution or performance of the contract by the purchaser.

b. For improper behavior of the purchaser or breach of the terms and conditions of the contract.

c. Decision of the Seller to terminate the contract shall be final and binding and no claim for damages and compensation shall not be entertained. In the event of the purchaser or his agent or servant committing or attempting to commit theft, fraud, dishonesty or gross misbehavior in connection with the subject matter of this contract or in any other -connection whatsoever concerning the business of the Seller, the Seller will be entitled to terminate the contract - forthwith and forfeit the Security Deposit at its sole discretion.

9. Passing of Property In the goods: It is expressly made clear that the property in the form of goods whether sold by units, weights or lots, whether arranged or otherwise, will remain that of the Seller and will pass on to the purchaser only when material is taken out by the Purchaser from the factory Premises after getting valid dispatch documents.

10. Other Terms and Conditions :

a. Excise, Sales Tax, TCS or any other taxes under the relevant Act will be charged extra at the prevailing applicable rate at the time of delivery and the rate offered shall be exclusive of all taxes. The rates mentioned in the catalogue are only indicative for the guidance of the bidders.

b. Contractors shall be fully responsible for safety of their workers & equipment and materials/ equipment of Hindustan Zinc Limited under their custody. Contractor shall abide the safety rules prescribed by the Govt.

c. Contractor shall be responsible for and shall follow safety rules under the provision of Factory act 1948, Rajasthan Factory Act 1951 & Indian Electricity Safety Rules as amended from time to time and other statutory safety rules & regulation in force during pendency of the contract.

d. The Contractor shall provide all safety gadgets/ equipment to his workers before putting them on job and shall also ensure that his workmen make use of the safety items while at work.

e. Charges towards any damage of the HZL equipment / material caused due to mis-handling by contractor’s workers shall be deducted from Contractor’s bill after assessment by Seller’s Engineer In charge. The assessments of Seller’s Engineer In charge shall be final & binding on the Contractor.

f. RULES AND REGULATIONS: The contractor shall follow all the rules and regulations under contract Labor Act, Factories Act, Industrial Dispute Act, Payment of Bonus Act, PF Act, ESI Act, Gratuity Act, Maternity act, All India Motor Vehicle Act 1988, Rajasthan Motor Vehicle Rules 1951, as amended from time to time and other laws in force during the currency of Contract.

g. For Batteries, LSHS/FO Oil Sludge, TORCH CELL/PENCIL CELL, USED HSD/ OLD HT OIL /Used oil etc MOEF certificate is required.

h. All trucks, handcarts, carrying such materials outside Seller’s premises are subject to inspection by Security Deptt. At the gate. If required, the buyer will have to unload the vehicle if Security Officer Demands for a surprise check.

i. Any person employed or engaged by the buyer for the purpose of execution of the contract shall be required to observe and follow the rules and regulations that are prevailing in Seller’s Company. The movement of Buyer’s persons shall be restricted only to the place of work assigned to them. Each person engaged by the buyer shall be required to obtain a Pass from Security Department for entering and leaving the Factory premises. All the labor engaged by the buyer shall be subjected to inspection by Security Dept.

j. All notices, letters sent to the purchaser shall be deemed to have been received by him/them on expiry of 48 hours from the time of posting if the same are sent at the address given by the purchaser.

k. If any person/s bid at the auction on behalf of the undisclosed principal, he / they shall immediately after the bid at the time of payment of EMD, has to disclose the name of his / their principal who is the actual purchaser and the receipt for the caution money and/or earnest money would be issued in the name of the principal.

l. Resale of material/goods will not be allowed. Release order will be issued in the name of actual successful purchasers only.

m. The purchaser shall not be entitled to resell any lot or part of a lot while the goods are still lying within the premises of the Company and no delivery would be affected by the Company to any person other than the purchaser whose names are mentioned in the delivery order.

n. All purchasers of the lots before collecting purchased materials from inside the works should contact the Company's authorized officer to get them fully acquainted with safety rules and regulations. Purchasers will be allowed to start collecting materials only when they have confirmed in writing that they are agreeable to follow the various safety rules and plant regulations.

o. The Company will in no way be responsible for any accident, damage or injury to the contractor's workmen or equipment while on HZL, s premises.

p. If the successful purchaser at any stage either neglects or refuses or is unable to take delivery of the materials for any reasons whatsoever or the performance of the purchaser is unsatisfactory, the Company will have the right to terminate the contract, enforce forfeiture of purchaser's EMD/security deposit and claim such further losses and damages that may be caused to the Seller determined and declared at its sole discretion.

q. In the event of purchaser failure to remove the materials and to pay price thereof, the Seller shall be free to sell the goods to any person or persons and to recover from the original purchaser the amount by which materials actually sold, falls short of the price agreed by the original purchaser. This does not in any way affect the right of the Seller to forfeit EMD as provided herein.

r. The successful purchaser is also required to sign an agreement to complete the sale proceedings according to the conditions hereof and subscribe his signature to the Bid-sheet against the lot or lots knocked down to him. In the event of the purchaser failing to sign the agreement or Bid-sheet the goods may, if the Auctioneers / Company think fit, be put up for sale again immediately and resold on account and at the risk of the defaulting purchaser who shall be responsible for the deficit, if any, in the price and such deficit shall be debt due from the defaulting purchaser, but he shall not be entitled to any increase arising from such resale.

s. Special Conditions of sale or Additional Conditions of sale, if any, will be announced at the time of auction.

Complaints and the Investigation Procedures

The following procedures have been adopted by the Audit Committee of Hindustan Zinc Limited (the “Company”) to govern the receipt, retention, and treatment of Complaints and to protect the confidentiality and anonymity of the stakeholders / employees / cases reported. These policies and procedures apply to and are available to all employees of the Company, and all external stakeholders.

I. POLICY

Customers have the opportunity to submit / report ‘Complaints’ pertaining to the following areas such as:

a) Fraud (an act of willful misrepresentation which would affect the interests of the concerned) against investors, securities fraud, mail or wire fraud, bank fraud, or fraudulent statements to the Securities and Exchange Board of India (the “SEBI”), the U.S. Securities and Exchange Commission (the “SEC”), the relevant stock exchanges, any other relevant authority or members of the investing public.

b) Violations of any rules and regulations applicable to the Company and related to accounting and auditing matters

c) Intentional error or fraud in the preparation, review or audit of any financial statement of the Company

d) Any violations to the Company’s ethical business practices as specified in the Company’s Code of Conduct policy

e) Any other event which would affect the interests of the business

The company will protect the confidentiality and anonymity of the complainant to the fullest extent possible with an objective to conduct an adequate review. External stakeholders such as vendors, customers, business partners etc. have the opportunity to submit ‘Complaints’; however, the Company is not obligated to keep ‘Complaints’ from non employees confidential or to maintain the anonymity of non- employees. We encourage individuals sending ‘Complaints’ / raising any matter to identify themselves instead of sending anonymous ‘Complaints’ as it will assist in an effective complaint review process.

Post review, if the complaint is found to be have been made with MALA FIDE intention, stringent action will be taken against the complainant. We encourage employees to report genuine ‘Complaints’ and those submitted in true faith.

II. PROCEDURES

Receipts of ‘Complaints’

All the ‘Complaints’ under this policy should be reported to the Group Head - Management Assurance, who is independent of operating management and businesses. The contact details are as follows:

‘Complaints’ can also be sent to the designated E-Mail ID: [email protected]; the custodian of which is Group Head – Management Assurance. If a complaint is received by any other executive of the company, the same should be forwarded to the Group Head – Management Assurance at the above address.

Treatment of ‘Complaints’

1. Group Head - Management Assurance shall review the Complaint. Investigations may be carried out either by the MAS team or any other external agency / legal counsel or any company employee(s) as the Group Head – Management Assurance may feel appropriate. The investigation team will submit their findings or recommendations to the Group Head - Management Assurance.

2. Once every six months and whenever else as deemed necessary, Group Head - Management Assurance shall submit a report to the Audit Committee that summarizes the number of ‘Complaints’ received and status of actions taken.

Access to Reports and Records and Disclosure of Investigation Results

All reports and records associated with ‘Complaints’ are considered confidential information and access will be restricted to members of the Audit Committee, Group Head – Management Assurance and any other person as permitted by the Group Head – Management Assurance. ‘Complaints’ and any resulting investigations, reports or resulting actions will generally not be disclosed to the public except as required by any legal requirements or regulations or by any corporate policy in place at that time.

Retention of Records

All documents relating to such ‘Complaint’s made through the procedures outlined above shall be retained for at least five years from the date of the ‘Complaint’, after which the information may be destroyed unless the information may be relevant to any pending or potential litigation, inquiry, or investigation, in which case the information will be retained for the duration of that litigation, inquiry, or investigation and therefore as necessary.

Amendment to the policy

The Company reserves its right to amend or modify this Policy in whole or in part, at any time without assigning any reason whatsoever and the same will be posted on the company website

GENERAL RULES AND REGULATION GOVERNING CONDUCT OF ONLINE AUCTIONS ON THE “SERVICE PROVIDER” PLATFORM

INTRODUCTION: MJUNCTION SERVICES LTD, a company incorporated and registered in India and having its registered office at TATA CENTRE 1ST FLOOR,43 J L Nehru Road, Kolkata 700 071 India (hereinafter referred as “Service Provider”) is conducting this online forward auction on behalf of Hindustan Zinc Limited (hereinafter referred to as the “Client”). The General Rules and Regulations provided herein govern the conduct of on line Forward Auctions arranged by “Service Provider” on its Auction Platform. These rules cover the roles and responsibilities of the Parties in the online Forward Auctions on the Auction Platform. The acceptance, in-toto, to these General Rules and Regulations governing conduct of Online Auctions, and Terms and Conditions for sale of Materials belonging to Hindustan Zinc Limited by Online Auction is a pre–requisite for securing participation of each Customer in the Online Auctions. The key terms pertaining to the online Forward Auctions are provided in the as under. Prospective customers are advised to read through the same.

ROLE OF “SERVICE- PROVIDER”

1. “Service Provider’ is the agency (operator) primarily providing the service of the Forward auction to the “Client”.

2. Finalisation of the auction items in consultation with the Client.

3. Defining of bidding rules for each auction in consultation with the client.

3.1 Enhancing customer awareness of and comfort with the auction mechanism and bidding rules. Input of the Auction items and defining the bidding rule in the auction engine.

3.2 Enlarging the customer base by introducing new customers.

3.3 Collection of Earnest Money Deposit (EMD), Letter of Interest etc. from the willing customers

3.4 Providing access to the approved customers to participate in the Auction.

3.5 Summarizing the Auction proceedings and communicate the outcome to the Client.

The responsibility of fulfillment of the contract rests between the customers and the client and the responsibility of the “Service Provider” shall be restricted to the extent of the Services provided by them.

ROLE OF CUSTOMER The role of the Customer is outlined below:

The Customer would participate in the auction with the aim of bidding to secure the auctioned item in the Online Auction.

The Customer would be provided access to the Online Auction through a “User ID” protected by a “Password”. The Customer needs to ensure that the “User ID” and “Password” is not revealed to unauthorized persons. Customers are also requested to change the Password allocated to them by the “Service Provider” to keep their confidentiality. However it would be Customer’s sole responsibility to ensure the security and privacy of the same and he/they would not hold the “Client” / “Service Provider” responsible in any manner whatsoever for any misuse of these user IDs and/or Password. The access to the auction mechanism shall be provided to all the approved Customers subsequent to obtaining their written consent to the General Rules & Regulations and the Letter of Interest. The payment of Pre Bid Deposit as decided by the Service Provider before the start of the Online Auction will be one of the necessary conditions for participating in the auction.

Customers hereby confirm that they shall commit to lift the item (being bid for) at the price entered by them in the auction engine AND at the terms and conditions specified herein by the Client. All prices entered shall be legally binding on the Customers. Customers are strongly advised to exercise due diligence while placing bids. Failure to honour the bids placed during online bidding shall render the Customers liable for penal action as deemed fit by “Client” / “Service Provider”.

In the event of winning an allotment in the auction mechanism, the Customer shall commit to fulfill outlined obligations under the contract between Winning Customer and Client .

The Customers shall bid on the terms & place their bid in the auction engine in the manner specified herein. The Customers shall not stipulate any conditions on their own unless the terms herein expressly permit such conditions being stipulated by the Customer. Bids entered with conditions attached shall be considered Conditional bids & “Service Provider” retains the right of rejecting these bids even without intimating the Client.

BIDDING RULES The Bidding Rules refer to the information and terms defined specifically for a particular auction. The purpose of the Bidding rules is to provide approved customers with the information and terms specific to the auction in which they are bidding. This would include: Definition of the unit bidding.

Start Time and duration of the auction.

Any extension of the duration of the auction in the event of bids being received towards the end of the pre-specified duration.

Start Bid Price.

Specified Unit for Bidding.

Price Increments and any reduction in the price increment in the auction in the event of inactivity.

Other attributes (informational/non-negotiable in nature). While it shall be the endeavor of “Service Provider” to specify these rules at the earliest for each Online Auction. The “Service

Provider” only in the case of unforeseen contingency beyond its control shall retain the right to delay the announcement of these biddings rules or modify rules specified earlier at the time of the online bidding in prior written consent of the Client. These details would be available to the customers on the Auction Engine at the time of bidding. The participation in the auction process presumes complete awareness and understanding of the bidding rules.

CONDUCT OF THE AUCTION:

Only those Customers who have been approved by the “Client” and handed over stamped and manually signed “General Rules and Regulations governing conduct of Online Auction along with Letter of Interest, required EMD amount and other necessary documents to the “Service Provider” prior to the start of Online Auction will be given “Login ID” and “PASSWORD” to enable them

view and participate in Online Auction. “Hindustan Zinc Limited” will have the sole discretion to approve the Customers who

have submitted bids and no requests will be entertained in this regard by Service Provider from the Customers. The Online Auction shall be conducted on pre-specified date. The Key Terms pertaining to the conduct of Online Auction such as “START TIME”, “DURATION”, “END TIME” AND “AUTO EXTENSION FACILITY” Shall be specified separately for each Auction.

“Service Provider” retains the right to cancel or reschedule the Online Auction, with the prior written approval of the Client, on any of the following reasons:

The number of confirmed Customers is deemed insufficient to conduct the Online Auction

Some of the confirmed Customers are unable to access the module due to infrastructure problems such as sustained power failure or telecommunication breakdown.

There are no bids, which are equal to or below Start Bid Price.

Any other reason, which in the opinion of “Service Provider” / “Client” requires such action to be initiated.

The duration of Online Auction may also vary from the pre-specified period of time either on account of termination of the Online

Auction by “Service Provider” on the advice of the Client. OR

In case of situations where it is felt that continuance of the auction proceedings is prejudicial to the smooth conduct and / or the integrity of the auction process.

OR due to Auto Extension during the Auction, duration may increase from specified period.

In the event of any problems being faced in the smooth conduct of the Online Auction, “Service Provider” with the approval of the Competent Authority of the Client, shall have the right to undertake one or more of the following steps:

Cancellation/ premature termination of the Online Auction with/ without a subsequent rerun of the auction on a mutually decided date

Cancellation of a bid

Locking / deactivate a Customer’s account (suspension of operations in the account), etc. In case of failure of net connection, Customer will communicate his best price to the “Service Provider” and “Service Provider” will

bid on behalf of the Customer with the minimum increment until the bid price reaches the best price offered by the Customer, by proxy bidding mechanism.

The best price communicated by the Customer will have to be authenticated by written confirmation or fax to the “Service Provider” and will be kept confidential between the “Service Provider” and the Customer. Customer will be bound by the price offered.

LIABILITY OF “SERVICE PROVIDER”

“Service Provider” shall not be liable to the Client/ Customers participating in the Online Auction or any other person(s) for:

Any breach of contract between winning Customer and Client.

Any delays in initiating the online auction or postponement / cancellation of the online auction proceedings due to any problem with the hardware / software / infrastructure facilities or any other shortcomings.

While, reasonable care and diligence will be taken by “Service Provider” in discharge of its responsibilities such as design of the

online bid, communication of bid details and rules, guidance to client/ customers in accessing the Auction Engine and placing bids, etc. the customers shall specifically indemnify “Service Provider” from all liabilities for any shortcomings on these aspects. It is clearly understood that these activities are undertaken by “Service Provider” to assist the Customers in participation but the ultimate responsibility on all these counts lies totally with the customers.

RIGHT OF THE CLIENT: The Client reserves the right to partially or totally accept or reject any / all bids placed in the Online Auction without assigning any

reason whatsoever. The decision of the Client would be final and binding on the Service Provider and the Customer in any such case. In case the Online Auction is cancelled by Client, then Service Provider shall undertake the re-auction at its own cost, as directed by the Client.

CONFIDENTIALITY CLAUSE: “Service Provider” undertakes to handle any sensitive information provided by the Client or confirmed Customers for the auctions

conducted with utmost trust and confidentiality. JURISDICTION Any disputes relating to the online auction module shall be subject to the sole jurisdiction of Court of Law having jurisdictions over

DEFINITION OF KEY TERMS Auction Auction refers to a forum where the requirement for one/more lots of an item is stated and the participants (customers) are required to bid down the price to be selected to supply the requirement. Online Auctions Online auctions refer to those auctions conducted through the Internet with the customers (from one or more locations) simultaneously bidding to be selected for supplying the item/s on Auction. In other words, the venue for the auction is on an Internet website/ platform. Services refer to the Online Auctions conducted by the Service Provider through its website as the venue for the purpose of the Online Auction and also includes the responsibilities narrated under the head “ROLE OF SERVICE PROVIDER” above. Award at the Auction In a single winner format, only one customer (normally the customer who quotes the highest price) is awarded all the units of the item being auctioned. The customer quoting the highest price is normally allotted the item. Client Client is the individual/business entity who has contracted "Service Provider" to conduct such auction. In case of auction, the purpose would be the genuine intent to sell the selected item/s (Lot) to the customers desiring to buy these items from the Client. Customer Customer is the individual/business entity participating in the auction, intending to buy the item(s) from the Client. To be become a Customer in the auction, a business entity has to secure client approval for participation and also provide written assent to the General Rules and Regulations .

Auction Engine Auction Engine refers to the software that encapsulates the entire auction environment, processing logic and information flows. "Service Provider" is the sole owner of the auction engine and retains exclusive right over the utilisation of the same. Timings of the Online Bid All the timings of the Online Bid shall be based on the time indicated by the Server hosting the Auction Engine. It shall be the endeavor of "Service Provider" to ensure that the Server Time reflects as closely as possible the Indian Standard Time (IST) i.e. GMT + 0530 hrs. However, in the event of any deviations between the Server Time and the Indian Standard Time, the functioning of the Auction Engine (Launch, operation, and closure) would be guided by the Server Time. Customers are advised to refresh both the windows of the Auction Module check the exact Server Time (displayed in both the windows). Preview Time

Preview Time refers to the period of time that is provided prior to the commencement of bidding. This is to facilitate approved participants to view the auction details such as item specifications, bidding details and bidding rules. The purpose is also to familiarize participants with the functionality and screens of the auction mechanism. It is not mandatory for "Service Provider" to provide Preview Time. Start Time. Start time refers to the time of commencement of the conduct of the online auction. It signals the commencement of the Price Discovery process through competitive bidding. Duration of the Auction. It refers to the length of time the price discovery process is allowed to continue by accepting bids from competing customers. The duration of the auction would normally be for a pre-specified period of time. However, the bidding rules may state the conditions when the pre-specified duration may be curtailed/extended. The conditions include:

Curtailment of auction duration in the event of no bids for a specified period of time (Inactivity Time)

Automatic extension in the event of bids being entered towards the end of the scheduled duration to facilitate the other customers to view and react to the bid.

Auto Extension of the Auction Timings.

In the event of bids in the last few minutes of the scheduled bid time, the Bid Timings are automatically extended for a specified period from each such bid. Such Auto Extension shall continue until no bids are placed for the specified period (Engine remains inactive for the specified period). The Inactivity Time for Auto Extension purpose is normally X minutes. "Service Provider" however retains the right to change the same. The Inactivity Time applicable for the particular Online Bid shall be visible to the customers under the Bidding Rules module on the engine. End of the Auction. End of the Auction refers to the termination of the auction proceedings signaling an end to the price discovery process.

Auction Report.

"Service Provider" would provide an Auction Report to the Client containing a summary of the auction proceedings and outcome. The Auction Report would constitute the official communication from "Service Provider" to the client about the outcome of the Auction.

No complaints regarding difference in material quality or quantity will be entertained.

Materials sold would be under “as is where is” basis.

Appropriate MoEF /PCB certificate has to be submitted wherever applicable for securing participation.

Scanned copy of Signed Declaration (as attached at the end of this document) has to reach Mjunction representatives as mentioned on the cover page over Email by 4:00 PM on the day before the respective auction to secure participation.
