A meeting of the Board of Regents was held in the Regents' Room, Administration Building, on Friday, No- vember 7,1958, at 2:30 o'clock and on Saturday, Novem- ber 8,1958, at 9:30 o'clock.

Be It Resolved By the Regents of the University of Minnesota that, to effect the agreed loan of $540,000 by the Northwestern National Bank of Minneapolis, First National Bank of Minneapolis, and the First National Bank of St. Paul to complete payment for the expansion of the University Health Service Buildings on the Minneapolis Campus (which loan is described in a letter of November 6, 1958, from Winston L. Molander, Vice President, to Mr. Middlebrook), the President or the Vice President, Business Administration, and the Secretary or an Assistant Secretary of this corporation now or hereafter in office, shall be and are hereby authorized and directed to execute and deliver the Interim Notes and the Installment Notes of this corporation in the forms here- after set out in the amounts and with dates and due dates as specified therein, and each and every term and provision contained in said form of notes is hereby approved and agreed to.

Minnesota, the princips'l sum of FORTY-FIVE THOUSAND DOLLARS ($65,000) on September 30, 1959, with interest thereon at the rate of two and seven-e~ghths per cent (21/8%) per annum.
This Interim Note is one of a series of three notes all of like date and tenor except as to the payees, payable to the order of Gorthwestern National Bank of Minneapolis First National Bank of Minneapolis, and The First National Bank of ~ i i n t Paul respective1 and is part of a total loan of $540 000 agreed to be made by said bad ; to the Regents for completion of an addition to the University Health Service structures and facilit~es now un- der construction on the Minneapolis campus of the University, which loan was authorized by resolution of the Regents passed November 8 1958., Pursuant to such resolution the Regents will on September 30, 1959,'pay the interest then accrued herebn and refund the principal hereof, together with other like Interim Notes, by the execution and delivery to each of said banks of an Installment Note in the form and amount heretofore agreed upon. In event for any reason this note is not so refunded, the Regents will pay the full principal hereof and accrued interest thereon on or before said due date.
The Regents have established, and will at all times maintain, a special account in its treasury and on its books of account to which it has credited and will forthwith credit the proceeds of this loan, 'to be used for completion of the above recited improvements, and also, from time to time as received, all income, including rates, fees, and charges received from operation of or in connection with its University Health Service in accordance w ~ t h estab- lished University practices, and from which account it will pay only the cur- rent, reasonable and normal costs of operation and maintenance of said Health Service according to established University practices and the re- mainder or net amounts of such income will be used and &plied to meet the payments of principal and interest on the loan of which this note repre- sents a part, as such payments fall due, and such net income is hereby pledged and appropriated thereto as a first and prior charge on such net in- come to the extent needed to meet such payments. In event any installment of principal or interest on said loan shall fall due when moneys in said special account are insufficient to pay the same, the Regents will meet the deficiency by transfers to said account out of any other moneys of the cor- poration lawfully usable for such purpose, it being the intent of the parties hereto that this note shall constitute a general obligation of said public cor- poration for payment of which principal and interest its full faith and credit is pledged.
By the execution delivery and acceptance hereof the parties hereto agree that any provisibn herein' which is contrary to br in conflict with presently existing agreements securing any indebtedness owing by the Regents to the payee shall be deemed and construed an amendment of said cx~st ng agreements, but only to the extent necessary to be in harmony herewith and nothing herein shall modify or restnct the Regents' agreements to pa; said prior existing indebtedness out of the income pledged or appropriated to secure such borrowings.

Be It Resolued By the Regents of the University of Minnesota that, to effect the agreed loan of $40,000 by Northwestern National Bank of Minneapolis to pay for acquisition of the Veterinary Clinic at Maple Plain, Minnesota, now operated by the College of Veteri- nary Medicine, and to erect, furnish, and equip an additional building thereat for use by said College (which loan is described in a letter of October 27, 1958, from Wendell T. Burns to Mr. Laurence R. Lunden, Comptroller), the President or the Vice President, Business Administration, and the Secretary or an Assist- ant Secretary of this corporation now or hereafter in office shall be and are hereby authorized and directed to execute and deliver the Installment Note of this corporation in the form hereafter set out, and each and every term and provision contained in said form of note is hereby approved and agreed to.

FOR VALUE RECEIVED the REGENTS OF THE UNIVERSITY OF MINNESOTA, a public co&oration, hereby promises to pay to the order of NORTHWESTERN NATIONAL BANK OF MINNEAPOLIS at its main office in Minneapolis, Minnesota, the principal sum of FORTY +HOU- SAND DOLLARS $40 000) in twenty quarter-annual installments of Two Thousand Dollars ($2,060) each, due and payable on -, 1959, and on the - day of each and - thereafter, to and including ' 1963, and to pay interest on said principal sum, or portion thereof from timi to time remaining unpaid, at the rate of two and three-fourths per cent (2.75%) Der annum. The Regents of the University of Minnesota (hereinafter sometimes called "the Regents" and said payee, by the issuance, delivery, and ac- ceptance of this note, hereby agree:
1. Notwithstanding the above stated due dates of installments, the Regents have the privilege of prepaying any portion of the principal of this note at any of said installment due dates, at par. Any and all sums prepaid
are to be applied on the longest matwing installment then remaining unpaid on this note.
2. The Regents, as such corporation, has heretofore established and is operatmg a veterinary clinic at Maple Plain, Minnesota, as one of the clinics of its College of Veterinary Medicine, under a rental-purchase agreement dated July 1, 1956, and is now obligated to complete the purchase of the land and buildings so occupied and has determined that it is necessary and expedient to erect, furnish and equip an additional building thereat for use by said College at a total cost for such purchase, erection and furnishing of approximately $40,000 and needs the proceeds of this note for that purpose. Said Maple Plain Clinic and other veterinary clinic facd~tes operated by the Regents are reasonably expected to produce net income, computed according to established University practices, substantially in excess of the principal and interest payments above agreed to be made. Such net income, to the extent needed to meet said payments as they become due, has been and is hereby irrevocably appropriated and pledged to payment of the principal of and interest on this note. as a first and nrior lien and charge thereon. Such net income shall constitite the primary iource of payment %f this note and interest thereon but it is agreed that if at any time or times any such pay- ment shall fall hue when there is not sufticient money on hand derived from such primary source, the Regents will make good the deficiency and will effect the payment out of any of its moneys on hand or available which may lawfully be so used. I t is the intention of the parties hereto that this note shall constitute a general obligation of the Regents of the University of Minnesota as a public corporation.
3. The Regents will at all times keep proper and adequate books of account showing all receipts and disbursements of money from said Maple Plain Clinic and its other veterinary clinics, which books shall be open to inspection during all reasonable hours by the holder of this note or its agents or attorneys. The Regents agree to furnish, within ninety days of the close of each fiscal year, an operating statement of the receipts and disburse- ments respecting said veterinary clinics.
4. If default is made in the prompt payment of any principal or interest on this note and such default shall continue for a period of thirty days, the above named bank may declare the note to be forthwith due and payable and may proceed to enforce any and all legal and equitable rights for the 'collection thereof or for the performance of any covenants or agree- ments herein contained.
5. By the execution delivery and acceptance hereof, the pahies hereto agree that any provision'herein khich is contrary to or in conflict with presently existing agreements securing any indebtedness owing by the Regents to the payee shall he deemed and constmed an amendment of said existing agreements, but only to the extent necessary to be in harmony herewith, and nothing herein shall modify or restrict the Regents' agreements to pay said prior existing indebtedness out of the income pledged or appropriated to secure such borrowings.

The President reported for the information of the Board that the Interim Commission on Higher Educa- tion has summoned representatives of all public boards having to do with higher education in the state to a meet- ing on November 18. It was suggested that the President
seek a separate meeting. The President will again report to the Regents at the November 15 meeting.
The Business Vice President having reported for the information of the Regents a staff conference relative to the li uidation of the Eustis tract and the receipt of a letter 9 rom Mr. C. Elmer Keefe of the David C. Bell In- vestment Company of Minneapolis setting forth accepted procedure in similar cases and the probable market value of said tract, letter filed supplement to the minutes, page 11,317, voted to instruct the Business Vice President to inform the Minneapolis City Park Board that the tract will be placed on the market for liquidation in the event the Park Board should have an interest in the tract, and if there is no effective interest shown then that Mr. Keefe's recommended procedure be adopted, and the Business Vice President is authorized to proceed accord- ingly. If there is any major departure from the program as outlined, the subject matter will be brought back to the Regents for further consideration.
The-Business Vice President having reported for the information of the Board relative to a defalcation in the College of Veterinary Medicine, summary filed supple- ment to the minutes, page 11,318, voted to authorize the filing of a complaint.
President Morrill reported for the information of the Board and their spouses the invitation to the Brooks' residence on November 15 at 4 o'clock for the purpose, primarily, to view the property.
I t has been suggested by the Executive Committee of the Alumni Association that certain officers of the Asso- ciation meet with the Board so that the Association may have improved liaison with the University. It was the President's suggestion that those officers meet with the Board at luncheon at the December 12 meeting. Ap- proved.
Regent Mayo announced a meetin of the special committee of the Board consistin o Regent Mayo, f B Chairman, Regents Cosgrove, Ma kerson, Olson, and Quinlivan to consider possible approaches to adminis-
trative reorganization. The meeting is called for 9 o'clock on November 15.
