    November Meeting Minutes

    Gene called the meeting to order at 2:10. Themeeting was held at the Powerland Texaco

    Station in Brooks, OR.Attendees:

    Gene, TomK, Chuck, Jackie, TomR and Gary.

    AMCA Hires an Executive Director

    DECEMBER 2, 2013The

    AMCA is pleased toannounce the selection ofJohn J. Cerilli ofScottsdale, Arizona, to fillthe new position ofExecutive Director.

    The AMCA, founded in1954, is an association of

    enthusiasts focused on antique motorcycles 35years old or older. Next year marks the AMCAs60th anniversary, and during those 60 years, ithas grown from a small regional club to aninternational organization with more than 10,000members.

    Until now, the Clubs management has been

    exclusively in the hands of a volunteer Board ofDirectors. But with the hiring of an Executive

    Director, the AMCA is taking the next step in itsexpansion, bringing in a full-time managerfocused on membership service and long-termgrowth.

    Cerilli previously worked as asales/marketing/business development executivein the semiconductor industry for more than 35years. His hobby and passion, however, has

    always been motorcycles, both modern andvintage, and he has owned more than 30 bikes inhis 45 years of riding.

    We are pleased to have John on board in this

    new position, said AMCA Board President RichardSpagnolli. The hiring of an Executive Director is a

    major step that the Board has considered for thepast several years. And its only fitting that we

    take this step as the Club celebrates its 60thanniversary. We look forward to John workingwith the Membership to continue the well-established and long- enduring culture of theAMCA.

    The Board decided to hire an Operations Managerwith a limited number of designated duties.Shortly after Bill Wood was hired, it became clearthat this arrangement did not address all theneeds of the Membership. A discussion beganabout hiring an Executive Director. Thedevelopment of the AMCA's tax situation andother issues convinced the Board that a Club withover 10,000 members needed a full-time personto manage it on a daily basis.

    Once the decision was made to hire an Executive

    Director, as reported in past Board Minutes andprior President's Newsletters, the Board wasdetermined to make the entire process ofsearching for and hiring this person transparent.The Board decided to hire a national executivesearch firm to help with this process. Afterconsultation, the Board hired Scion ExecutiveSearch, located in San Francisco. With the help ofScion, the Board developed and adopted a job

    description for the position, as well as a salaryand benefit range. The Board also agreed that noBoard Member would be involved in the searchprocess and all inquiries would be directed toScion. When individual Board Members or BillWood received private emails or calls, thosepeople were directed to Scion, which in turn sentthem a job description and a letter inviting themto file an application and rsum or forward the

    letter to someone who may be interested in theposition.

    I am pleased to report this procedure workedextremely well throughout the entire searchprocess. Contrary to a recent statement that theClub was having trouble finding applicants for theExecutive Director position, Scion received morethan 100 applications and processed them all.

    Scion and the Board were very pleased with thenumber of applicants for the position. Afterscreening and interviewing those who met thequalifications for the position, Scionrecommended 11 candidates to the Board forpossible in-person interviews.     Board members also circulated throughout theentire complex on Saturday and Sunday,promoting the Club the entire time. Of course, we

    also visited the Barber Vintage MotorsportsMuseum, which was spectacular.

    Personally, I expected to find a racing venue withmany race bikes. The race bikes were there, but Iwas blown away by the number of vintagemotorcycles on the premises ridden there by theirowners. I think the entire Board left with theimpression that Barber is a very important venue

    for the AMCA in the future. With a reported60,000+ attendance over three days, a swapmeet, bike displays, auction, commercial vendors,a world-class museum and many othermotorcycle-related events, there is little doubt inmy mind that Barber has found the right mix ofracing and vintage-bike events to establish this asa destination for all old-bike enthusiasts. JeffRay, executive director of the facility, and I had

    an informal discussion about cooperation betweenBarber and the AMCA in the future. We agreed tocontinue our discussions after the Festival wasover.

    Now for the Board report. Because of the Board'sconcern about being able to maintain the AMCA'sIRS tax-exempt status, the Club's accountant,Chuck Deluzio was requested to prepare interim

    financial reports through September 30. Chuckjoined the meeting by teleconference andreported that, based on his calculations, the Clubwould not be able to meet the IRS safe harbor

    requirement for 501(c)(7) organizations for 2013,and the AMCA would lose its tax-exempt status.He further reported that all the Chapters thatderive their tax-exempt status through the AMCAgroup exemption granted by the IRS would lose

    their tax-exempt status also.After this discussion, the Board agreed to directAMCA Counsel John Wendel to file amendedarticles of incorporation with the State of Floridato reflect that the AMCA will no longer beconsidered an IRS 501(c)(7) tax-exempt

    the Club's discussions. Matt has served as theAMCA Youth Coordinator, and Brittney assumedthis role a few years ago. I am pleased that both

    have agreed to stay on and help with the YouthProgram, which will come under new leadershipsoon. I understand Brittney is looking forward tocontinuing her dirt-track racing after the babyarrives, which means Matt will be holding thechild while she's on the track. (No greasy hands,Matt!)

    Board and officer elections were held at the Board

    meeting. Secretary Kelli Webb- Stauffer reportedthat no members had filed an application for aBoard position except the current BoardmembersDonnie Eatherly, Lonnie Campbell,Fred Davis and Richard Spagnolli. All four werenominated and elected by acclamation for three-year terms. Officers Richard Spagnolli, President;Trudi Johnson-Richards, Vice-President; KelliWebb-Stauffer, Secretary; and Davette Bent,

    Treasurer; were unopposed and elected byacclamation.

    Just a reminder to all Chapters about the AMCAChapter Membership Recruitment Program Imentioned in a previous newsletter. If yourChapter is interested in soliciting new Chaptermembers from the general AMCA Membership list,the Board has established a process to do so at

    no cost to the Chapter. Please review theprocedure in the latest version of the Policies &Procedures Manual on the Club website orreference it in my previous newsletter. Thisprogram is well worth the time and effort if youwant to increase your Chapter's membership. BillWood will help a Chapter with a solicitation untilthe end of December, and then John Cerilli willassume this responsibility.

    As the year draws to an end, on behalf of theBoard, we would like to thank all the Chaptersand their volunteers who sponsored AMCANational Meets and Road Runs. And thanks to allthe Chapters and their volunteers who sponsorlocal Chapter events that promote our sport and

    Wheeler and the CornerstoneMembership; Mark Hunnibell Virtual Library. (I apologize to

    mentionI'm sure there are special thanks to my mentor Schultz (see AMCA Pioneerswinter issue of the magazine)
