I. GENERAL I NFORMATI ON

2. 0 Thi s Tender i s towards purchase of one number 320 KVA Di esel

Generator Set as per specifi cati ons encl osed i n t he Annexure t o t hi s

Tender Document. Deli very of t he Gen. Set i s to be made at our

Proj ect site at At hani and t he i ntendi ng Tenderer can i nspect t he

site and make hi mself f amili ar wi th the conditi ons and avail abl e

co mmuni cati on f acilities at hi s own cost. The site i s l ocated

adj acent to our registered offi ce at At hani whi ch i s near t he Cochi n

I nternati onal Ai rport j uncti on i n NH- 47. Non avail ability of access

roads/rail way li nes or per mi ts f or entry of vehi cl es to any specifi c

area shall not i n any case be consi dered as a reason t o condone any

del ay i n executi on of t he suppl y or f or any cl ai ms towards extra

pay ments.

II. ELI GI BI LI TY FOR SUBMI TTI NG ENDER

The Tenderer shoul d f ulfill the foll owi ng qualificati on criteri a.

1. 0 The Tenderer should be a Fi r m/Organi sati on/I ndustry engaged i n

acti viti es of manuf acturi ng/suppl yi ng of Di esel Generator Sets upt o

500 KVA rati ng. They shoul d be i n t his li ne f or t he l ast 10 years

wi t h adequate service f acility. If t he tenderer i s a suppli er then he

shoul d be an aut horized deal er of t he manuf act urer and he shall

produce the deal ershi p certificate i ssued by the manuf act urer.

2. 0 The Tenderer should have achi eved i n any one year an annual

fi nanci al turnover of Rs. 75 l akhs.

3. 0 The Tenderer should have sati sf actoril y executed si mil ar suppli es

val ued not less than Rs. 25 l akhs i n one contract.

4. 0 Foll owi ng documents shoul d be submi tted by t he Tenderer al ong

wi t h the Tender:-

a) Regi strati on Certificate of the Tenderer as stated at 1. 0.

b) Copi es of t he ori gi nal documents defi ning l egal stat us of the

Tenderer.

c) Documents to prove the turnover as stated at 2. 0 and 3. 0.

d) Deal ershi p certificate as stated at 1. 0.

III. DEFI NI TI ONS AND INTERPRETATI ONS.

1. 2 The Tenderer shall mean t he Fir m/ Organi sati on/

I ndustry/Co mpany, who parti ci pates and submi ts the Tender.

1. 3 The Suppli er shall mean t he Fi r m/ Organi sati on/ I ndustry/

Co mpany, whose Tender has been accepted by t he f or mer and

i ncl udes t he Suppli er‟ s Legal Representatives, Successors and

per mi tted assi gns.

1. 4 The Tender shall mean t he tender submi tted by t he Tenderer

for acceptance by the owner.

1. 5 The ENGI NEER I NCHARGE shall mean the person no mi nated

from ti me t o ti me by t he owner to act f or and on i ts behalf f or

i nspecti on, approval and acceptance of t he Di esel Gen. Set

subj ect to pri or written approval from t he owner.

1. 6 The SUB CONTRRACTOR shall mean any person or Fi r m or

Co mpany ( ot her t han t he suppli er) to who m any part of work

has been entrusted by the suppli er.

1. 7 The Purchase Order shall mean t he Order rel eased by t he

owner after havi ng accepted t he Tender, for suppl y of t he Gen.

Set at the Owner‟ s site at At hani.

1. 8 Specifi cati ons shall mean all di recti ons, vari ous Techni cal

Specifi cati ons, provisi ons and requi re ments i ndi cated i n t his

Tender Document. They will i ncl ude and conf or m t o t he

latest editi ons of the rel evant I ndi an Standard specifi cati ons.

1. 9 The ALTERATI ON/ORDER AMENDMENT means an Or der

gi ven i n writi ng by t he Owner to eff ect changes and

specifi cati ons, modificati ons, suppl y conditi ons, pay ment

ter ms, additi ons to or del eti ons from and al terati ons i n t he

ori gi nal order.

I V. GENERAL I NSTRUCTI ONS TO TENDERERS.

1. 0 SUBMI SSI ON OF TENDER

1. 1 Foll owi ng documents shall be downl oaded f rom t he website of

KAMCO and used by the tenderer f or submi tti ng the tender:-

a) One set of Tender Document i ncl udi ng t he site drawi ngs of

the ca mpus rel evant to t he Tender. Thi s will be marked

“ Ori gi nal”.

b) One co mpl ete set of the above marked as Tenderer‟ s copy.

Documents at ( a) are to be submi tted by t he Tenderer to t he

Owner. Document at ( b) may be retai ned by t he Tenderer for

f ut ure ref erence.

The tenderer shall not make any additi ons/ del eti ons/ alterati ons i n

the tender document .

be written on the bottom l eft hand corner of the seal ed cover.

1. 3 Tender on submi ssion as above, shall be t he property of t he owner

and it shall not be returned to the Tenderer on any account.

2. 0 DOCUMENTS

2. 1 The Tenders, as submi tted, shall consi st of the foll owi ng: -

a) Co mpl ete set of Tender Document marked “ Ori gi nal” dul y filled i n

and si gned by t he Tenderer as prescri bed i n different cl auses of

the tender documents.

b) Cost of Tender f or m and Earnest Money i n t he manner specified

i n Cl ause 3. 0

c) Power of Attorney or a true copy t hereof dul y attested by a

Gazetted Offi cer i n case an aut hori sed representati ve has signed

the tender.

2. 2 All si gnat ures i n t he tender document shall be dated as wel l as all

pages of all secti ons of t he Tender Docume nt shall be si gned at t he

lower ri ght hand corner i n t he tender papers by t he Tenderer or by a

2. 3 The Tenderer should quote i n Engli sh bot h i n fi gures as well as i n

words t he rates and a mounts tendered by hi m i n t he schedul e of

rates f or mi ng part of t he tender docume nt i n such a way t hat

i nterpol ati on i s not possi bl e. The a mount f or each ite m shoul d be

worked out and entered and requi site total gi ven of all ite ms bot h i n

figures and words. The tendered a mount of t he work shall be

entered i n the tender and dul y si gned by the tenderer.

If so me di screpancies are f ound bet ween t he rates gi ven in words

and fi gures of t he a mount shown i n t he tender, t he foll owi ng

procedure shall be foll owed:-

a) When t here i s a difference bet ween t he rates i n fi gures and

words, t he rates whi ch correspond t o t he a mount worked out

by the tenderer shall be taken as correct.

b) When t he rate quoted by t he tenderer i n fi gures and words

tallies but a mount i s i ncorrect, t he rate quoted by the

tenderer shall be taken as correct.

c) When i t i s not possi bl e to ascertai n t he correct rate as

prescri bed above, then the rate i n words shall be adopted.

3. 0 COST OF TENDER FORM & EARNEST MONEY

3. 2 Every tenderer must encl ose wi t h hi s tender, Earnest money

deposit ( EMD) by a crossed de mand draft on any nati onali zed bank

for a sum of Rs. 43, 750/- ( Rupees Forty Three Thousand Seven

Hundred and Fifty Onl y) i n f avour of M/s. Keral a Agro Machi nery

Corporati on Lt d., At hani, Ernakul a m- 683 585 payabl e at

Er nakul am/ Al uva or Bank Guarantee f ro m a Nati onali sed Bank (i n

the prescri bed f ormat of KAMCO) . Earnest money will not be

accepted i n any other f or m. The Earnest Money deposit of t he

second l owest tenderer will be ref unded after executi on of t he

agree ment bet ween the successf ul tenderer and t he owner or at t he

expi ry of t he vali dity peri od, whi chever i s earlier. The EMD of t he

ot her unsuccessf ul tenderers will be ret urned t o t he m on

acceptance of purchase order by t he successf ul tenderer. The

Earnest Money will not carry any i nterest. Tenders sub mi tted

wi t hout EMD i n af oresai d f or m will be summaril y rej ected.

Note: The Bank Guarantee so f urni shed by t he tenderer shal l be i n

the prof or ma prescribed by t he owner and shall be vali d f or a peri od

of si x ( 6) mont hs fro m t he date of openi ng of tender. No i nterest

shall be pai d by the owner on the Earnest Money.

The Earnest Money deposited by successf ul Tenderer shall be

forfeited if t he tenderer f ail s to accept the order and execut e t he

same as per the order and tender conditions.

Successf ul Tenderer‟ s Earnest Money Deposit will be retai ned

Security Deposit.

4. 0 VALI DI TY

4. 1 Tender submi tted by tenderers shall re mai n vali d f or acceptance f or

a peri od of f our ( 4) mont hs f rom t he date of openi ng of t he tender.

Tenderers shall not be entitled duri ng t he sai d peri od of f our ( 4)

mont hs wi t hout t he consent i n writi ng of t he owner, to revoke or

cancel hi s tender or to vary t he tender given or any ter m t hereof. I n

case of tenderer revoki ng or canceli ng hi s tender or varyi ng any

ter m i n regard t hereof wi thout t he consent of owner i n wri ting, t he

Earnest Money deposited shall be f orfeited.

5. 0 ACCEPTANCE OR REJECTI ON OF TENDER

The owner reserves t he ri ght to accept, rej ect or negotiate any

Tender wi t hout assigni ng any reason. The owner does not bi nd

itself to accept t he lowest tender and reserves to itself t he aut hority

to rej ect all or any of the tenders recei ved.

6. 0 TI ME SCHEDULE

The ti me all owed f or deli very of t he equipment i s 60 days f ro m t he

date of i ssue of conf ir med order by t he owner. Request f or revi si on

of thi s ti me el e ment after tenders are opened will not be considered.

V. GENERAL CONDI TIONS OF CONTRACT

1. 1 A) Earnest Money Deposit of t he tenderer, whose Tender has been

accepted by t he owner and on who m Purchase Order has been

rel eased, will be retai ned by t he owner towards security deposit and

the sa me shall be rel eased on recei pt of t he Di esel Gen. Set i n

acceptabl e conditi on at t he owner‟ s site and co mmi ssi oni ng of t he

Di esel Generator Set.

B) The generator shall be suppli ed al ong wi t h manuf act urer‟ s test

certificate. The erection of t he DG Set i s co mi ng under t he scope of

the el ectri cal contractor of KAMCO f or H.T & L. T El ectri cal works f or

the proposed Tractor Unit.

C) The testi ng and co mmi ssi oni ng of t he DG Set at site has t o be

joi ntl y done by t he suppli er of DG Set and t he el ectri cal contractor

of KAMCO f or H. T & L. T El ectri cal works f or t he proposed Tractor

Uni t. No extra charges shall be payable on account of t his t o t he

suppli er.

1. 2 PENALTY FOR DELAY

I n case t he suppli er fails to deli ver t he equi pment co mpl etely wi t hi n

the sti pul ated peri od, penalty @ 0. 5% per week will be charged on

the suppli er subj ect t o a maxi mum of 5% val ue of t he Order. Part

suppl y of equi pment will not be a reason f or wai vi ng of t he penal ty

for del ay i n co mpl eti on of t he supplies. Managi ng Di rector of

KAMCO reserves the ri ght to enf orce/ alter/ wai ve penalty f or del ay.

1. 3 LI QUI DATED DAMAGES FOR DELAY

I n case t he supplier f ail s to co mpl ete t he suppli es wi thi n t he

sti pul ated peri od, he shall be li abl e to pay li qui dated da mages of

penalty f or del ay as ref erred above. The owner and t he suppli er

and t he sai d a mount will be payabl e on de mand wi t hout t here bei ng

any proof of t he act ual l oss or da mages caused by such del ay.

Managi ng Di rector of KAMCO reserves the ri ght to enf orce/ al ter/

wai ve li qui dated damages f or del ay.

1. 4 FORFEI TURE OF SECURI TY DEPOSI T.

The Earnest Money Deposit whi ch i s treated as Security Deposit

l ater will be f orf eited to t he owner by t he suppli er i ncase t he

suppli er f ail s to deliver t he equi pment in ti me and co mpl ying wi t h

all conditi ons of thi s Tender Document.

1. 5 FORCE MAJEURE

Any del ay or f ail ure on t he part of t he suppli er to co mpl etely deli ver

the equi pment shall not constitute def aul t hereunder or gi ve ri se to

any cl ai ms f or da mages, if any, if t he same i s caused by occurrences

such as Acts of God or publi c ene my expropri ati on or confi scati on of

facilities by Governme nt Aut horities, co mpli ance wi t h any order or

request of any Government aut horities, acts of war, rebel li on or

sabotage or fires, fl oods, expl osi ons, ri ots or stri kes. The existence

of conditi ons of f orce maj eure preventi ng t he deli veri es shoul d be

i nf or med t o t he owner wi t hi n 7 days of its occurrence and t he owner

wi ll co mmuni cate with t he suppli er as to whet her t hey accept t he

conditi ons of f orce maj eure. The owner‟ s deci si on i n t hi s case will

be fi nal and bi ndi ng on the suppli er.

1. 6 EXTENSI ON OF TI ME

Nor mall y a request for extensi on of ti me will not be entertai ned by

the owner unl ess it is convi nci ngl y proved to t he sati sf acti on of t he

owner t hat extensi on i s warranted. I n such case t he suppl ier shal l

submi t i n writi ng the extensi on needed wi t h j ustifi cati ons. No

extensi on of ti me can be t aken f or granted unl ess specifi cally agreed

by the owner i n writing.

1. 7 RI GHT OF OWNER TO POSTPONE/TERMI NATE ORDER

If due to ci rcumst ances beyond control, it beco mes necessary to

postpone t he suppl y or ter mi nate t he order, t he owner shall have

the aut hority to do so by gi vi ng noti ce i n writi ng to t he suppl ier and

i n doi ng so, if t he suppli er as per t he order had al ready st arted

manuf act uri ng of t he ite ms or obtai ned mat eri al s from t hei r sources

but not deli vered at the owner‟ s site, owner shall consi der and admi t

such cl ai ms as dee med f ai r and reasonabl e if supported by

necessary documents.

VI. PAYMENT

a) No advance will be payabl e to t he suppli er by t he owner

towards cost of the equi pment to be deli vered.

b) 95% val ue of t he equi pment will be paid by t he owner wi t hi n

30 days of deli very of equi pment subj ect to t he sati sf acti on of

the owner f or t he quality of t he equi pment and on recei pt of

all proper documents.

c) Bal ance 5% will be retai ned by t he owner duri ng t he peri od of

warranty and will be rel eased after t he expi ry of t he warranty

peri od i n case t he warranty conditi ons have been sati sf actorily

co mpli ed with by the equi pment and suppli er.

d) Al ternati vel y 5% a mount ref erred at ( b) above will be rel eased

to t he suppli er after sati sf actory commi ssi oni ng of t he

equi pment provi ded t he suppli er submi ts a Bank Guarantee

from a Nati onali sed Bank f or val ue equal to t he 5% a mount

and vali d upto t he expi ry of t he warranty peri od. No i nt erest

shall be payabl e by the owner either f or the a mount or f or t he

Bank Guarantee.

VII. PERI OD OF WARRANTY

Peri od of warranty wi ll be mi ni mum 12 mont hs from t he date

of co mmi ssi oni ng. Duri ng t hi s peri od the suppli er shall be

bound t o attend to any def ect reported by t he owner, i n time

and f ree of cost. Repl ace ment of material s needed duri ng t his

peri od shall al so be made f ree of cost by t he suppli er. I n t he

case t he suppli er does not attend to such work wi t hi n a

reasonabl e ti me of givi ng noti ce, to be assessed by t he owner,

the peri od of warranty shall be extended by t he number of

days f or whi ch del ay has occurred from the suppli er to attend

the work. The warranty i s agai nst all desi gn, materi al and

manuf act uri ng def ect.

VIII. TAXES, DUTI ES ETC.

1. 0 Taxes and duti es as per Government rul es i n f orce f or t he

val ue of suppli es shall be menti oned i n the tender separately

and t hey shall be excl usi vel y and separatel y cl ai med i n t he

i nvoi ce with necessary supporti ng docume nts.

I X. SUPPLY CONDI TI ONS

a) The pri ce of t he equi pment shall be quoted on FOR

desti nati on basi s. Deli very i s to be made at our Tractor

Proj ect site at At hani, Ernakul am Di stri ct.

b) Taxes, duti es and any ot her Govt. l evy payabl e shall be

separatel y i ndi cated.

c) Transit i nsurance, packi ng & f or wardi ng charges,

Frei ght charges and l oadi ng charges at t he suppli er‟ s

end and unl oadi ng charges at our Proj ect site shall be

met by the suppli er.

d) Any l abour di sputes on or off site pertai ni ng t o t he

suppl y of t he DG Set shall be resol ved by t he suppli er

and t he sa me cannot be t aken as an excuse f or t he

del ay i n the perf or mance of the contract.

X. COURT JURI SDI CTION I N CASE OF DI SPUTE.

1. 0 All di sputes or differences of any ki nd whatsoever whi ch may at any

ti me ari se bet ween the parti es hereto concerni ng t he works or t he

executi on or t he mai ntenance t hereof or to t he ri ghts or li abilities of

the parti es ari si ng out of or i n rel ati on t o whet her duri ng or after

co mpl eti on of t he contract shall be by written noti ce by eit her party

to the ot her.

2. 0 The contract shall be governed by and construed accordi ng t o t he

laws i n f orce i n Indi a. All di sputes whi ch cannot be settl ed

mut uall y shall be submi tted to t he j uri sdi cti on of courts situated at

Er nakul am di stri ct for t he purpose of action and proceedi ngs ari si ng

out of t he contract and t he courts at Ernakul am di stri ct alone will

have t he j uri sdi ction t o hear and deci de such acti ons and

proceedi ngs.

The tenderer should note t hat t he specifi cati ons f urni shed i n t he tender i s of general nat ure onl y and i t i s t he responsi bility of t he tenderer to suppl y, and

co mmi ssi on t he equi pment and servi ces requi red f or t he sati sf actory perf or mance of t he install ati on. All t he i te ms of equi pment requi red f or t he saf e

and sati sf actory operati on of t he i nstallati on shall be suppl ied and i nstall ed by the tenderer.

The i ntent of t his specifi cati on i s t o defi ne t he requi re ments f or t he manuf act ure, shop testi ng, suppl y, testi ng and co mmi ssi oni ng at site of t he syste m. The tenderer shall f urni sh co mpl ete detail s of t he equi pment wi t h all

necessary drawi ngs.

The scope of t hese specifi cati ons covers t he manuf acturi ng, shop testi ng, suppl y, testi ng and co mmi ssi oni ng at site of 415 volts, 3ph, 4 wi re di esel alternator set( Continuous duty) of rating 320kVA. The synchronous speed of
