DraftKings is a daily fantasy sports contest provider for five major American sports (MLB, the NHL, the NFL, the NBA and the PGA), Premier League and UEFA Champions League soccer, NASCAR auto racing, Canadian Football League, Mixed Martial Arts (MMA), as well as American college football and college basketball.

The Company has been gaining market share from its key competitor, FanDuel, since it was established in 2012.

Adobe’s Acquisition of TubeMogul

TubeMogul is a programmatic software platform that leverages real-time bidding technology to enable brands and agencies to plan, buy, measure and optimize their global advertising.

The Company, which was founded in 2006, went public on the NASDAQ in 2014. Leading up to the acquisition, its shares had been struggling. Down from their $22 peak in December 2014, they were trading at less than $8 the week of the acquisition.

The acquisition of TubeMogul strengthens Adobe’s leadership in digital marketing and ad-tech. The investment will enable Adobe’s customers to maximize their video advertising investments across desktop, mobile, streaming devices and TV.Ent. Value: $492m

Gracenote supplies reference information for more than 12 million movies and TV episodes, as well as, 200 million music tracks, to customers including Apple, Comcast, DirecTV, Sony, Amazon, Ford, Toyota, BMW and Tesla.

The ten most active strategic IDM buyers over the past several years have completed a combined 38 acquisitions in 2016.

Yahoo, alone among the group, has not completed an acquisition in 2016, attributable to the pending $4.8b Verizon acquisition.

Google continues to lead the pack with 14 acquisitions in 2016, including the purchase of FameBit, a provider of online services for influencer marketing.

4Q 2016 saw a slight reduction in activity over the prior quarter with strategic M&A activity decreasing from 141 in 3Q 2016 to 136 in 4Q 2016.

4Q 2016 activity represents a 3.5% decrease from 3Q 2016, activity is also significantly down (17.1%) from the same period last year.

For the year the total of 589 deals is a decrease of 26.3% over 2015 levels.

Buyers across each vertical have continued to gravitate toward assets that enhance existing offerings / infrastructure by providing richer data sets, stronger analytics, broader reach, and a more expansive solutions portfolio.

Vista Equity Partners has continued to be a prolific and active private equity acquirer of new IDM platforms, with three additional IDM acquisitions in 4Q 2016 to total 11 for the year.

Collectively, the 10 most active private equity acquirers of IDM assets executed 35 platform acquisitions in 2016 a 14.6% reduction over 2015 levels.

Of note in 4Q 2016, Vista Equity Partners completed their acquisition of Cvent for $1.6b. Cvent is a leading provider of online event planning service through its platform and mobile offerings.

Private equity investment in new IDM in 4Q 2016 has continued to increase, registering 14 platform transactions. However, activity is down 41.2% and 17.6% over the same periods in 2015 and 2014, respectively.

Deal volume is likely depressed as investors wait to see the outcome of the first 100 days of the Trump administration, and macroeconomic uncertainty surrounding Britain’s exit from the European Union. However, PE and VC activity are expected to pick-up through 2017.

Strategic acquirers continue to lead the market, comprising all but one of the AdTech and Marketing Solutions deals for the quarter.

Despite the increase in deal volume, median transaction multiples have decreased for the first time since 1Q 2016.

AdTech & Marketing Solutions valuations have continued to remain very conservative, with some larger transactions commanding higher multiplesindicating investors are willing to pay a premium for prime assets.

One notable recent transaction is Applovin’spending acquisition by Orient Hontai Capital for $1.4b.

Wal-Mart’s acquisition of Jet.com and Jet’s subsequent acquisition of Shoebuyhighlight the strong focus the retailer has on improving its eCommerce offerings.

There was also a notable uptick in travel eCommerceactivity, with three deals in 4Q 2016, including, the headlining acquisition of SkyScanner by Chinese travel giant, Ctrip.com, for a 16.1x revenue multiple.
