Background
1.1 Introduction ThisRequestforQualifications(RFQ),isthefirststepinatwo‐stepselectionprocess,andisintendedtoobtainstatementsofqualificationsfromRespondentsinterestedinbeingconsideredforinclusiononapre‐qualifiedshort‐listofnofewerthanthreeresponsiveandresponsibleProjectTeams(the“AdvancingFirms”).UponcompletingthisStep1‐EvaluationofQualifications,theAdvancingFirmswouldbeinvitedinStep2–EvaluationofProposalstosubmitProposalsforthedesign,construction,financing,operationandmaintenance(includingrenewalandreplacement)servicesrequiredbytheMiami‐DadeWaterandSewerDepartment(WASD)fortheSouthMiamiHeightsWaterTreatmentPlantProgram(Project).SuchProposalswouldbeinresponsetoaRequestforProposals(RFP)beingpreparedbytheCountywithassistancefromCDMSmithInc.astheDesignCriteriaProfessional.OnlytheAdvancingFirmswillbeeligibletosubmitProposals.AtentativescheduleofcriticaleventsisincludedinTable1‐1belowandsubjecttochangeatanytimeatthesolediscretionoftheCounty.

TheCountyhasdeterminedthattheprojectisaQualifyingProjectasthattermisdefinedunderSection287.05712oftheFloridaStatutes,and,initssolediscretionandsubjecttotheprocessesforcompetition,selection,evaluationandnegotiationsetforthinthelawandinthesedocuments,planstoenterintoacomprehensiveagreementforthedesign,permitting,financing,construction,operationandmaintenanceoftheProjectinaccordancewiththatSection.PleasenotethatthissolicitationhasbeenissuedthroughtheCounty’sBidSyncElectronicBiddingSystem,requiringSubmittalselectronically.(PotentialRespondentshouldberegisteredwithBidSync.)

1.3 Defined Terms ThefollowingcapitalizedwordsandtermsusedinthisRFQhavethefollowingmeanings:
“A/E”meansarchitecturalandengineeringfirmcertifiedasavendorcapableoftransactingbusinessinMiamiDadeCountyandhavingavalidMiamiDadePre‐QualificationCertification.
“Affiliate”meansanyperson,corporationorotherentitydirectlyorindirectlycontrollingorcontrolledbyanotherperson,corporationorotherentityorunderdirectorindirectcommoncontrolwithsuchperson,corporationorotherentity.
“AdvancingFirms”meanstheshort‐listofProjectTeamsselectedbytheCompetitiveSelectionCommitteetoadvancetoStep2basedupontheevaluationoftheSubmittalspursuanttothisStep1RequestforQualifications.(“AdvancingFirm”meansanindividualProjectTeamincludedamongtheAdvancingFirms.)
“Company”meansthelegalentitythatwouldbeauthorizedandcontractuallyresponsibleforperformingtheScopeofServicesfortheProjectandwouldenterintotheServiceContractwiththeCounty.
“ComparativeEvaluationCriteria”meansthecriteriasetforthinthisRFQthatwillbeutilizedbytheCompetitiveSelectionCommitteetoevaluateandranktheSubmittals.
“CompetitiveSelectionCommittee”or“CSC”asdefinedinSection2‐10.4(5)oftheMiami‐DadeCountyCode,meansthecommitteeappointedbytheCountyMayororCountyMayor’sdesigneetoevaluatequalificationsandperformanceofthefirmsrequestingconsiderationforthespecificprojectandselectthemostqualifiedfirm(s)toperformtheservices.
“County”or“Owner”meansMiami‐DadeCounty,apoliticalsubdivisionoftheStateofFlorida.
“CountyTechnicalAdvisor”meansthefirm,CDMSmithInc.,thatisprovidingengineeringandrelatedprofessionalservicestosupporttheCountyintheprocurementprocessandistheDesignCriteriaProfessionalfortheProject.
“County’sA/ECoordinator”meansthepersondesignatedbytheCountyastheprimarycontactforthissolicitation.
“Days”or“days”meancalendardays,unlessotherwiseexpresslystated.
“DesignCriteriaProfessional”meansanindividualorfirmwhoholdsacurrentcertificateofregistrationunderChapter481ofFloridaStatutestopracticearchitectureorlandscapearchitectureorafirmwhoholdsacurrentcertificateasaregisteredengineerunderChapter471ofFloridaStatutestopracticeengineeringandwhoisemployedbyorundercontractwiththeCountyfortheprovisionofprofessionalarchitectureservicesorengineeringservicesinconnectionwiththepreparationofthedesigncriteriapackage.
“Design‐Builder”meansafirmthatwouldberesponsibleforperformanceofbothdesignandconstructionofalloraportionoftheProject.
“Director”meanstheDirectoroftheMiami‐DadeWater&SewerDepartment.
“Guarantor”meanstheentitythatwouldprovideanunconditionalguaranteeoftheCompany’sperformanceoftheServiceContract.
“GeneralManager”meanstheindividualemployeeoftheCompanyresponsibletotheCountyfortheCompany’sperformanceofitsobligationsundertheServiceContract.

“InternalServicesDepartment”meanstheCountyDepartmentwhichcombinestheformerAmericanwithDisabilityActCoordination,OfficeofCapitalImprovements,GeneralServicesAdministration,HumanResources,andProcurementManagementDepartments.
“KeyPersonnel”meanstheindividualsincludedintheSubmittalwhowillmanageorperformsignificantportionsoftheServicesfortheContractorandshouldincludetheGeneralManagerandindividualsinresponsiblechargeofdesign(DesignManager),hydrogeologicstudies,welldesignandconstruction(Hydrogeologist),financing(FinanceArranger),construction(ConstructionManager),operationandmaintenance(O&MManager),qualitymanagement(QA/QCManager),permitsandapprovals(PermittingManager)andotherindividualsandpositionsthatmaybesetforthintheSubmittaltosupplementorotherwiseaddressspecificareasofresponsibility.
“LeadConstructor”meansafirmthatwouldbethegeneralcontractorfortheperformanceofconstructionworkforalloraportionoftheProject.(TheLeadConstructormayalsobedesignatedastheDesign‐Builder.)
“LeadDesigner”meansafirmthatwouldbetheEngineerofRecorddulyregisteredunderChapter481oftheFloridaStatuteswithresponsibilityforpreparationofthedetailedplansandspecificationsfortheconstructionofalloraportionoftheProject.(TheLeadDesignermayalsobedesignatedastheDesign‐Builder.)
“LeadOperator”meansafirmthatwouldberesponsibleforoperationandmaintenanceofalloraportionoftheProject.
“MDWASD”meanstheMiami‐DadeWater&SewerDepartment.
“Owner”meansMiami‐DadeCounty,apoliticalsubdivisionoftheStateofFlorida.
“Project”meanstheSouthMiamiHeightsWaterTreatmentPlantProgramdescribedinthisRFQ.
“ProjectTeam”means,collectively,allofthefirmssetforthintheSubmittal(includingsubconsultants,subcontractors,theRespondent,theCompany,andmembers,partners,andAffiliates)andKeyPersonnel.
“ProjectTeamMember”meansafirmincludedintheProjectTeam.
“Proposal”meansaproposalsubmittedinresponsetotheRequestforProposalsissuedbytheCountyintheStep2ofthisprocurementprocess.
“Proposer”meansanAdvancingFirmthatsubmitsaproposalinresponsetotheStep2RequestForProposals.
“Respondent”meanstheparty(orparties)submittingtheSubmittal,executingthecoverletterandForm[_____],asalegalpersonorpersonscapableoftransactingbusinessinMiamiDadeCounty.
“Responsible”meansaRespondent,CompanyorotherProjectTeamMemberwhotheCountyaffirmativelydetermines:hastheability,capacityandskilltoperformunderthetermsoftheServiceContract;doesnothaveanunsatisfactoryrecordofpastperformanceinCountycontracting;includingabidingbyapplicableordinances,resolutions,andotherpoliciesoftheCounty;andhasasatisfactoryrecordofintegrityandbusinessethics.
“Responsive”meansaRespondentwhointheCounty’ssolediscretionhascompliedwithallofthematerialrequirementsoutlinedinthissolicitation,asapplicable.
“RFP”meanstheRequestforProposalsandaddendaissuedbytheCountyinStep2toobtainproposalsfortheProjectfromtheAdvancingFirms.

“ScopeofServices”meanstheworkandservicestobeprovidedbytheCompanyinthedesign,permitting,financing,construction,andoperationandmaintenanceoftheProjectundertheServiceContract.
“ServiceContract”meansthecontractbetweentheCountyandtheCompanysettingforththeobligationsofthepartieswithrespecttothedesign,permitting,financing,construction,operationandmaintenanceoftheProject,whichcontractmaybecomprisedofoneormorelegaldocumentscapturingthewholeorpartsoftheProjectasappropriate.
“Submittal”meansthedocumentationdeliveredbyaRespondentinresponsetothisStep1RequestforQualifications.”
“SubmittalDeadline”or“SubmissionDeadline”meansthedeadlinefordeliveryoftheSubmittaltotheCounty.

General Requirements and Instructions
2.1 Effect of Submittal SubmittingaproposalinresponsetothisRFQshallconstitutetheirrevocablecommitmentoftheRespondent,ifselectedtodosopursuanttotheprocessdescribedinthisRFQ,toundertakethegood‐faithnegotiationofaServiceAgreementwiththeCountyfortheworkrequiredtocompletetheProjectwiththeTeamandpersonnelidentifiedintheSubmittal.TheRespondentmustcompleteForm[_______],attachedheretoidentifyingtheRespondent.TheRespondentshallbealegalperson,capableofenteringintolegallyenforceablecontractualcommitments,andotherwiseauthorizedtodobusinessintheStateofFlorida.TheRespondentshallbeexpresslyauthorizedtomaketherepresentationsmadetotheCountyintheSubmittal,includingbutnotlimitedtotherepresentationthattheCompany,theTeamandpersonsidentifiedintheSubmittalare,oruponformationwillbe,ready,willingandabletoperformtheworkrequiredtocompletetheProject.TheRespondentmaybe,butshallnotberequiredtobe,theCompanyidentifiedintheSubmittal.
FailuretoprovidetheinformationrequiredbyMiami‐DadeCountymayresultinthenegativeevaluationoftheProjectTeamoratMiami‐DadeCounty’ssolediscretion,disqualificationoftheProjectTeam.
TheCountyMayormayimposethelossofeligibilitytoparticipateinCountycontractsforaspecifiedperiodoftime,nottoexceedfiveyearsforanapplicant,itsindividualofficers,itsshareholderswithsignificantinterests,anditsaffiliatedbusinessesforviolationsofornon‐compliancewithAdministrativeOrder3‐39,includingthefalsificationofinformationprovidedintheSubmittal,proposaland/orotherdocumentssubmittedbytheRespondentinsupportofitsoffer.
2.2 Status of Team Firms ExceptfortheRespondent,whoshallbegovernedbytheprovisionsofSection2.1aboveandmustbeapersoninlegalexistenceatthetimeofSubmittal,unlessotherwisespecificallyprovidedinthisRFQortheServiceAgreement,personsandentitiesidentifiedintheSubmittalmustbeinexistence,anddulyauthorizedandlicensedtoperformtherequiredservices,notlaterthanthetimetheMayororMayor’sdesigneerecommendsanawardofaServiceContract.InapplyingtheselectioncriteriasetforthinthisRFQ,theCompetitiveSelectionCommitteeshallbeauthorizedtoinquirefromproposerswithrespecttotheexistence,legalstatus,contractualcommitmenttotheProject,licensingandqualificationsofanyoftheproposedmembersorpersonnelofaTeam,andtoconsiderasanegativefactorintheevaluationofaRespondenttheRespondent’sinabilitytodemonstrateexistence,contractualcommitmenttotheProject,activestatus,licensingorqualificationsofanyofthefirmsorpersonnelproposedaspartofaTeamatthetimeofsubmittal.Asubmittalidentifyingfirmsnotinexistence,notcontractuallycommittedtotheProject,orwhichdonothavetherequisitestatus,licensing,orqualifications,maybeconsideredtopresentagreaterrisktotheCountyandscoredaccordingly.

2.3 Organizational Conflicts of Interest and Advance Restrictions 2.3.1 Policy TheCOUNTY,throughMDWASD,adoptstheprovisionsofthisSectiontogovernpotential
conflictsofinterest.ItisthepolicyoftheCOUNTY,implementedthroughthisSection,toidentify,analyzeandaddressorganizationalconflictsofinterestthatmightotherwiseexistinordertomaintainthepublic’strustintheintegrityandfairnessoftheCOUNTY’ScontractingfortheProjectandtoprotectthebusinessinterestsoftheCOUNTYtherebysafeguardingpublicdollars.Thispolicyshallbesupplementaltoandnotinderogationoftherequirementsoflawrelatingtoconflictsofinterestincluding,butnotlimitedto,theCounty’sCodeofEthics.
Anorganizationalconflictofinterestisasituationinwhichaperson:(a)undertheContract,oranypartthereof,includingaparticularworkorderordefinedtask,isrequiredtoexercisejudgmenttoassisttheCOUNTYinamatter(suchasindraftingspecificationsorassessinganotherconsultant’sorcontractor’sproposalorperformance)andthepersonhasadirectorindirectfinancialorotherinterestatstakeinthematter,sothatareasonablepersonmighthaveconcernthatwhenperformingWorkundertheServiceContract,thepersonmaybeimproperlyinfluencedbyitsowninterestsratherthanthebestinterestoftheCOUNTY,or(b)wouldhaveanunfaircompetitiveadvantageinaCOUNTYcompetitivesolicitationasaresultofhavingperformedworkonaCOUNTYcontractthatputthepersoninapositiontoinfluencetheresultofthesolicitation.
Anyperson’s:(a)executionofthecomprehensiveagreementsolicitedunderthisprocess,ortheagreementtoperformanyportionoftheworkthereunderor(b)makinganyclaimforpaymentthereunder,constitutessuchperson’scertificationtotheCOUNTYthatthepersondoesnothaveknowledgeofanyorganizationalconflictsofinteresttoexistinperformingtheworkundertheServiceContract.FalsecertificationsmaybeconsideredamaterialbreachoftheServiceContractandthepersonmaybeliabletotheCOUNTYforafalseclaimundertheCOUNTY’Sfalseclaimordinance.AtanytimeinanticipationofawardingtheServiceContract,orduringtheperformanceoftheServiceContract,theCOUNTYmayrequirethepersontoexecuteanexpresswrittencertificationthatafterdiligentinquirythepersondoesnothaveknowledgeofanyorganizationalconflictofinterest.TheCOUNTYmayalsorequirethepersontosetforthinwritingthescopeoftheinquiryconductedtomaketheexpresscertification.Failuretomakediligentinquiry,todiscloseaknownconflictorpotentialconflict,ortoexecutethedocumentsrequiredtobeproducedmaybeconsidered,ifpre‐award,areasonfordisqualificationoftheproposal,andfollowingaward,amaterialbreachoftheServiceContract.
Identificationoforganizationalconflictofinterest.ThepersonshallbeobligatedtodisclosetotheCOUNTYanyorganizationalconflictofinterest,orthepotentialforthesametooccur,immediatelyuponitsdiscovery.Thedisclosureshallbeinwriting,addressedtotheContractManageridentifiedintheServiceContractspecifications.ThedisclosureshallidentifytheorganizationalconflictofinterestwithsufficientdetailfortheCOUNTY’sanalysisandshallproposeamethodtoaddressthesame.SuchdisclosureshallalsobereportedtotheOfficeoftheInspectorGeneral(OIG)ortotheCommissiononEthicsandPublicTrust(COE).Theperson’sfailuretoidentifyanorganizationalconflictofinterest,ortodisclosethesametotheCOUNTYinthemannersetforthinthisSection,maybeconsideredamaterialbreachoftheServiceContract.Eachsolicitationshallalsorequirerespondentstoaddressthemethodologyproposedtoidentifyandaddressanypotentialorganizationalconflictofinterest,particularlyin

thoseinstanceswherethepersonofferstousethesamesubcontractorsorsubconsultantswhichfirmsareengagedinothercontractsrelatedtotheProjectwheresuchuseisnotspecificallyprohibitedbytheadvancerestrictionssetforthbelow.Thepotentialfororganizationalconflictsofinterest,andthemethodologyofferedtopreventorganizationalconflictsofinterest,maybeevaluatedbytheCOUNTYasacriterionforselectionassetforthintheapplicablecompetitivesolicitationdocuments.

Measurestoaddressorganizationalconflictsofinterest:Themeasure,orcombinationofmeasures,whichmaybeappropriatetoaddressanorganizationalconflictofinterest,ifany,shallbedecidedbytheDirectorandinclude,butarenotlimitedto:(a)avoidanceofriskthroughreductionofsubjectivityintheanalysisorbydefiningworktasksanddeliverableswithspecificity,(b)requiringthepersonoritssubcontractorsorsubconsultantstoimplementstructuralbarriers(firewalls)andinternalcorporatecontrols,(c)limitingthesubcontractor,subconsultantorpersonneltobeinvolvedinaworkassignment,(d)employingspecifichourlylimitsondefinedtasks,(e)limitingorprohibitingcertainpassthroughfeesandmarkups,(f)executingamitigationplanwhichwilldefinespecificdutiestomitigateorganizationalconflictsofinterest,(g)requiringpersonswhoareconflictfreetoperformidentifiedareasofwork,(h)requiringthepersontoadopt,disseminateandinstructstaffonconflictofinterestidentificationandremediationproceduresand(i)relyingonmorethanonesourceoronobjectiveorverifiabledataorinformation.
Documentationandevaluation:TheDirectorwillsetforthintheServiceContractfileawrittenexplanationofthemethodologyusedtoaddressanidentifiedorganizationalconflictofinterest.TheCOUNTYshallperiodicallyevaluatetheeffectivenessofthemethodologyintheprotectionoftheProject.Upontherenderingofadecisionregardingtheresolutionofareportedconflictofinterest,acopyofsuchfindingshallbeforwardedtotheOIGorCOE.
Organizationalconflictsofinterestwhicharenotremedied:IfinthesolediscretionoftheCOUNTYthereisnomeasureorcombinationofmeasureswhichprotecttheCOUNTYagainsttheorganizationalconflictofinterest,andthenthepersonmaynotperformthesubjectwork.TheCOUNTYmayinitsdiscretion,ifpre‐award,decidenottoawardtheServiceContracttotheaffectedperson,andfollowingaward,terminatetheServiceContract,orportionoftheServiceContract,whichthepersonhasmateriallybreachedbecauseofsuchinabilitytoperform.

Evaluation of Submittals
4.1 Overall Process TheSubmittalswillbereviewedandevaluatedbytheCompetitiveSelectionCommittee(CSC)appointedbytheCountyMayororCountyMayor’sdesigneewithassistanceprovidedbytheDesignCriteriaProfessionalandotheroutsideconsultantsandadvisorsutilizingtherequirementsandcriteriaoutlinedinthisSection4andinothersectionsofthisRFQ.TheCSCappointedbytheCountyMayororCountyMayor’sdesigneewillbecomprisedofappropriateCountypersonnelfrommultipledepartmentsandmembersofthecommunity,asdeemednecessary.CSCmemberswillbeappointedbasedonappropriateexperienceand/orknowledge,strivingtoensurethattheCommitteeisbalancedwithregardtobothethnicityandgender.TheCSCistaskedwithevaluatingRespondentqualificationsanddeterminingashortlistofaminimumofthreeofthehighestqualifiedRespondentstoproceedtotheStep2.

TheCSCmay,atitsdiscretion,waiveanyfailureofaSubmittaltosatisfytherequirementsofthisRFQifitdeterminesthatsuchwaiverisinthebestinterestoftheCountyormayrequestclarificationoradditionalinformationfromaRespondenttocureanysuchfailure.

Description of the Project
TheMiami‐DadeWaterandSewerDepartment(MDWASD)isthelargestwaterandsewerutilityinthesoutheasternUnitedStates,servingnearly2.3millionresidents,employingnearly2,500workers,andprovidingdirectservicetomorethan440,000customerswithannualoperatingrevenuesofmorethan$528million.MDWASDprovideswaterandwastewaterservicetotheunincorporatedareasofMiami‐DadeCounty,wholesalewaterserviceto14municipalities,andwholesalewastewaterserviceto11municipalities.TheSouthMiamiHeightsWaterTreatmentPlant(SMHWTP)seekstoimprovereliabilityinwaterserviceandqualitybyallowingforthedecommissioningofsatelliteplantswithover40yearsofservice.ConstructionoftheplantwillbenefittheconsumersinthesouthMiami‐Dadeareaandwillbolsterwatertreatmentproductioncapacity.Theplantislocatedat11800SW208StreetinCountyCommissionDistrict9.
In2006,anInterimConsumptiveUseAuthorizationandAgreementwasreachedbetweenMDWASDandtheSouthFloridaWaterManagementDistrict(SFWMD).AspartofthisAgreement,MDWASDagreedtoincorporatetheuseoftheUpperFloridanAquifer(UFA)rawwaterintoMiami‐DadeCounty’swatersupplyportfolio.OnJuly16,2012,SFWMDissuedamodificationtoMDWASD’sWaterUsePermit(WUP),whichlimitstherawwaterwithdrawalratefromtheBiscayneAquifer(BA)to3milliongallonsperday(mgd),withthebalanceoftherawwaterbeingwithdrawnfromtheUFA.

ElectricalPower: TheCountywillpaytheelectricutilitydirectlyforelectrical

federal,state,Countyandmunicipallaws,ordinances,ordinances,procedures,etc.)applicabletotheProjectandtheServices.Additionally,Section2‐1076oftheCodeofMiami‐DadeCounty,whichpertainstotheOfficeoftheInspectorGeneral,shallapplytothisServiceContract.
Indemnification: CompanyshallindemnifyCountyandrelatedentitiesand

A/EFirms.Allproperlylicensedfirmsand/orindividualsincludedontheProjectTeamforprovidingengineering,architectural,landscapearchitectural,landsurveyingandmappingservices,regardlessoftheirindividualassignmentsinconnectionwiththisProject,andrespondingtothissolicitationmusthavefiledwithISDapre‐qualificationpackageandhaveapprovedpre‐qualificationstatusfromISD,inaccordancewithChapter2,Section2‐10.4andAdministrativeOrder3‐39ofMiami‐DadeCounty,priortotheSubmittalDeadline.Firmsand/orindividualsarerequiredtomaintainactivepre‐qualificationstatusatthetimeoftheStep1SubmissionDeadline,solicitationevaluationandselectionprocess,and,ifselectedattimeofaward,andthroughoutthedurationoftheServiceContract.
InterestedA/Efirmsand/orindividualsmustsecuretherequiredpre‐qualificationcertificationwhichincludes,butmaynotbelimitedtotechnicalcertifications,affirmativeactionplanverification,vendorregistrationandexecutionofthebasicMiami‐DadeCountyaffidavits,asapplicable,priortotheStep1SubmissionDeadline.TheA/Epre‐qualificationrequirementisalsoapplicabletoanyfirmthatmaybelaterselectedtoperformworkasasubstituteforapreviouslyselectedfirm,ortoperformadditionalworkonthisProject.
JointVenturefirmsmaybepre‐qualifiedinthesamemannerasotherfirms.Inthealternative,ifaJointVenturefirmoptstosatisfythetechnicalcertificationrequirementsofthissolicitationthroughtheA/EfirmcomprisingtheJointVenture,theJointVentureshallataminimumcomplywiththefollowingadditionalrequirements:
1. TheJointVentureshallinitsownnameobtainanapprovedaffirmativeactionplan.
2. TheJointVentureshallinitsownnamesubmitacompletedvendorregistrationpackage,includingapplicableaffidavits.
3. TheA/Eentityshallinitsownnamebepre‐qualifiedpriortotheStep1SubmissionDeadline.
TheaboverequirementsmustbecompletedbytheJointVentureinitsownnamenolaterthantheStep1SubmissionDeadline.FailureofanyfirmsdenotedontheDesign‐Builder’sA/Edesignteamtobepre‐qualifiedattheStep1SubmissionDeadlinemayrendertheSubmittalnon‐responsive.
