INTRODUCTIONThe FarmTRX™ Mobile app is the primary way of communicating with the FarmTRX™ Yield Monitor and FarmTRX™ Moisture Sensor. The mobile app is typically used for monitoring live yield and moisture data, calibrating the yield monitor and moisture sensor, changing crops and headers, as well as uploading yield data to the FarmTRX™ Web app to be viewed as a yield map.

This document features two separate user guides; a Mobile Quick Setup Guide designed to help you begin harvesting with minimal steps, and the Detailed Mobile Guide which provides additional information on all aspects of the app. This guide is accurate for version 4.0.5 of the FarmTRX Mobile App, presently the most current version.

COMPATIBILITYThe FarmTRX™ Mobile app is compatible with most mobile devices. Android devices are required to have Android 4.4 or newer. iOS devices are required to have iOS 8 or newer. The devices used must have Bluetooth™ connectivity, and internet/cellular data. GPS is preferred but not necessary on most devices. Below is a condensed list of the general devices that can be used.

Please include the following information in your email:1. FarmTRX™ Mobile version (found in the “About” section of the app) 2. Yield Monitor Firmware Version (found under “Firmware Build” in the “Advanced Settings” section

of the app) 3. Device model (ex: Samsung Galaxy S10, iPhone 6s) 4. Operating System Version (ex: Android 10, iOS 13.5.1)

iOS Install1. Open the Apple App Store 2. Search “FarmTRX Mobile” 3. Go to “FarmTRX Mobile” 4. Press “Get” to install

Android/Amazon Fire Tablet Install1. Open the Google Play Store 2. Search “FarmTRX Mobile” 3. Go to “FarmTRX Mobile” 4. Install

a. Was the FarmTRX™ Yield Monitor connected to the app? b. Does your system include a FarmTRX™ Moisture Sensor? c. Does the issue occur on other devices? d. Does the issue persist after uninstalling and reinstalling the app?

MOBILE QUICK SETUPThe Mobile Quick Setup Guide will direct you through the necessary steps to begin harvesting. For additional information, please refer to the Detailed Mobile Guide on page 8.

Accept End User Service Agreement

1. Read and agree by checking the box in the bottom right side of the screen2. Press the “Continue” button; this will bring you to the Connection Screen

Connect to Your Yield Monitor1. If Bluetooth is turned off during start-up, you will be prompted to turn Bluetooth on 2. Press in the top right corner 3. Press the “Connect” button on the desired Yield Monitor and wait for the connection steps to

complete 4. You will be prompted to update firmware if your yield monitor is not up to date

a. Press “Ok” b. Wait for the update to complete. Do not disconnect from the yield monitor or turn

off your device. This will take several minutes depending on your device c. You will need to reconnect the yield monitor after the update (go to step 1 above)

5. If the Moisture Sensor’s firmware is not up to date, you will be prompted to update on connection

Configuring Live Harvesting

1. You will be prompted to create a user profile when first opening the app. Selected layout, values, and units are saved to the user profile.

a. Type your desired username in the text box b. Press “Save”

2. Changing tile layout

a. Press the icon and select “Edit Mode” b. Choose the desired layout

5. If you are contacting support with an issue, please include the following information in addition to what is above:

a. Press “Ok” b. Wait for the Transfer and Update to be completed c. You will need to reconnect the yield monitor after the update (go to step 1 above) d. If you are asked to update the Moisture Sensor’s Firmware again, turn the harvester’s

power off for 60 seconds and attempt to reconnect to the yield monitor6. When connection is successfully established, you will be automatically directed to the Live Harvesting

screen

Add Crops1. Navigate to Add/Edit Crops by using the icon2. Press in the top right corner 3. Enter Crop Name, Crop Category, Bu(US)/Tonne if known, and Market (Dry) Moisture.

Add Headers1. Navigate to Add/Edit Headers by using the icon 2. Press in the top right corner 3. Enter header name, type, and width. Width can be entered in meters or feet 4. Press “Save”5. Repeat for all headers the harvester will be using

Calibrate Sensors1. Navigate to Device Calibration using the icon2. Press “START CALIBRATION” under Sensor Calibration 3. Press the box beside each condition (checkmark will appear) once each condition is met4. Press “Ready” to start the calibration5. When the calibration has finished, press “Complete”6. If calibration was unsuccessful, an error message will appear

a. The crop can be saved once the crop name is entered. Default values will be used for all other fields if not specified by the user.

a. Press the current units on the card you want to changeb. Select desired units from the menu

Login (Requires Internet Access)1. Use the icon in the top left corner to navigate to Cloud Sync 2. Enter login credentials (see Cloud Sync on page 10 for more details if needed) 3. Press “Login” 4. If you do not have a FarmTRX™ account:

3. Changing displayed values

a. Long press the tile you would like to change until a menu appears b. Select the value you would like to be displayed

4. Changing units

a. Check that your optical sensors are properly installed, your harvester is stationary and running at full throttle, and the threshing clutch is engaged

b. Press “try again”

Set Processing Delay

1. Press “Edit Delay” in Device Calibration2. Enter the processing delay in seconds3. Press “Save”

Crop Calibration1. Navigate to Crop Calibration using the icon2. Ensure that all listed conditions are met and press their associated boxes on the checklist 3. Press “Start Calibration”4. Begin harvesting 5. Press as soon as harvest is unloaded 6. Enter measured weight and/or volume, along with measured moisture 7. Press “Complete”

Calibrate Moisture Sensor (if applicable) 1. Obtain a moisture sample while harvesting 2. Press “Edit Average” on the Crop Calibration screen3. Enter the measured values from the sample

DETAILED MOBILE GUIDE

APP BARThe App Bar is the horizontal, blue bar on the top of most screens in the app. It contains functions that are accessible throughout the app, such as navigation, yield monitor connection status, notifications, help messages, and the day-night mode toggle button.

App NavigationThe navigation drawer allows for easy navigation throughout the app.

1. Press in the top left corner 2. Select the page you would like to go to by pressing on it

Bluetooth™ Connection The Bluetooth connection status indicates whether a yield monitor is connected to your device. This is shown beside the navigation drawer.

• If a yield monitor is connected, the Bluetooth™ symbol will appear blue and the yield monitor’s name will be shown.

• If there is no yield monitor connected, the Bluetooth™ symbol will appear grey and “Disconnected” will appear instead of the device name.

NotificationsNotifications are typically error messages from the yield monitor indicating that something is not functioning properly. The notification center will indicate the number of notifications there are to read.

1. Press the icon2. All notifications will be shown in order of how recent they are 3. Pressing “Clear” will delete all current notifications and leave the notification center 4. Pressing “Dismiss” will leave the notification center

Day-Night ModeThe FarmTRX Mobile App has two separate modes, day mode and night mode. Day mode displays black text on a white background to increase visibility in bright daylight, whereas Night mode displays white text on a gray background to reduce eye strain when harvesting in low light conditions.

1. Press in the top right corner 2. Press “Day-Night Mode” to toggle between day and night mode

Help MessagesTo guide the user though the app, most screens have help messages. Help messages provide tutorials and explanations to assist users.

1. Press on the specific part of the app where you would like assistance 2. Press the right side of your screen to progress through the tutorial 3. Press the left side of the screen to go back to a previous step 4. The “skip” button closes the tutorial

AboutThe About screen provides access to the End User Service Agreement (EUSA) and app information, such as version number and release date. The EUSA outlines the agreement between FarmTRX and the user. The app information is often important to confirm that you are using the most current version of the app when contacting customer support.

CLOUD SYNCThe cloud sync screen allows the user to login to their FarmTRX™ account and upload yield data to the FarmTRX™ Web app.

Login1. If you have not already registered for a FarmTRX Web App account,

press “Not Registered? Click Here” 2. Enter your username into its designated field. This will be everything

before the “@” in the email address associated with your FarmTRX™ account (ex: email = [email protected], username = jondear)

3. Enter your password 4. Press “Sign In”

Logout

1. Press the “LOGOUT” button below your username

Sync DataThis transfers the yield data from the yield monitor to your device so it can be uploaded to the cloud. The data will automatically upload to your device if it has an internet or cellular data connection and is logged into your FarmTRX™ account.

1. Connect to the yield monitor you would like to sync data from. The amount of data on your yield monitor that has not yet been synced will be found in the “Data Ready to Sync” tile

2. Press “Sync Data” 3. Wait for all files to be downloaded, “OK” button will turn orange 4. Press “OK” 5. If you have a WiFi or cellular connection, the data will be automatically sent to the Cloud. If not,

refer to “Upload Data” below

Once it is confirmed that the data has been uploaded to the cloud, it will be archived. If you are not connected to a yield monitor during upload, the data will be archived the next time your device is connected.

Upload DataIf your device is not connected to the internet or cellular data during the syncing process, data can be uploaded to the cloud in a separate process once internet is available. The amount of data on your device that still requires upload to the cloud can be found in the “Data Awaiting Upload” tile.

1. Ensure that “Data Awaiting Upload” is not 0.00 kB. If this is the case, either the data was already uploaded, or it was not synced from the yield monitor.

2. Press “SYNC DATA” 3. Wait for all files to upload, “OK” button will turn orange on completion 4. Press “OK” button to complete the process and return to Cloud Sync

CONNECTIONThis section of the app is used to search for, connect to, and disconnect from yield monitors.

Searching for Yield MonitorsSearching for yield monitors can be done by pressing the refresh button in the top right corner

Connecting to a Yield Monitor1. Press the “CONNECT” button beside the device you would like to

connect to 2. Wait for all connecting steps to complete; this may take a moment 3. You will be redirected to the Live Harvesting screen

Disconnecting from a Yield Monitor1. Press on the Yield Monitor currently connected; a disconnect button

should appear below its name 2. Press the disconnect button

LIVE HARVESTINGLive Harvesting is used to observe real-time harvest data, such as area covered, current yield, average yield, volume harvested, and weight harvested. Additional harvester information such as speed, rate and uptime are shown. If you have a moisture sensor, current and average moisture will also be available.

Crop type and header can be changed on the Live Harvesting screen, as well as user-specific preferences such as layout, values shown, and units.

Changing User1. Press the currently selected profile under “User” in the top right corner 2. Press on the profile you would like to use

Adding/Deleting a User1. Press the currently selected profile under “User” in the top right corner 2. Press “Add/Delete User” 3. To add a user, type the desired username for the new profile, then press “Save” 4. To delete a user, press “DELETE” or swipe to the left. Select the user you want to delete from the

drop-down menu, then press “Delete User”

Changing Units

All values can be shown in a variety of units. To change units:

Changing Layout

Each user can change the layout of cards on their Live Harvesting screen. To change layout:

1. Press in the top right corner, a menu should appear 2. Select “Edit Mode” 3. Choose desired layout

Changing Displayed ValuesEach card on the Live Screen can be changed to display values the user desires. To change values:

1. Press and hold the card you would like to change; a menu appears showing available values after about 1 second

2. Select the value you want displayed on that card

Changing CropThe Yield Monitor needs to know what crop is being harvested to display accurate data. To change crop type:

Changing Headers

The Yield Monitor needs to know what header is being used to display accurate yield data. To change header:

1. Press Header in the bottom right corner; a menu with all headers saved on the device will appear 2. Select desired header 3. To prevent accidental header switching, we require the user to confirm that they want to change

headers. Press “Yes” to save your header change

Changing MoistureLive Harvesting operates in different modes depending on if a FarmTRX™ Moisture Sensor is connected. If there is no moisture sensor connected, the app allows a manual moisture value to be entered. This allows the user to view the approximate market yield.

If a FarmTRX™ Moisture Sensor is connected, live moisture readings are shown. The user may notice a difference between the moisture on the live screen and what is being reported by a bench moisture sensor. This is typically the result of incorrect calibration of the moisture sensor. To calibrate the moisture sensor and manually enter moisture:

1. If a FarmTRX™ Moisture Sensor is connected:

a. Long press the blue “Current Moisture” or “Average Moisture” tile in the top center of the screen

b. Use the left Plus/Minus buttons to increases or decrease the adjustment by 1.0 c. Use the right Plus/Minus buttons to increase or decrease the adjustment by 0.1 d. The new moisture value will be shown under “New” in the top right e. Press “SAVE” when the moisture is properly adjusted

Market (Dry) Values

Live Harvesting allows the user to view their harvested dry yield volume and weight. The dry values are calculated using the average moisture input by the user.

2. If there is no moisture sensor connected:

a. Long press “User Set Moisture”

b. Use the left Plus/Minus buttons to increases or decrease the adjustment by 1.0

c. Use the right Plus/Minus buttons to increase or decrease the adjustment by 0.1

d. The new moisture value will be shown under “New” in the top right

e. Press “SAVE” when the moisture is properly adjusted

1. Swipe left on Yield, Volume or Weight 2. The card will turn orange and display the dry values

CROP CALIBRATION

Crop calibrations are done to ensure that the volume and weight measured by the optical sensors of the yield monitor are accurate for each specific crop type.

Starting Calibration1. Select the crop that is being calibrated by pressing on the current

crop; a list of crops should appear, press on the desired crop 2. Press “START CALIBRATION”

3. Confirm that all conditions specified are met; press the boxes beside each condition

4. Press “READY” when you would like to begin the calibration run

Calibration MonitoringThe user can observe elapsed time, area, volume, and weight while completing their calibration run from the calibration screen. They may also use the Live Harvesting screen to monitor the harvest but must remember to return to the Crop Calibration screen to complete the calibration run.

Complete CalibrationOnce is pressed, the state of the calibration run is saved allowing the user to navigate elsewhere in the app while waiting for the calibration volume/weight measurement values. It Is crucial that the user does NOT press the icon when returning to the Crop Calibration screen to enter calibration values, as this will discard the saved values. After the calibration is complete, the calibration value can be applied to the previously harvested crop.

1. Await measurements for volume and/or weight, and moisture 2. Enter measurements and press “COMPLETE” to apply the calibration

• Only weight or volume needs to be entered but both is preferred

3. You will be prompted to apply the calibration values to previously harvested area. Choosing to apply calibration to previously harvested crop will apply the calibration value to any yield values made since the last crop change

DEVICE CALIBRATIONCalibrating the FarmTRX™ Yield Monitor and Moisture Sensor system is important to ensure that precise harvest data is gathered by the FarmTRX™ hardware.

Sensor CalibrationSensor Calibration determines a baseline measurement of the clean grain elevator to ensure accurate data is gathered from your specific machine.1. Navigate to Device Calibration using2. Press “START CALIBRATION” under Sensor Calibration3. Check the boxes associated with each condition when they are met 4. Press “Ready” to start the calibration 5. When the calibration has finished, press “Complete” 6. If calibration was unsuccessful, an error message will appear:

a. Check that your optical sensors are properly installed, your harvester is stationary and running at full throttle, and the threshing clutch is engaged

b. Press “try again”

Processing DelayProcessing delay is the amount of time it takes for the grain entering the system to reach the clean grain elevator. If the delay is not known, a default of 10 seconds will be applied.

1. Press “EDIT DELAY” 2. Enter the machine specific

processing delay in seconds 3. Press “Save”

Moisture SensorTo ensure that the moisture sensor is reporting accurate values, calibrations may need to be done. Users may adjust the moisture sensor’s measurement offset by editing the average moisture. This screen also shows the Moisture Sensor’s firmware version and if the firmware requires an update.

1. Edit average:a. Press “EDIT AVERAGE” b. Enter the new average moisture in the “New (%)” field c. Press “Save”

Updating Moisture Sensor Firmware1. Press “UPDATE FIRMWARE” under Moisture Sensor 2. Wait for the transfer to complete 3. Wait for update to complete 4. If the current firmware version does not match the latest firmware:

a. Power the harvester off for 60 seconds b. Turn the harvesters power back on c. Reconnect to the yield monitor

5. If you are unable to press “UPDATE FIRMWARE”, there are no further firmware updates currently available

ADD/EDIT HEADERSThe yield monitor needs to know what width of land is being harvested for the yield calculation. To avoid requiring the user to enter the header width every time the header is changed, all headers used by the harvester can be entered and saved beforehand. The user can select a header on the Live Harvesting screen.

Deleting a Header

1. Select the header you would like to delete by pressing on it. The area around the header’s name should turn blue

ADD/EDIT CROPS

The crop list stores several important pieces of data for accurate yield data:

• Specific volume is the volume/weight ratio • Yield calibration is the crop specific calibration value that is calculated

by Crop Calibration. This can be entered manually but that is not advised

• Field Average Moisture is the moisture content measured by the user and is used to show the dry yield, volume and weight in Live Harvesting

• Market Moisture is the maximum moisture content that is considered dry by the elevator

Deleting a Crop

1. Select the crop you would like to delete by pressing on it; the crop box should turn blue 2. Press the icon in the top right corner 3. Press “Yes” if you would like to delete the selected crop

Adding a Crop

1. Press the icon in the top right corner 2. Enter the name of the crop species 3. Select the category the species belongs to (Cereal, Oil Seed, Pulse, Corn, Other) 4. Enter specific volume; if nothing is entered a default value will be used 5. Enter yield calibration if known; if not a default value will be used until a calibration run is completed6. To save, press the “Save” button in the top right corner

Editing a Crop1. Select the crop you would like to edit by pressing on it; the crop box

should turn blue 2. Press the “edit” icon in the top right corner 3. Enter the desired changes4. To save, press the “Save” button in the top right corner

ADVANCED SETTINGS

Advanced Settings allow the user to change machine-specific settings such as the harvester name, enable detailed logging, and log file syncing. The user can also restore their device’s crops, headers, and name to the default values. Advanced settings also provide an alternative way to reset the totals that appear on the Live Harvesting screen.

Editing Yield Monitor NameThe yield monitor name that is displayed on the Connection Screen and App Bar can be changed to make it easier to identify for the user.

Reset Live Harvesting TotalsThe Live Harvesting totals can be reset without changing the crop type. Doing this will reset Area, Volume, Weight and Average Yield to zero.

1. Press “RESET TOTALS” 2. Press “OK” if you would like to reset the Live Harvesting totals

Restore ConfigurationsThis will reset all configured values and preferences on the yield monitor, essentially resetting it to factory defaults. The values that are reset include crop selection, machine name, processing delay, Live Harvesting totals, Logging level, and Tare.

1. Press “RESTORE CONFIGS” 2. Press “OK” if you would like to reset the values outlined above

Restore Crops

The yield monitor’s crop list can be reset to the 10 default crops and their associated yield values. These crops are: Barley, Canola, Corn, Flax, Lentils, Oats, Peas, Sorghum, Soybeans and Wheat.

1. Press “RESTORE CROPS” 2. Press “OK” if you would like to restore your crop list to default

Restore HeadersThe yield monitor’s header list can be reset to the 3 default headers and their associated widths. The defaults are 10m straight cut, 25’ swath and 30’ row headers.

1. Press “RESTORE HEADERS” 2. Press “OK” if you would like to restore your header list to default

Enable Detailed LoggingDetailed logging saves the processes happening on the system. This becomes useful for the FarmTRX™ support team to reference if any issues are experienced by the user. Enable detailed logging by checking the box beside “Enable Detailed Logging”.

FarmTRX™ End User Service Agreement And WarrantiesThis End User Service Agreement (EUSA or the “Agreement”) gov-erned by and interpreted in accordance with the laws of the Prov-ince of Ontario, Canada, is an Agreement between Troo Corpora-tion (the “Supplier”), and you, the customer (the “Customer”). In consideration of Supplier providing the FarmTRX™ and/or other hardware devices, and FarmTRX™ online Services, the Customer agrees to pay the fees and to comply and ensure that its Users comply with the terms and conditions of this Agreement.Supplier shall maintain a separate account for the Customer which shall contain such information as is reasonably necessary to use the Services and permit Supplier to invoice the Customer for the Services. Supplier may use this data to contact Customer if there is important information with respect to the Services. Customer and account data given to Supplier are considered confidential. Supplier’s privacy policy is subject to its obligation to comply with applicable laws and lawful government requests, to operate its business in compliance with the requirements of law, and to pro-tect its users or itself. Supplier reserves the right at any time to amend this Agreement or privacy policy upon giving thirty (30) days’ notice to Customers, which notice may be sent by email.Customers account administrator will be or has been, assigned an account name and password for purpose of creating and man-aging Customer’s account and users. Customer is responsible for maintaining the confidentiality of the password and Customer’s account and is fully responsible for all activities that occur under the Customer’s account. The Customer shall immediately notify Supplier of any breach of security.Each account user shall access and use the Services solely for its intended purpose. Any other use is strictly prohibited.Supplier may terminate the Customer’s use of the Services:a. Immediately if Customer or anyone accessing the Services through Customer is in breach of this Agreement;b. On 30 days’ notice if the Customer’s account is inactive, mean-ing that no devices or users are registered to use the Services, for a period of 12 months;c. Immediately, in the case of technical difficulties, including, with-out limitation, incompatibility of the Customer’s devices with the Services or improper installation of devices;d. Upon termination of the agreement that entitles a reseller or a distributor to resell the Services to Customer.Without prejudice to any other remedies which either party may have in respect of any breach of this Agreement, the parties here-by agree that, upon termination of this Agreement for any reason in accordance with the terms hereof, neither party shall be enti-tled to any damages or other compensation from the other as a result of such termination.Customer acknowledges and agrees that Supplier will need to regularly back up Data files to be able to recover from a system failure.Supplier will keep such back-up files in a location that Supplier takes commercially reasonable efforts to maintain secure. To the extent that any of the Data is personal information, Customer shall be responsible for ensuring that it has obtained all consents from the owner of such personal information to permit Supplier to pro-vide the Services under this Agreement.By using the Services the Customer agrees to be bound by the terms of this Agreement.i. In order to use the FarmTRX™ Service, Customer has purchased or leased one or more devices from Supplier or reseller or some other authorized party, has installed the device in compliance with the FarmTRX™ Installation Guide, and entered into an agree-ment with a reseller or other party to have access to a commu-nications network that will transmit Customer’s data to Supplier;ii. Neither the device(s) nor the communications network(s) that transmit(s) the data are the responsibility of Supplier and any fail-ure in the performance of a device or the communications net-work, including the failure to transmit data to Supplier’s servers in a timely and reliable manner, may disrupt the delivery of the Services;iv. The Customer may not transfer or resell its use of or access to the Services to any third party;v. The Customer is responsible for all activities that occur under Customer’s account;vi. The Customer will not create an unusually large burden on the Services without Suppliers prior approval, nor will they: engage in posting, uploading, transmitting, or otherwise making avail-able information or software containing a virus, lock, key, bomb, worm, or other harmful or debilitating feature, impersonate any entity, forge or otherwise manipulate identifiers, port scan a per-son’s electronic device without that person’s consent, distribute

mass or unsolicited email, or otherwise generate levels of traffic sufficient to impede others’ ability to send or retrieve network information;vii. Supplier reserves the right at any time and from time-to-time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. Customer agrees that Supplier shall not be liable to Customer or to any third party for any modification, suspension or discontinuance of the Services;viii. Provided that the account administrator has been authorized by Supplier or reseller, the account administrator may add devic-es, users or additional Services to the Customer’s account all or some of which may require payment of additional fees.Disclosures Required By The Wireless Carrier:Regardless of whether Customers Service includes wireless data communications, Customer acknowledges and agrees that if Customerhas purchased wireless services from Supplier (e.g. for vehicle tracking), the underlying wireless service carrier has obligations only to Supplier, and not to the Customer, that Customer shall not to be deemed a third-party beneficiary under any contract between Supplier and the underlying wireless service carrier, and that Customer is bound by the following provisions:(a) Subject to Industry Canada, FCC, and other applicable number portability rules, Customer has no property right in any number assigned to Customer, and any such number can be changed from time-to-time.(b) Customer acknowledges that Service may be temporarily refused, interrupted, curtailed or limited because of atmospher-ic, terrain, or other natural or artificial conditions, over-usage, relocation or repairs. Customer agrees that the underlying wire-less service carrier shall not be responsible for such interruptions of Service or the inability to use the Service outside the territory. Customer understands that the underlying wireless service carrier cannot guarantee the security of wireless transmissions and will not be liable for any lack of security relating to the use of the Service. In no event shall the underlying wireless service carrier be liable for any cost, delay, failure or disruption of Service, or consequential damages. Customer shall use devices at their own risk.(c) Customer will indemnify, defend and hold the underlying wireless service carrier and officers, employees and agents of each of them harmless from and against all claims, causes of action, losses, expenses, liability or damages, and including without limitation for any personal injury or death, arising in any way directly or indirectly in connection with this Agreement; the provision or use of Services; or use, failure to use or inability to use the number. This provision shall survive termination of this Agreement.(d) Customers Service may be temporarily suspended or permanently terminated upon little or no notice in the event (where applicable) that Supplier’s agreement with the underlying wireless service carrier is terminated. Customer waives any and all claims against the underlying wireless service carrier for such suspension or termination.WarrantiesSupplier warrants that FarmTRX™ devices purchased from Supplier or reseller shall be free from defects in materials and workmanship for a period of two years from date of purchase. Supplier warrants that any other third-party devices (such as vehicle tracking devices) purchased from Supplier shall be free from defects in materials and workmanship to the extent of, and for the duration of, any applicable third-party manufacturer’s warranty (“Warranty Period”). This warranty is conditional on proper installation and normal use.Customer’s sole remedy, and Supplier’s sole obligation, under the foregoing warranty is the repair or replacement of the defective device at Supplier’s sole discretion. To make a warranty claim, Customer shall (i) promptly notify Supplier in writing of any defect in units of devices delivered; (ii) obtain a Return Material Authorization; and (iii) ship the defective goods to Supplier’s designated location at Customer’s expense. Supplier warrants that the functionality of the FarmTRX™ Services shall perform materially in accordance with Supplier’s online help, and (ii) the functionality of the Services will not be materially decreased during a subscription term.EXCLUSION OF WARRANTIES - AS ALLOWABLE BY LAWTHE SUPPLIER MAKES COMMERCIALLY REASONABLE EFFORTS TO PROVIDE QUALITY OF SERVICES, HOWEVER, EXCEPT FOR THE WARRANTY SPECIFICALLY SET OUT ABOVE, THE SERVICES, AND ANY CONTENT OR DATA OBTAINED OR ACCESSED THROUGH THE

SERVICE, ARE BEING PROVIDED BY SUPPLIER OR RESELLER ON AN “AS IS” BASIS AND WITHOUT SPECIFIC REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SUPPLIER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUPPLIERS, ADVERTISERS, AGENTS, AND RESELLERS DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS EXPRESS, IMPLIED OR STATUTORY OR THOSE ARISING FROMSTATUTE OR THE USAGE OF TRADE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF TITLE, NON-INFRINGE-MENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND ALL WARRANTIES OF ADEQUACY, ACCURACY OR COMPLETENESS OF DATA. SUPPLIER AND ITS RESELLERS DO NOT WARRANT THAT (i) SERVICES WILL MEET CUSTOMER’S OR ITS USERS’ REQUIREMENTS, (ii) SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) DATA OBTAINED FROM USE OF SERVICES WILL BE ACCURATE OR RELIABLE, (iv) THAT DEFECTS WILL BE CORRECTED, OR THAT SERVER(S) ON WHICH SERVICE IS HOSTED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. CUSTOMER ACKNOWLEDGES THAT CUSTOMER IS RESPONSIBLE FOR OBTAINING ACCESS TO AND MAINTAINING ALL COMMUNICATION NETWORK, TELEPHONE, COMPUTER HARD-WARE AND OTHER EQUIPMENT NEEDED TO ACCESS AND USE THE SERVICES, AND ALL CHARGES RELATED THERETO. CUSTOMER ASSUMES TOTAL RESPONSIBILITY AND RISK FOR CUSTOMER’S USE OF THE SERVICES AND ITS RELIANCE THEREON.LIMITATION OF LIABILITYIN NO EVENT SHALL SUPPLIER, ITS EMPLOYEES, AGENTS, OFFICERS, DIRECTORS, OR RESELLERS, BE LIABLE IN ANY WAY WHATSOEVER UNDER THIS AGREEMENT OR IN ANY WAY RELAT-ED TO THE SERVICES OR DEVICES, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OR FOR ANY LOST PROFITS OR BUSINESS REVENUE, LOST BUSINESS, LOSS OF DATA, FAILURE TO REALIZE EXPECTED SAVINGS, OR OTHER COMMERCIAL OR ECONOMIC LOSS OF ANY KIND WHATSOEVER REGARDLESS OF HOW SUCH COSTS, LOSSES OR DAMAGES WERE CAUSED OR AROSE AND WHETHER OR NOT SUCH COSTS, LOSSES OR DAMAGES ARE/WERE FORESEEABLE OR SUPPLIER ITS EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH COSTS, LOSS-ES OR DAMAGES. SUPPLIER SHALL ONLY BE LIABLE FOR DIRECT DAMAGES PROVIDED THAT SUPPLIER’S TOTAL AGGREGATE CUMULATIVE LIABILITY TO CUSTOMER FOR ALL CLAIMS FOR COSTS, LOSSES AND DAMAGES HEREUNDER FOR ANY CAUSE WHATSOEVER SHALL NOT EXCEED THE LESSER OF $10,000 OR THE AMOUNTS RECEIVED BY SUPPLIER FROM CUSTOMER FOR SERVICES PROVIDED TO THE CUSTOMER DURING THE SIX MONTH PERIOD PRECEDING THE DATE OF THE INITIAL CLAIM. CUSTOMER’S SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THE SERVICES. THE SOLE AND EX-CLUSIVE MAXIMUM LIABILITY OF SUPPLIER FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING, WITHOUT LIMITATION, NEGLIGENCE), OR OTHER-WISE) SHALL BE THE TOTAL AMOUNT, IF ANY, PAID DIRECTLY TO SUPPLIER BY CUSTOMER, FOR ACCESS TO THESERVICES. THE FOREGOING LIMITATIONS AND EXCLUSIONS OF LIABILITY SHALL APPLY REGARDLESS OF WHETHER THE CLAIM AROSE IN CONTRACT INCLUDING A FUNDAMENTAL BREACH, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR UNDER STATUTE.INDEMNIFICATIONCustomer agrees to indemnify, defend and hold Supplier, its offi-cers, directors, employees, agents and representatives, harmless from and against any and all claims, damages, losses, costs (in-cluding reasonable attorneys’ fees), or other expenses that arise directly or indirectly out of or from (a) Customer’s violation of this Agreement; (b) Customer’s use of the Services or devices; (c) any act or omission of any of its Users; or (d) Customer’s violation of the rights of any third party.ASSIGNMENTCustomer may not assign or otherwise transfer its rights and obligations under this Agreement except with the priorwritten consent of Supplier, such consent not to be unreason-ably withheld. Any prohibited assignment shall be null and void. Failure to comply with any provision of this Agreement shall not constitute a waiver of any term hereof.
