Minutes of the Buckworth Cricket Club AGM held on Wednesday 27 March 2013, starting at 8 pm. 1. The Chairman welcomed members and thanked them for attending. Apologies were received from Roger and Nicola Walters, Pat Hennessy, Anne and Peter Scarlett, Caroline Garcia, Nell Groom, Katherine Broe, Alex Bryant, John and Connie Davison, Kay Freeman, Malcolm and Sheila Lovett, Suzie Manser, Justin and Jason Baziliauskas, Phil and Kat Parker. 3. The minutes of the 2012 AGM were read by Amanda Cox. Acceptance of the minutes as a true record was proposed by Phil Cooper, seconded by Gill Robb and passed nem con. 4. The financial statement prepared by the auditor Ian Lancaster for the previous year was commented on by Nic Cox, who had added the 2011 figures as a comparison. Neil Broe asked about the rates at the club. All of the business rates had been refunded by HDC last year. Expenditure on electricity had gone up and Nic Cox informed the members about the new contract with EON, due to start in April, which would reduce our electricity costs substantially. Meter readings are now submitted each month which will give us a better idea of usage through the year. Acceptance of the accounts was proposed by Diane Simmonds, seconded by Yvonne Waterhouse and agreed nem con. 5. Motion to amend the rules of the club. After two alterations, acceptance of the changes was proposed by Hazel Cooper, seconded by Geoff Lyford and agreed nem con. The Chairman thanked Nic for tidying up the rules. 6. The Chairman spoke to the members. The club had lost a valued member and committee member Peter Fowler who died suddenly last October. A donation from the club had been sent to Hinchingbrooke Hospital and his funeral was attended by the Chairman and Vice-Chairman. There were currently 87 members, an increase on previous years. Regular events held at the club: Supper Club, Sowers and Growers, Buckworth Browsers, Yoga, Craft Club and annual events such as Trafalgar Night, Burns Supper and Buckworth’s Got Talent had been well attended. 1. The Chairman welcomed members and thanked them for attending. Present: Neil Broe, Terry Cheney, Hazel Cooper, Phil Cooper, Amanda Cox, Nic Cox, Ray Garcia, Peter Harrison, Tricia Hatfield, Paula Hennessy, Brian Hubbard, Geoff Lyford, Jean Lyford, Gill Robb, Diane Simmonds, Don Simmonds, Robert Speechley, Jen Tolson, Richard Tolson, Peter Waterhouse, Yvonne Waterhouse, Brian Whittaker, Elaine Whittaker (23).

2. Apologies were received from Roger and Nicola Walters, Pat Hennessy,

Anne and Peter Scarlett, Caroline Garcia, Nell Groom, Katherine Broe, Alex Bryant, John and Connie Davison, Kay Freeman, Malcolm and Sheila Lovett, Suzie Manser, Justin and Jason Baziliauskas, Phil and Kat Parker.

3. The minutes of the 2012 AGM were read by Amanda Cox. Acceptance of the

minutes as a true record was proposed by Phil Cooper, seconded by Gill Robb and passed nem con.

4. The financial statement prepared by the auditor Ian Lancaster for the

previous year was commented on by Nic Cox, who had added the 2011 figures as a comparison. Neil Broe asked about the rates at the club. All of the business rates had been refunded by HDC last year. Expenditure on electricity had gone up and Nic Cox informed the members about the new contract with EON, due to start in April, which would reduce our electricity costs substantially. Meter readings are now submitted each month which will give us a better idea of usage through the year. 5. Motion to amend the rules of the club.

The proposed amendments had been posted on the clubhouse noticeboard and on the club’s website for six weeks. Nic Cox read through the main changes. After two alterations, acceptance of the changes was proposed by Hazel Cooper, seconded by Geoff Lyford and agreed nem con. The Chairman thanked Nic for tidying up the rules.

6. The Chairman spoke to the members.

The club had lost a valued member and committee member Peter Fowler who died suddenly last October. A donation from the club had been sent to Hinchingbrooke Hospital and his funeral was attended by the Chairman and Vice-Chairman.

There were currently 87 members, an increase on previous years. Regular events held at the club: Supper Club, Sowers and Growers, Buckworth Browsers, Yoga, Craft Club and annual events such as Trafalgar Night, Burns Supper and Buckworth’s Got Talent had been well attended. Other regular

events such as Sunday lunches were currently being considered. Any member is welcome to submit ideas for additional events to the committee. The Chairman talked about the programme of renovation in the clubhouse: lighting, doors, new chairs and the ladies toilets. Cleaning of the clubhouse on a regular basis had also been welcome.

Members of the committee were thanked for their work over the year. Phil Cooper, representative of the Parish Council, was thanked for his input and experience. Thanks went to Kay Freeman for her work as treasurer over many years. Special thanks went to Yvonne and the chefs who produced fantastic food at supper clubs; to Connie and John Davidson for Buckworth’s Got Talent; to Nic and Veronica Clarke for Trafalgar Night and Burns Supper; to Hazel Cooper for organising Sowers & Growers and Buckworth Browsers. Peter Waterhouse thanked Gill Robb and Terry Cheney, who were standing down from the committee, for their contribution and valued support. Hazel Cooper suggested that thanks should be given to Elaine Whittaker and Margaret Warrener for their work in putting on the very successful Harvest Supper and St George’s Day Dinner. The Chairman duly thanked them.

7. Election of Officers, Committee Members and Auditor. The Vice Chairman took over chairing the meeting and proposed Richard Tolson as Chairman, seconded Nic Cox and agreed nem con. The Chairman took over chairing the meeting. There had been 7 other nominations for the committee (Neil Broe, Amanda Cox, Nic Cox, Connie Davison, Kay Freeman, Peter Waterhouse, Yvonne Waterhouse) and all were elected nem con. The Officer positions would be discussed at the next committee meeting. Ian Lancaster was proposed as accountant, agreed nem con.

8. Any other business.

Neil Broe asked the meeting what other improvements would be undertaken in the clubhouse in the near future. The Chairman said the gents’ toilet and the new external doors were next on the plan. Further work would continue as funds came in. The meeting closed at 8.50 pm

Minutes of the Buckworth Cricket Club Association AGM Three trustees were in attendance: Paula Hennessey, Brian Whittaker and Robert Speechley. The minutes of last year’s meeting were read. Paula Hennessey said that she didn’t attend the meeting and it was agreed to remove her name from the attendees. After this alteration the minutes were agreed. The election of the new members of the club committee to the Association was proposed by Brian Whittaker, seconded by Diane Simmonds and agreed nem con. There was no any other business and the meeting closed at 9.05 pm.

Proposed changes to the Rules at the 2013 AGM (version 2.0 to 2.4) This document should be read in conjunction with a copy of the current Rules of the Club (version 2.0) and a copy of the proposed Rules (version 2.4).

There are few substantive alterations, with most of the changes involving …

• re-numbering of paragraphs so there is a proper numerical sequence and no duplication; • changing the order of some paragraphs and their grouping; • adding / removing / substituting words to clarify the meaning; • removal of a few paragraphs which duplicate others.

The following alterations do involve a change in meaning or procedure …

3. Membership

3.3 Remove the requirement for a new member to be proposed and seconded.

3.4 (becomes 3.3) Delete “A temporary member shall not be entitled to any of the privileges of membership until the expiration of two days after the date of nomination for membership”.

3.6 (becomes 3.5) Junior Members Remove the reference to subscription amount (£1.50), as it conflicts with 4.2 (becomes 4.1). Remove reference to children under 16, now dealt with in next paragraph.

(New paragraph) 3.6 Children under 16

4. Subscriptions

4.1 Delete paragraph as it conflicts with 4.2 (which becomes 4.1).

4.3 and 4.4 combined into new 4.2 .

7. (was 5) Officers of the Club

7.3 (was 5.2) Replace the word “concurrent” with “consecutive”.

8. (was 6) Committee

(New paragraph) “8.3 The committee members shall be elected at the AGM. The committee may co-opt additional members if required between AGMs subject to the limits defined in 8.2” (which was 6.3).

8.4 (was 6.4) Change to the definition of a quorum at a Committee Meeting, becoming five Committee Members who must include either Chairman or Vice Chairman.

8.5 (was 6.5) Add the requirement for the Committee to meet on at least ten occasions during the year.

(New paragraph) “8.6 The minutes of each Committee Meeting, including the financial report for the previous month, shall be published on the Club website within seven days of the meeting and a paper copy shall be filed in the Club at the next Committee Meeting after approval.”

Buckworth Cricket Club Rules v 2.0 1. Name The club will be called Buckworth Cricket Club. 2. Aims & Objectives The aims and objectives of the club are:

- to afford members a place where social meetings and recreation can be held. - to afford amenities where visitors can be entertained - to promote a spirit of friendliness and good will at all times amongst members

and visitors to the club 3. Membership 3.1 All members will be subject to the rules of the club and by joining the club will be deemed to accept these regulations and codes of conduct that the club has adopted. 3.2 Members will be enrolled in one of the following categories Full Member Junior Member Honorary Life Member 3.3 Election of members The election of members shall be made by the committee. A person must be proposed and seconded by two fully paid up members of the club for election to membership. 3.4 Temporary members After a proposal a person becomes a temporary member until the committee ratifies their application. A temporary member shall not be entitled to any of the privileges of membership until the expiration of two days after the date of nomination for membership. The name of the temporary member is to be posted on the notice board of the club room with the proposers name and seconds name for at least seven days. 3.5 Honorary members The club will have no more than 6 honorary members at any one time. 3.6 Junior Members No person under the age of 16years shall be admitted to membership of the club. Such junior members 16 – 18 shall pay a subscription of £1.50 per annum. Members and guests under the age of 18 will not be served or given intoxicating liquor on the premises. Children under the age 16 are welcome providing they are accompanied by a full members at all times. 3.7 Guests A member may introduce a guest not more than four times in any one year and not more than two guests at any one time. The visitors and members shall sign their names in the visitors book kept for the purpose. The following shall not be admitted as guest of the club:

Members must accompany their guests at all times whilst on the clubs premises.

3.8 Special Events The club on not more that twelve occasions in any one calendar year hold special functions at the club premises for the purpose of raising funds for the benefit of the club, where members of the public may, by invitation, be admitted to the club. On such occasions all persons admitted are granted the same facilities as those granted to members 4. Subscriptions 4.1 Subscriptions will be set annually and determined at the Annual General Meeting. 4.2 Subscriptions are due for payment on the first of January each year and shall be as agreed by the committee. 4,3 Membership fees must be paid by the date of the AGM. 4.4 Cessation of membership - Members shall cease to be

- By non payment of subscription - By expulsion - By resignation - By misconduct

5. Officers of the Club 5.1 The officers of the club will be

- Chair - Vice Chair - Honorary Secretary - Treasurer - Any other relevant position

5.2 Officers will be elected annually at the AGM. The Chair and Vice Chair may not serve in the same position for more than three concurrent years 5.3 The President of the club shall be an ex-officio member of the club 6. Committee 6.2 The club shall be managed by a general committee 6.3 The general committee will consist of: president, chair, secretary, treasurer, vice chair and no fewer than five and no more than seven other ordinary members of the club.

6.4 At a management meeting 6 members shall form a quorum. 6.5 The management committee shall meet in the club once a month. Officers elected (chair and vice chair) can stand for these positions each year for a maximum of three years only. 7 Powers of the management committee 7.1 The committee shall have the power to expel any member who shall offend against the rules of the club or whose conduct is in breach of the code conduct appended to these rules. Before such a member is expelled the Honorary secretary shall give them seven days written notice to attend a meeting of the committee informing them of the complaint made against them. No member shall be expelled without first having the opportunity to appear before the committee and answering any complaint made against them and unless at least two thirds of the committee is present vote in favour of the expulsion. 7.2 The committee shall have the power to agree the times of opening according to demand. These opening hours will be posted outside the club and on the Internet. 7. Finance 7.1 The Club Treasurer will be responsible for the finances of the club. 7.2 The club will have not borrowings or take out any credit agreements without express permission from the membership at a general meeting. 8. Annual General Meeting 8.1 The AGM is to be held once a year, no later than the 30th March. Notice of the meeting shall be posted on the notice board at least fourteen days prior to the meeting and shall state the venue, date and time of the meeting. 8.2 Business of the meeting:- a.Presentation and if accepted the passing of the previous years accounts b.The election of honouree officers and the management committee of the club c. The election of the: Chair

Vice Chair Secretary Treasurer Professional auditor Management committee 8.3 Voting. a. Only full, junior and honorary members may attend this meeting and vote, each member having one vote. b. All votes will be by secret ballot c. The Chairperson having the casting vote in the event of an equality of votes. 8.4 At a general meeting 15 members form a quorum

9. Extraordinary General Meeting 9.1 An extraordinary general meeting may be convened at any time by the committee, notice of this meeting shall be posted on the notice board at least 14days prior to the meeting, or shall be convened with in 21 days from the receipt by the secretary of a requisition in writing from at least 15 members, specifying the object of the meeting for any of the following purposes:- a. To consider and if approved, sanction any duly made alterations to the rules b. To receive the resignation of the committee or to remove any member or members there of from office and to fill the vacancies caused thereby. c. To deal with any special matters which the members requisition the meeting may put before other club members. 9. Discipline & Appeals 9.1 The chairman, secretary and any member of the committee with the addition of the person attending the bar shall have the power or order any person out of the premises until the committee have given the right to re-enter, the ruling to be made with in seven days. 9.2 Members are expected to comply with the code of conduct. 10. Dissolution The club can only be dissolved by a motion at either an AGM or an EGM. 11. Amendments to the rules 11.1 No rules will be amended other than at a general meeting of the club. Notice of any proposed changes shall be posted in the club for at least 14days prior to the meeting to which the amendment is to be submitted. 11.2 A committee may from time to time amend rule 6 (Opening Hours) within the limits allowed by law. 11.3 A committee from time to time can review the code of conduct. Declaration BUCKWORTH CRICKET CLUB hereby adopts and accepts these rules as a current operating guide regulating the actions of members. Buckworth Cricket Club Rules 1. Name The Club will be called Buckworth Cricket Club. 2. Aims & Objectives The aims and objectives of the Club are:

– to afford members a place where social meetings and recreation can be held; – to afford amenities where visitors can be entertained; – to promote a spirit of friendliness and good will at all times amongst members

and visitors to the Club. 3. Membership

3.1 All members will be subject to the rules of the Club and by joining the Club will be deemed to accept these rules and the codes of conduct that the Club has adopted.

3.2 Members will be enrolled in one of the following categories: Full Member Junior Member Honorary Life Member 3.3 Following an application for membership, a person becomes a temporary

member until the Committee ratifies the application. The name of the temporary member is to be posted on the Club notice board for at least seven days.

3.4 Honorary Life Members The Club will have no more than 6 Honorary Life Members at any one time.

3.5 Junior Members Junior membership is for persons aged 16 – 18. Members and guests under the age of 18 will not be served or given intoxicating liquor on the premises.

3.6 Children under 16 No child under the age of 16 may become a member of the Club. Children under the age 16 are welcome in the Club providing they are accompanied and supervised by a Full Member or Honorary Life Member for the whole period of time that they are in the Club. One of the Committee members shall be appointed to be responsible for overseeing child protection issues at the Club.

4. Subscriptions

4.1 Subscriptions are due for payment on the first of January each year and shall be as agreed by the Committee.

4.2 Membership may lapse by: – non payment of subscription renewal by the date of the AGM; – expulsion following misconduct; – resignation.

The visitors and members shall sign their names in the visitors’ book kept for the purpose. Members must remain in the Club whilst they have a guest on the Club’s premises. The following shall not be admitted as a guest of the Club:

committee; – any member under suspension.

6. 9. Finance 9.1 The Club Treasurer will be responsible for the finances of the club. 9.2 The Club will not have borrowings or take out any credit agreements without

express permission from the membership at a General Meeting. 10. Annual General Meeting

10.1 The AGM is to be held once a year, no later than the 30th March. Notice of the meeting shall be posted on the notice board and on the club website at least fourteen days prior to the meeting and shall state the venue, date and time of the meeting. Fifteen members shall form a quorum at the Annual General Meeting.

10.2 The business of the Annual General Meeting shall include – a. Presentation and if accepted the passing of the previous years accounts; b. The election of the Officers and the Committee of the Club; c. The election of the Professional auditor.

11. Extraordinary General Meeting

11.1 An EGM may be convened at any time by the Committee. Notice of the meeting shall be posted on the notice board at least 14 days prior to the meeting.

11.2 An EGM shall be convened between 14 and 21 days after the receipt by the Secretary of a requisition in writing from at least 15 members specifying the object of the meeting for any of the following purposes – a. To consider and, if approved, sanction any proposed alterations to the

rules. b. To receive the resignation of the Committee or to remove any member or

members thereof from office and to fill the vacancies caused thereby. c. To deal with any special matters which the members requisitioning the

meeting may put before other members of the Club. 11.3 Fifteen members shall form a quorum at an EGM.

12. Voting at a General Meeting

12.1 Each member shall have one vote on each resolution at any General Meeting.

12.2 All votes will be by secret ballot. 12.3 The Chair shall have the casting vote in the event of an equality of votes.

13. Discipline & Appeals

13.1 Any member of the Committee and the person tending the bar shall have the power to order any person out of the Club premises until the Committee have given the right to re-enter, the ruling to be made within seven days.

13.2 The Committee shall have the power to expel or suspend any member who offends against the rules of the Club or whose behaviour is in breach of the code of conduct appended to these rules. a. Before such a member is expelled, the Secretary shall give the member

seven days written notice to attend a disciplinary meeting of the Committee, informing the member of the details of the reason for the meeting.

b. No member shall be expelled without first having the opportunity to appear before the Committee to answer the complaint made against them.

c. The member shall only be expelled if at least two thirds of the Committee present vote in favour of the expulsion.

14. Dissolution The Club can only be dissolved by the passing of a motion at either an AGM or an EGM. 15. Amendments to the rules

15.1 Rules may only be amended at a General Meeting of the Club. Notice of any proposed changes shall be posted in the Club for at least 14 days prior to the General Meeting to which the changes are to be submitted.
