Have you enjoyed the Mountain Play

throughout the years?

This year’s production will be “The Sound of Music”, and because the Mountain Play Association has been using the same concession stands for more than 25 years they are seeking help to construct six new stands at the Cushing Memorial Amphitheatre on Mt. Tamalpais for their 100th anniversary, May 19th – June 16th. Architect Geoffrey Butler has graciously donated his services and has drawn up blueprints. Labor and construction will be done by Tamalpais High School woodshop students as part of their 2013 curriculum.

The Mountain Play is seeking financial or material donations to help offset the cost of these new

structures. Any donation made is a 100% tax write off. In return the Mountain Play will acknowledge all donors in a special Marinscope centennial issue that will be distributed to 33,000 households. An anonymous donor has pledged $1,500 per booth (each booth is about $3,000) and sponsors who match the gift will have their name on the booth permanently. A great incentive for community exposure for years to come. An additional 5,000 copies of this issue will be handed out during the run of the 2013 show. Each donor will also be acknowledged to the crowd before the start of each show. It is estimated that a total of 15,000 patrons will attend this year. Donors will also receive a pair of Good Any Day passes to attend the Sound of Music Shows.

Also In This Update• Our Disputed Amount Bill, AB 536 (Wagner), Set For

Hearing Next Week

AB 811It’s amazing how the power of persuasion can have a remarkable effect on things (thankfully) when needed. To this end, I’m happy to report that my lead-in bill from last week’s update, AB 811 by Bonnie Lowenthal, was removed from the committee’s file prior to this week’s hearing in the Assembly Judiciary Committee in an attempt to work out acceptable language with my colleagues and me.

Unfortunately, acceptable language couldn’t be found. Indeed, I’m pleased to report that after a united effort of both labor and management we were able to “convince” the author and sponsors (the DIG ALERT folks) that we absolutely could not support the bill as it was written, or would have attempted to be re-written. In other words, AnY language dealing with training was unacceptable to us. The author then decided that the best tact was to go back and amend the bill into a multi-year data gathering measure, instead. While the “devil is in the details” as to whether this will even be acceptable, it might be important to cull accurate data that can be ascertained to determine how big or if a problem really exists?

In other words, how many “hits” of utilities’ subsurface installations are caused by excavators who don’t call to have their excavation sites marked before they dig? How much of the “problem” is caused by utilities that don’t mark accurately which results in hits? How much is the result of homeowners who don’t call before they dig (who were exempt from AB 811 by the way!), and so on. The author is hoping that requiring the utilities to report all “hits” to the DIG ALERT folks will help paint the picture in the coming years that can then lead to future legislative actions IF they are EVEn necessary. Of course, there is an old adage around the Capitol that aspiring lobbyists learn quickly – you cannot amend a bad bill and many of my colleagues believe this is the epitome of a bad bill. So, it is quite possible that even the data gathering may be a “dream” that will never achieve reality!

The aforementioned AB 811 is the perfect analogy of using nuclear weapons to break up a fist fight! And, without our “persuasion” the use of the weapons would have happened before it was even determined that a fight had broken out! Sounds like north Korea, doesn’t it? One last thing, the Public Utilities Commission (PUC) has been pushing hard to become the new police force to oversee all enforcement of excavation. Everyone from the utilities to the contractor associations to the labor unions are united in making sure this nEVER happens! Stay tuned for the next “possible” iteration of this measure – to see if we, uh, dig it, or not!

AB 536 Set For Hearing Next WeekSo, what’s next to report on? Ah, so many bills and so little space to discuss them in! How about one of our sponsored bills, AB 536 (Wagner)? This measure is up in the Assembly Business and Professions Committee next week. This is the bill that we’ve attempted to get through three previous times, so hopefully the fourth time is a charm, right? In years past we have attempted to define what a disputed amount is within the prompt pay statutes. This year we are changing tact to instead define what a disputed amount is nOT. The background and amended language (which will be tweaked a bit further) that Barney Kamine has written in conjunction with Tim Truax of the AGC and others states:

BILL’S InTEnT: The Prompt Pay statutes are turning into a mess of loopholes that prevent contractors from being paid what they are legitimately owed. They provide no relief to contractors against a sophisticated owner. Worse, they provide those owners with excuses for withholding more money due to a loophole within the existing statute. The intent of this measure is to specifically state what cannot be included in a disputed amount.Amendments To AB 536 To Address the Problem

AB 536 is intended to correct this major loophole in the current prompt pay statutes by defining three specific things which cannot be included in a disputed amount. This will ensure that the process is fair and equitable to all sides.

The 3 specific things that the amendments propose:

1). With respect to liquidated damages assessed by the owner, any amount in excess of the liquidated damages assessment.

The 1st amendment addresses a problem construction attorneys have encountered in southern California: When a contractor protests against a liquidated damages assessment, some agencies have responded that the protest makes the amount of LDs a “disputed amount” for which the agency can withhold not just the amount of LDs, but 150% of the amount of LDs. The broad language of Martin Bros. appears to support this argument The sponsors 1st sentence in the pattern is designed to preclude such EXCESS withholding by saying that any withhold In EXCESS OF the amount of LDs will nOT go into the safe harbor for protection against prompt payment penalties. Only the withhold for the actual amount of the LDs will go into the safe harbor.

2). With respect to mechanics liens and stop payment notices, any amount in excess of what the owner is permitted by law to withhold from the direct contractor on account of such mechanics lien or stop payment notice.

The 2nd amendment addresses what amounts to an affirmative claim by a subcontractor - either by a mechanics lien or a stop payment notice. By other statutes, the owner can withhold 125% of the lien/stop payment notice claim from the prime contractor. The prime contractor is, of course, entitled to withhold that same amount from the subcontractor - and to have that withhold go into the safe harbor. However, under Martin Bros., if the prime contractor disputes the mechanics lien or stop payment notice amount, then that claim amount becomes a “disputed amount” for which the prime contractor can withhold from the subcontractor 150% x 125% = 187.5% of the amount of the lien/stop payment notice claim.

The sponsors’ 2nd amendment is designed to preclude such EXCESS withholding by saying that any withhold In EXCESS OF the amount withheld by the owner on account of the lien/stop payment notice will nOT go into the safe harbor for protection against prompt payment penalties. Only the withhold for the amount withheld by the owner will go into the safe harbor.

• none of our proposed language will preclude general contractors from withholding funds from subcontractors who fail to pay their suppliers, fail to pay their insurance premiums, fail to pay civil judgments, fail to rectify defective work, etc.

• nothing in AB 536 has ever sought to define what constitutes

a “disputed amount” - it only seeks to identify 3 things that are nOT disputed amounts under the broad language of the statute and Martin Bros.

3). The amount of any claim for additional compensation by the direct contractor against the owner.

The 3rd amendment addresses the affirmative claim discussed in Martin Bros. Construction, Inc. v. Thompson Pacific Construction, Inc. (2009) 179 Cal. App. 4th 1401, 102 Cal. Rptr. 3d 419. See page 2, lines 31 to 34; page 3, lines 26 to 28; page 4, lines 24 to 26; page 5, lines 10 to 13 and lines 37 to 39; page 8, lines 3 to 6; page 9, lines 7 to 10.

To the extent that a subcontractor may breach a subcontract by making affirmative claims for additional compensation, AB 536 does prevent the prime contractor from withholding, from payments otherwise due, 150% of the amount of those affirmative claims for additional compensation. To the extent that a subcontractor may breach a subcontract by pursuing a mechanics lien or stop payment notice remedy, AB 536 limits the withholding from the subcontractor to just the amount the owner withholds from the prime Contractor on account of that mechanics lien or stop payment notice.

To the extent that a subcontractor may breach a subcontract by causing the owner to assess LDs against the prime Contractor, AB 536 limits the withholding from the subcontractor to just the amount of LDs the owner is withholding from the prime Contractor. nothing in AB 536 precludes the prime Contractor from making its own claim for delay damages - separate from the LDs pass-through - AnD withholding that amount from the subcontractor AnD having that withhold go into the safe harbor for protection against prompt payment penalties.

In conclusion, as amended on April 8, AB 536 will ensure that all parties in a dispute are protected without allowing for “gaming” of the system.

Wish me luck next week! I’ve got the public agencies opposing the measure and one spin-off group of the AGC – the Construction Employers Association – who has submitted suggested amendments that we are trying to work on with them.

The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

With social media, instant pictures and 140 character messag-ing it’s nice to know when your name comes up in actual con-versation! Don’t be ‘alarmed’ but you may need a contractor license for ‘security’. What license ‘works’ for public bids by a Limited Liability Company?..

Q: In talking with a contractor friend, your name was recom-mended when we were discussing obtaining a specialty license. I’d like to know if there is a procedure you may provide that takes into consideration education and related experience since I don’t have four years of field experience?A: Thank you for contacting Capitol Services. While you must have at least one year of practical experience, the CSLB does consider education credit toward the four years of required work experience. The amount of time they credit you depends on your education level, your field of study and the specific trade you’re ap-plying for. For example, the CSLB would likely give you two years credit if you have a four-year college degree in the field of account-ing, business, economics, mathematics, physics, or area related to your intended trade.

Q: We are considering converting our corporation’s contractor license to a Limited Liability Company (LLC). Currently we are exempt from Worker’s Comp insurance because we have no em-ployees, only Officers. Does the same hold true for LLC’s if we are all members or managing members of the LLC?

A: If the LLC does not have employees and the only personnel consist of members or managers, it is our understanding that you can file the exemption from Worker’s Compensation.

As you may already be aware, LLC’s are still required to provide an insurance certificate. They must show Proof of Liability Insurance with the cumulative limit of $1 million for licensees with five or fewer persons listed as members of the personnel of record, and an additional $100,000 for each additional member (not to exceed $5 million total).

Q: We are trying to start a contracting business and we’d like to form an LLC for this purpose. We have just been told that if we do business as an LLC we will not be able to bid on or participate in any Public Works projects. Is this true?

A: It is our understanding that a LLC, just as any other type of legal entity, can bid on public works projects.

The CSLB has limited jurisdiction over who can bid on public works projects so the local government in question ultimately has the final opinion as to who can submit a bid. As you probably know, prior to January 2012, the CSLB would not issue contractor licenses to LLC’s so it’s possible that the individual who told you this is unaware of the new law that allows LLC’s to obtain a contractor’s license. Call Capitol Services if you need further assistance in your application.

Q: I currently have an alarm license but not a contractor’s license. I was recently talking with a “C-7” (Low Voltage) contractor who does the same type of work. Am I required to have that same type of license from the CSLB?

A: In most cases ‘security’ alarm operators who are licensed by the Bureau of Security and Investigative Services are not required to also hold a contractors license. However, please note that if you are installing or servicing fire alarms then you are required to obtain a license with the CSLB.

Gates Cooperative Construction Manager (Sausalito)

The Gates Cooperative is a 38 member organization of houseboat owners that are seeking permanent legal berths. These berths are to be located in the County approved expansion of the adjacent Waldo Point Harbor. In order to occupy the new berths, each houseboat must be brought to code standards established by the County. coordination with Waldo Point Harbor’s construction manager10. Monitor construction process; verify work completed for pur-

poses of contractor applications for payment11. Review requests for change orders and submit to Project Finan-

cial Consultant for approval

QUALIFICATIOnS: 1. Minimum 10 years’ experience in project estimating and construc-tion2. Experience with houseboat construction preferred3. Proven budget management skills4. Good communication skills, both verbal and written5. Experience with computers, particularly Excel
