Minutes of Meeting of the Members of

XYZ Limited Liability Company

Pursuant to notice, a meeting of the members was held on July 12,

2012 at 279 North University Avenue, Provo, Utah 84601.

Attendance constituting a quorum was found present, with the

attendance of John P. Smith and Joseph R. Doe, representing 100% of

ownership interest.

Officers in attendance included John P. Smith (Manager), Joseph R.

Doe (Manager), and John P. Smith (Secretary/Treasurer), representing

100% of corporate officers in attendance.

Actions of the members and/or officers of the company, including

ratification of previous actions taken by members or officers on behalf of

the company included:

1) Ratification of the action taken by the Manager to open

a business account with Safe and Secure National Bank.

2) Authorization and ratification of all previous and

planned distributions.

Opportunity was provided to the members to review financial

statements and records of previous actions, and all members desiring to do so made such a review.

Future meetings were not scheduled at this time.

There being no further business, the meeting was duly adjourned.
