District Council Virtual Meeting September 21, 2019

Meeting Minutes I. Call to Order:

District Director Wes Johnson called the meeting to order at 9 am. . II. Inspirational Moment:

Division A Director Anthony Lucido, presented an inspirational moment. III. Reading of the District Mission Statement:

The District Mission Statement was read by Division A Director Anthony Lucido.

IV. Opening Remarks:

District Director Wes Johnson, gave opening remarks. The District’s goal is to become a President’s Distinguished District. To be President’s Distinguished District, District 39 needs to have 76 distinguished clubs, 159 clubs in good standing and 5811 paid members.

V. Credential Committee Report:

George Jarosik, DTM, Credentials Committee Chair, stated that a quorum was met for the virtual business meeting. The quorum was determined by registration through Election Runner.

Wes Johnson introduced a single ballot method for voting on the approval of the

following items; appointed district officers, the 2018 - 2019 audit and the 2019 -

2020 budget. Without objection, voting was held through a single ballot method.

No objections reported. The single ballot method was executed.

District Director Wes Johnson stated that these officers must be approved by the District council. With no

objections being made, the appointed officer’s report was submitted.

VII. Approval of the Minutes Spring 2019

Administration Manager Katherine O’Ray presented the minutes from the spring conference business meeting. The minutes were adopted as distributed. Please note that changes to the minutes may be made at any time. Please submit all requests to Katherine O’Ray.

VIII. District Audit Committee Report

The district audit committee report was presented by Katherine O’Ray, Chair of the Audit Committee.

The year-end audit was completed on September 3, 2019 with the assistance of Cindy Hatano and Bob Blymyer,

members of the Audit committee. The information was presented online and in the packet. The committee

offers the audit as complete. With no corrections being made, the District Audit was submitted.

IX. 2019-2020 Fiscal Report District Finance Manager Renee Fink presented the September 21, 2019 Fiscal and 2018 – 2019 Financial Results reports. There were no questions from the council. Please email Renee at [email protected] if you have any questions.

X. Approval of 2019-2020 Budget

District Finance Manager Renee Fink shared the summary page of the 2019 – 2020 budget on her screen. District 39 hosted a virtual Town Hall Meeting on Tuesday September 17, 2019 for an hour. The town hall meeting is still available on line for those interested in reviewing the budget. http://www.district39.org/budget-townhall-council-meeting/ http://www.district39.org/town-hall-meeting-2019/ Balances are negative because TI works on a reserve type of accounting. An addendum has been published by Toastmasters International and the charity mileage rate for all Districts has been set at $0.14 per mile.

District Director Wes Johnson gave instructions on voting and announced that the voting process has begun.

XI. 2019-2020 District Success Plan:

District Director Wes Johnson stated that the trio has gone through the District Success Plan. It has been posted on the website and has submitted to Toastmasters International. The District Success Plan has the District goal as working towards a Presidents Distinguished District. To be President’s Distinguished District, District 39 needs to have 76 distinguished clubs, 159 clubs in good standing and 5811 paid members.

XII. Committee Report:

A. Leadership Committee Report: District Director Wes Johnson reported on behalf of Immediate Past District Director Jane Taff. Jane Taff is assembling a team for the District Leadership Committee. If you are interested in serving on the committee, please send an email to Wes - [email protected].

B. Realignment Committee Report: No Report at this time. District Director Wes Johnson stated that District 39 has two new clubs. The clubs have been assigned to the divisions that it seemed appropriate at this time.

C. Report of the International Board of Directors: Parliamentarian Rick Sydor stated that there have been no Board Meeting minutes since June 26, 2019. Rick has been made aware that all propositions (A-L) passed at the International Convention in August. Propositions A – L can be found in the June Toastmaster Leadership Magazine. The latest Board minutes can be found at https://www.toastmasters.org/about/board-of-directors/meeting-minutes.

D. District 39 Procedures Committee: Parliamentarian Rick Sydor stated that there are seven District procedures posted on the website. http://www.district39.org/wp-content/uploads/District-39-Procedures.pdf. These used to be called Standing Rules. Changes need to be made to items, 3, 6, and 7. Also, the Expense Guidelines for District 39 need to be reviewed. Rick is looking forward to everyone’s input. These will be corrected and presented at the Spring Conference.

XIII. Reports from Senior District Officers

A. Public Relations Manager Public Relations Manager Patricia Peters submitted her report as distributed. Patricia Peters is currently recruiting members for the positions of Newsletter Chair and committee members.

B. Club Growth Director District Director Wes Johnson has submitted the Club Growth Director report on behalf of Nancy Potts. Wes Johnson submitted Nancy Pott’s report as distributed.

C. Program Quality Director Program Quality Director Kristi Beres submitted her report as distributed. Kristi Beres stated that training has moved up to November 1. Training in three hours; 1st hour would be meeting DCP goals, 2nd hour evaluations, and 3rd hour is a trainer’s choice.

D. District Director District Director Wes Johnson asked George Jarosik to close elections. District Director Wes Johnson announced that the election has been closed. Results were:

XIV. Unfinished Business Kristi Beres reported that the Facilities Committee; Julie Mattox, Lynda Mendez, and Joey Waldrop, looked at 10 venues. The venues were either too small to accommodate 150-200 people or too expensive. The Conference committee chose the Holiday Inn Express & Suites in Elk Grove. The Conference is being held on April 17 and 18, 2020. The Keynote speaker will be Naomi Takeuchi, DTM, International Director Region 1 and she will be giving a speech on empowerment. https://www.toastmasters.org/about/board-of-directors/current-board-of-directors Also, Aaron Beverley the current Toastmasters International World Champion will be joining us. District Leadership Committee 2019-2020

Report to the District Executive Committee

The District Leadership Committee is proud to announce the candidates for the 2020-

2021 Toastmasters year.

I assert that the following people have submitted the correct forms and are eligible for

their respective offices. In addition, any of these candidates is eligible to run from the

floor for any vacant position. No other members were interviewed.

Because of the coronavirus pandemic, Toastmasters International relaxed some of the

rules for campaigning. The candidates were informed of the changes. The District held

and recorded a Candidate Showcase on April 11, 2020, to give the candidates an

opportunity to share their ideas with the District. The recordings were posted on the

District website along with the candidate bios and pictures.

Council Meeting Standing Rules of the 66

th Annual District 39 Spring Council Meeting

Presiding Officer May 9, 2020

1. Order of Precedence

All proceedings shall be conducted in accordance with the Articles of Incorporation, Bylaws and

published policies of Toastmasters International for this meeting. Robert’s Rules of Order, Newly

Revised 11th edition, shall be the final authority as to parliamentary procedure, insofar as it does not

conflict with the Articles of Incorporation, Bylaws and published policies of Toastmasters International,

with their order of precedence as indicated above.

2. Participation Authority

Only “delegates” [club Presidents and VP Education that have registered on line prior to noon on May 7,

2020 and received a voting “link”, plus “delegates at large” [the elected/appointed District Officers whose

position qualifies them for DTM recognition] may make motions or participate in discussion on motions.

Before addressing the assembly, a voting delegate shall state his or her name, club number. Any other

person [non-delegate] may speak if granted permission by the chair. The Chair encourages all members to

keep their microphones muted unless they have been recognized to speak.

3. Credentials Committee Report

The Credentials Committee shall report at the appointed time of this meeting the total number of

Delegates registered by noon on May 7, 2020. During the Credentials report, the Committee will confirm

that this meeting has a quorum as defined by the Bylaws of Toastmasters International. Once quorum is

calculated based on the number of registered voters, it is not recalculated throughout the meeting. If a

member wishes to challenge the quorum, the District should be prepared to show the number of registered

Club Presidents and Vice Presidents of Education against the total possible number to validate that one-

third have registered.

4. Credentials Requirements

Each club in good standing with Toastmasters International at the time of this meeting is entitled to two

(2) votes. The authority of each “delegate” to vote shall be evidenced by proper identification [meaning

they are a Club President or VP Education]. District Officers (Delegates at Large) are entitled to one (1)

vote. The maximum number of votes each “delegate” may carry is three (3). [Note: “delegates at large”

are NOT considered part of a quorum.]

5. Timer

The Chairman (District Director) shall appoint an official timer(s) who will turn on their microphone and

applaud and/or the Zoom manager shall mute the microphone shall when the time authorized has expired.

6. Time Limitation for Agenda Items

Debate or discussion on any item on the agenda shall be limited to a maximum of ten (10) minutes.

Debate may be extended at the discretion of the District Director, to allow additional discussion if fairness

to requires or by the District Council by proper parliamentary procedure.

7. Time Limitation for Speakers

No Delegate shall speak more than once on the same question or longer than one (1) minute. Debate may

be extended at the discretion of the District Director to allow additional discussion if fairness so requires

or by the District Council by proper parliamentary procedure. This limitation does not apply to point of

order and appeal.

8. Voting Procedure

Voting may be by secret ballot, OR stating “if there are NO OBJECTIONS” [RONR 11th pgs. 54-55],

pausing, and proceeding as if the motion passed.

Prior to a vote, the District Director must establish and communicate the specified

amount of time for each vote.

Conduct the election for each role to completion before moving on to the next role

Recommendations: Inform voters when the ballot is launched.

Recommendations: Remind voters to check their spam/junk/clutter folders for the

voting link in the event that they cannot find the ballot in their inbox.

Recommendation: Allow a sufficient time for voters to receive the voting link or

voting links and to cast their vote.

During the elections, if there are any uncontested offices, dispense with the secret

ballot for the uncontested office and instruct the Administration Manager to cast a

single vote for the candidate for each such office.

Ballot Results: Share {display on screen) the results of the ballot, including the number of votes each

candidate received, with the meeting participants.

9. Candidate-appointed observers

Create, and assign appointed observers to, breakout rooms for their respective candidates. {For example,

prior to the vote opening for each role, the candidate-appointed observers for that role should be in the

designated breakout room}.

Recommendation: The person conduction the online vote should receive the list of candidate observers

ahead of time so they can confirm the appropriate people are in the breakout room.

In the breakout room, the designated person conducting the online vote will share their screen so that the

observers can see the votes as they are being tabulated.

10. Balloting Procedure for Elections

The District Director; the Program Quality Director, District 39; the Club Growth Director, District 39;

and the Division Directors shall be elected by a majority vote. In the event no candidate for a particular

office receives a majority vote, the candidate having the lowest vote for that office shall be dropped from

the succeeding ballot. In the case of a tie vote, balloting continues until a winner is determined. Any

“floor candidate” must have been interviewed for the position for which they agree to let their name stand

AND have declared their intention to be a candidate 7 days prior to this District Council Meeting [May 3,

2020]

11. Enforcement of Rules and Appeal

The District Director shall enforce the rules, but a member may appeal a ruling of the District Director.

Following a brief statement by the challenging members, and a response by the District Director, the

District Director shall put the question and a majority vote shall uphold the ruling of the District Director.

In the event of a tie vote, the motion fails. The District Director may vote on an appeal.

12. Motions

All decisions of the meeting are to be made by means of a motion made by a voting Delegate, seconded

by another voting Delegate, stated by the Chairman, offered for debate (in the case of debatable motions),

and then put to a vote by the District Director. The maker of the motion shall submit a written text of the

motion to the District Administration Manager {via the “chat” option in Zoom}at the time the motion is

stated. Motions shall be stated in the positive, not in the negative.

District 39 Procedures/Standing Rules [May 2020]

1. The boundaries of this District shall be as follows: California and Nevada:

a) Bound on the west by District 57, on the north by Districts 7 and 15, and on the south by District 33;

b) Bound on the west by the Coastal Mountain Range, on the north by the Oregon state line with the exception of the State of California County of Modoc which belongs to District 7, on the east by State of Nevada Counties of Eureka, Humboldt and Landers and by the Stanislaus and San Joaquin Rivers in the State of California;

c) All of Carson City, Churchill, Douglas, Lyon, Pershing, Storey, and Washoe Counties of the State of Nevada, and those parts of Esmeralda, Mineral, and Nye Counties lying north of U.S. Highway 6 in the State of Nevada, including cities intersected by U.S. Highway 6; and

d) All of Alpine, Amador, Butte, Calaveras, Colusa, El Dorado, Glenn, Lassen, Mono, Nevada, Placer, Plumas, Sacramento, San Joaquin, Shasta, Sierra, Siskiyou, Sutter, Tehama, Trinity, Yolo, and Yuba Counties in the State of California, and that part of Solano County lying east of the foothills along Interstate Highway 680 and Highway 12 that intersects Interstate Highway 80 near Red Top Mountain Road which includes the Solano County cities of Fairfield; Suisun City, Vacaville, Rio Vista, and Dixon.

2. The Administrative Manager, Finance Manager, Public Relations Manager, and Area Directors shall be

appointed and served at the will of the District Director, subject to the approval of the District Executive Committee and are confirmed by the District Council.

3. Areas shall be numbered with two digit numbers as follows: The first digit shall represent the numerical equivalent of the Division letter. The second digit shall represent the Area within the Division.

4. “All District Conferences are placed on a five-year calendar, with Spring Conferences chaired by teams consisting of two Divisions. The host Division Directors shall be Conference Co-Chairs, unless otherwise appointed by the District Director. [May 2016]

5. At each District Council meeting, the Credentials Desk shall be closed at the time the Council meeting is called to order and no proxies shall be accepted after that time. Should a quorum not be established, the Presiding Officer may reopen the credentials desk in accordance with Robert’s Rules of Order Newly Revised for the sole purpose of establishing a quorum.

6. The recipient of the “Sustained Service Award to District 39” {previously known as the Herb A. Yarbrough Award}, shall be selected annually by the District Director with recommendations from Past District Governors/Directors. The Award shall be presented by the District 39 Director during the Spring Conference.

7. “District 39 shall not host a “Toastmasters Event” in the “Greater Sacramento Metro Area” which conflicts with the Sacramento County Academic Decathlon.” [May 2016]

May 9, 2020 Account balances through March 31, 2020 were as follows: Cash, Pay Pal Account $ 5,168.27 District Reserve $ 57,083.92 Total Cash & Reserve $ 62,252.19 We must hold a minimum District Reserve of $14,420 for the Toastmaster year 2019-2020. This leaves $47,832.19 in Available Funds. The financials through March 31, 2019 are attached. We have a year-to-date profit of $17,175.95. Fortunately we have underspent our budget as we’re 11.4% under our membership revenue. Spring Conference Refunds: I have reached out to everyone who submitted a payment for the Spring Conference. Thank you to those who have completed the process for their refund. I truly appreciate your prompt cooperation. I’ve sent second reminders to those who didn’t respond. If this is you, can you please respond immediately as it takes some time to get the refunds done through the process. We want to make sure all the refunds are complete before the end of the Toastmaster year. If you haven’t received my email but do have money owed to you, please email me at [email protected] and let me know as I might have an incorrect email address. Challenges/Goals: o Retain and build club membership has become a real challenge in the “distancing” directives. o Build new clubs and help charter clubs already in the process. Four have chartered. o Recognize accomplishments of members, clubs, Divisions and District. (Incentives recognitions.)

Accomplishments/Recognition: COVID-19 Announcement: Renewal deadline extension. Clubs that meet the April renewal

requirement by April 30, 2020 will remain in good standing and will receive credit towards goal 10: on-time submission of dues renewals. Clubs will no longer be in good standing on May 1, 2020, unless dues have been paid. Membership renewal is currently challenged. We have 1676 paid members and 1079 unpaid. Membership: 4656 paid our base is 5,535 need 5,619 for distinguished. 04/21/2020 Report: 116 Clubs have submitted at least eight members’ dues “Verified Complete”; 16 clubs “Low-Minimum requirement not yet met”; 11 clubs “Ineligible”; 15 clubs “Renewals not here”; Our goal: No club left behind.
