Unless expressly ac ce pte d

by DMI in w riting, a ny such ad ditional or differing terms and co nditions prop osed by Custome r are hereb y expressly rejec ted .

Custome r silenc e o r ac ce pta nce or use o f go od s or pa rts (goo ds) or service s co nstitutes its ac ce pta nce of the se Terms andCond itions (hereinafter referred to as this ag reem ent ).

2. Severance

Should any p rovision of this Agreeme nt, or po rtion thereof, be unenforce ab le or in co nflict w ith the law s of the United State sof Ame rica or the law s of a ny state or jurisdic tion which g overns any transac tion be twee n DMI and Custome r, then the va lidityof the rema ining p rovisions, and po rtion thereof, shall not be affec ted by such unenforce ab ility or conflict a nd this Agreeme ntshall be co nsidered as if suc h p rovision, or po rtion the reof, w ere no t c onta ined herein.

7. Limitation of Liability

NO TWITHSTANDING TO THE CONTRARY, EXPRESS OR IMPLIED, (1) EXCEPT AS PROVIDED IN THE ABOVE ENTITLED PATENT

INDEMNIFICATION , DMI LIABILITY FOR ANY CLAIM OR ACTION OF ANY KIND ARISING OUT OF, IN CONJUNCTION WITH ORRESULTING FROM THE MANUFACTURE, SALE, DELIVERY, RESALE, USE OR REPAIR OF GO ODS THEREOF OR SERVICES RENDERED BY DMISHALL NOT EXCEED DMI PRICE FOR THE GOOD, COMPONENT PART THEREOF SERVICE WHICH GIVES RISE TO SUCH CLAIM OR

AC TION, AND (2) DMI SHALL IN NO EVENT BE LIABLE FOR SPECIAL, INDIRECT PUNITIVE, INCIDENTAL OR CO NSEQUENTIAL DAM AG ESOR CONTINGENT LIABILITIES ARISING OUT OR THIS AGREEMENT OR THE FAILURE OF ANY GOODS TO OPERATE PROPERLY, INCLUDING

ANY DAMAGES OCCASIONED BY DELAY, LOST BUSINESS OPPORTUNITY OR LOST PROFITS OR OTHERWISE. CUSTOMER ASSUMES ALLLIABILITY FOR ANY LOSS, DAM AGE OR INJURY TO PERSONS OR PROPERTY ASRISING OUT OF, CO NNECTED WITH OR RESULTING FROM

THE POSSESSION, USE OR APPLICATION OF SUCH GOODS, EITHER ALONE OR IN COMBINATION WITH OTHER GOODS.

8. Taxes

All prices exclusive o f any Fed eral, Sta te, loc al, sales, use, e xcise or simila r taxes imp osed on the sale or use of the service s,equipment, produc t or mate rial listed, which ta xes will be ad ded to q uoted prices where a pp lica ble.

9. Payment

Terms of p ayme nt a re ne t thirty (30) da ys following invoice d ate . Custome r agrees that a ny pa st d ue a moun ts shall bea r interestFrom d ue d ate until pa id a t the rate eq ual to the highest lawful rate pe rmitted by the State of Texas or the United State s of

America, whiche ver law fully pe rmits the highest rate , it being und erstood and ag reed by c ustome r that DMI may cha rge andco llec t the ma ximum no n-usurious rate of interest pe rmitted b y ap plicab le law s in effect from time to time. If any proce ed ing or

suit is instituted ag ainst Custom er to rec ove r any pa st due amo unts, then DMI is entitled to rec ove r all of its co sts and e xpensesrelate d thereto, including its rea sona ble atto rneys fees.

Custom ers release, de fense, inde mnity and hold ha rmless ob ligationsap ply whethe r the pe rsona l injury, dea th, prope rty da ma ge d or loss is suffered by o ne o r more me mb ers of DMI Custome r or anyother person or entity and the Customer will support such obligations assumed herein with liability insurance to the maximum extent

allowed by ap plicab le law.

12. Design Changes

DMI reserves the right to cha nge or mod ify the de sign of a ny eq uipment, too l or produc t without ob liga tion to furnish o r install such

cha rges or mo difica tions on p rod uc ts previou sly or sub seq uently sold . DMI, or its licensed fa cilities, are the only pe rsons that ma yre-build or modify any tool, equipm ent or produc t provided by DMI and these terms and co nditions do not g rant such a lice nse orrigh t to Custom er o r its cont rac tors, licensees, sub co ntrac tors or a ssignees.

13. Dispute Resolution

Custome r and DMI agree tha t any d ispute that m ay a rise ou t of the p erforma nce of this Contrac t shall be resolved b y binding

arbitration by o ne a rbitrator, selec ted unde r the rules of the American Arbitration Assoc iation. The a rbitration shall be go verned b ythe rules of Co mm ercia l Arbitration of the Am erica n Arbitration Assoc iation. The a rbitra tion will take place in Houston Texas.

14. Rental Charges

The DMI renta l rate includes wea r to the top of the m atrix or steel ba cking. Should w ea r into the b ac king o cc ur, ad ditionalch arges ma y app ly and will be invoice d to the C ustome r. Well co nditions which p revent satisfac tory operation of the renta l good sshall not relieve Custome r of the respo nsibility to p ay the ap plica ble rental c harge s.

If renta l good s are p ulled for rea sons other than b it performa nce and the b its are not rerun, then b it performa nce clausesrega rding the interval to be drilled w ill be void, provided that the bit is rerunab le. If light w eight on DMI bits are utilized due to

de viation or direc tional co nc erns, then pe rformanc e c lauses reg arding rate of p enetration (ROP) will be void.

In the event tha t any b its a re lost in the we ll (LIH) Custom er will ma ke a d iligen t effort to rec ove r the b its, at no c ost to DMI. Any bitsab and oned in the w ell, da ma ged be yond rep air (DBR) or lost for any rea son (including Acts of God ), in transit, or otherwise w hile

in the c ustod y of C ustome r or any third pa rty arranged for by Custome r, will be cha rge d at the loss price o r sales price.

15. Applicable Law

The c onstruction interpreta tion and pe rformanc e o f any o rde rs and any a nd a ll transac tionsunde r thisag reement shall be

20. Title a nd Risk o f Loss

Risk for dam age to (inc luding d ete rioration from w ea ther or othe rwise) o r loss of the go od s sha ll pass to Custom er F.O.B. at DMIfac ility, reg ardless of w ho p ays shipping co sts or upo n storage of the go od s for the be nefit of Custome r; howe ver, title to the go od s

sha ll rema in with DMI until Custom er has fully pa id fo r the go od s.

21. Warranty And Liability

Due to the unc ertainties of subsurfac e c ond itions and the ha zards in or a bo ut we lls over which DMI has no c ontrol, the o nlywa rranty g iven by DMI is that the go od s de livered a re free of de fec ts and faults of wo rkmanship, manufa cture a nd m ate rial.DMI wa rrants that g oo ds sold b y it shall be of DMI stand ard qua lity and not tha t such go od s will ac co mplish a ny p articular result.

In the event o f non-co nforming g ood s, the liab ility of DMI and the remed y of Custome r is restricted to the rep lace ment o f thego od s returned a t the custome rs expense to DMI and de termined b y DMI to p ossess such a de fec t. The w arranty state d herein

extends only to the first user to w hom DMI or its autho rized de aler de livers such go od s and do es not ap ply to any g oo ds uponwhich rep airs or alte rations have b ee n ma de , unless p reviously autho rized in writing b y DMI. This wa rran ty shall expire one (1) year

afte r date of shipment of the goo ds from DMIs fac ility. There are no w arranties, exp ress or implied of me rcha ntab ility, non-infringement, fitness, or otherwise beyond those stated in the immediate preceding sentences.

22. Custom ers Financ ial Condition

If seller rea sona bly d oub ts Custome rs financ ial co ndition o r ability to pa y, or if Custome r is de linque nt in p ayme nt o f a ny shipment

or c harge, Seller ma y, at its sole o ption, without liability and without p rejudice to a ny other remed y, suspe nd its pe rformanc e,de cline to ship, stop any go od s in transit, or take any o ther ac tion it leg ally entitled to ta ke, until it rece ives pa yment o r sec urity it

seem s is ad eq uate for pa yment for the full price o f all go od s and cha rges, including full ca sh pa yment in ad vanc e.

23. Force Majeure

DMIshall not b e respo nsible for any d elay o r non-performa nce due to g overnmenta l reg ulation, lab or dispute s, wa r or war likeactions, civil disturbances or riots, weather, fire, acts of God, acts or terrorism or any other causes beyond the reasonable control

of DMI
