1. AgreementPlease complete the agreement, noting your company name, address, contact person, telephone and fax numbers. The product/service to be exhibited must be noted in order for your agreement to be processed and validated. Payment in full is required to reserve exhibit space. After the initial space assignment, space will be assigned on a first-come, first-served basis.

2. Payment TermsIn order to confirm exhibit space and/or sponsorships, full payment of exhibit space/sponsorship must accompany contract. If any exhibitor fails to perform any term or condition of the contract, or fails to observe and abide by these Contract Rules and Regulations, OD Network reserves the right to terminate the contract immediately without refund of any monies previously paid.

3. CancellationCancellation of exhibit space must be directed in writing to OD Network. Refunds will be made at the discretion of OD Network. Contracts canceled by July 25, 2016 will be refunded at 50 percent of the exhibitor’s total payment due. In no case, however, will any refunds be made after July 25, 2016. In case of fire or the elements, or any other causes beyond the control of management, which prevent the holding of the show, this contract is not binding. If for any reason beyond OD Network’s control, the 2016 OD Network Annual Conference must be canceled, shortened, delayed or otherwise altered or otherwise changed, Exhibitor understands and agrees that all losses and damages which it may suffer as a consequence thereof are its responsibility and not that of OD Network or its event manager SmithBucklin, or their respective directors, officers, employees or agents. Exhibitor understands that it may lose all monies it has paid to OD Network for space in the exhibition, as well as other costs and expenses it has incurred, including travel to the show, setup, lodging, freight, employee wages, etc.

4. Assignment of SpaceSpace assignments will be made beginning July 5, 2016 based on sponsorship level, beginning with Platinum Sponsors. After the initial space assignment, space will be assigned on a first-come, first-served basis. Payment in full is required to reserve exhibit space. 5. Set-up and DismantleSet-up and dismantle hours will be noted in the Exhibitor Service Kit to be sent in summer 2016. If an exhibit is not set up by the time and date designated in the Exhibitor Service Kit, OD Network reserves the right to reassign such space to another exhibitor or to make other use of the space as deemed necessary or appropriate at the expense of the exhibitor. Exhibitors are required to be present at their tabletop until the closing of the Exhibit Hall. No part of an assigned tabletop shall be removed during the Conference without special permission from OD Network.

6. Subletting of Exhibits and Prohibited UsesExhibitors are prohibited from assigning or subletting a tabletop or any part of the space allotted to them. Nor shall they exhibit or permit to be exhibited in their space any merchandise or advertising materials which are not a part of their regular products, or which are not compatible with the character of OD Network, without a written request and approval. OD Network reserves the right to terminate any portion of the exhibit that is not in accordance with these rules without prior approval.

7. Exhibit Package and LayoutEach exhibitor will receive one (1) table and two (2) chairs per rented space.

8. Alcoholic BeveragesThe serving of alcoholic beverages by exhibitors in any part of the tabletop exhibit area is strictly prohibited.

9. Use of Space — GeneralAll marketing activities of each exhibitor must be confined to the exhibitor’s assigned tabletop. Demonstrations must be designed to take place and keep the audience within the existing space to allow the free flow of traffic in the room. Exhibitors expressly agree not to hold any activity that, in the opinion of OD Network, creates a material adverse effect on attendance during the Conference. A maximum of two (2) roll-up banners may be used in each booth, but must not exceed six (6) ft. tall. No free-standing pop-ups will be permitted in the Exhibit Hall. Additional charges will apply if your exhibit requirements extend beyond the agreed upon footprint.

10. Special Visual and Audio EffectsAudio-visual and other sound and attention-getting devices and effects will be permitted only in those locations and in such intensity as, in the opinion of OD Network, does not interfere with the activities of neighboring exhibitors. Operational equipment demonstrated may not create noise levels objectionable to neighboring exhibitors.

11. Hotel Suites and Meeting RoomsOD Network reserves the right to control all suites and meeting rooms in the hotel which is providing housing for OD Network. No entertainment, meetings, tours, special events, hospitality suite functions or other private functions will be permitted during the Conference activities unless approved by OD Network. Companies not in accordance with the stated rules may lose their privilege of exhibiting at this and future conferences.

12. LiabilityThe exhibitor assumes all responsibility for any and all loss, theft or damage to exhibitor’s display, equipment and other property while on the hotel premises, and hereby waives any claim or demand it may have against the hotel or its affiliates arising from such loss, theft, or damage. In addition, the exhibitor agrees to indemnify, defend, and hold harmless OD Network against any liabilities, obligations, claims, damages, suits, costs and expenses, including, without limitation, attorneys’ fees and costs, arising out of or in connection with the “exhibitor’s” occupancy and use of the exhibition space.

13. InsuranceEach exhibitor shall carry and maintain all liability insurance. Participating exhibitors assume the entire responsibility and liability for losses, damages and claims arising out of injury or damage to exhibitor’s displays, equipment and other property brought upon the premises of the hotel and shall indemnify and hold harmless OD Network, the management firm, agents, servants and employees from any and all damages, claims and/or destruction including theft or mysterious disappearance to any and all equipment owned by, leased to, or utilized by exhibitors.

14. Promotions, Contests, Printed Material, Etc.All giveaway items, with the exception of pens, pencils, luggage tags, pocket calendars and similar items, must be submitted for approval prior to the Conference. Sideshow tactics, or other methods, including marketing material, considered by OD Network to be objectionable, are expressly prohibited at the Conference. Prizes, awards, drawings, raffles, lotteries or contests may be permitted in accordance with applicable state laws. Requests for approval of such activities must be submitted in writing to OD Network at least three weeks prior to the opening of the Conference. Distribution of promotional material to OD Network conference attendees’ hotel sleeping rooms, public areas or in sessions is strictly prohibited without prior approval from OD Network. Use of OD Network hotel communication systems to promote the exhibitor’s presence or their products is also prohibited.

15. Use of OD Network NameParticipation by an exhibitor in the Conference does not entitle the exhibitor to use the OD Network name other than with reference to the exhibitor’s participation as an exhibitor in the Conference without permission from OD Network. Participation in the Conference does not imply endorsement or approval by OD Network of any product, service, or participant and none shall be claimed by any participant.

16. SecurityNeither OD Network nor the management firm will accept the responsibility for “exhibitor’s” valuables, tools or personal items. It is suggested that small carry-type items of value be secured or removed from the Exhibit Hall floor each evening.

17. CleaningOD Network will arrange daily cleaning of the aisle carpets and common areas. “Exhibitors” are responsible for maintaining the cleanliness of their respective exhibit space.

18. PressOD Network reserves the right to control all media access and press activity during the Conference.

19. Music LicensingVendors are responsible for individual ASCAP/BMI music licensing fees or similar statues as may apply outside the United States if applicable to the function. Music played and/or performed, whether recorded or live, will not be covered under OD Network’s ASCAP/BMI music licensing agreement.

20. Name BadgesIn an attempt to better secure your Conference investments, all representatives from an exhibiting company must wear an exhibitor’s name badge to gain entrance to, and while in the Exhibit Hall. Name badges must be authorized in writing by the designated company contact person. All badges included in any sponsorship package or booth purchase may only be used by an employee of the sponsor or exhibiting company.

21. Onsite Name BadgesIf additional badges are required on site, an onsite registration form must be completed at the registration desk by the exhibiting company’s contact noted on the agreement. There will be a charge for each additional exhibitor and full conference badge (limit of eight additional exhibits-only personnel badges per company).

22. Americans with Disabilities Act/Similar Non-U.S. StatutesExhibitors shall be responsible for making their exhibits accessible to persons with disabilities, as required by the Americans with Disabilities Act or similar statutes as may apply outside of the United States and shall hold OD Network harmless from any consequences of failing to do so.

23. EnforcementThe exhibitor acknowledges that its failure to comply with the Rules and Regulations set forth herein will cause harm to OD Network. The exhibitor agrees that, if either party determines that a material violation has occurred, the exhibitor will lose the privilege of exhibiting at this and future conferences. In addition, OD Network reserves the right to immediately remove all exhibit materials if a violation occurs during the conference without issuing a refund.

24. GeneralAll matters and questions not covered by the regulations are subject to the decision of OD Network. These regulations may be amended at any time by OD Network and all amendments that may be so made shall be equally binding on all parties affected by them, as are the original regulations. In the event of any amendment or additions to these regulations, written notice will be given by OD Network to such exhibitors as may be affected by them.
