INTRODUCTION 1. In these terms and conditions: a) “Vi (UK)” means Vi (UK) Limited (company number: 8226756) whose registered office is 3000 Cathedral Hill, Guildford, Surrey, GU2 7YB; b) “Agreement” means these terms and conditions, Vi(UK) Incentives Programme and Vi (UK) Policies and Procedures; c) “Products” means any products supplied by Vi (UK); and d) “Promoter” means any individual who promotes and distributes the Products. PARTICIPATION AS A PROMOTER 2. You understand and acknowledge that: a) You are at least 18 years of age and a resident of the United Kingdom. b) This Agreement is not binding until received and accepted by Vi (UK). c) You are not permitted to purchase Products that amount to more than £200 (inclusive of V.A.T. and postage and packing) during the first 7 days from the date you sign this Agreement. d) You are responsible for determining Your own business activities and that You are not an employee, franchisee or legal representative of Vi (UK). You will be responsible for the payment of all income taxes, national insurance contributions and any other tax required under law. e) You may not pledge the credit of Vi (UK) nor represent Yourself as being Vi (UK) nor a partner, employee, worker or representative of Vi (UK). 3. As a Vi (UK) Promoter, You should place primary emphasis upon the sale of Products and services to non- promoter consumers to maximise Your commissions. Commissions You receive will be based upon fulfilling certain terms of qualification as set out in the Vi (UK)’s Incentives Programme. A three pound sterling (£3) processing charge will apply to all commission payments. You agree to keep accurate records and to abide by all laws and regulations governing the sale or solicitation of the Products and services marketed by Vi (UK). ANNUAL CHARGE 4. You understand that a £16 administration fee will be charged annually to Your credit card on file with Vi (UK). This fee is for services, which include, but are not limited to, downline reporting, customer tracking and accounting services (the “Administration Fee”). The Promoter shall be given at least sixty (60) days notice of any increase in the Administration Fee. 5.The Administration Fee will be charged in the month of Your enrolment anniversary and if not paid will result in Your status as a Promoter being placed on financial hold until payment is made. If the Administration Fee remains unpaid 30 days or more after notice from Vi (UK) of non-payment, Vi (UK) may terminate Your Promotership. RIGHT TO CANCEL PROMOTERSHIP 6. You may terminate this Agreement without penalty and for any reason, at any time, by giving Vi (UK) prior written notice. To terminate this Agreement, You must email Vi (UK) a signed, dated written notice of cancellation to [email protected]. 7. If You terminate the Agreement within 14 days of the date You enter into this Agreement, You are entitled to be reimbursed any money that you have paid to Vi (UK) and/or a Promoter. 8. If You commit a serious breach of this Agreement, Vi (UK) shall be entitled to terminate this Agreement. 9. You shall not be entitled to any compensation on termination of this Agreement. RIGHT TO RETURN PRODUCTS 10. Products not purchased for the first time can be returned within 14 days of delivery and a full refund paid less any postage costs. Please see vi.com/guarantee for the latest return policies. 11. On termination of Your Agreement with Vi (UK) You are entitled to return any unsold products (provided that they are unopened) purchased 90 days prior to termination of the Agreement. Vi (UK) will pay the price that You paid for such products less a reasonable handling charge. 12. If You intend to return any Products to Vi (UK) on termination of the Agreement You must do so within 21 days of the date of termination of the Agreement. To return Products contact customer service at 00800 2639 2984. You will be responsible for the packaging and delivery costs of any returned Products. YOUR ROLE AS A PROMOTER 13. You agree that as a Promoter, this Agreement grants You the right to distribute and sell the products Vi (UK) markets subject to the terms and conditions established by Vi (UK) from time to time. 14. You will not make any false or misleading statements about Vi (UK), its marketing Programme, products, or services. You agree that You will operate in a lawful, ethical and moral manner and will not engage in or perform any misleading, deceptive or unethical practices. In the event You violate any of these conditions Your promotership may be terminated without further payment or compensation of any kind. 15. You acknowledge that You are responsible for supervising, training, and supporting Promoters You sponsor into the Programme and in Your commissionable network. You agree to maintain monthly communication and support to those individuals in Your commissionable network through written or verbal communication and attendance at meetings. 16. You understand that as a Promoter, You are free to select Your own means, methods and manner of operation and that You are free to choose the hours and location of Your activities under this Agreement, subject only to the terms of this Agreement. 17. You acknowledge that You are not guaranteed any income nor are You assured any profits or success. You certify that no claims of guaranteed profits or representations of expected earnings that might result from Your efforts have been made by Vi (UK) or any of Vi (UK)’s Promoters. 18. You shall not represent directly or indirectly that any person may, can or will earn any amount, nor that sponsorship of others is easy to secure or retain, or that substantially all Promoters will succeed. Vi (UK)’s LIABILITY 19. Vi (UK) is responsible for any material losses You suffer as a result of it breaching the terms of this Agreement. Vi (UK) will not be liable under this Agreement for any loss or damage caused in circumstances where: a) there is no breach of a legal duty of care owed by Vi (UK) or by a Vi (UK) employee; b) such loss is not a reasonably foreseeable result of any such breach; and c) any increase in loss or damage which arises from Your act or omission or Your breach of the terms of this Agreement. 20. Vi (UK) maximum liability to You in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise in connection with this Agreement shall not exceed 250% of any fees paid by You to Vi (UK) under or in connection with this Agreement. 21. You will be responsible for all claims, liabilities, damages, costs and expenses suffered or incurred by Vi (UK) as a result of Your breach of Your obligations set out in this Agreement. 22. Any claim by You for compensation or damage caused by Vi (UK) must be notified to Vi (UK) as soon as practicable after the damage has been discovered. DOCUMENTATION 23. You acknowledge that You have read, fully understand and agree to abide by the Vi (UK) Policies and Procedures and Incentives Programme, which are incorporated into this Agreement by reference and are binding upon You. 24. Vi (UK) reserves the right to make variations to the Agreement upon providing You with written notice of such variation. You will be given at least 60 days’ written notice of any changes to the Vi (UK) Incentive Plan. 25. You acknowledge that Vi (UK) reserves the right, in its sole discretion, to assign this Agreement and its rights and obligations hereunder in any sale, transfer or assignment which is made (i) pursuant to the sale of all or substantially all of Vi (UK)’s assets or business, or (ii) pursuant to any sale, transfer, or assignment of this Agreement to any affiliated or related entity (including any parent or subsidiary entity). 26. You must not transfer this Agreement, as it is personal to You, unless You send Vi (UK) an approved Sale of Promotership form. NON-COMPETE 27. During the term of this Agreement (and any renewals), You will not sell any other products for any entity competing with Vi (UK). 28. During the term of this Agreement (and any renewals) and for one (1) year thereafter, You will not solicit, recruit, or hire Vi (UK) employees or Promoters, whether active or inactive, to participate in a network marketing Programme whether or not such marketing Programme offers competing products. 29. During the term of this Agreement (and any renewals) and for one (1) year thereafter, You will not solicit any customer/client, potential customer/client or maturing business opportunity of Vi (UK) in order to attempt to direct any of the same away from Vi (UK). 30. During the term of this Agreement (and any renewals) and for one (1) year thereafter, You will not induce or persuade any customer/client, potential customer/ client, supplier or other person under contract or otherwise associated or doing business with Vi (UK) to reduce or alter any such association or business with Vi (UK). 31. You agree that the provisions of paragraphs 27 to 30 of this Agreement shall survive the termination of this Agreement and shall be enforceable notwithstanding the existence of any claim or cause of action which You may have against Vi (UK). You acknowledge that a breach of the provisions of paragraphs 27 to 30 of this Agreement will give rise to irreparable harm and injury non-compensable in damages. Accordingly, in addition to the immediate termination of Your Promotership, Vi (UK) may seek and obtain injunctive relief against the breach or threatened breach of the foregoing provisions in addition to any other legal remedies which may be available. DATA 32. You consent to the computer storage and processing of Your personal data by us in connection with this Agreement and to the transmission of this data among the Vi (UK) group of companies and its business partners in the EEA and North America for the purposes of our legitimate interests including statistical analysis, marketing of Vi (UK) services and calculating commissions. 33. In this Agreement the terms “Data Controller”, “Data Processor” and “Personal Data”, shall have the meaning as set out in the Data Protection Act 1998. You acknowledge that Vi (UK) is the Data Controller and You are the Data Processor. We shall: a) process the Personal Data only to perform Your obligations under this Agreement; and b) keep the Personal Data confidential and provide appropriate technical and organisational measures against unauthorised or unlawful processing, accidental loss or destruction of or damage to the Personal Data; c) not process Personal Data outside of the European Economic Area without the prior written consent of Vi (UK); and d) provide reasonable assistance to Vi (UK) in complying with any subject access request and/or responding to any enquiry made, or investigation or assessment of processing initiated by the Information Commissioner in respect of the Personal Data as soon as is possible but in any event within five (5) Business Days of receipt of the request or any other period as agreed in writing with Vi (UK) from time to time. GENERAL 34. If any provision of this Agreement is determined to be invalid or unenforceable in whole or in part, such invalidity or unenforceability shall attach only to such provision and the remaining part of such provision and all other provisions of this Agreement shall continue in full force and effect. 35. If there is any conflict between these terms and conditions, Vi (UK)’s Compensation Plan and Vi (UK)’s Policies and Procedures the following order of precedence shall prevail: (i) Vi (UK)’s Policies and Procedures; then (ii) these terms and conditions; and then (iii) Vi(UK)’s Incentives Programme. 36. We will try and solve any disagreements quickly and efficiently. If You are not happy with the way we deal with any disagreement and You want to take court proceedings, You must do this within the English courts and English law will apply to this Agreement. INTRODUCTION
