Welcome to our carefully curated wine portfolio. We hope you find our balance of well-known, industry leading producers and boutique, artisanal wineries of interest to you and your customers. The majority of the wines distributed by C&C Wines are exclusive and there are a number of award-winners, many of which are new to this market.

Despite being a new business we have secured distribution rights for many established brands such as Penfolds, Cesari, Piper Heidsieck, Rutini Wines, Beringer and Bodega Classica whilst also unearthing some exceptional new wines from a selection of truly outstanding boutique producers such as Tenuta Sant’Antonio, Malvira, Hentley Farm, Deep Woods Estate, Punt Road, SOHO Wines and Siegel Family Wines.

Overall I strongly believe that our portfolio, and the producers that form it, offer an excellent point of difference whilst also genuinely over-delivering on quality to price. C&C Wines is a joint venture between Carnevale Limited and Carson Wines Limited, both independently owned family businesses. Carnevale, founded in 1966, is a manufacturer, importer and distributor of fresh, high quality food products to restaurants across the UK whilst Carson Wines, founded in 2016, acts as an in-market manager working on behalf of a number of leading producers from around the world.

By combining the strengths of the two companies and establishing a separate standalone business, C & C Wines is able to offer a high quality duty paid and delivered (DPD) service, coupled with an outstanding selection of wines. We believe that by working in partnership, combining expertise and proven track records in both wine and distribution, we can “Deliver Better”, providing an efficient and competitive wine wholesale service that over delivers on quality to price.

C&C Wines operates its own-fleet delivery network out of six depots around the UK: London, Bristol, Bedford, Huddersfield, Newcastle and Glasgow. This not only enables C&C Wines to provide the trade with a supportive low minimum order quantity but it also means that delivery in Central London can be offered in 24 hours, whilst deliveries to other locations around the UK are available at least once weekly.

We are committed to supporting our producer partners and our customers, as such C&C Wines can provide low minimum drops along with a mix your own case service on a selection of fine wines, and we hope such a service can support premium wine sales by reducing stock management and cash flow challenges.

Founded in 1885, Rutini is one of Argentina’s oldest and most respected wine producers. Rutini Wines’ longstanding winemaker, Mariano Di Paola, is considered one of Argentina’s most highly regarded winemakers, consistently achieving scores above 90 points. In 2016 Mariano was named by his wine making peers, in Decanter magazine, as one of the top 30 winemakers in the world.

The initial Rutini Wines winery was founded in 1885 by Felipe Rutini, one of the pioneers of the Argentine wine industry, in Coquimbito, Maipú. In 1925, Rutini Wines became the first winery to plant vineyards in the now world renowned wine region of Tupungato. Hentley Farm is a boutique single estate winery that produces wines reflective of its exceptional Seppeltsfield site. James Halliday named Hentley Farm 2015 Winery of the Year, commenting “Hentley Farm has a single-minded focus on producing what is as close as you’re ever going to find in Australia to a grand cru Burgundy or first-growth Bordeaux.”

Hentley FarmBAROSSA VALLEY - AUSTRALIA

Ahead of purchasing the property in 1997, Keith and Alison Hentschke carried out extensive research to discover where the best red wine grapes were being grown in the Barossa Valley. Using an old soil map produced in the 1950’s, the Hentschke’s were drawn to the rich red soils of the Seppeltsfield/Marananga area in the North Western section of Barossa Valley. Having identified the perfect site, Hentley Farm, Keith and Alison bought the property. At the time of acquisition the vineyards were derelict and past retrieve which led to extensive planting in 1999, with a focus on minimising variation within each block and maximising variation between blocks. As a single block, single vineyard winery, Hentley Farm focuses on producing wines which highlight microclimates within its winery and basket pressing the red wines to compliment the softness of fruit.

Specialising in rich, elegant, Barossa Shiraz, Hentley Farm produces other varietals to similar acclaim including Grenache, Cabernet Sauvignon, Zinfandel and Viogner and blends all of these varietals. With such a key focus on the vineyard, winemaker Andrew Quin chooses not to fine or filter the premium wines because he feels that the resulting loss in phenolic compounds detracts from a true expression of this unique site.

Deep Woods Estate is perched high on a ridge which unfolds into a picturesque secluded valley bounded by stands of Jarrah and Marri trees; hence the name Deep Woods. Comprising a modern winery, vineyard, cellar door and homestead the winery, with its large natural spring, dense woodlands and spectacular views is also one of the region’s most scenic wineries.

Established in 1987 with plantings of Semillon, Sauvignon Blanc, Verdelho, Cabernet Sauvignon, Cabernet Franc, Shiraz and Merlot, Deep Woods Estate was acquired by the Fogarty Wine Group in 2005. Upon acquisition, FWG introduced a new vineyard maintenance program utilising sustainable vineyard practises to improve fruit quality and to produce lower yields. Subsequent plantings of Chardonnay and Semillon increased the area under vine to approximately 16 hectares, planted across 12 separate blocks.

The winery is now managed by Julian Langworthy who was shortlisted for Australian Winemaker of the Year in 2015. Julian grew up in Margaret River however his winemaking knowledge prior to joining Deep Woods was developed further afield: Domaine de la Baume (Languedoc-Roussillon), Wolf Blass (Barossa Valley), Wynns Coonawarra (Coonawarra) and Knappstein (Clare Valley). Now back ‘at home’, Julian and his team control all elements of the winemaking process, utilising a combination of traditional and modern techniques from vine through to bottle.

Punt Road is owned by the Napoleone family who migrated from Abruzzo, Italy to Australia in 1926. Following over two decades of hard work as a vineyard hand, Joseph Napoleone purchased some land in the Yarra Valley in 1948. Since then the Napoleone family have steadily invested in acquiring more land including the property at Coldstream which was formerly home to the orginal St. Hubert’s vineyards and winery.

Before joining Punt Road in 2013 head winemaker Tim was assistant winemaker at Giant Steps (Yarra Valley) and prior to that he honed his craft at Yarra Burn (Yarra Valley) McWilliams (NSW), Domaine Dujac (Burgundy) and Chateau Margaux (Bordeaux). Dedicated to only selecting fruit from the 150 acres of vineyards on Punt Road’s 300 acre farm, Tim often cites Punt Road’s credential of being one of the oldest sites in the Coldsteam as one of the reasons why he is so committed to producing site-driven, exciting wines that reflect the personality of the Yarra Valley. This approach led to Punt Road taking home three top honours at the Royal Melbourne Wine Awards in 2016; The Kym Ludvigsen Trophy for Viticultural Excellence, the Trevor Mast Trophy for Best Shiraz and Douglas Seabrook Single Vineyard Trophy. Punt Road was also named a 5-star Yarra Valley producer by James Halliday in 2016.

The Siegel Family Wines estate covers 700 hectares of land with 470 hectares of vineyards planted across seven strategic zones stretching from the foot of the Andes Mountains in Los Lingues, to the most coastal zones such as Paralillo as well as the Leyda Valley.

COLChAGUA VALLEY - ChILE

The Siegel Family, emigrated from Germany to Chile in the 1930’s when Alberto Siegel, a German architect, was charged with designing various government buildings such as the Federal Reserve of Chile, Santiago. Upon arriving in Chile Alberto and his family lived amongst the vineyards of San Pedro in the Central Valley. This close contact with viticulture led Alberto’s son, Alberto II to study agronomy ahead of becoming a vineyard manager in the Central Valley. Following this experience Alberto II began cultivating the first vineyards in the best terroirs of the Colchagua Valley, these vineyards now form Vina Siegel. Today, Vina Siegel remains a family owned and operated wine company, now under the direction of Alberto II’s children, Alberto III and Catalina.

Whilst Vina Siegel produce wines at several different levels, it is the wines produced in Los Lingues (pictured left), at the foothills of the Andes Mountains, which remain their jewel in the crown. The Los Lingues Estate, 360 metres above sea level, provides optimal conditions for producing concentrated, elegant wines that offer Siegel a true point of difference from the rest of the Colchagua Valley. It is from these hill blocks that the Special Reserve, 1234 Reserva, Single Vineyard and Unique Selection wines are made, permitting the Siegel winemaking team of Didier Debona and Fabiola Calderon to take advantage of differing levels of exposure to the sun and altitudes, giving rise to more structured, elegant wines.

In 2013 Tom Stevenson, Founder and Chair of the Champagne and Sparkling Wine World Championships, cited Piper-Heidsieck as not only one of the 5 most underrated Champagne producers but as holding “the most-improved Champagne ranges of recent times”. High-praise but not surprising given Piper- Heidsieck’s winemaker, Regis Camus, has won IWC Sparkling Winemaker of the Year on eight occasions, including the impressive record of being awarded the title for seven consecutive years from 2007-2013.

Founded in 1785 by Florens-Louis Heidsieck as the “Cloth and Wine Trading Company Heidsieck & Co”, the Piper-Heidsieck brand was actually established in 1838 when the widow of Christian Heidsieck remarried Henri-Guillaume Piper, thus forming Piper-Heidsieck. Following the death of Henri-Guillaume, Jacques-Charles Théodore Kunkelmann, a partner in the company since 1851, took over the reins and his family and descendants presided over Piper-Heidsieck until 1988 when they then passed the company to the Hériard Dubreuil family who consolidated the international development of the Maison. Since 2011, Piper-Heidsieck has been managed by the Descours family who since taking ownership of the brand have further developed Piper-Heidsieck’s international reputation.

Daniel Thibault, the first Piper-Heidsieck winemaker to win the IWC Sparkling Winemaker of the year trophy (and six time winner in total), designed the current winery before handing over the winemaking reins to Regis Camus in 1994. Completed in 1995, the winery is one of the most advanced in Champagne providing the current winemaking team with the best equipment in the region. With over 200 fermentation, storage and blending tanks; Regis Camus blends over 100 wines, each cru and grape variety kept separate until the final ‘assemblage’. Piper-Heidsieck sources all grapes from its own precious vineyards located from the Montagne de Reims to the Côte des Bar.

Clos Saint-Vincent is a 17 hectare property located in Saint Sulpice de Faleyrens, the heart of the Saint-Emilion Grand Cru appellation.

The 17 hectare estate’s vineyards are predominantly planted on flint soils but a vein of gravel running directly through the hillside property providing the wine with a silky quality. The vines have an average age of 25 years, but the oldest Merlot are more than sixty years old and are trained using single Guyot pruning. Clos Saint-Vincent’s unique terroir is matched by the team’s meticulous attention to detail across all vinification processes; vines are worked by hand, grapes are hand harvested to ensure they are kept intact before being sorted using a vibrating sorting table.

Founded in 1873, Dulong has been handed down from father to son for five generations. At the turn of the 20th Century Domaine Minet was merely a farm in Pouilly-Sur-Loire were Robert Minet, an artisanal tonnelier (barrel-maker) lived. Robert, an independent man, living autonomously off his own livestock and fresh vegetables from his farm which also included three hectares of vines.

Domaine Minet sits at 250m above sea level, surrounded by hills on the far east of the Loire River on the prized limestone and clay of the Kimmeridgian chain. The scattered flint in the vineyards a similar characteristic to those in the village of Sancerre. Domaine Minet, now under the guidance of Régis Minet, who when Robert passed in 1976, left his studies in order to continue the work of his grandfather, produces truly outstanding Sauvignon Blanc.

Domaine Viticole de la Ville de Colmar, located in Colmar at the foot of the Vosges mountain, was founded in 1895 by Chrétien Oberlin. Today, Jean-Rémy Haeffelin manages the estate alongside his son, Nicolas. The Haefflin family is unique in Alsace as it is the only family that has had a vine grower or winemaker in each generation since 1560.

San Martino is located near the village of Vazzola, 10 kilometers south-east of Conegliano. A self-sufficient operation, San Martino manages its entire production chain starting with the handpicking of grapes from their 50 hectares of vineyards through to their own bottling line.

Founded by Luigi Cescon, San Martino is now under the management of its third generation, brothers Giovanni and Walter Cescon. Giovanni, the winemaker, is obsessed with quality and carefully monitors each step of the vinification process, from grape selection to bottling, whilst Walter is charged with sales. Both brothers are firm believers of innovation and as such San Martino has invested in technology to produce wine kegs along with its existent high quality glass bottle production. The origins of Concilio dates back to 1860 when Angelo Grigolli founded a winery in Mori, a small village in the South of Trento. Angelo and the generations that succeeded him produced wines from the Adige Valley for another 112 years prior to the Grigolli family forming a partnership with another historic company, Boschi & Gamberoni, in order to increase production scale. Together they called this new company Concilio.

In 1980, eight years after the Grigolli and Boschi & Gamberoni partnership, a group of winegrowers who shared Concilio’s philosophy of producing excellent quality, sustainable cool-climate wines joined Concilio as shareholders. These new shareholders increased Concilio’s land under vine to 620 hectares; all situated between 200 and 800 metres above sea level. The varying altitudes of Concilio vineyards provide large differences in microclimate and soils, making it possible to produce a broad range of wines and styles, where each variety grows in conditions ideally suited to its needs.

All Concilio wines are produced under the most stringent of Italian appellation restrictions and the scrutiny of local viticultural regulations, which drastically restrict the use of chemical fertilisers, pesticides and other sprays both in the interest of health and the environment.

In 1520 the Formentini family purchased the castle in the town of San Floriano del Collio, the highest hilltop village in eastern Friuli (Collio, in the province of Gorizia) and the surrounding lands. Wine from the vineyards surrounding the Castello Formentini and the hills of San Floriano has been made here ever since and the Formentini cellar is considered one of the oldest in Collio.

The historic house of Conti Formentini sits between the Isonzo and Judrio rivers on the Slovenian border. For almost five centuries this estate has played a role in Friuli’s wine-producing tradition and has dominated the territory of Collio. Tenuta Sant’Antonio is a family business which was founded in 1989 when four brothers; Armando, Tiziano, Paulo and Massimo Castagnedi bought a property in Monti Garbi embarking on their collective dream of producing critically acclaimed, multi-award winning premium wines from Veneto.

The brothers’ father, Antonio, who the company is named after, was himself a winegrower who supplied various well established companies in the region with high quality grapes for Soave. It was in his vineyards whilst the four brothers were growing up that they decided to create their own company, which they named Tenuta Sant’Antonio.

Initially purchasing a derelict, low yielding vineyard called Monti Garbi, in the hills overlooking the Illasi Valley, the brothers turned around the fortunes of this vineyard and have developed their business which now lays claim to over 100 hectares of vineyards in the Illasi and Mezzane valleys along with a state of the art ageing facility for their multi award winning selection of Amarones. Each brother plays a prominent role in the company; Armando is charged with export, Tiziano with domestic sales, Paulo as winemaker and Massimo as the vineyard and production manager.

From the outset the brothers have had one clear philosophy, create wines of exceptional quality, whatever the cost. Over the years the brothers have expanded their portfolio of wines and are now one of the eleven families of Amarone.

Lamberti was established in 1964 and is named after one of the oldest noble families of Verona: the Lamberti, ancient Lords of Verona who fought to gain control of the city from the powerful Della Scala family. The Lamberti winery, built in 1964, was named Tenuta Preella and is situated opposite the castle walls of Lazise, overlooking Lake Garda.

The estate comprises 3 areas: the vineyards, the farmhouse and the winemaking facilities. Today, this modern pressing cellar is the pride of the estate and has the best state-of-the-art machinery in the winemaking field, with a total capacity of about 4,000 hectolitres. In 1705 the Melini family established a winery in Pontassieve, Tuscany, with the aim of creating wines of quality and provenance. Now recognised as one of Tuscany’s most popular wineries, Melini has become synonymous with Chianti as a result of its quality and innovation.

The Melini Winery in Gaggiano is situated 300 metres above sea level on the Chianti Classico hills along the road from Poggibonsi to Castellina in Chianti. Here, between 1970 and 1974, alongside an original building complex constructed in the 1950s and 1960s, a modern winery with four floors was built into the side of a hill. It was designed for the separate vinification of parcels from single vineyards (the cru concept). All vinification phases, from drying in the loft to aging in barrels and bottling are performed using specific techniques and following the philosophy of quality.

Today, Melini owns 554 hectares in the Chianti Classico area, including the San Lorenzo, Granaio, Terrarossa and La Selvanella vineyards.

In 1512 Niccolo Machiavelli was confined to his home which adjoins the cellar, here he pursued writing and tending to his vineyards. Located at Sant’Andrea in Percussina near Florence, the historic Villa Machiavelli offers five centuries of Chianti history.

Careful restoration has brought the 500 year old property where Machiavelli lived during his long exile from Florence to its original structure. The cellars beneath the property have not changed from the description given in a document dated 1948. The plots and vineyards of the ancient Fontalle estate extend out from the tiny village across 27 hectares and produce the celebrated Chianti Classico DOCG and Riserva.

Simonelli Santi is situated in the region of Tuscany called Orcia. The region has very prestigious neighbours. To the west is Montalcino, home to Brunello di Montalcino and to the east is Montepulciano, home to Vino Nobile di Montepulciano. They are so close you can walk to the top of the hill side town San Quirico d'Orcia and see both villages.

Being the lesser known region, Orcia is a source of excellent value Sangiovese in a similar mould to its illustrious neighbours. Move 3 miles in either direction and the same quality wine would cost you another £20 a bottle!

Nestled high amongst the rolling hills of Ancona, in the heart of the Marche region, Casal Farneto’s estate consists of three old farmhouses and a modern, environmentally friendly winery that blends into the natural surroundings. All of Casal Farneto’s wines that are imported by Carson Wines are made from fruit grown on the estate, which comprises of 60 hectares of land of which 32 hectares are reserved exclusively for vines. The vineyards sit 350 metres above sea level, between the sea and the mountains therefore providing Casal Farneto with exceptional viticultural conditions to produce wines of provenance and authenticity.

Casal Farneto is now part of the Togni Group, which was founded in 1950 by Primo Togni, a Verdicchio grape grower, and Luigi Togni, Primo’s son. Casal Farneto was acquired by Primo’s grandchildren Paolo and Paola in 2005 when they decided to honour their grandfather by investing in one of Marche’s leading Verdicchio producers.

Citra draws on fruit produced across 7,000 hectares, stretching 80-90km north to south and from the sea to 40km inland; covering almost the entire province of Chieti, where the winery is based. “Corteregia” is produced for C&C Wines by Cantina di Tufo, a father and son business, founded by Michele La Marca in Nola during the 1950’s. Re Manfredi, was established in 1998 in the heart of the Aglianico del Vulture DOC production zone just a few kilometres from Venosa, a little town renowned as the birthplace of the famous Latin poet, Horace.

Re Manfredi’s location results in an unusual microclimate at the foot of Mount Vulture which offers fabulous light, a continental climate and soil rich in clay, calcium, nitrogen and tuff, mixed together with the now extinct volcano’s lava. The winery comprises of an elegant and welcoming Masseria (farmhouse) which stands out in the centre of the property. The 120 hectares of vineyards remain trained in the Guyot and spurred cordon style, as designed in 1998. Alongside the Masseria stands a dynamic winery, modern vinification plant and a prestigious barrique cellar.

The vineyards are almost entirely cultivated with the Aglianico vines: 30 ha with twenty-year-old vines trained in Guyot style and 10 ha of ten-year-old vines trained in Spurred Cordons at an altitude of 420m in the Commune of Venosa.

The prestigious Serpara vineyard measuring about 6 hectares, three aged over 40 years, extends at 550m in the Commune of Maschito in Potenza Province. It is here that the selections for the new vines are made and it is from these vines that the Masseria cru that bears its name is produced.

a6mani was founded in 2011 by three cousins that come from two Puglian grape grower families. The cousins, Maria Cavallo, Elise Clerfeuille and Francesca Cavallo, set out with one clear objective: to create modern wines from indigenous varietals, whilst preserving regional traditions.

PUGLIA - ITALY

a6mani sources its grapes from four vineyards, located across four districts in Salento. These vineyards were selected by Maria, Elise and Francesca for their ability to provide exceptional varietal expressions from varying soil and climatic conditions. The Li Marini vineyard is located 10 km from the Ionian Sea. To the east of these vineyards lies the Monte La Conca site in the central part of the DOC area, Primitivo di Manduria. It is from the fruit of these two vineyards that the a6mani entry wines are made. The Familae wines are by contrast at Troncarea and Mesoli della Volpi (Foxes Hill) which both lie on the Ionian coast.

The cousins’ jewel in the crown is their Concura Primitivo di Manduria Riserva DOC which is made from bush vines in the vineyards of Campofreddo, a small district on the coastal area in the south of the province of Taranto. The soil is almost sandy and the climate so dry that it only allows dry-land farming.

Vigneti Zanatta is a wine producer with roots in Sardinia and in Veneto. Bruno Zanatta came to Sardegna from Veneto as a young winemaker where he honed his craft for thirty years. In 2003 he acquired his first vineyard in Gallura. Bodega Classica is located in Sonsierra, on the south side of the Toloño Mountains and inside Rioja Alta. Winner of the best value white (Rioja Blanco) and best value red (Rioja Crianza) at the annual Wines from Spain Awards under the Lopez de Haro label, Excelion is a soft-brand exclusive made with the same wine as Lopez de Haro.

RIOJA - SPAIN

The microclimate, together with its special geographical features, makes it a perfect place for vineyards. On the one hand, the level of humidity is adequate with more rainfall in winter than any other season of the year, which is perfect for vines. Mostly moderate and some strong winds flow along the River Ebro from the southeast (solano in Spanish) or the northeast (cierzo) as well as fresh air come down the Toloño mountain range. These winds are key for maintaining a health vine. The grapes are picked from old vineyards, some of them over a century old, located in different areas of ‘Rioja’, although most of them are between 50 and 80 years old.

Harvesting manually is the most traditional picking method, and it is carried out cluster by cluster. Bodega Classica determines the moment of optimum maturation by means of analysis, and when that moment has been reached, it starts the harvest. After the work in the vineyard has been finished, the grapes are taken to the bodega in small trailers. The winery itself was designed and built strategically on top of a hill and is mostly underground so to benefit from natural climate control. The bodega has around 5,000 barrels in stock, mainly in French oak.

Beringer’s history dates back to 1868 when Jacob Beringer, enticed by the opportunities of the new world, sailed from Mainz, Germany, to the USA in order to become the Cellar Foreman for Charles Krug, one of the first commercial winemakers in California. 1. DefinitionsIn these Conditions, unless the context otherwise requires:“The Buyer” means the person who buys or agrees to buy the Goods from the Seller.“Conditions” means the terms and conditions of sale set out in this document with any special terms and conditions agreed in writing by the Seller.“Delivery Date” means the date specified by the Seller when the Goods are to be delivered.“Goods” means the articles which the Buyer agrees to buy from the Seller.“Price” means the price for the Goods excluding VAT.“Seller” means Carnevale (registered in England under number 6546531)

2. Conditions applicableThese Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions including any terms and conditions which the Buyer may purport to apply under any purchase order, confirmation of order or other documents.All orders for Goods shall be deemed to be on offer by the Buyer to purchase goods pursuant to these conditions.All Goods are offered for sale subject to availability and subject to the Seller’s acceptance of the Buyer’s order howsoever made.Orders submitted by the Buyer shall be deemed accepted by the Seller unless the Seller contacts the Buyer to state otherwise. Acceptance of delivery of Goods shall be deemed exclusive evidence of Buyer’s acceptance of these Conditions.Any variations of these Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.3. PricesAll “list prices” quoted in this list are exclusive of VAT. The Seller reserves the right to alter prices without notice. All Goods are offered subject to availability. VAT will be added where applicable at the current rate.

4. PaymentPayment for Goods supplied on Credit Account shall become due and payable not later than 15th of the month following the month of invoice, unless otherwise agreed. If the payment of any sum due under these Conditions is not made payable on or before its due date, the Seller shall be entitled to charge interest thereafter at a rate of 12% per annum over HSBC’s Base Rate on that money outstanding between the due date and the date when full payment is actually received both before and after any judgment or liquidation.This does not prevent the Seller from pursuing payment of outstanding invoices at any time after the due date.In the event of any cheque which is returned marked “Refer to Drawer” or “Re-present”, the Buyer will be charged £10.00 on each occasion and Credit Facilities may be withdrawn.

5. DeliverySave as otherwise provided the Seller shall deliver the Goods to the Buyer or its agent at the stipulated delivery address and shall be responsible for insurance of Goods in transit.Risk of loss or damage to the Goods or (where supplied under bond) liability for Duty shall pass to the Buyer when the Goods are delivered to the delivery address.Where the Seller supplies ex-cellars, responsibility for transport and insurance of Goods in transit is that of the Buyer following delivery at the Seller’s loading bay and the risk of loss or damage to the Goods or (where supplied under bond) liability for duty and CCT, if any, shall then pass to the Buyer. Delivery dates are estimates only and the Seller shall not be liable for the consequence of delay.The Seller’s liability for non-delivery shall in any event be limited to the excess (if any) of the cost to the Buyer of similar Goods to replace those not delivered over the price of such Goods.The Buyer must examine all Goods as soon as they are delivered and must sign the Delivery Note clearly to acknowledge receipt.THE SELLER IS NOT RESPONSIBLE FOR LOSS OR DAMAGE TO GOODS WHILE HELD AT THE BUYER’S RISK UNLESS:a) The Goods have been examined at the time of delivery and any loss or damage entered on the delivery note;b) The damaged Goods and their packaging are kept

for inspection; c) The Seller shall have full control over the reclamation of damaged Goods or determination of their disposal.No delay in payment or claims for non-delivery of Goods despatched by the Seller via a third party carrier will be permitted unless written notice of non-delivery is given to the Seller within 7 days of invoice date.

6. Description of goods and warrantyThe Seller warrants that the Goods will correspond to the description of origin in the Seller’s catalogue and will be of satisfactory quality at the point of delivery having regard to the custom and practice of the wine trade.Due to the factors outside the reasonable control of the Seller including but not limited to conditions of storage, the Seller gives no warranty with regard to the durability of the Goods.All other terms, conditions, warranties and representations (whether implied or made expressly) made by the Seller, its servants or agents or otherwise relating to the quality and/or fitness for the purpose of the goods or any of the goods are excluded to the fullest extent permitted by law.The Seller shall be under no liability whatsoever to the Buyer for any indirect loss and/or expense (including loss of profit) suffered by the Buyer arising out of a breach by the Seller of this contract.

7. PropertyProperty in and title to the Goods shall be retained by the Seller until payment in full of:i. All sums due to the Seller from the Buyer in respect of the Goods; andii. All other sums which are or become due from the Buyer to the Seller on any account whatsoever. Until property in and title to the Goods has passed to the Buyer, the Buyer shall:i. Hold the Goods in a fiduciary capacity for the Seller as the Seller’s bailee; andii. Store the Goods in appropriate conditions and in such a way as to be clearly identifiable as the property of the Seller. The Seller shall be entitled to recover from the Buyer any loss and additional costs incurred as a result of the Buyer’s failure to store the goods in a saleable condition.In the event of any sale of the Goods by the Buyer before payment to the Seller in full of the price, the Buyer shall hold the proceeds of the sale in a fiduciary capacity for the Seller, and such proceeds of the sale shall be placed in an account of the Buyer in such a way as to be identified as the property of the Seller.The Buyer grants the Seller and its agents an irrevocable licence at any time to enter any premises where the Goods are or may be stored in order to inspect them or, where the Buyer’s right to possession has terminated, to recover them.

8. InsolvencyThe Buyer’s right to possession of the Goods shall terminate immediately if:a) The Buyer makes an arrangement or composition with its creditors, or otherwise takes the benefit of any statutory provision for the time being in force for the relief of insolvent debtors, or convenes a meeting of creditors (whether formal or informal), or enters into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation, or has a receiver and/or manager, administrator or administrative receiver appointed over its undertaking or any part thereof, or documents are filed with the court for the appointment of an administrator of the Buyer or notice of intention to appoint an administrator is given by the Buyer or its directors or by a qualifying floating charge holder (as defined in paragraph 14 of Schedule B1 to the Insolvency Act 1986), or a resolution is passed or a petition presented to any court for the winding – up of the Buyer or for the granting of an administration order in respect of the Buyer, or any proceedings are commenced relating to the insolvency or possible insolvency of the Buyer; orb) The Buyer suffers or allows any execution, whether legal or equitable, to be levied on its property or obtained against it or fails to observe or perform any of its obligations under these Conditions or any other contract or arrangement between the Seller and Buyer, or is unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or the Buyer ceases to trade; orc) The Buyer encumbers or in any way charges any of the Goods; or

d) The Buyer allows or suffers an event analogous to any of the foregoing. The Seller shall be entitled to recover payment of the Goods notwithstanding that ownership of any of the Goods has not passed from the Seller.“The Buyer” means the person who buys or agrees to buy the Goods from the Seller “Conditions” means the terms and conditions of sale set out in this document with any special terms and conditions agreed in writing by the Seller “Delivery Date” means the date specified by the Seller when the Goods are to be delivered “Goods” means the articles which the Buyer agrees to buy from the Seller “Price” means the price for the Goods excluding VAT “Seller” means Carnevale (registered in England under number 6546531)Where the Seller is unable to determine whether any Goods are the goods in respect of which the Buyer’s right to possession has terminated, the Buyer shall be deemed to have sold all goods of the kind sold by the Seller to the Buyer in the order in which they were invoiced to the Buyer.Notwithstanding anything to the contrary set out at Condition 4 or otherwise agreed between the parties, upon the occurrence of any of the events set out in Condition 8 above (“Insolvency Events”) payment for all Goods supplied on Credit Account or other credit to the Buyer shall become immediately due and payable, whether or not due and payable at the date of the Insolvency Event.

9. Force majeureThe Seller shall not be liable for any failure or delay in fulfilling any terms of any transaction governed by these if occasioned by trade dispute or other event or circumstance outside the reasonable control of the Seller.

10. AssignmentThe Seller shall be entitled to assign the benefit of any contract between the Seller and the Buyer in connection with the sale by the Seller of the whole or substantially the whole of its business.The Buyer shall not be entitled to assign the benefit of any contract between the Buyer and the Seller without the prior written consent of the Seller.

11. NoticesAny Notice served pursuant to these conditions shall be served in the case of the Seller at its place of business specified in the confirmation of order and in the case of the Buyer at the address of the Buyer last known to the Seller and/or at the registered office of the Buyer.Any Notice shall be in writing (which for this purpose shall include facsimile transmission and electronic mail) and shall be served either personally or by prepaid post or by facsimile transmission or by electronic mail.In the case of service by post any Notice shall be deemed to have been served prior forty eight hours at the time of posting. In the case of service by facsimile transmission or electronic mail, service shall be deemed to have been effected upon proof of successful transmission if served between the hours 9.00 am and 6.00 pm on any Business Day or otherwise on the next Business Day. “Business Day” for this purpose shall mean any days excluding Saturdays, Sundays and any Public or Bank Holiday in England and Wales.

12. SeveranceIf any Condition is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall to the extent of such illegality, invalidity, voidness, voidability, unenforceability or unreasonableness be deemed severable and the remaining Conditions and the remainder of such Condition shall continue in full force and effect.

13. Proper lawThis Contract shall be constructed and governed in all respects by English Law and all disputes arising under or relation to the Contract shall be the subject of the jurisdiction of the Courts of England to which the Seller and the Buyer hereby submit.

14. Whole contractThese terms and conditions form the only terms and conditions between the parties and there shall be no variation of amendment of these terms either by terms sought to be imposed by the Buyer or in any other way unless agreed in writing between the parties and signed
