In this article we discuss the right

way of closing down a solvent company. We recommend always seeking professional advice before closing down your company as the consequences of not getting it right can be costly later on.

We have noticed that many people choose to cease their company by simply not filing an Annual Return and waiting for the Companies Office to strike the company off the register. While it may look like an easy option, the temptation to have the company removed this way should be resisted.

The Inland Revenue Department (IRD) has recently started objecting to the removal of any companies that simply stop filing annual returns. The reason the IRD have for doing this, is that many companies still have assets and liabilities which have not been cleared out of the company’s balance sheet correctly or in some instances, the company has been simply abandoned by its owners.

Removal by non-filing of Annual Returns also leaves directors at risk of being fined for knowingly not filing the Annual Return. This is in breach of Section 214 of the Companies Act 1993. The penalty for knowingly not filing the Annual Return can

make the director liable of fines up to the amount of $10,000, and although we have never seen the Companies Office enforce this section, there is no guarantee that they will not do so in the future.

Furthermore, the Crown can take ownership of

the assets held by the company at the time it is struck off from the register under Section 324 of the Companies Act 1993. So it is really important that your accountant has reviewed the company balance sheet and done the necessary checks to ensure that no assets or liabilities remain when closing the company.

Another consequence of strike off is that the company can be reinstated by creditors or any other person who has an action against the Company. This could be costly in terms of legal fees and compliance cost when defending such actions.

So you would then ask ‘What is the alternative to strike off?”. For a company

that is solvent, has ceased trading and has no outstanding creditors or taxes, then the Company Act provides for a Short Form Voluntary liquidation process under Section 318(1)(d).

Short form liquidation involves the shareholders of the company signing a special resolution initiating the company removal process, obtaining IRD consent and

filing various documents with the Companies Office to remove the company.

If you are considering closing your company, please make sure you have sought advice from your Chartered Accountant and before undertaking any formal process to have the company removed to ensure that all tax issues have been addressed.

I’ve been surprised at the number of calls lately from people seeking

help, and upset with the fact that they have purchased a property cash unconditional and then been declined by their bank. There seems to be a growing trend of clients simply expecting that banks will lend them money. A sense of entitlement perhaps?

There are 2 parts to the decision making process for any lender. Are they happy and prepared to lend to the client and are they prepared to accept the security being offered? In each and every case, it has not been the client that the lender has had issue with, but the property as security.

Although in other parts of the world, the financial market went through a ridiculous crazy period pre GFC, where the bank would lend as long as a client could breathe, New Zealand banks fortunately were not quite as reckless. In the lending world we have always called it the 5 c’s of lending. In fact I consider it 6 c’s of lending with the final one being COMMUNICATION.

Banks always need to know that a client has the CAPACITY to pay. This is why proving your income is the biggest hurdle to get over, and operating a business to run at a loss, therefore reducing your tax to pay may not be such a wise practise. The less you can prove you earn the less you can borrow.

Past history or CHARACTER plays an important part in the decision making process as well. Most lenders will do a credit check and want to see your bank account operation to satisfy to themselves that you have the ability to manage your finance.

Letting your account slip into an overdraft situation without a facility in place is not sensible, even if you do have funds in another account. It can be difficult when life is too busy to keep on top of it all, but setting up internet banking, automatic payments direct debits and a separate account solely for the purpose of managing all of your fixed costs, will definitely help you.

The amount of deposit required or your CAPITAL, increased this year, when the Reserve Bank

stepped in and interfered with the Loan to value regulations. This has confused some people who have thought that when you decide to purchase a 2nd property whether it be a rental investment property or say a holiday home, you need a further 20% deposit. Whilst that is true, the bank can look at your current property and use any surplus equity you might have in this one as extra security for the 2nd purchase. So in that sense it is possible to buy a 2nd property without any deposit at all.

With the run up to the election the banks are have been competing heavily and providing very good lending CONDITIONS for clients. Some very good discounted interest rates, as well as cash contributions to convince you to take out a loan with them.

Finally, COLLATERAL usually referred to as the security has been the key issue for declines lately. The main reasons are a property’s lack of code of compliance and another being an unsatisfactory building report, generally because the property is considered a leaky building. Whilst banks want to lend money, the more the better for their profits, they have a need to minimise

their risk. If a property has to be sold at a mortgagee sale they need to know that it is saleable in a hurry, and at the best price they can get. Any aspect that can adversely affect the sale in a hurry will cause the bank concern, and it seems their credit departments at the moment are getting very picky. This has been a total shock to each person who has called me seeking assistance because they have been declined.

My advice to anyone house hunting out there

is communicate with us first before you start the process. We need to get you pre-approved so that you meet all other conditions, and only have to finalise the “Suitable security – Collateral” condition. Clients communicating with us and discussing the details of what they propose to purchase means we can structure the sale and purchase better to ensure that any potential issues are ironed out before you sign a contract. Then it’s simply, happy house hunting.
