Adobe VIP How to Order Guide: Quick Overview / VIP Program Summary

VIP Program SummaryThe Adobe Value Incentive Plan (VIP) is a subscription licensing program that gives Commercial, Government and Education organizations of all sizes the options and control they need to easily put the right Adobe products in the right hands. VIP provides volume discounts, smooth deployment and simplified management. A multitude of term-length options and purchasing-reward features help organizations meet their unique needs.

For the latest list of products offered through VIP, see the Buying Programs Comparison Guide for Commercial/Government or Education. For more information about VIP, please see the VIP Program Guide for Commercial/Government or Education.†

Easy-to-use administration toolsAdobe VIP Members and Account Managers get full use of Adobe Buying Programs administration tools for purchasing, selling, deployment, tracking, renewing and adding licenses. VIP members use the Admin Console to mange licenses and users, while the sales team uses the Reseller Console to manage their organization and VIP customers.

• The Admin Console for teams is the centralized management tool that VIP Members use to easily add and administer licenses, assign and un-assign users, inform users that software has been deployed for them and monitor storage. See the Admin Console Help pages on Adobe.com for more information.

• The Admin Console for enterprise is used by VIP customers who purchase enterprise versions of Adobe products. It provides different login types to fit the organization’s needs—from the user-owned Adobe ID to Single Sign On (SSO). The Admin Console provides a central location for managing Adobe licenses across an entire organization. An IT admin can handle numerous organizational tasks, from account management and app provision to group management and access levels. See the Admin Console Help pages on Adobe.com for more information.

• The Reseller Console is the web-based portal where Adobe or an Adobe Authorized Reseller (Account Manager) invites customers to join VIP, manage customer accounts, add licenses and view information about licenses added. For information on how to manage your organization and customers, see the Reseller Console Help page on Adobe.com.

Adobe Licensing Website (LWS)The Adobe Licensing Website (LWS) provides Account Managers with access to the account information of their VIP customers’ account information. (Note: VIP customers themselves do not have visibility in the LWS.). Use the LWS to track orders, view purchase histories, check upgrade entitlements and points, change or add account contacts and information and merge accounts. For VIP, this is where the Account Manager submits an order to Adobe (or the Distributor) and references the PA or customer PO. Learn more about LWS.

VIP Subscription DatesA Value Incentive Plan agreement begins the day the Member accepts the VIP terms and conditions through the email invitation from Member’s Account Manager, and does not expire. The Member is required to accept the terms and conditions; the Account Manager is not permitted to accept on the Member’s behalf.

The VIP Member may appoint its Account Manager as an additional administrator to help manage the Member’s account, but an Account Manager may not serve as the primary administrator.

Anniversary DateThe Anniversary Date recurs each year on the same calendar date and is automatically calculated as one year and one month (13 months) from the date the member accepts the VIP terms and conditions.

The Anniversary Date:

• Serves as the date each year when all subscription licenses must be renewed.

• Determines when all licenses purchased throughout the subscription term co-terminate.

• Serves as the basis for any monthly proration calculations.

For example, if ABC Company accepts the VIP terms and conditions on January 16, 2016, the first Anniversary Date is February 16, 2017.

VIP members may begin using licenses the day they are added in the Admin Console or Reseller Console and all licenses expire the day prior to the Anniversary Date (See the exceptions listed in End-of-Month Anniversary Dates).

Monthly Proration DateThe Monthly Proration Date is the same date of the month as the Anniversary Date and is used to calculate the cost and duration of licenses added during the subscription term. Regardless of when licenses are added, the Monthly Proration Date always begins on the same date of the month as the Anniversary Date. For example, if the Anniversary Date is January 15, 2016, the Monthly Proration Date would be the 15th of each month.

Adobe does not permit partial-month subscriptions and the system makes this adjustment—always adjusting down to a full month when you input the PO/PA Number from the Reseller Console into the order in LWS.

Monthly Proration Date examplesExample 1: XYZ Company, which has an upcoming Anniversary Date of February 16, 2017, adds additional licenses on October 1, 2016. The company’s Monthly Proration Date is the 16th of the month. Therefore, XYZ Company is charged for 4 months of subscription (October 16, 2016–February 15, 2017). In this example, the new users have 15 days when they can use the software before the paid period.

Example 2: ABC Company has an Anniversary Date of June 10, 2017 and adds new licenses on September 10, 2016. The company’s Monthly Proration Date is the 10th. Therefore, ABC Company is charged for 9 months of subscription (September 10, 2016–June 9, 2017).

End-of-Month Anniversary DatesIf an Anniversary Date falls on the 29th, 30th or 31st day of a month, then when adding licenses, the subscription month start date may shift depending upon whether or not a specific month has the same number of days as the month of the VIP Anniversary Date.

If VIP start date is… …then the subscription start date will be…

1– 28 1–28 respectively

29 29 or 1 (if no 29 exists)

30 30 or 1 (if no 30 exists)

31 31 or 1 (if no 31 exists)

Unpaid licenses after an Anniversary DateAfter the Anniversary Date occurs and a new subscription term begins, any unpaid licenses with a “pending” or “overdue” status from the prior subscription term will be prorated and billed to the next Anniversary Date. Licenses in “suspended” status are removed from the Admin Console once the new renewal period ends.

Adobe VIP How to Order Guide: VIP Subscription Term Options / VIP License Types

VIP Subscription Term OptionsNew VIPs have three subscription term options: annual subscription, extended paid-up front subscription and the 3-year commit option available to VIP Select members. All terms default to the annual term during the renewal period.

Annual subscriptionAnnual subscription allows VIP Members to pay up front for a 12-month license subscription. An annual term is one year and one month (13 months) from the date the member accepts the VIP Terms and conditions. New VIP members may choose this term option and VIPs up for renewal will default to this subscription term length.

When initiating the VIP invitation in the Reseller Console, make sure the box “Allow customer to select their anniversary date” is not checked. After that, no further action is necessary.

Extended paid-up-front subscriptionNew VIP enrollments are eligible for the extended term option. VIPs can choose their own anniversary date and/or an extended term duration, for which they pay up front. Any additional licenses added during the subscription term will reflect current price list pricing.

When initiating the VIP invitation in the Reseller Console, make sure the box “Allow customer to select their anniversary date” is checked. After that, the customer must select the desired Anniversary Date when completing the VIP enrollment process. All license purchases made throughout the term will prorate to the designated Anniversary Date and year.

Extended term subscription options: Commercial: 14–36 months Education and Government: 14–48 months

VIPs with the extended term will default to the annual term during the renewal period.

VIP Select 3-year commit optionVIP Select includes a 3-year commit option that allows an organization to pay annually at a set price* on the license quantity defined at the beginning of the agreement. Important: 3-year commit is unavailable for VIP Members with an extended paid-up-front subscription.

By signing up for the 3-year agreement, Commercial and Government customers get a deeper discount than they would when signing up for 1 year.

They can add additional licenses throughout the subscription term at the discounted price defined on the day they sign the 3-year agreement. An additional amendment is required to sign up for 3-year commit. See pages 5-6 for more information about VIP Select and the 3-year commit option.

VIP discount levels†

Qualifying for VIP Select—look-back31 days before the Anniversary Date, Adobe evaluates VIP Select eligibility based on total licenses purchased during a subscription term. Once qualified, the renewal order and any additional orders will receive a discount based on their qualifying VIP Select level.

Qualifying for VIP Select—single transactionVIPs who purchase a minimum of 10 licenses in a single transaction are eligible for VIP Select. Upon placing their order in LWS, the VIP Membership will be re-leveled to the appropriate discount level and the VIP Member’s status will become VIP Select.

If a Member has already qualified for VIP Select, but wants to place an order that will singularly qualify for a higher discount level, they may have their discount level updated manually prior to placing the order.

1. VIP Member wants to place an order that will alone qualify for a higher discount level.2. Account Manager sends the proof of intent to make another purchase (saved order number, PO, etc.) to Adobe.3. Account Manager contacts the Adobe Partner Connection Helpdesk to fill out the Manual VIP Select request form. 4. The Adobe Partner Connection Helpdesk submits form for processing.5. Adobe manually updates the Member’s discount level in LWS and informs the Adobe Partner Connection Helpdesk.6. The Adobe Partner Connection Helpdesk informs Account Manager that Member’s discount level is updated.7. Account Manager places the intended order with Adobe.

Please do not process any additional orders until you receive notification that the customer’s status is changed to the appropriate discount level. Failure to do so will result in an order error.

VIP Select with 3-year commitAfter qualifying for VIP Select, eligible Commercial, Government, and Education Members may choose the option to receive set pricing* for up to three years when they commit to 10+ licenses. 3-year commit is an extended term with annual payments and includes a set price* on a defined license quantity. It also provides flexibility to add incremental licenses while only requiring the committed quantity be maintained.

Commercial and Government members receive increased discounts on VIP purchases during the amendment term (up to 3 years, through 2 renewals).

3-year commit is available to VIP Select Members that do not have an extended paid up front term.

Additional discounts with 3-year commit for Commercial and GovernmentAs an additional thank you from Adobe for committing to renew their licenses for up to 3 years, Adobe provides exclusive higher discount tiers to Commercial and Government VIP Select Members with 3-year commit. These discounts are greater than the standard discounts that can be seen on Page 5. When VIP Select Members accept 3-year commit, their license tier is transitioned to one with additional discounts.

VIP Select VIP Select with 3-year commit**

Level Discount Level Discount

2 5% becomes 12 10%

3 10% becomes 13 15%

4 10% becomes 14 15%

Accepting 3-year commitAfter qualifying for VIP Select, Members receive an offer for 3-year commit in their VIP Select welcome email. A link to the amendment also becomes available in their Account Management page on Adobe.com.

At any time during their VIP Select qualified term, the Member can click the link in either location and accept the 3-year commit amendment.

Committed license quantity The committed license quantity is the number of active licenses at the time of acceptance.

Example: ABC Company qualifies for VIP Select Level 4 with 120 licenses. They immediately accept 3-year commit and therefore must maintain a minimum of 120 licenses through the committed term. There is no obligation to maintain incremental licenses added after accepting the amendment.

Example: ABC Company qualifies for VIP Select Level 4 with 100 licenses. They later add 20 licenses and accept 3-year commit. They must, therefore maintain a minimum of 120 licenses through the committed term.

Set priceWhen the Member accepts the 3-year commit, their Account Manager is provided the 3-year commit pricing available at the time of acceptance, on both existing licenses as well as new license purchases.

Example: ABC Company accepts the 3-year commit amendment with 50 licenses of Creative Cloud for teams All Apps, in July 2016. In July 2017, they renew 50 licenses of Creative Cloud for teams All Apps and add 10 licenses of Acrobat Pro DC and Adobe provides their Account Manager with July 2016 3-year commit pricing.

Failing to maintain committed license quantityIf the Member fails to renew the committed license quantity through the amendment term, their licenses will be returned and they will lose access to 3-year commit pricing.

Adobe will attempt to make contact with the Member to remind them that they must renew their committed quantity, however once their renewal period is closed, they will no longer systematically have the opportunity to renew. They would need to add new licenses after that point and re-deploy to their users.

* Specific pricing is always set between the Account Manager and the VIP Member.

** Education Members are not eligible for discount levels 12–14.

VIP Linked MembershipLinked Membership is an optional feature that allows affiliated organizations to aggregate purchases across linked VIPs in order to achieve a higher discount level, while still purchasing and managing licenses separately. For more details on the Linked Membership option and requirements, visit the following web pages: Linked Membership, Standard, or Linked Membership, Consortium.

Affiliated VIPs begin to see the benefit of a Linked Membership after the Linked Membership look-back occurs. 31 days before the Linked Membership Anniversary Date, Adobe initiates a look-back to determine the license quantity across all linked VIPs for the current Linked Membership term. The total license quantity determines qualification for VIP Select status, which if achieved, provides all affiliated VIPs an assured discount level until the next Linked Membership look-back.

Ideal customers for Linked MembershipLinked Membership is designed for organizations such as: Commercial affiliates

• Government agencies

• Primary and secondary education institutions (e.g., school districts and state schools)

• Departments with separate budgets and license administration needs

• Qualified Consortium organizations (Business and Education)

In addition to meeting the Linked Membership qualifications, VIP Members are considered good candidates for Linked Membership if they have license investments across multiple VIP agreements, where their combined license total has the potential to achieve VIP Select in the near future.

VIP Members who are unlikely to achieve VIP Select with aggregated purchases, or with small investments across multiple VIPs that do not anticipate growth in the near term, are not considered ideal candidates and should not participate in a Linked Membership.

Qualification Adobe Advisors and Authorized Resellers should serve as the primary interface when determining a suitable candidate for Linked Membership. Only those Members who would qualify and benefit from a Linked Membership should be informed of the option.

Requesting a Linked Membership

Linked Membership request processCreating a VIP Linked Membership requires input from the requesting organization’s VIP Admin and Account Manager to process a manual request for participation in the Linked Membership option. The requesting VIP Admin will become the VIP Linked Membership Admin and is responsible for ensuring all VIP Members under the Linked Membership stay informed of its status and continue to meet the VIP and Linked Membership affiliate qualification requirements.

1. Account Manager discusses Linked Membership with the VIP Admin (from the VIP Member organization) and ensures that Linked Membership makes sense for the organization and its affiliates.

2. Linked Membership Admin gets approval from affiliates to include their VIP in a Linked Membership, reviews Linked Membership details and then completes and submits Linked Membership request letter (Consortium or Standard).

3. Adobe reviews request, validates eligibility and provides approval.

4. Adobe creates Linked Membership and links all qualified affiliate VIPs.

5. All linked VIPs and their Account Manager receive a Linked Membership confirmation email. Linked VIPs may qualify for VIP Select and the assured discount level at the Linked Membership’s look-back, 31 days before the Linked Membership anniversary.

Linked Membership AdminA Linked Membership Admin must be established to facilitate the Linked Membership request and for on-going Linked Membership administration.

• For Standard Affiliate requests, it is preferred that the Linked Membership Admin be the VIP Admin of the Controlling entity’s VIP, but may be the VIP Admin of any of the requesting affiliate VIPs.

• For Consortium requests, the controlling Consortium entity must have a valid VIP agreement and their VIP Admin must be the Linked Membership Admin without exception.

Editing a Linked Membership Changes to an existing Linked Membership are made by completing a new Linked Membership Request Letter and must be submitted by the existing Linked Membership Admin. To add or remove an affiliate, or to terminate an existing Linked Membership, the Linked Membership Admin must specify the type of change on the request, as well as list all entities to add or remove, or all entities in the Linked Membership in the case of termination. The Linked Membership Admin must first obtain approval from the VIP Admin of each affected affiliate before submitting the request. Adobe will review and make the requested change upon approval. Each VIP Admin and their Account Manager, as well as the Linked Membership Admin, will receive a notice of approval or denial for the requested change.

In the case of removal or termination, VIP agreements no longer linked will lose VIP Select and any assured discount and will have the ability to qualify for VIP Select 31 days before their anniversary date. At that time, their qualification for VIP Select will be based solely on their individual VIP purchases over the previous term.

LWS Orders: Before You BeginAll orders with Adobe must be transacted in the local currency for each license order based on the Deploy-to address. All eligible subsidiaries and divisions may have access to the same discount level established for the parent organization.

VIP Members with locations in three or more countries may choose to purchase centrally against a single VIP agreement from a single worldwide reseller. See Selecting Worldwide VIP Price lists for details.

Please contact your regional Adobe Partner Connection Helpdesk team for ordering support.

Purchase Authorization or Purchase Order NotificationMost VIP orders begin in the Admin Console for teams or Reseller Console. VIP Members may add named-user licenses through the Admin Console for teams at any time. In addition, the Reseller Console may be used to add named-user licenses for the Member. In both instances, a Purchase Authorization (PA) is created. The PA includes deployment date, deployed products and End User PO Number. At this time, PAs are not available for device license or enterprise orders. Please reference PO when submitting device license and enterprise orders.

Licenses added through the Admin Console are considered deployed and the member must place an order within thirty (30) days per the VIP Terms and conditions. If Adobe does not receive a PO within 60 days, license use is suspended and the VIP is prohibited from adding licenses until the outstanding PO is reconciled.

The Account Manager associated with the VIP Membership will receive a notification that a new PA has been created. Provide the End User PO or PA Number on the order to ensure that the Start Date and End Date are populated correctly and that the order is marked as “Fulfilled” in the Reseller Console.

Note: VIP Customers with enterprise versions of Adobe products, such as Creative Cloud for enterprise, may not add licenses via Purchase Authorization. They need to contact their Account Manager (Adobe representative or Reseller) to add licenses.

Before You Begin ChecklistBefore you place a VIP order in LWS, make sure you have the following:

c VIP Agreement Number. Located in the Reseller Console under “Customers.” If you do not have access to the VIP through the Reseller Console, obtain this information from the VIP Member.

c End User PO or PA Number. Always reference the PO or PA number of the order you’re submitting. Orders entered into LWS without a PO or PA number will automatically pull the first PO or PA number it finds, potentially causing an inaccurate subscription date.

c Sold-to ID. The organization conducting the VIP transaction.

c Bill-to address. The address where invoices will be sent.

c Payer address. The entity responsible for making the payment (may be different than Bill-to).

c Reseller ID. If applicable.

c Deploy-to/Media ship-to information. The address where licenses will be deployed.

c SKUs, price and quantity. (Note: Promotional pricing is applicable only for eligible licenses and are subject to the terms and conditions of the specific promo.) See Price Lists and Order Guidelines for SKU information.

c Subscription start date. The Monthly Proration Date.

c Payment Method. The member’s payment method.

To find the appropriate SKU(s) and Membership details for your customer, use the online VIP Calculator.

With the VIP Calculator, you may enter your customer’s VIP Agreement Number and select “Get Agreement Data” to automatically update the Calculator with such details as Anniversary date, Membership status and any applicable extended term details. Note: You will need your LWS login and password to access customer agreement data.

Beyond that, you have the ability to enter the Purchase Authorization date if the Member has a pending purchase authorization. This will automatically provide the appropriate license proration. You can then select the product type(s) and quantity, new or renewal license and retrieve the part numbers.

Fulfilling Purchase Authorizations (PA) in the VIP Admin ConsoleHere’s how it’s done:1. A systematic search of the Admin Console determines whether there is an existing PA with the matching

customer PO number sent as part of the order. If an exact match is found (same PO number and same SKU), in PENDING status, the licenses are marked as paid.

2 If no match is found, determine whether there are any other pending PAs that have the same SKU. If a pending Purchase Authorization with the same SKU is found, those licenses will be marked as paid.

3. If no pending PAs exist in the Admin Console, create a synthesized PA (authorized by LWS Order) and mark as paid.If all seats for that PA (including all line items) are marked as paid, mark that PA status as FULFILLED.

Note: If a partial order is placed and not all line items in an Admin Console PA are marked as paid, the PA will remain in Pending status but will no longer have the ability to remove the PA.

• End User Does Not Accept EULA: The customer does not agree with the terms and conditions of the End User License Agreement (EULA.)

• Wrong Platform, Product, Quantity or Language: The wrong product, platform, quantity or language was delivered to the customer. (This also covers cases where Adobe correctly ships the item listed on the partner’s Purchase Order, but this information does not match what the customer ordered.)

• Duplicate Order: The customer receives a duplicate shipment or duplicate invoice (due to a duplicate Purchase Order from the customer or reseller.)

• Order Cancelled: The customer cancels the order after the invoice is issued.

• Wrong Company/End User: The wrong end user information was included on the order.

13. Open returns are on hold for various reasons, e.g. waiting for Adobe Order Management approval.

Partial ReturnsVIP customers may return an order provided that all seats on the order are returned. Partial returns are not allowed on VIP orders. Only licenses that are not currently in use may be returned.

Approved ReturnsAdobe authorizes the return by issuing a Return Materials Authorization (RMA) number to the partner. All returns must be authorized by Adobe and must comply with the Terms and conditions of your Partner Agreement with Adobe. After Adobe issues the RMA number, Adobe Order Management will review the return request. If it is approved, the status of the return will be changed to Closed. A Letter of Destruction is not required for VIP orders. Returns placed during the renewal period will not be reflected in the Admin Console or Reseller Console until the close of the renewal period.
