Your TTA Membership

Greetings from Upper East Tennessee! Since this issue includes our annualmembership directory and Resource Guide, I thought it appropriate tomention some of the things your board of directors is working on this year.

For those of you who were at the TTA Annual Conference and Trade Show backin January, you may remember that the membership approved a bylaws amendmentthat adds a Retired Member category to our current member classifications. Thequalifications for this new category are outlined on page 42 in this issue. You will behappy to know that in addition to free annual membership dues, the board voted toalso include Conference registration at no charge for retired members. If you meetthe qualifications for a retired member, be sure to contact Jim Uden, TTA’s executivedirector (at 615-591-8286), to change your member status. I believe this a wonderfulreward for those individuals who have been so loyal to the TTA over the years.

You will be happy to know that the TTA Scholarship Committee worked hard in2006 to revamp the Ernest Hardison Memorial Scholarship (see page 15 for anapplication) and will also re-introduce the Legacy scholarship this year. Last year, wehad more applicants for the Hardison Scholarship than we have had in many years,and as a result, the Committee awarded two scholarships for 2006.

The Legacy Scholarship will be available to children, stepchildren andgrandchildren of current TTA members. The scholarship is available for full-timestudents pursuing majors in a non-turf-related field. With the rising costs of highereducation, I am sure this scholarship will be well received by our membership, andI expect we will see many applications. Please contact Jim Uden for moreinformation on either of these scholarships.

Finally, the marketing committee has been hard at work creating an officialwebsite for the Tennessee Turfgrass Association. The goal is to provide themembership with an alternative source for information. We plan to have eventschedules, Conference registration information, scholarship applications and muchmore available on the site. In addition, we are looking into the possibility of creatinga job and equipment marketplace, along with some other ideas. The website willdefinitely be a work in progress, so if you have any suggestions, feel free to contactme or a member of the marketing committee. We will get more information to youwhen the site officially comes on-line.

As you can see, your TTA board of directors has been hard at work, finding waysto add value to your membership. With such an extraordinary membership and afantastic group of directors, there is no doubt that together we will continue to growthe Tennessee Turfgrass Association into one of the finest of its kind.

TTA Professional of the Year

The annual TTA Professional of the Year Award is the highest honor bestowed by the Tennessee TurfgrassAssociation. In the fall of each year, TTA members nominate deserving individuals who have madenoteworthy contributions to the turfgrass industry in Tennessee. The nominees are reviewed by the TTAAwards & Scholarship Committee, which makes a recommendation for approval by the TTA board ofdirectors. Each year’s winner is announced at the annual TTA Conference and Trade Show in January.

By the time this message is delivered, hopefully we cansay it is summer. From the last message to the time ofthis writing, it has been winter, spring, a dry summer,

followed by another spell of winter and then a wet spring. I wasconfused, and I’m sure our turf was, too.

How was your pre-emergent timing? Seen any strangeweed activity? Every year brings its challenges, but this hasbeen one for the books. It serves as another example of thevalue of TVSTMA membership. It sure helps to be able topick up the phone, make a few calls, exchange some thoughtsand come up with a plan with the assistance of top-notchfolks in our own neck of the woods.

That — helping each other — is our bread and butter. Itis the foundation upon which we stand and makes all ourendeavors as an association possible: cooperative, activemembership. I do hope everyone fared as well as possiblethrough unpredictable conditions and are in good shapeheading into the last half of the year.

Guys like Jason and Glenn have helped make the first halfof the year run smoothly for our chapter. Thanks to all themembership for fulfilling the need for an ExecutiveSecretary. Shannon Lovell is doing a great job and hasalready had a positive impact. I have no doubt that, by year’send, this move will have proven itself invaluable.

Time flies, so I would like to start early in encouragingmembers to consider taking on leadership roles in TVSTMA.Our November business meeting, which will be announcedsoon, is your opportunity. It is there that nominees for the 2008slate of officers will be formed in time for our annual meetingand election in January. We have made great strides, and I lookforward to pushing on with new leadership. There is plenty ofroom at the table, and we all have something to offer to furtherour cause: making our chapter all that it can be.

Leadership offers lots of opportunities — to challengeone’s self, to feel the satisfaction of accomplishment amidconstraints of time and commitments, to learn from yourmistakes and, ultimately, to know that you left somethingbetter than you found it and that you’re a little better personfor the experience. I strongly recommend it. Please bringyour talents forward to help push TVSTMA ever onward.

Leadership in the TVSTMA OffersLots of Opportunities

The Tennessee Valley Sports Turf Managers Association (TVSTMA) is a group of

people located throughout Northern Alabama, Southern Kentucky and Tennessee.

This group consists of groundskeepers, park and recreation directors, turfgrass managers,

maintenance personnel, commercial members and anyone interested in turfgrass and the

ability to make fields playable and safe. The TVSTMA is the local chapter of the Sports

Turf Managers Association (STMA), which is a national organization. The TVSTMA is a

non-profit organization that, through the use of educational and on-field seminars, allows

members to receive knowledge regarding turfgrass and any subjects that are related to

athletics. The TVSTMA welcomes any person who wants to gain knowledge about athletic

fields and how to manage them to make them safe and playable.

The TVSTMA was formed in 1997 through a collective effort of professional people

who had a desire to increase the knowledge base about sports fields. Through this

organization, the TVSTMA chapter was formed, and thus, the chapter became recognized

on the national level. This chapter has grown from 35 members to over 120 members as of

2007. With an increasing presence in the communities located throughout the tri-state area,

and in conjunction with the Tennessee Turfgrass Association, the TVSTMA is a growing

chapter. We would like to encourage all members to stay actively involved in the field and

educational seminars. �

BYLAWS OF TENNESSEE TURFGRASS ASSOCIATION Revised January 7, 2003

ARTICLE I: NAME AND MISSION

SECTION 1 The name of the Association shall be the Tennessee TurfgrassAssociation.

SECTION 2 The mission of this Association is to promote the TurfgrassIndustry through education, scholarship and research.

SECTION 3 This Association shall be operated on a non-profit basis, andonly those funds shall be raised as may be required toaccomplish its objectives.

ARTICLE II: MEMBERSHIP

SECTION 1 This Association shall be open for membership to anyoneinterested in promoting turfgrass in Tennessee.

SECTION 2 Membership classes, method of application, and term ofmembership will be established by the Board.

SECTION 3 Honorary memberships may be awarded upon approval oftwo-thirds of the Board of Directors.

SECTION 4 To qualify for Retired Membership, one must be retired andno longer seeking employment within the scope of activitiesof any membership class of the Association. An applicantmay apply to the Board of Directors in writing for RetiredMembership. There are two options for retirement: (1) Anymember reaching age fifty-five (55) may retire and shall haveall the privileges of the Association afforded the member inhis or her immediate previous classification; or (2) anymember having completed a minimum of twenty (20) yearsof service in any membership classification may retire in thatclassification and shall have all of the privileges of theAssociation afforded that classification. Full TTA conferenceregistration will be made available to all retired members at areduced rate to be determined by the board of directors. Therewill be no dues charged to any retired member.

ARTICLE III: OFFICERS & DIRECTORS

SECTION 1 The government of the Association shall be vested in a Boardof Directors consisting of twelve (12) members. A sufficientnumber of Directors shall be elected at each annual meetingby a majority vote of the regular membership.

In the event of a tie, the first–term board members and allofficers shall break the tie by ballot.

The directors shall be elected for a term of two (2) years.

SECTION 2 The officers of the Association (designated the ExecutiveCommittee) shall be elected by the twelve (12) members ofthe Board of Directors.

The Association’s officers shall be President, Vice Presidentand Treasurer. Officers may be elected from the Board orfrom the membership at large.

Each officer shall serve no more than two (2) consecutiveterms in a particular office.

SECTION 3 The Board of Directors shall have the power to fill anyvacancy that may occur during a regular term, uponrecommendation of the President.

SECTION 4 A quorum necessary for the transaction of business by theBoard shall be no less than a majority of the existing Board.

SECTION 5 The Board of Directors shall have the authority to hire staff asdeemed necessary to accomplish the Association’s objectives.

Duties of all staff members shall be prescribed by the Board.

SECTION 6 Prior to each annual meeting and election, the Presidentshall appoint a nominating committee to complete a slate ofnominees for the impending vacancies on the Board of Directors.

Nominations from the floor may be considered as well.

ARTICLE IV: DUTIES OF OFFICERS

AND DIRECTORS

SECTION 1 The President shall be the Chief Executive Officer of thisAssociation and shall preside at all meetings of the Boardof Directors and the Annual Meeting of the Association.The President will, with approval from the Board ofDirectors, appoint a Committee Chairperson for eachCommittee. The President will be ex officio member ofeach committee.

SECTION 2 The Vice President shall perform the duties of the Presidentin the event of the President’s absence or inability toperform as President. The Vice-President shall attend allmeetings of the Board of Directors and the Association.

SECTION 3 The Treasurer shall provide oversight for all financialmatters relating to the Association. The Treasurer shallreview financial accounts and records of the Association.The Treasurer will be prepared to give a report of thefinancial status of the Association at each Board Meetingand the Annual Meeting of the Association. The Treasurerwill make available to inspection by the Board of Directorsall financial records. The Treasurer shall attend allmeetings of the Board of Directors and of the Association.

SECTION 4 Each Director will be an advisor to the President and havea vote in all affairs governed by the Board of Directors.Each Director will attend all meetings of the Board ofDirectors and meetings of the Association.

ARTICLE V: DUES

SECTION 1 Annual dues for this Association are payable in a sumprescribed by the Board of Directors. All mattersconcerning dues will be decided by the Board of Directors.

ARTICLE VI: MEETINGS

SECTION 1 An Annual Meeting of the Association shall be held eachyear, and the Board of Directors shall determine the dateand location.

SECTION 2 Special meetings of the regular membership may becalled by the President or by a majority of the Board ofDirectors or by a petition representing at least 1/3 of theregular membership. A notice of such meeting must besent to each regular member thirty days before theintended meeting date. Only the business for which thespecial meeting was called may be transacted, and themeeting shall be conducted consistent with the Bylaws.

SECTION 3 At the Annual Meeting and meetings of the Board ofDirectors, no business may be transacted inconsistentwith the Bylaws.

SECTION 4 Roberts Rules of Order will be used during each regularmembership meeting.

ARTICLE VII: COMMITTEES

SECTION 1 The Executive Committee is the only permanentcommittee established with these Bylaws.

SECTION 2 The President, with majority approval from the Board ofDirectors, will form committees he/she deems in the bestinterest of the Association.

SECTION 3 No committee shall have the power to bind or obligate theTTA, the Board of Directors or its Officers to any contractor payment of any kind unless given such authority, onrecord, by the Board of Directors.

SECTION 4 It shall be the privilege of any and all Past Presidents of thisAssociation to attend any meeting of the Board of Directorsand Executive Committee in an advisory capacity. PastPresidents will not be able to vote during these meetings.

ARTICLE VIII: PRINCIPAL OFFICE

SECTION 1 The principal office of the Tennessee Turfgrass Associationwill be 400 Franklin Road, Franklin, Tennessee 37069.

SECTION 2 The Board of Directors may, from time to time, chooseother offices to help run the Association.

ARTICLE IX: INDEMNIFICATION

SECTION 1 The Association shall indemnify and hold harmless eachDirector and Officer of the Association, or any person whomay serve at its request as a Director or Officer of anothercorporation (and, in either case, his/her heirs, executors andadministrators), to the full extent allowed by the laws of theState of Tennessee, both as now in effect and as hereafteradopted. The Association may indemnify and advanceexpenses to any employee or agent of the Association whois not a Director or Officer (and his/her heirs, executors andadministrators) to the same extent as to a Director orOfficer, if the Board of Directors determines that to do sois in the best interests of the Association.

SECTION 2 The indemnification and advancement of expensesprovision herein shall not be exclusive of any other whichany person (and his/her heirs, executors and administrators)may have or hereafter acquire under any statute, provisionof the Charter provision of these Bylaws, resolutionadopted by the membership, resolution adopted by theBoard of Directors, agreement, insurance purchased by theCorporation or otherwise, both as to action in his/herofficial capacity and as to action in another capacity.

SECTION 3 The Association may maintain insurance, at its expense toprotect itself and any individual who is or was a Director,Officer, employee or agent of the Corporation, is or wasserving at its request as a Director, Officer, employee oragent of another corporation against any expense, liabilityor loss whether or not the Association would have thepower to indemnify such person against such expense,liability or loss under the Tennessee Non-profitCorporation Act, as it may be amended from time to time.

ARTICLE X: PROHIBITION AGAINST

SHARING ASSOCIATION EARNINGS

No Director, Officer or employee of, or member of acommittee of, or person connected with the Association, orany other private individual shall receive at any time any ofthe net earnings or pecuniary profit from the operation ofthe Association, provided that this shall not prevent thepayment to any such person reasonable compensation forservices rendered to or for the Association in effecting anyof its purposes; and no such person or persons shall beentitled to share in the distribution of any corporate assetsupon the dissolution of the corporation. Upon suchdissolution or winding up of the affairs of the Association,whether voluntary or involuntary, the assets of theAssociation after all debts have been satisfied, then theremaining in the hands of the Board of Directors shall bedistributed or transferred in amounts as the Board shalldetermine or as may be determined by a court of competentjurisdiction upon application of the Board of Directors,exclusively to charitable, scientific or educationalorganizations which would then qualify under theprovisions of Section 501(c) of the Internal Revenue Codeof 1986, as amended, and its Regulations as they now existor as they may hereafter be amended.

ARTICLE XI: INVESTMENTS

The Association shall have the right to retain all or any partof any securities or property acquired by it in whatevermanner, and to invest and reinvest any funds held by it,according to the judgment of the Board of Directors, withoutbeing restricted to the class of investments which a Directoris or may hereafter be permitted by law to make or anysimilar restrictions, provided, however, that no action shall betaken by or on behalf of the Association if such action is aprohibited transaction or would result in the denial of the taxexemption under Section 503 or Section 504 of the InternalRevenue Code of 1986, as amended, and its Regulations asthey now exist or as they may hereafter be amended.

ARTICLE XII: EXEMPT ACTIVITIES

Notwithstanding any other provisions of these Bylaws, noDirector, Officer, employee or representative of thisAssociation shall take any action or carry on any activityby or on behalf of the Association not permitted to betaken or carried on by an organization exempt underSection 501(c) 3 of the Internal Revenue Code of 1986, asamended, and its Regulations as they now exist or as theymay hereafter be amended, or by an organizationcontributions to which are deductible under Section170(c) 2 of such Code and Regulations as they now existor as they may hereafter be amended.

ARTICLE XIII: AMENDMENTS

The Bylaws may be amended at a meeting or the Associationby a two-thirds majority vote of those members present. �
