Rlndabury, counsel for the stockholders of the National .Sugar Refining Company of New Jersey, and John G. Mllburn, of New York, of counsel for the Havemeyer interests. If “conscious over-valuation" conati- tues fraud then the common stock if all companies not secured by property are more, or less fraudulent. The argu- ment was lengthy. “You needn’t limit yourself,” said Vice-Chancellor Stevens to Mr. Mil- burn. “This question is very trouble- some to me. I don't understand high finance and therefore am rather dull In the matter. The case is extraor- dinary.” “We sympathize with you, your honor," said Mr. Mllburn. A brilliant array of legal talent bat- tled over the question of $10,000,000 of common stock held by the Havemeyer interests without, as is alleged, any consideration havjng been made there- for. The merging of three companies Into the National Sugar Refining Company of New' Jersey was followed by the I effecting of an organization with $8.- j 260,000 of preferred stock. In order to 1 obtain friendly competition perhaps, instead of destructive competition, the late Henry O. Havemeyer, who con- trolled the American Sugar Refining | Company, was given $10,000,000 w'orth of common stock, but Vice-Chancellor Stevens asked, "How, did they go about It?" They gave the stock to James A. Post, representative of the Havemeyer Interests, who was made, president of j the National Sugar Refining Company. On account of the Sherman act the j stockholders did not take the common stock, but $8,260,000 of preferred stock | was held by them, and the $10,000,000 common was taken up by the Have- | meyer interests. The contesting stock- > holders claiming fraud in the issuance I of the $10,000,000 ask for a cancellation j of that stock. The morning session was consumed by the argument of > Mr. Mllburn. The destroyer struck a rock near Kobe during a hur- ricane November 24 and foundered. Forty-flve of her crew were drowned. Fifteen survivors reached shore on wreckage and by swimming. If “conscious over-valuation" conati- tues fraud then the common stock if all companies not secured by property are more, or less fraudulent. The argu- ment was lengthy.

“You needn’t limit yourself,” said Vice-Chancellor Stevens to Mr. Mil- burn. “This question is very trouble- some to me. I don't understand high finance and therefore am rather dull In the matter. The case is extraor- dinary.”

“We sympathize with you, your honor," said Mr. Mllburn.

| Company, was given $10,000,000 w'orth of common stock, but Vice-Chancellor Stevens asked, "How, did they go about It?"

They gave the stock to James A. Post, representative of the Havemeyer Interests, who was made, president of j the National Sugar Refining Company. On account of the Sherman act the j stockholders did not take the common stock, but $8,260,000 of preferred stock | was held by them, and the $10,000,000 common was taken up by the Have- | meyer interests. day, was two days out from Japan the wireless operator received some par- ticulars regarding the wreck of the Japanese torpedo destroyer Harusamo. briefly reported by cable. The destroyer struck a rock near Kobe during a hur- ricane November 24 and foundered. Forty-flve of her crew were drowned.
