Dodd-Frank – Never heard of it right? It’s a Federal law, intended to
control Wall Street, that prevents a builder from selling a property
and taking back paper on a residential property that they build.

With the average fine now up to $3,347 you really should get this simple stuff
done. The Cal-OSHA inspectior knows that lack of paperwork is an “easy”
citation so they look for the paperwork first. – Learn what you need and we’ll

Crisis Management for Construction – Serious injury on the job. Job related

Need Social Media Help? Your Exchange provides assistance with websites, Yelp and Facebook marketing for members. Our ConstructionFinder.com website has many hits each month by people (both residential and commercial)
searching for contractors. But, many of our members do not benefit from this because they have no social media presence. Your Exchange will help you improve your current social media or build you a basic website and set up a Facebook and Yelp listing at no charge. It’s a member benefit. But you need to let us know you want it, provide a few photos and tell us what type of work you want to attract. We can orient your marketing towards the group you wish to reach. Mediation
Services Most construction disputes can be
amicably settled with a little help. The
Peninsula Builders Exchange is a
non-profit organization dedicated to
improving the construction industry.
Among our services, we provide
mediation at no charge to any parties
involved in a construction related
dispute.
This is true “no fault” mediation. There
is no decision or judgement, we
simply try to help the parties reach a
resolution. Our success rate is about
90%. It only takes a couple of hours.
Regardless of what your contract
says, we are happy to help if both
parties agree to try and settle their
differences.
If you have not yet signed a contract,
you can use the following clause as
an addendum to a construction
contract and include mediation in your
agreement.

In the event of a dispute regarding the terms,
conditions, and performance by the parties to
this Agreement, the parties hereby agree to
seek and engage in good faith in mediation as a
condition precedent to engaging in arbitration
or litigation, using the Peninsula Builders
Exchange to administer the mediation. If a
party to this Agreement initiates litigation or
arbitration without first initiating mediation,
and that party prevails and would otherwise be
entitled to recover its attorneys' fees, that party
shall not be entitled to recover its attorneys’
fees.
The cost of said mediation shall be borne
equally by the parties. If mediation is
unsuccessful and the parties do not resolve the
dispute in mediation and proceed to arbitration
or litigation, then the cost of said mediation,
including attorney’s fees, shall be recoverable as
a cost to the prevailing party in said arbitration
or litigation.

Reduce Health Insurance Costs? Don’t expect a miracle but there are a
few things you should do! The legislated inclusion of many people who
could not get “normal” health insurance has really increased the price
that everyone pays. Insurance is one of the biggest employee expenses
you have – and one that has come under increased attention in the last
two years. There are a couple of things you should do to try and keep
costs under control:
Form a small group: In California a group can be two people or more. Even with only
two people in the “group” you get about 5% off the single person premium. If you can
put together a larger group of more than five insured you can save up to 10%.
Look for the “sweet spot”. The sweet spot is the best cost versus benefit policy. Carriers
play the numbers to make their policies appealing. If you look at you likely usage versus
the premium, deductible and out of pocket max, you will find that there is usually a
policy that will actually cost you less overall considering all costs, and it is usually not
the least expensive nor is it the most expensive choice. You should check this annually
because the rates and plan features change rapidly in these troubled times for health
insurance.
Compare carriers annually. The carriers have to make a profit to stay in business, but
the age mix of their customers can help change the cost. A carrier with a lot of young
customers can have lower rates for the older ones (under Obamacare the young “support”
the old) so check your rates against other carriers every renewal period to see if things
have changed.
You need help doing this. You need a broker with the patience and desire to really help you
rather than just make more money by increasing your premium. We recommend Todd Taylor at

Contract Goals The County of Santa Clara will use contract goals to meet any portion of the overall goal that the recipient does not project being able to meet using race-neutral means. Contract goals are established so that, over the period to which the overall goal applies, they will cumulatively result in meeting any portion of the recipient’s overall goal that is not projected to be met through the use of race-neutral means. The County will establish contract goals only on those DOT-assisted contracts that have subcontracting possibilities. It need not establish a contract goal on every such contract, and the size of the contract goals will be adapted to the circumstances of each such contract (e.g., type and location of work and availability of DBE’s to perform the particular type of work). The County of Santa Clara will express its contract goals as a percentage of the total amount of a DOT-assisted contract.
Dodd-Frank Legislation Impact on Contractors Who Sell Homes and Want to Finance Sale The Dodd-Frank Wall Street Reform and Consumer Protection Act, Pub. L. No. 111-2013, 124 Stat. 1376 (July 21, 2010) was passed by the federal government to address perceived issues with unqualified buyers
receiving loans to secure owner-occupied housing. It is intended to work with other laws such as The SAFE Act, RESPA, the Truth-in-Lending Act, and Regulation Z to protect borrowers for taking out improper loans. Some of our members may be selling or considering selling residential properties they have improved to buyers who intend to occupy the homes, and the sellers may wish to finance the sale of the property. If a seller-builder wishes to finance the sale of the property, and to avoid violating Dodd-Frank, it appears that a seller-builder is required to use a licensed independent loan originator, such as a mortgage broker. To avoid potential liability under Dodd-Frank, the broker should insure that all relevant federal and state lending guidelines are properly followed, and that only qualified, bonafide buyers obtain loans. Under Dodd-Frank, a loan originator is a person who for direct or indirect compensation or gain takes a residential loan application or offers or negotiates the terms of residential mortgage loan. Such a person must be a licensed mortgage broker in compliance with all laws. Transactions excepted from coverage by Dodd-Frank include: 1) Sales of vacant land, commercial properties, rental properties, or properties used for
investment purposes; 2) Sales to non-consumer buyers such as corporations, limited liability companies, and
partnerships; 3) Certain other exceptions not applicable to seller-builders.
Punishment for violating Dodd-Frank and related laws are harsh. Depending on which lending law is violated, the violator could be liable for attorneys’ fees and costs incurred in prosecuting the violator, penalties of up to $4,000 per day at a minimum, $25,000 for reckless violations, and $1,000,000 per day for knowing violations. Other remedies available could include rescission and reformation of the contract, refund of borrower costs, return of interest paid, return of real property, restitution, disgorgement or compensation for unjust enrichment, private damages, other monetary relief, and other relief not yet defined.
The PBX believes that members should not attempt to sell a residential property to a buyer who intends to occupy the property, that a member has constructed, and to carry back financing from the buyer, without using a licensed loan broker. Some ways that sellers may attempt to structure a transaction to avoid prohibition by Dodd-Frank include the following:
1) Attempting to sell a property to individuals who form a corporation to own the
property; 2) To use a lease purchase with some or all of the lease payments going to pay for
purchase of the property; 3) Using a double closing, where the seller and buyer use two closings to effect the
transfer of the property; Use of one of these stratagems or some other mechanism which seems to avoid coverage by Dodd-Frank could backfire. They may appear to be attempts to violate the spirit or purpose of Dodd-Frank, and the seller could still be held liable and incur the substantial penalties under Dodd-Frank or other related lending laws. Since Dodd-Frank is a new law, there is uncertainty about how it and its terms will be applied and interpreted. Wording of the law is broad, complicated and vague, and may be inconsistent with other federal laws and regulations. As the courts review and interpret the statute, a better understanding of the applicability of the law will be obtained which could help members in the future determine a way to finance the sale of a residential property without violating Dodd-Frank or other similar laws. ***************** LAW OFFICES OF JONATHAN J.
