Project Requirements• Mobilization Deposit (Non-Refundable) - 50% of project cost OR $250 (whichever is greater) plus Value Added Tax of total cost• Minimum of 5 business days lead time• Client supplied text in an electronic format• Client supplied photos/images in electronic form in high resolution ( 300 dpi or higher )

The Design ProcessPhase 1: Consultation between QuiteVIVID and Client (on phone, in person or via E-mail)Phase 2: Assembly of Client-supplied assets. The bulk of work takes place in this phase [Proof 1 supplied to Client for review]Phase 3: Any necessary Client revisions (this does not constitute a redesign) [Proof 2 and/or 3 supplied to Client for review]Phase 4: Finishing touches [Final Proof supplied to Client for written approval]Phase 5: Client’s written approval - Delivery/Upload of finished design files to Client

Deposits and PaymentA non-refundable deposit is required for mobilisation, after a quote/invoice is issued and approved by Client. Balance is to be paid once Project is approved and delivered. If Project is completed by QuiteVIVID, and response from the Client lags longer than 5 business days, payment will still be required without sign-off.

RevisionsClient is allowed THREE rounds of revisions (Proofs). After that, however, QuiteVIVID will bill at $50 per additional round.

Delivery of ProjectQuiteVIVID will use all reasonable efforts in the development of the Project and endeavor to complete and deliver to Client all files, media and materials related to the Project within 5-7 business days after all requirements are met. Any delay in the completion of the Project due to actions or negligence of Client, transportation delays, illness, or circumstances outside the control of QuiteVIVID may alter the delivery date. QuiteVIVID will make reasonable effort to notify Client of any delays to the estimated delivery date as soon as possible. Final Project files are delivered in the most sutiable formats.

CancellationsClient can make cancellations at any time. Please keep in mind that the deposit is non-refundable.

SReproduction of ProjectUpon successful completion of all compensation terms and outstanding balances owed to QuiteVIVID. Client is granted full and unlimited reproduction rights to the Project. QuiteVIVID retain the right to reproduce the Project in any form for marketing, future publications, competitions or other promotional uses. QuiteVIVID shall at no time reproduce the Project for use in commercial means or for-profit use. Client may not reproduce or otherwise use design proofs, mock-ups, drafts or sketches created by QuiteVIVID during work on the Project but not included into the final version of the Project. Such artwork belongs solely to QuiteVIVID.

Additional Work During ProjectDuring the event that there will be additional requests after the Project has begun, extra fees other than the price originally quoted may apply. However, Client’s approval of additional fees is required in order to proceed.

Design TeamDepending on the Project, a small team may be required. This will be at no additional cost to the Client, but let us know if you have an issue with a team working on your Project.

PrintersQuiteVIVID work with trusted third-party printers. In the rare case that there is a printing issue, QuiteVIVID will work with our printers to get it resolved, any additional costs incurred will not be at the expense of QuiteVIVID.

Printing Colour VariationsPlease note that some print materials may not show the exact colour that appears on the screen. This is due to the fact that each computer screen tint can be different. Any reprints required will not be at the expense of QuiteVIVID. We recommend providing HEX or Pantone colours for exact colour matching.

Images & Stock PhotosIt is recommended that the Client provides his own images. QuiteVIVID work with our own gallery of stock images at no extra charge. However, fees will apply in cases where Client requests fall outside our gallery or cases of large quantity requests, special licensing for photos, etc. Client will be advised of these fees after Project consultation.

Our Portfolio and CreditWe reserve the right to add completed Projects to our portfolio. If a full design Project was completed by our studio, in most cases a credit “design/layout by QuiteVIVID” will be included at the bottom of your artwork. In certain cases, our website credit will not be posted due to privacy/commercial purposes and we respect that. Please notify us if this is the case.

SOwnership of Artwork and Source FilesExcept for Client’s Proprietary Material contained in the Project, QuiteVIVID shall hold all right, title, and interest in all original artwork, whether in draft, mock-up, concept or final development for the Project. Specifically, but without limitation, QuiteVIVID shall hold all right, title, and interest in and to (1) all text, graphics or digital components of the Project (the “Content”), (2) all layouts, logos, structures or arrangements or other components of any materials presented to Client that comprises the Project, (3) all literal and nonliteral expressions of ideas that operate, cause, create, direct, manipulate, access, or otherwise affect the Content, and (4) all copyrights, patents, trade secrets, and other intellectual or industrial property rights in the Project or any component or characteristic thereof. Client shall not do anything that may infringe upon or in any way undermine QuiteVIVID’s right, title, and interest in the Project, as described in this Paragraph. Notwithstanding the above, Client shall retain and, QuiteVIVID shall have no proprietary rights whatsoever in all of Client’s intellectual property rights in any and all text, images or other components and/or materials owned by Client, or which Client has the legal right to use, that are delivered to QuiteVIVID, including but not limited to software, related documentation, Client marketing material, logos, and tag lines (“Client’s Proprietary Material”). QuiteVIVID agree that they shall not use Client’s Proprietary Material for any other purpose than those expressly set forth in the design Project.

Copyright for Logo DesignClient will have the exclusive right to the logo design chosen. All legal fees with respect to the transfer of copyrights will be passed onto the Client. Any concepts that are used publicly without payment will be a violation of the rights of QuiteVIVID.

IndemnificationClient warrants that everything it gives QuiteVIVID to include in the Project is legally owned or licensed to Client. Client agrees to indemnify and hold QuiteVIVID harmless from any and all claims brought by any third-party relating to Client’s Proprietary Material provided by Client to QuiteVIVID including any and all demands, liabilities, losses, reasonable associated costs and claims including reasonable attorney’s fees arising out of injury caused by Client’s Proprietary Material supplied by Client to QuiteVIVID, copyright infringement, and defective products sold as a result of Client’s distribution of the Project.

ConfidentialityClient and QuiteVIVID acknowledge and agree that the Specifications and all other documents and information related to the development of the Project, excluding however, Client’s Proprietary Material, (the “Confidential Information”) will constitute valuable trade secrets of QuiteVIVID. Client shall keep the Confidential Information in confidence and shall not, at any time during or after the completion of the Project, without QuiteVIVID’s prior written consent, disclose or otherwise make available to anyone, either directly or indirectly, all or any part of the Confidential Information.

Contract with QuiteVIVIDBy entering into a Project with QuiteVIVID, you are consenting to be bound by the terms of these policies and procedures.
