German investment groupAton on Monday announced aR4.7bn cash offer for Murray &Roberts (M&R), bypassing man-agement and causing the shareprice to rocket more than 50%on Monday. The German bidunderlines the vulnerability ofS A’s construction sector.
The offer was subject to aminimum acceptance of 50%plus one share and was not sub-ject to any due diligence, Atonsaid. Aton owns 30% of Murray& Roberts, so the buyout offer atR15 per share values Murray &Roberts at R6.7bn.
Aton said the bid would takeplace in two stages, with thecompany first increasing itsstake to just more than 33.1%,close to the level at which itmust make an offer to all minor-ity shareholders under JSE rules.It already has an irrevocableundertaking from fund managerAllan Gray, which owns 10.9%
of Murray & Roberts, to acceptthe offer. The offer price repre-sents a premium of 56.4% to theclosing price and 42.4% to the30-day volume weighted aver-age price of Murray & Robertson March 22.
Murray & Roberts’s sharepricewas 46% higher at R14.03at close of trade on Monday.
Aton said it had no immedi-ate plans to divest Murray &Roberts of noncore businessesbut would in due course con-sider selling assets “mo r eappropriately held” by otherinvestors. A takeover is likely toherald major changes, particu-larly divestment of Murray &Ro b e r t s ’s stakes in Gautrainbusinesses. Aton wants Murray& Roberts to focus on under-ground mining services.

As the hangover from the ANC’snational conference in Decem-ber continues, the party’s secre-tariat was called into line at lastw e e ke nd ’s national executivecommittee (NEC) meeting overits report on the Eastern Cape.
The NEC rejected the report,which, according to sources,was full of inaccuracies.
The secretariat, led by Zumaallies Ace Magashule and JessieDuarte, is said to have presenteda report on discussions inthe NEC over the dissolutionof the Eastern Cape party lead-ership — aligned to PresidentCyril Ramaphosa.
It is understood that the sec-retariat presented a report onthe national working committee(NWC) meeting that did notaccurately reflect the discus-sions on the Eastern Cape.
The NWC discussions indi-cated that a political solutionshould be found, while thes e c r et a r i at ’s report said theANC Eastern Cape provincialexecutive committee should bedissolved and replaced by atask team.
The NEC rejected the report,according to a statement fromthe NEC. NEC sources said thatthe report from Magashule’soffice had to be rejected becauseit did not reflect the content of

SA was prepared to negotiate aquota for its steel and aluminiumexports to the US as a way ofavoiding the imposition of the advalorem tariffs that Pr e s ide ntDonald Trump had decided on,Trade and Industry Minister RobDavies said on Mo nd ay .
Davies addressed a mediabriefing on the proclamationssigned by Trump, which imposea 10% ad valorem tariff onimports of aluminium productsand a 25% ad valorem tariff onimports of steel products on thegrounds that they threaten USnational security.
The proclamations makeprovision for country-basedexclusions from the dutiesshould the US and that countryarrive at a satisfactory alterna-tive to tackle the perceivedthreat to national security.
Canada and Mexico havebeen excluded from the duties,which came into force on Friday,and SA has submitted anapplication for an exemption

However, the NWC and theNEC found that there wereinaccuracies in the Ndebelereport. This was not reflectedin the briefing from Ma g a -s hu le’s office.
The NWC was rapped overthe knuckles for takingdecisions on the appointmentsof premiers to provinces with-out consulting the NEC.
Two premiers wereappointed — for the Free Stateand Mpumalanga — w it ho u tbeing discussed by the NEC.However, the NEC endorsed theappointments of the pair.
The ANC appointedMpumalanga co-operative gov-ernance and traditional affairsMEC Refilwe Mtsweni and ANCWo me n ’s League deputy presi-dent Sisi Ntombela as premiers-elect for Mpumalanga and theFree State, respectively.
It is understood that despitethe procedural misgivings, the
appointments of the pair wereendorsed and welcomed by theparty’s women’s league.
Former president JacobZuma was present at the week -end meeting, which alsodecided that no members ofANC structures could supportthose facing criminal charges inparty regalia.
Zuma is set to appear in courton April 6.
The party discussed thenational election and commis -sioned research on its prospectsin 2019, after Ramaphosa’stakeover in December. He hasthus far rung in far-reachingchanges at a high level, butwhether this will reverse voterapathy among traditional ANCsupporters remains to be seen.
It is understood the NEC saidthat the party needed to capi-talise on the “positive mood” t h atRa m a p ho s a’s leadership hadbrought on. Discussions on e a r lynational elections were held atthe meeting.
The ANC had “warmed up” tothe idea of an early election, butit was premature to decide on,said party sources.
