Since the American Quarter Horse Association(AQHA) rule change allowing more than one foal(multiples) to be registered out of a mare in the sameyear, it is not possible for the AQHA, Equine Line,the Sale Company nor the Sale Catalog Companyto know how many live foals a mare has producedeach year.

PLEASE NOTE: The fact that a foal is an embryotransfer does not necessarily mean it is one ofmultiple foals. The fact that a foal was born natu-rally out of a mare does not necessarily mean itis a single foal.

Neither the Sale Company nor the Sale Catalog

Company will be held responsible for providing in-

formation as to multiple embryos (foals of the same

year) and/or embryo transfers out of mares or dams

in sale; nor will either be held liable in any way for

buyer’s belated awareness of such information.

Embryo Transfer status of sale entries may be an-

CARE OF HORSES AFTER SALE: Although it is the consignor’sresponsibility to provide care and feed for horses until noon the dayfollowing purchase, please be reminded that title passes at the fall of thehammer, at which time the purchaser assumes all risk and responsibility forthe horse. Purchasers are advised to contact the consignor to confirm thatproper care is being provided. ALL HORSES MUST BE MOVED FROMTHE SALE PREMISES BY NOON OF THE DAY FOLLOWING THE LASTSALE SESSION. Horses remaining after that time are left at the buyer’s riskand are the buyer’s responsibility. Any delays in shipment of horses mustbe approved by the sale office.

ALL ACCOUNTS MUST BE PAID IN CASH AT TIME OF SALE, unlesssatisfactory credit has been established. In case of default, cost ofcollection, including all attorney’s fees, will be assessed to the buyer.Credit cards are NOT an acceptable method of payment. After ten (10)days, a 1.5% interest charge per month will be assessed on unpaidbalances until the account is paid in full.

EXAMINE HORSES PRIOR TO PURCHASING: Veterinary assistance isavailable at bidder’s expense on request. Examine horses beforebidding.

THERE IS NO IMPLIED WARRANTY made by the sales company norconsignor as to the merchantability or fitness for a particular purpose of anyhorse offered for sale in this auction.

PROSPECTIVE BIDDERS ARE CAUTIONED that warranties on horsespurchased are only as stated in Terms & Conditions. There is no guaranteeas to racing soundness.

IT IS THE RESPONSIBILITY OF THE CONSIGNOR to ensure that thecorrect animal has been hip numbered. The Sale Company assumes noresponsibility that the animal auctioned is the animal presented in thecatalog.

REGISTRATION CERTIFICATE CORRECTIONS: It is theresponsibility of the consignor to insure that the Registration Papersare Correct. If, after inspection of the sale animal, it is discovered that adiscrepancy in the registration papers exists and it therefore becomesnecessary to prepare and submit a Corrected Certificate Form, a feeof $125.00 will be deducted from the sale proceeds to include the$100.00 Breed Association Fee and Sale Co. expenses.

Exogenous Anabolic Steroids (Limited Warranties)

Consignors warrant that any yearling entered in the Ruidoso HorseSales (RHS) shall not have been administered any ExogenousAnabolic Steroids (EAS).

In order for purchaser to avail himself of this limited warranty, purchaseragrees to pay the $500 to Sale Company to cover direct costs andadministrative expenses in regard to the blood sample being taken. SaleCompany will then arrange for the sale veterinarian to obtain a bloodsample to be sent to a laboratory selected by the Sale Company for testing.Should the sample be tested positive, the purchaser shall have the right torescind the purchase of the horse by giving notice to Sale Company within24 hours of the receipt of the results of the positive test. If purchaser electsto rescind the sale as a result of the positive test of EAS, the Sale Companywill refund the full purchase price. Sale Company will give notice of thepositive test results to the consignor and purchaser as soon as practicalafter receipt of test results from the testing laboratory which is anticipated tobe approximately ten (10) days from the sale date. In addition, neither thepurchaser nor the consignor shall have the right, nor shall Sale Companyhave any obligation to conduct testing of a split sample. Sale Companynotification of a positive test by the testing laboratory shall be binding uponthe consignor, purchaser, and all other interested parties. In the event anyparty challenges Sale Company’ exercise of discretion, absence of fraud orbad faith, such party shall be liable for all of Sale Company’ reasonableexpenses including without limitation its attorney fees incurred in defendingthe challenge. Pending the outcome of the test result, the purchaser shallbe responsible for all expenses including but not limited to such items as the$500 testing fee, veterinarian charges, vanning, insurance, and boarding.Purchaser will be required to exercise due care during the recession periodin maintaining and boarding the horse. The purchaser shall not cause thehorse to be materially altered during the recession period.

In the event of a positive test, risk of loss shall remain with the purchaser fromthe fall of the hammer until the consignor has been notified of purchaser’selection to rescind the sale at which time risk of loss passes back to the priorowner. The prior owner shall remain responsible for paying the standardcommission and fees as indicated on the Consignor’s Contract as well asthe cost of the test and any associated expenses incurred by the buyer.

Upon the recommendation of the Scientific Advisory Committee of RCI, SaleCompany will use the 25pg/ml plasma level for quantification as a basis fora positive test, which means an effective ban on using any of the fourantibiotic steroids, Testosterone, Stanoozlol, Boldenone and Nandrolene.Recommended withdrawal times are as follows: Testosterone = 28 days;Stanozolol = 49 days; Boldenone = 130-140 days; Nandrolone = 49 days.

A 32-view Radiograph Repository will be available on those horseschosen by the consignor for participation. This program is voluntary,but strongly encouraged. Images can be submitted to Asterisstarting 8/7/13 and they must be in no later than 8/28/13. All studiesmust be accompanied by verfication indicating that the pertinentimages match the corresponding AQHA registration papers.

The Repository will be open for viewing on Thursday, 8/29/13, from8am to 5pm and Friday through Sunday from 9am until the last saleof the day.

The Radiographs will be available for viewing by veterinarians only, inthe metal barn just north of Barn #1 at no cost to a prospective buyer.If any additional views are requested, the seller has first right to payfor the view and have that view included in that yearling’s file. THIS SALE IS CONDUCTED IN ACCORDANCE WITH, AND ALL ACTS OF IN-TERESTED PARTIES AND/OR CLAIMS BY THEM SHALL BE GOVERNEDBY, THE FOLLOWING CONDITIONS OF SALE:

FIRST-APPLICABLE LAW: All horses in this sale are offered according to thelaws of the state wherein the sale is conducted. The right to bid, as provided un-der law, is reserved for all consignors unless otherwise announced.

SECOND-THERE IS NO WARRANTY expressed or implied by the Auctioneer,sponsors, owner or consignor, as to the performing soundness, merchantability orfitness for any particular purpose of any horse offered in this sale. All horses aresold “AS IS” with all existing conditions and defects except as set forth in conditionsEIGHTH, NINTH, TENTH, and ELEVENTH below. All Purchasers shall fully in-spect each horse that they may purchase. Purchasers will be charged with knowl-edge of any defect that is or should be revealed by a reasonable inspection,including any defect that is or should be revealed by a review of the Repository in-formation, with the exception of the Consignors’ Item #1 of the Tenth-Limited War-ranties. Announcements made by the auctioneer in conjunction with the sale of thehorse in question supersede all other information. Any defect which will, more likelythan not, materially and adversely affect the horse’s suitability for training and rac-ing, that appears on radiographs taken within 24 hours after the session in whichthe horse is sold and taken before the horse leaves the Ruidoso Horse Salegrounds, which does not appear on the Radiographs filed with the Repository priorto the sale, is subject to dispute resolution as provided in the Thirteenth Conditionof Sale – Arbitration which may result in a return of the horse to the Consignor anda refund of the purchase price. The presence or use of the Repository shall notchange any of these Conditions of Sale, which shall continue to be binding upon allparties nor does it create any additional express or implied warranties.

In the event Consignor elects to place information in the Repository for any sale con-ducted by Ruidoso Horse Sales, Consignor warrants that Consignor has depositedin the Repository all of the required views mandated by Ruidoso Horse Sale Co.and further warrants the authenticity and validity of said views. Consignor furtherwarrants the accuracy, validity and authenticity of all other information placed byConsignor in the Repository. In the event it should be determined that Consignorhas placed information in the Repository which is not accurate, valid or authentic inall material respects and such information is deemed to be materially misleadingregarding the condition of the horse or its suitability for training and racing, then thesale is subject to Rejection at the option of the Purchaser, and Consignor, in thatevent, shall (i) refund the purchase price to the Purchaser together with any properand reasonable expenses incurred by Purchaser including interest at the rate of12% per annum, and (ii) pay Ruidoso Horse Sale Co.’s entry fees and commissionas if the sale had been final.

All items, including Radiographs, placed by Consignor in the Repository are the soleproperty of the Consignor(or the Consignor’s veterinarian) and Consignor shallhave the right to receive all such items and information back 48 hours after the endof the session in which the horse in question was sold. However, Ruidoso HorseSale Co.’s may elect to hold such items on behalf of the Consignor in the event adispute arises concerning these Conditions of Sale and will return the items to Con-signor upon the resolution of the dispute. Further, Ruidoso Horse Sale Co. maypermit the Purchaser to receive such items only if Consignor has agreed to permitthe Purchaser to receive such items or information. In the event Consignor fails topick up the items and information contained in the Repository within 30 days afterthe end of the Sale, Ruidoso Horse Sale Co. may elect to notify the Consignor(and/or the Consignor’s veterinarian, if known) of the Ruidoso Horse Sale Co’s in-tent to destroy or otherwise dispose of said Repository information 10 days afternotice from the Ruidoso Horse Sale Co. of its intent to take such action andRuidoso Horse Sale Co. shall be held harmless by Consignor for any losses or ex-penses incurred as a result of Ruidoso Horse Sale Co.’s disposition of the itemscontained in the Repository.

Purchaser may elect Rejection only upon complying with the following:

(1) Written statement from Purchaser requesting Rejection must be received by theRuidoso Horse Sale Co. within twenty-four (24) hours after the session in which thehorse is sold and Before the horse leaves the Ruidoso Horse Sale grounds;

(2) Radiographs of the subject horse must be taken within twenty-four (24) hours af-ter the session in which the horse is sold and before the horse leaves theRuidoso Horse Sale grounds;

(3) copies of the Radiographs together with Purchaser’s veterinary certificate (“Neg-ative Certificate”) containing the opinion of Purchaser’s veterinarian describing indetail the specific defect on which the claim is based and that defect, in the opinionof the certifying veterinarian will, more likely than not, materially and adversely af-fect the horse’s suitability for training and racing.

In the event radiographs placed in the Repository do not reasonably reveal the de-fect described in the Negative Certificate, Consignor shall either accept Rejectionor deliver to Ruidoso Horse Sale a Consignor’s veterinary certificate contrary tothat of the Purchaser (“Positive Certificate”). The Positive Certificate must be re-ceived by Ruidoso Horse Sale Co. within twenty-four (24) hours of Consignor’s re-ceipt of the Negative Certificate.

In the event of a receipt by Ruidoso Horse Sale Co. of a Negative and Positive Certifi-cate, Ruidoso Horse Sale Co. will provide Consignor and Purchaser with a list of aminimum of five (5) veterinarians and a panel of three (3) veterinarians shall beconvened in the same manner as provided for in Condition Thirteen-Arbitration.The Consignor and Purchaser acknowledge that the selection process is fair andreasonable to each of them. A panel of three (3) veterinarians shall be elected.Ruidoso Horse Sale Co. shall provide Consignor and Purchaser (or their represen-tatives) with a list of not less than five (5) veterinarians. Consignor shall have thefirst strike of the veterinarian deemed most unacceptable to him, and Purchasershall have the second strike, and they shall alternate thereafter until three (3) veteri-narians remain on the list. Ruidoso Horse Sale Co. shall then determine if all threeveterinarians can serve on the panel and if not, Ruidoso Horse Sale Co. canvas theother veterinarians struck in reverse order until three are found who will serve. Ifthree are not found, the parties shall repeat the process under such conditions asRuidoso Horse Sale Co. shall determine until three veterinarians are found who willserve. The Consignor and Purchaser acknowledge that the selection process setout herein is fair and reasonable to each of them.

The panel shall determine, based upon such examination(s) that each panel mem-ber determines appropriate to support their decisions, whether the horse has an in-jury to or disease of the bone structure which will, more likely than not, materiallyand adversely affect its suitability for training and racing, which was not reasonablerevealed on the Repository radiographs, and in that event the sale shall be cancel-led. Otherwise, the sale shall stand. The decision of the panel shall be final, bind-ing and conclusive on all parties, absent fraud or bath faith. If the panel is notunanimous, a majority vote shall be determinative.

The limited right of Rejection contained in this Condition shall terminate regardless ofwhether twenty-four (24) hours have elapsed, immediately upon the removal of thehorse from Ruidoso Horse Sale Co.’s grounds.

Consignor shall have the sole responsibility concerning the accuracy of the disclo-sures/announcements and both Consignor and Purchaser agree that RuidosoHose Sale Co. is absolved from any liability relating to such announcements/dis-closures and both agree to hold the Ruidoso Horse Sale Co. harmless from anyloss incurred by either of them relating to such announcement/disclosure.

If Rejection is requested by Purchaser on the basis of non-compliance with items (1),(2), or (3) of this Condition Thirteen-Arbitration, Purchaser must give written no-tice to Ruidoso Horse Sale Co. within fourteen (14) days of the sale of the horseand Ruidoso Horse Sale Co. shall conduct such investigation as it deems appropri-ate and determine whether either items (1), (2), or 3) is applicable, and if so, thesale shall be cancelled, the horse returned and payment refunded. Ruidoso Horse

Sale Co.’s decision shall be determinative and binding upon Consignor and Pur-chaser.

THIRD-BIDDING PROCEDURE: Unless waived by announcement, there shallbe an upset price of $500 on any animal entering the sales ring. If an opening bidin the amount of the upset price is not immediately forthcoming to the auction-eer’s call, the animal shall be passed out as unsold. The person making thehighest bid recognized by auctioneer shall be the buyer. The auctioneer shallimmediately present the buyer with a document entitled Acknowledgement OfPurchase. Should such presentation not be made prior to commencement ofbidding on the next lot offered, the buyer shall forthwith identify himself or her-self to auctioneer as the buyer and sign the Acknowledgement Of Purchase. Inthe event that a person other than the recognized buyer signs the Acknowledge-ment Of Purchase, such action shall not give such other person any right or titleto the horse. Immediately after such erroneous signing of the AcknowledgementOf Purchase becomes known to the auctioneer, he shall cause the Acknowl-edgement Of Purchase to be presented to the recognized buyer for signature. Ifthe highest bidder fails to immediately execute the Acknowledgement Of Pur-chase or otherwise fails to comply with the Conditions of Sale, or in the event of amistake by the auctioneer, Ruidoso Horse Sales Company Reserves the option tore-sell the animal and such resale shall terminate all obligations of Ruidoso HorseSales Company and the consignor to honor any prior bid.

FOURTH-BIDDING DISPUTES: Should any dispute arise between or amongtwo or more bidders, the auctioneer shall forthwith adjudicate the dispute, andhis decision shall be absolute, final and binding on all parties. Bids received bypersonnel employed by the undersigned have the same stature as bids re-ceived by auctioneer. In case of dispute, the bidding shall be reopened for ad-vanced bids, and if there be no advanced bid, the horse is sold to the personfrom whom auctioneer recognized the last bid. Advanced bidding shall be re-stricted to the disputing parties, unless the bid be reduced below the level of therecognized bid at commencement of dispute, in which case bidding is reopenedto all. The auctioneer reserves the right to reject any or all bids.

FIFTH-TITLE AND DELIVERY: Title passes to buyer at fall of the hammer. Allrisk of injury to the horse becomes buyer’s risk at passing of title. Horse will beheld for buyer by consignor until buyer makes settlement as provided in CONDI-TION SIXTH below. Buyer shall immediately present himself or herself to makesettlement if requested by auctioneer, but in any case shall so present himself orherself within thirty minutes of conclusion of the sales session in which the horsewas purchased. Upon settlement by buyer, horse will be delivered pursuant to a“stable release” provided by undersigned to buyer or his or her representative.Buyer or his or her representative shall present “stable release” to designee ofundersigned to remove horse from sales premises after taking possession, butin any case taking possession of the horse by buyer or his or her representativeshall constitute delivery. Upon delivery, buyer shall cause horse to be removedpromptly from the sales premises, or shall be subject to stable charges as deter-mined by undersigned. In addition, should purchaser fail to cause horse to beremoved promptly, undersigned may cause horse to be removed from salespremises at buyer’s risk and expense.

SIXTH-TERMS FOR SETTLEMENT: Buyer shall make settlement with cashierof the undersigned. Payments to others, including consignors or their represen-tatives, do not constitute settlement. Buyer shall present himself or herself tomake settlement as provided in CONDITION FIFTH above for the full purchaseprice, such settlement to be in form of U.S. currency or equivalent acceptable tocashier. The Acknowledgement of Purchase is not transferable without the ap-proval of Ruidoso Horse Sales Company and the copy of the Acknowledgementof Purchase retained by the buyer must be presented by the buyer at the time ofsettlement.

SEVENTH-DEFAULTERS: SHOULD BUYER FAIL TO COMPLY IN ANY RE-SPECT WITH CONDITIONS FIFTH AND SIXTH ABOVE, THE UNDER-SIGNED MAY, IN ITS ABSOLUTE DISCRETION, PURSUE ANY REMEDYAVAILABLE AGAINST THE DEFAULTING BUYER, INCLUDING, BUT NOTLIMITED TO, TAKING POSSESSION OF THE HORSE, RESALE OF THE

HORSE AT PUBLIC AUCTION OR BY PRIVATE TREATY FOR ACCOUNT OFDEFAULTER. In any such case defaulter shall be liable for any deficit in his ac-count after charging to his account all costs of maintenance and resale, includ-ing, but not limited to, service charges, attorneys fees, costs of litigation, anddamages available to undersigned by law.

EIGHTH-WARRANTIES AS TO DESCRIPTION: UNLESS OTHERWISE AN-NOUNCED THERE IS NO REPRESENTATION OR WARRANTY AS TO THEBREEDING QUALITIES OF ANY HORSE DESCRIBED AT TIME OF SALE.

NINTH-WARRANTIES AS TO SOUNDNESS: UNLESS EXPRESSLYANNOUNCED FROM THE AUCTION STAND, OR BY OFFICIAL PUBLICATIONOF THE UNDERSIGNED, OR AS HEREINAFTER PROVIDED, THERE IS NOWARRANTY OR GUARANTEE OF ANY KIND AS TO THE SOUNDNESS ORCONDITION OR OTHER QUALITY OF ANY HORSE SOLD IN THIS SALE.

TENTH-LIMITED WARRANTIES.

1. Horses which are unsound in wind (applicable only to racing prospects whichhave started) or eyes, are “cribbers”, “wind suckers”, “bleeders”, or “crypt or-chids/monorchids” must be so announced. Horses currently on any starters’lists, or which have been administered Lasix in their last three (3) starts must beso announced.

2. Veterinary services are available to bidders in the stables and each bidder isencouraged to conduct such inspection and examination of each animal as thebidder desires prior to bidding. Except as otherwise announced by the auction-eer at the time of sale, the consignor of each animal represents and warrants tothe buyer and Ruidoso Horse Sales Company title to the animal free from all ad-verse claims to ownership, use or possession. Except for the foregoing limitedwarranty each animal is sold by the consignor WITHOUT WARRANTY ANDWITH ALL FAULTS. In the event that any animal is not as represented in theSale Catalog or on the breach of the foregoing limited warranty (as the Sale Cat-alog or limited warranty might be modified by announcement at the time of sale)the buyer shall file with Ruidoso Horse Sales Company a written notice of rejec-tion of the animal with such supporting certificates as Ruidoso Horse Sales Com-pany might require within twenty-four (24) hours after the close of the Sale sessionin which the animal was purchased. If the buyer rightfully rejects the animal in themanner and within the time provided, the animal will be returned by the buyer to theconsignor and the consignor will refund to the buyer the full purchase price of theanimal together with all reasonable expenses incurred by the buyer in connectionwith the animal from the time of sale until the return to the consignor.

3. Neither Ruidoso Horse Sales Company nor Robin Glenn Pedigrees, Inc. will beheld responsible for providing information as to multiple embryos (foals born inthe same year) or to embryo transfers out of mares or first dams in sale; nor willeither company be held liable in any way for buyer’s belated awareness of suchinformation.

ELEVENTH-CONSIGNEE STATUS: Ruidoso Horse Sales Company is operat-ing as an independent contractor engaged in the business of conducting a con-signment sale. Ruidoso Horse Sales Company has compiled the Sale Catalogfrom information provided by the designated consignor. All announcements bythe auctioneer at the time of sale are made on behalf of the designated con-signor and will take precedence over the printed provisions of the Sale Catalog.In the event of any dispute between the buyer and the consignor, Ruidoso HorseSales Company will occupy the position of agent for a disclosed principal and stakeholder and will be discharged from all obligations owing to the consignor or the buyeron delivery of any property or funds held by Ruidoso Horse Sales Company to theCourt having jurisdiction of such dispute. Ruidoso Horse Sales Company makes NOREPRESENTATION OR WARRANTY with respect to any animal and the buyermust look solely to the designated consignor for recovery of any damage by reasonof the failure of any representation or limited warranty.

TWELFTH-CATALOG AND ANNOUNCEMENTS: Horses catalogued in this saleare offered as represented by consignor, and auctioneer is not responsible for

the accuracy of information provided. While certain information may have beenprocured by auctioneer from third parties on behalf of consignor, it is nonethelesssolely the responsibility of consignor to verify the accuracy of such information andto notify the auctioneer of any corrections prior to sale. With respect to produce re-cords of broodmares, the terms “barren” or “open” shall mean that the mare wasbred, was not found to have slipped, and failed to produce a foal. In case of error oromission, buyer shall seek redress only from consignor.

THIRTEENTH-ARBITRATION: 1. Any controversy arising out of a claim arisingunder WARRANTIES shall be settled by arbitration between the buyer and con-signor pursuant to the following procedure: Upon the auctioneer’s determina-tion that a claim under such CONDITIONS OF SALE has been timely andproperly presented by the buyer pursuant to these CONDITIONS OF SALE,and upon notice from the auctioneer, the buyer and the consignor shall each se-lect a licensed veterinarian acceptable to the auctioneer. If such veterinariansfail to agree promptly as to the validity of the claim, they or the buyer and theconsignor involved in the controversy, shall agree upon a third licensed veteri-narian. If such two veterinarians, or the buyer and the consignor, are unable toagree promptly upon the third veterinarian, the auctioneer shall appoint the thirdveterinarian. The third veterinarian’s fee, expenses and costs shall be paid bythe party whose property the horse is determined to be. The panel of three vet-erinarians shall conduct any tests, investigation, or examinations which theydeem necessary, and may, in their discretion, conduct a hearing by notifying theauctioneer to arrange for the hearing, and shall, by majority vote, determine thevalidity of the claim. The auctioneer shall determine the amount of reimburse-ment due to a buyer whose claim is found to be valid and may, in its sole discre-tion, conduct a hearing to aid in making such a determination, and suchdetermination shall be incorporated in the award.

2. Any other controversy between or among the buyer, consignor & auctioneerarising out of a claim made under these CONDITIONS shall be settled by arbi-tration among the parties in accordance with the American Arbitration Assoc.

3. Arbitration under 1 or 2 above shall take place in a location to be designated bythe Sale manager. Judgement upon any award rendered by the arbitrator(s)may be entered by any party and any court having jurisdiction thereof. The auc-tioneer will be entitled to reimbursement from the party whose property thehorse is determined to be for reasonable attorney’s fees and other costs in-curred in the arbitration and any related court proceedings.

FOURTEENTH-COLLATERAL AGREEMENTS: The auctioneer shall not bebound by any oral or written agreement or alleged agreement varying fromthese CONDITIONS OF SALE between the buyer and the consignor unlessagreed to by the auctioneer, and any controversy or claim between the buyerand the consignor arising under any such agreement shall be a matter for theirresolution.
