Initial

PROGRAM OVERVIEWThe Metropolitan Atlanta Rapid Transit Authority’s (“MARTA”) Partnership Program is designed to promote transit ridership to commuters by offering discounted transit passes through their employer or residence. Organizations eligible to participate in MARTA’s Partnership Program, hereinafter referred to as the “Program,” are:

• Transportation Management Associations (“TMA’s”)• Governmental agencies• Corporations• Small businesses• Property management companies • Apartment communities

ENROLLMENTA. To enroll in the Program, an interested party must submit all the enrollment documents

listed below no later than the 5th day of the month.

1. A completed and signed New Account Transmittal Form, Exhibit A. (The Program does not require a minimum purchase of fare media. However, discounts ranging from 3%-10% are offered beginning with a minimum purchase of 50 Breeze Cards)

2. Signed Partnership Program Guidelines;3. Current Audited Financial Statement (within last 2 years and in accordance

with GAPP) or Federal Tax form, as part of the credit approval process; and4. Certificate of Liability Insurance to insure there is coverage for any fare media

lost/stolen after delivery.B. Following the submission of the enrollment documents, MARTA’s Media Sales

Department will contact the interested party as to its enrollment status. MARTA will require a minimum of ten (10) business days to process enrollment. Upon acceptance, the interested party becomes a Partner with MARTA for the purpose of this Program.

PROGRAM RESPONSIBILITIES OF MARTAA. MARTA will provide the requested number of Partnership Program Breeze Cards/

Tickets to the Partner. The Breeze Cards/Tickets are encoded for use with this Program only; therefore, the Partner shall only request sufficient fare media to accommodate its current and potential employees, members or residents, hereinafter referred to as “members”.

B. MARTA will provide the information needed by the Partner to access MARTA’s web interface system, Partner Pages, and to manage and maintain its fare media account.

C. Delivery of Breeze fare media to the Partner:

I) MARTA is responsible for delivering the initial fare media to the Partner prior to the benefit month. MARTA and the Partner will schedule the delivery of the initial fare media.

II) After the initial delivery, MARTA will deliver orders for additional/replacement fare media within 10 days of receipt of the order. MARTA may deliver the Breeze Cards/Tickets to the Partner by mail, courier or MARTA delivery.

D. After receiving all the necessary data from the Partner, MARTA will activate the Breeze Cards/Tickets in accordance with the data submitted by the Partner. MARTA will not be responsible for any delays or claims due to incorrect and/or late data submitted by the Partner.

E. MARTA will be responsible for the replacement of any fare media determined to be inoperable by no fault of the Partner or its members. MARTA will replace all other lost, stolen or damaged fare media for an administrative fee, as approved by the MARTA Board.

F. MARTA will not be responsible for reimbursement of any benefits, including money and trips, loaded by the individual card holder. The fare media provided to the Partners should only by used for the benefits provided under this Program.

G. MARTA will provide assistance with use of the Partner Pages or Breeze Card business processes. Partnership Program Administrators should contact MARTA at [email protected] or by calling (404) 848-4184.

H. MARTA will only use the data provided by the Partner to facilitate this Program. MARTA will not use the data to contact the Partner’s employee members for any reasons, including MARTA promotions.

I. MARTA will keep information regarding the Partner’s members confidential to the extent allowed by law. Specifically, O.C.G.A §50-18-72 (20) prohibits the release of financial records or travel history of any individual who is a purchaser of a Breeze Card/ticket. However, MARTA may release the names of purchaser of a Breeze Card/ticket.

J. MARTA may conduct periodic surveys of the Partner’s administrators to update research information on the Program.

PROGRAM RESPONSIBILITIES OF PARTNERA. Partner shall purchase, sell and distribute fare media to its members at the fixed rate(s)

set by MARTA. (Exhibit B). Partner may subsidize a portion or total cost of the fare media. However, if the Partner sells the fare media to its members, the rate cannot be greater than the price paid to MARTA pursuant to this Program.

B. Partner shall be responsible for distributing all fare media to its current members and only one fare media may be provided to each member.

C. Partner shall be responsible for all its internal accounting and payment collection from its members.

D. The Partner will perform all direct coordination associated with the Breeze Card end-user. Coordination consists of, but is not limited to, member communication, distribution of Breeze Cards to its members within its organization, along with Breeze Card activation, deactivation, hotlisting, card replacement and issuance of new cards for new employee activation.

E. Partner assumes all risks in respect to fare media delivered to Partner, including loss, theft or damage of Breeze Cards/Tickets, except as provided in Section E of “Program Responsibilities of MARTA.” Breeze Cards that are lost, damaged or stolen can be hotlisted or replaced by the Partner via the Partner Pages. The Partner’s members should be instructed to contact the Partner’s Program Administrators in case of lost, damaged or stolen cards.

F. Partner will report, without delay, any change that may affect the Partner or its operations.

G. Partner shall be responsible for all the management of its data. Partner shall be responsible for entering and updating all necessary data via MARTA’s Partner Pages, or any method acceptable to MARTA’s administrators with prior approval, including but not limited to electronic mail. The initial data shall include an identification number for each member and the benefit program information, for example, monthly and weekly Breeze Card or Breeze Ticket, as offered by MARTA’s Media Sales. The initial data may also include, but is not required, the names, phone numbers, and email addresses of its members.

H. Partner shall be responsible for uploading all monthly card benefits to the Partner Pages by midnight of the 22nd day of the month prior to the benefit month. These uploads include the activation and deactivation of benefit. The Partner’s failure to meet this deadline may cause a delay in the activation of benefits and/or incorrect billing.

I. Partner shall be responsible for submitting all weekly card data by the Wednesday prior to the benefit week. Weekly Breeze orders should be submitted to Media Sales via email to [email protected].

J. Upon request, the Partner shall provide MARTA with a copy of a current financial statement. Further investigation of the financial condition of the Partner may be done by MARTA with no expense to the Partner.

PRICEA. Pricing for MARTA Fare Media shall be as stated in the MARTA Fare Media Structure,

Exhibit B.

B. MARTA has the right to amend the MARTA Fare Media Structure as may be adopted and approved by the MARTA Board of Directors.

C. An additional administrative charge per Breeze Card and Ticket, as approved by the MARTA Board, will be billed to the Partner when fare media is provided. At its discretion, MARTA has the right to waive these administrative charges.

D. An administrative charge, as approved by the MARTA Board, for the replacement of lost, stolen or damaged cards will be billed to the Partner when replacement cards are provided.

PAYMENTThe Partner will be billed, at the rate set forth in MARTA Fare Media Structure, for each fare media activated during a benefit month. In the month following a benefit month, MARTA will send invoices to the Partner with payment due within thirty (30) days. However, MARTA reserves the right to demand the Partner immediately deliver to MARTA all proceeds derived from fare media sales and/or unsold Breeze Cards/Tickets.

LIABILITYTo the extent allowed by Georgia law, the Partner agrees to indemnify and hold harmless MARTA from and against any and all liability, including but not limited to, all loss, cost, damage, claim, negligence, suit and judgment, arising out of or in any way related to the Partner’s sale and distribution of MARTA fare media pursuant to this program.

TERMINATIONThe Partner’s participation in the Program will continue until terminated by either party the following reasons:

A. In the event that either party determines that it is no longer in its best interest to participate in this Program, either party may terminate the Partner’s participation in the Program without any liability whatsoever by giving thirty (30) days notice in writing, by hand delivery U.S. Mail or email. The Partner will be responsible for all payments due to MARTA as of the date of termination.

B. If through any cause, the Partner shall fail to perform its responsibilities, including any defaults in the accounts and payments, as specified in these Guidelines in a satisfactory, timely and proper manner or in the event that any of the provisions or stipulations of these Guidelines are violated by the Partner, MARTA shall thereupon give the Partner fifteen (15) calendar days to cure such violation by written notice to the Partner thereof. If the violation is not cured within such fifteen (15) calendar day period, then MARTA may terminate the partnership immediately. Said written notice will be sent by email or via certified mail to the Partner at the last address given to MARTA by the Partner. Notification is considered complete upon email or mailing, via certified mail, by MARTA.

AUDITPartner shall permit MARTA, during reasonable hours, to inspect and audit all records and accounts, including all documents related to the handling of fare media, to determine the amount of fare media and proceeds from their sales.

PROGRAM ADMINISTRATORSA. Tanya Mayfield, Marketing and Sales Associate, 2424 Piedmont Road, Atlanta, Georgia

30324-3330. (404) 848-5934, will monitor and administer the Program on behalf of MARTA.

B. Annie Harris, Supervisor of Breeze Media Distribution, 2424 Piedmont Road, Atlanta, Georgia 30324-3330, (404) 848-4188, will monitor and administer the program as it relates to Breeze Fare Media billing, distribution and reconciliation on behalf of MARTA.

C. Partner agrees to provide the names, title, telephone number, address, and email address of the (2) two representatives who will monitor and administer the Program for the Partner. Partner must notify MARTA of any change to these key people.

LIMITATION OF PARTNER’S AUTHORITY Partner’s authority is limited to the purposes specified in these Guidelines. The Partner has no power to bind MARTA, by contract or otherwise, except as herein provided as to the handling of transportation for persons or property.

CONTINUED TRANSIT SERVICESNo provision of these Guidelines shall be construed to require MARTA to continue to operate any transit service to or from the facilities of the Partner or elsewhere during the term of this Program. MARTA has the right to change its transit services, including rerouting, rescheduling, and discontinuance of services operated by MARTA.

The undersigned certifies that he/she is legally authorized by the Partner to act on its behalf. The undersigned acknowledges he/she has read and agrees to participate in the Partnership Program under the guidelines as set forth above. Further, the undersigned understands and agrees that these Guidelines govern the partnership relation between the parties; therefore, these Guidelines supersede any and all prior agreements, arrangements, communications, or representations, whether oral or written.
