INTRODUCTION TO METRO PARKING

Metro Parking started its business with the setting up of the first company in the

group, Metro Parking (M) Sdn Bhd in March 1991. Our core business activity is

parking management and consultancy. Since 1991, we have aggressively expanded

our business operation extensively not only in Malaysia but also in other countries

namely Singapore, Brunei, the Philippines, Hong Kong and in February 2008 we

have open a new branch in Mumbai, India.

CORPORATE GOALS

Metro Parking was founded with two corporate goals as the followings:-

1. That we would provide both our landlords and our clients the best value for

money from our operations. This means a maximum return on the investment in

the car park for our landlords, and the highest level of service quality for our

parking public.

2. The second goal was that Metro Parking would not constrain itself to being just

another Malaysian Parking operator by venturing beyond Malaysia’s shores to

bring our expertise into new international markets. When entering new

international markets, we are committed to finding a local partner and to

employment of local staff to run operations in their own country. Our intention is

to train our staff to be the parking professionals and bring benefit to the

country’s employment market.

CHALLENGES OF THE COMPANY

Metro is principally involved in the management of parking bays and car parks and

as such, Metro is subject to certain inherent risks of the industry. These include

shortages in the supply of parking bays and car parks, increases in the rental of car

parks areas charged by car park owners, changes in the government regulations,

changes in business operating conditions, fluctuating foreign exchange rates and

changes in the business and growth surrounding the car park areas. However

Metro seeks to limit these risks, inter-alia, having favorable contractual terms for

rental and management of car parks, diversification of clientele and prudent

management policies with the hope to reduce the adverse effects on Metro’s

business.

Metro also faces competition from other existing professional car-park operators

and other registered parking operators in the market. Metro has to a certain extent

limited this risk through its long relationship with the owner of the car parks through

long-term contracts. Metro seeks to limit this risk by continuing its relationship with

car park owners coupled with its business plan to offer discounts, special price

structures, signage, brand reinforcement advertising and other retailing activities

within the car parks itself such as car wash etc.

FUTURE PROSPECTS

The Metro Group is currently operating in six (6) countries namely, Malaysia,

Singapore, Brunei, Philippines, Hong Kong and India. The company’s immediate

target is to increase its market share in all countries particularly in Philippines,

Hong Kong and India as the market in those countries has remained largely

untapped. In the longer term, the company intends to seek new opportunities to

expand its services into the Middle East and other Asian Countries.

Our overseas branches has also been aggressive where we have managed to

secure more car parks such as North Point Government Office in Hong Kong,

Changi North in Singapore, Blue Wave Mall in The Philippines, and Metro Junction

Mall and R. City Centre Mall in Mumbai, India.

To reduce revenue dependence on car parks operations, the Metro Group has

subsequently diversified into other synergistic activities such as the supply of

parking equipment through its subsidiary, Metro Equipment Systems (M) Sdn Bhd

and Smart Parking Management Systems Sdn Bhd.

We also provide car park consultancy services which encompass designing of car

parks, conducting studies on traffic flows, selecting suitable car park equipments

and the provisioning of other related services. The Metro Group has also entered

into an agreement with Rangkaian Segar Sdn Bhd to provide its customers with

the convenience of using “Touch ‘n GO” cards for the payment of parking charges.

The Group is also looking forward to introduce other payment method such as

“MEPS Cash”.

In addition, the Metro Group also has its own research team which has developed

various in-house systems for the management of car parks such as Accounting

System, Customer & Debtors Database Management System and Survey &

Development Costing System which has given the Group strength and competitive

advantage in this field.

BRAND CULTURE

The Directors, Management and the whole team of Metro Parking are mainly individuals

and professionals who have substantial expertise and vast experience in car park

management. Continuous efforts were also taken to groom the new managers and

younger executives to ensure the continuous success of the company. Metro Parking

will continue to be customer’s oriented organization and the building owners with

motoring public are always our main customers.

In order to ensure our services are well accepted by our customers, Metro Parking has

implemented several quality control activities and procedures that include ISO

9001:2008 standard and QCC activities among staff . This to ensure our standard of

quality be improved through our team effort and creativity.

ENVIRONMENTAL STATEMENT

Metro Parking ensures that we comply with every regulations pertaining to

environmental in our daily operations.

OCCUPATIONAL SAFETY AND HEALTH COMPLIANCE STATEMENT

Metro Parking also actively ensuring the safety and health of all its employees while

performing their duties or while at their work place. The committee for safety and health

has been formed since 2003 to oversee all aspect of employee safety and to implement

relevant activities pertaining to safety and health.

Besides focusing on developing our business, we do not forget to

contribute to the surrounding communities where we operates. Among

our contribution to the development of communities are such as

participation in Johor Corporation’s Programme , Tijarah Ramadan and

Catur Bistari.

PARKING INDUSTRY

Parking is a service industry where the role of the professional

manager is vital to the commercial success of the building. Similar to

cleaning and security, parking is now viewed as an essential service

where it is commonly contracted out to professional car park managers.

By doing this, the building owners are able to free up valuable time

which will enable them and their management team concentrate on

their core activities.

Car park is always the front door to any building or complex and must

be professionally planned, designed and operated to create public

acceptance. If neglected, car park congestion and customer frustration

will ultimately affect the success of the tenants within the complex.

All things being equal, the motoring public would prefer to patronize a

complex that provides for convenient entry and exit of vehicles, efficient

internal circulation, ample parking facilities and enhanced security.

THE HISTORY

Metro Parking (M) Sdn Bhd (Metro Parking) was incorporated in March 1991 and

commenced operations in May of the same year. Metro Parking has since grown to

become Malaysia’s premier parking operator with more than 200 parking facilities

ranging from hotels, hospitals, shopping complexes, office buildings to transport

terminals.

Over the years, Metro Parking has gone through a number of growth phases. These

have each been followed by a short period of consolidation. The first phase consisted

of company’s establishment and expansion in Malaysia. Apart from its Kuala Lumpur

Head office, Metro Parking now has full operating branches in other cities namely

Malacca, Penang, Langkawi, Johor Bharu, Miri, Labuan, Kuching, Kota Kinabalu, Kota

Bahru and Kuantan.

Metro Parking entered phase two in 1992 with the entry into the Singapore market. In

a short span of two years, its subsidiary Metro Parking (S) Private Limited, became

one of Singapore’s largest parking operators.

The year 1994 saw Metro Parking emerging as the industry leader in Malaysia, with 83

car parks consisting of 28,047 parking bays.

In 1996 Metro Parking entered the Kingdom of Brunei Darussalam, again providing the

market with a reliable alternative towards professional parking operation. In 1998,

Metro Parking entered the Philippines market through its subsidiary, Metro Parking

Management (Philippines) Inc. In the year 2003, it has expanded its operations to

Indonesia through establishment of PT Metro Penata Sarana to explore Indonesia

market. In 2007 it entered the Hong Kong market through establishment of Metro

Parking (HK) Limited and most recently in February 2008 the group has incorporated

Metro Parking Services (India) Private Limited to explore potential business expansion

in India.

The third phase of Metro Parking’s business expansion programme involves the

decision to venture into other related businesses in parking industry such as

supplying of parking equipment and access control systems. This has been

materialized through the establishment of Metro Equipment Systems (M) Sdn

Bhd in 2002 and also acquisition of Smart Parking Management Systems Sdn

Bhd, distributor for Skidata Brand for parking and access control systems in

Malaysia in year 2006.

The fourth and present phase is our search for further expansion in other Asia

countries to bring forth our proven formula of excellent service and the systematic

way in organizing parking facility for the mutual benefit of all level of users and

owners.

AN ESSENTIAL SERVICES

Parking is a service industry where the role of the professional manager is vital to

HOW CAR PARK LEASES WORK

When a Building Owner decides to lease the car park to Metro Parking, in essence,

the Owner is receiving a package of a guaranteed maximum financial return,

efficient management, comprehensive operations’ hardware and software, financial

security, cash security, skilled personnel and problem solving.

Guaranteed Rental

The Owner will receive a guaranteed rental payable at a fixed time every month,

allowing the owner to have more consistent financial planning.

Management Contracts

An alternative to the guaranteed lease is the Management Contract. With this

method, the operator’s responsibilities remain the same, however, all the

operating costs and the Car Park Operator’s fees are borne from the revenues

of the car park. The Operator’s fees being agreed before entering into the

contract.

This method allows the Owner slightly more flexibility over the car park

operations and is particularly useful when commencing operations at a new

building or complex. Promotional campaigns, validations and other car park

marketing tools can be utilized easily without the stringent conditions governing

the guaranteed lease rental.

Car Park Management and Operations

Metro Parking will take over and manage all aspects of the car parks

operations, freeing the building managers and executives from the mundane

chores associated with this part of the building. They will be able to concentrate

on their core business such as tenancies, maintenance, security and the many

tasks associated with building management.

Access Control Equipment

Metro Parking as a specialist in car park management monitors the industry

closely. This places us in the position to evaluate and choose the best

equipment suited for any particular building. As a bulk purchaser of equipment,

we receive more favorable prices than the individual Building Owner.

We pass these savings on to the Owner by way of lower cost of operations.

Metro Parking will purchase, install and maintain all necessary car park access

control equipment, saving the Owner of the need for capital expenditure.

Cash Control

Metro Parking has over the last 20 years developed its own financial and accounting

systems to ensure that leakage and theft of car park collections is kept to a

minimum. These systems have been developed based on the over 50 man years of

experience of the Senior Management team and are unique in the industry. This

information is strictly proprietary.

Computer Hardware and Software

In addition to the control systems above, Metro Parking has developed it own

computerized software systems, including an extensive database of car parks in this

region.

Our software systems include a debtors system, written to track all monthly paid

parking accounts, a statistics system that tracks and analyses all casual or hourly

parking payments. Both these systems interface into the General Ledger System.

The software systems have been developed at a cost of more that RM400,000. Our

hardware commitment is approximately RM350,000 to date, making a total of more

than RM750,000.

Personnel

In our package of commitments to the Owner, Metro Parking will handle all car park

personnel matters. All Metro Parking staffs are expected to undergo extensive and

detailed internally developed training programs. These training programs have been

developed specifically for the car parking industry with the assistance of external

consultants.

Operations staffs in the car parks are all provided with smart uniforms for easy

identification by the parking public.

a professionally managed car park and in return, the owner receives

diversification of use of the parking area.
