Satyam Computer Services Ltd was founded in 1987 by B.Ramalinga Raju [1] . The company offers consulting and information technology (IT) services spanning various sectors, including engineering and product development, supply chain management, client relationship management, business process management and business intelligence. The company listed on the New York Stock Exchange, National Stock Exchange (India) and Bombay Stock Exchange (India). In June 2009, the company unveiled its new brand identity “Mahindra Satyam”.

Mahindra Satyam's presence spans over 60 countries across six continents. Mahindra Satyam development and delivery centres are located in the US, Canada, Brazil, the UK, Hungary, Egypt, UAE, India, China, Malaysia, Singapore, and Australia serve numerous clients, including many Fortune 500 organizations. Apart from Hyderabad, it has development centers in India at Bangalore, Chennai, Pune, Mumbai, Delhi, Kolkata, Bhubaneswar, and Visakhapatnam.

Satyam plunged into a crisis in January 2009 after its founder, B Ramalinga Raju, stated that the company's profits had been overstated. Satyam had engaged PricewaterhouseCoopers as its auditors over past 10 years. The company's accounts are currently being restated.

In March 2009 the company announced it would begin soliciting bids from potential buyers.[2]In April 2009, Venturebay Consultants Private Limited, a subsidiary controlled by Tech Mahindra emerged as the highest bidder to acquire a controlling stake in Satyam. A US-based investment firm owned by billionaire Wilbur Ross and an Indian construction and IT services firm, Larsen and Toubro were the other bidders.

On June 21, 2009, Satyam unveiled its new corporate identity – “Mahindra Satyam”. On June 23, Vineet Nayyar was appointed as Executive Vice Chairman on Mahindra Satyam’s Board of Directors, C.P. Gurnani was appointed as the Chief Executive Officer (CEO) of Mahindra Satyam, and S Durgashankar was appointed as the Chief Financial Officer (CFO). As part of the internal reorganization, A.S Murthy was appointed as the Chief Technology Officer (CTO), while Hari Thalapalli was appointed as the Chief Marketing Officer (CMO) & Chief People Officer (CPO). Rakesh Soni was appointed as the Chief Operating Officer (COO).

In 2008, Satyam attempted to acquire (Maytas Infrastructure and Maytas Properties) founded by family relations of company founder Ramalinga Raju for $1.6 billion, despite concerns raised by independent board directors.[3] Both companies are owned by Raju's sons. This eventually led to a review of the deal by the government[4], a veiled criticism by the vice president of India[5] and Satyam's clients re-evaluating their relationship with the company[6]. Satyam's investors lost about INR 3,400 crore in the related panic selling. The USD $1.6 billion (INR 8,000 crore) acquisition was met with skepticism as Satyam's shares fell 55% on the New York Stock Exchange.[7] Three members of the board of directors resigned on 29th December 2008.[8]

The World Bank had banned Satyam from doing business with it for 8 years due to inappropriate payments to the World Bank's staff.[9] The World Bank accused Satyam of giving improper benefits to its (the Bank's) staff and of failing to maintain documentation to support fees charged for its subcontractors. However, it clarified that Satyam was not involved in incidences of data theft or malicious attacks that had been made on the Bank's information systems. [10]

[edit] Upaid lawsuit

UK mobile payments company Upaid Systems is suing Satyam for over 1 billion US dollars on complaints of fraud, forgery and breach of contract.[11]. The matter is still sub-judice and the company has stated that it will defend in accordance with U.S procedures[12].

In addition to other controversies involving Satyam, on January 7, 2009, Chairman Raju resigned after publicly announcing his involvement in an accounting fraud. Ramalinga Raju is currently in a Hyderabad prison along with his brother and former board member Rama Raju, and the former CFO Vadlamani Srinivas.

Vineet Nayyar, 70, is the Executive Vice Chairman of Tech Mahindra Limited.

Nayyar has led several organizations across various industries. In a career spanning over 40 years, Nayyar has worked with the Government of India, international multilateral agencies and in the corporate sector (both public and private). Nayyar started his career with the Indian Administrative Service and held a series of senior positions, including that of a District Magistrate, Secretary - Agriculture & Rural Development for the Government of Haryana and Director, Department of Economic Affairs, Government of India. He also worked with the World Bank for over 10 years in a series of senior assignments, including successive terms as the Chief for the Energy, Infrastructure and the Finance Divisions for East Asia and Pacific.

Nayyar was also the founding Chairman and Managing Director of the state owned Gas Authority of India and has served as the Managing Director of HCL Corporation Ltd and as the Vice Chairman of HCL Technologies Ltd. He was also a co-founder and Chief Executive Officer of HCL Perot Systems.

Nayyar received a master’s degree in development economics from Williams College, Massachusetts.

C. Achuthan was appointed to the Board on January 11, 2009 as an independent director. Previously, Achuthan was the Chairman of the Securities Appellate Tribunal. Prior to that, Achuthan was a member of the Securities and Exchange Board of India (SEBI). Achuthan is currently a member of the board of directors of the National Stock Exchange of India Ltd. and a trustee of the ING Mutual Fund. T.N. Manoharan was appointed to the Board on January 15, 2009 as an independent director. Manoharan is a member of the ICAI with 25 years of experience as a chartered accountant in India. Previously, Manoharan served as Chairman of the ICAI Accounting Research Foundation, President of the ICAI, member of the Accounting Standards Board of the ICAI and member of the Accounting Standards Committee of SEBI. C. P. Gurnani

Gurnani, 50, is the CEO of Mahindra Satyam. Prior to this, he was heading Tech Mahindra’s Global Operations, Sales and Marketing functions, and lead the development of Tech Mahindra’s Competency & Solution units.

In a career spanning over 28 years, Gurnani has held several leading positions with HCL Hewlett Packard Limited, Perot Systems (India) Limited and HCL Corporation Ltd. Prior to joining Tech Mahindra, Gurnani was the Chief Operating Officer and a co-founder of Perot Systems (India) Limited, initially set up as HCL Perot Systems. At HCL Perot Systems, Gurnani orchestrated the HCL Corporation and Perot Systems joint venture from its inception to making it one of India’s top IT services companies. Gurnani has extensive experience in building international business, start-ups, turnarounds, joint ventures and mergers & acquisitions.

Gurnani received a chemical engineering degree from the National Institute of Technology- Rourkela. Gurnani takes a keen interest in community work and was nominated by Ernst & Young for the Entrepreneur of the Year Award in 2007. Sanjay Kalra

Kalra, 46, is the CEO of Tech Mahindra Limited. In his earlier role at Tech Mahindra he spearheaded the BT relationship, Research & Development services for telecom equipment manufacturers and transformation/business process reengineering services. He is also responsible for Mergers & Acquisitions for Tech Mahindra.

Prior to joining Tech Mahindra, Kalra was the Chief Executive Officer of DSL Software (a joint venture between HCL Technologies Ltd. and Deutsche Bank), which is focused on providing IT and BPO solutions to capital markets. Kalra has also served at HCL as President of HCL Technologies Europe and was responsible for the creation and incubation of Cisco’s first outsourced Research & Development center in India. With global roles in Schlumberger Limited and Tata Unisys, Kalra has extensively leveraged global delivery to create new products and business lines, nurtured start-ups and led high growth businesses. Kalra was responsible for cross-border transactions involving the purchase of Deutsche Software from Deutsche Bank, Apollo Contact Center from BT in Northern Ireland and Axes Technologies in India.

Kalra received a degree in electrical engineering from the Indian Institute of Technology, New Delhi and is a recipient of the “Outstanding Contribution Award for National Development” from the Indian Institute of Technology, New Delhi Alumni Association. In addition to his responsibilities at Tech Mahindra, Kalra’s principal directorships include his serving as a director on the board of directors of CanvasM Technologies Limited.

Ulhas N. Yargop

Ulhas N Yargop, 55, is the President, IT Sector and Member, Group Management Board of Mahindra & Mahindra Ltd.

Yargop joined Mahindra & Mahindra Ltd in 1992 and has worked as General Manager — Corporate Planning, General Manager — Product Planning, General Manager, Mahindra-Ford Project, and as Treasurer of Mahindra & Mahindra Ltd. He was appointed as President, IT Sector in 1999. The IT Sector includes Tech Mahindra (focused on the telecom vertical) and Bristlecone (focused on supply chain consulting).
