    NOTICE is hereby given that the 23rd Annual General Meeting of the Shareholders ofM/s. OLYMPIC CARDS LIMITED will be held at "NARADHA GANA SABHA TRUST (Regd),MINI HALL, 314, T.T.K. Road, Chennai-600 018, at 3 P.M. on Tuesday, 15th September, 2015 totransact the following business:

    ORDINARY BUSINESS:

    1. ADOPTION OFACCOUNTS:

    To receive, consider and adopt the Audited Balance Sheet of the Company as at 31' March2015 and the Profit & Loss Statement and the Cash Flow Statement for the year ended onthat date together with Directors' Report and Auditor's Report thereon.

    2. DECLARATION OF DIVIDEND

    To declare 5% (Rs.0.50 per equity share) dividend on Equity Shares of 1,63,08,700 ofRs.10 each for the year ended 31st March 2015.

    3. REAPPOINTMENT OF DIRECTORS:

    To appoint a Director in the place of Mr. N.Mohamed Faizal (DIN: 00269448) whoretires by rotation and being eligible offers himself for re -appointment.

    4. RATIFICATION OF AUDITORS' APPOINTMENT:

    "RESOLVED THAT pursuant to the provisions of Sections 196, 197 and 203 and otherapplicable provisions of the Companies Act, 2013 and Rules made there under (includingany statutory modification or re-enactment thereof) read with Schedule V to the Act, theconsent of the Company be and is hereby accorded for the reappointment of Mr. MohamedFaizal who was appointed as a Whole time Director of the company from 01.12.2012 for aperiod of 3 years ending on 30.11.2015 as the Whole -time director for a period of 3 yearscommencing from 01.12.2015 on the terms as set out in the Explanatory Statementattached to the Notice and is liable to retire by rotation".

    2. A person shall not act as a proxy on behalf of Members exceeding fifty in number andholding in the aggregate more than 10% of the total share capital of the Company carryingvoting rights. A Member holding more than 10% of the total share capital of the Companycarrying voting rights may appoint a single person as proxy and such person shall not act asa proxy for any other person or shareholder.

    3. The Register of Members and Share Transfer Registers will remain closed from 09thSeptember, 2015 to 14th September, 2015 (both days inclusive) in connection with theAnnual General Meeting and for the purpose of payment of Dividend. It is further informedthat dividend on equity shares, on declaration at the AGM, will be paid/dispatched on orbefore 12th October, 2015:

    i) In respect of shares held in physical form, to those members whose names appear on theRegister of Members on 08th September, 2015 and;

    ii) In respect of shares held in electronic form, to those members whose names appear in the listof beneficial owners furnished by National Securities Depository Limited (NSDL) andCentral Depository Services (India) Limited (CDSL), the Depositories, as per the detailsfurnished by the Depositories for the purpose.

    4. Members/ Proxies should bring the attendance slip duly filled in and signed and has to behanded over the same at the entrance hall for attending the meeting. Members are requestedto indicate their Folio no/ DP ID and Client ID numbers in the attendance slip.

    5. Members are requested to furnish the details of their nomination (if not already sent) in theprescribed form to M/s. Cameo Corporate Services Limited, Chennai, the Registrars andShare Transfer Agent (RTA) of the company. The prescribed form can be obtained from theCompany's Registrar and Share Transfer Agent.

    6. The Securities and Exchange Board of India (SEBI) has mandated submission ofPermanent Account Number (PAN) by every participant in securities market. Membersholding shares in dematerialized form are therefore requested to submit the PAN to theirrespective depository participants. Members holding shares in physical form can submittheir PAN details to the Company or the Registrar & Transfer Agents.

    7. Members are requested to bring their copy of the Annual Report to the meeting, as the samewill not be distributed at the meeting.

    8. In terms of the Green Initiative in Corporate Governance of the Ministry of CorporateAffairs, communicated vide General Circular No. 17/2011 dated 21-04-2011 read withGeneral Circular No. 18/2011 dated 29-04-2011, the Annual Reports, notice of meetingsand other statutory documents required to be furnished by the Company to the Memberscan be sent in electronic mode. For this purpose, the Members are requested to register theiremail addresses with the RTA for receiving the aforesaid information in electronic mode.

    9. Voting through Electronic Means:I. In compliance with the provisions of Section 108 of the Companies Act 2013 and Rule 20 of

    the Companies (Management and Administration) Rules, 2014, the Company is pleased toprovide members facility to exercise their right to vote at the 23rd Annual General Meeting(AGM) by electronic means and the business may be transacted through e -voting servicesprovided by Central Depository Services Limited (CDSL).

    (A) The voting period begins on 12th Sep. 2015(9.00 am)and ending on 14th Sep. 2015(5.00 pm)During this period shareholders' of the Company, holding shares either in physical form or indematerialized form, as on the cut-off date 8th September, 2015 (record date) may cast theirvote electronically. The e -voting module shall be disabled by CDSL for voting thereafter.

    The instructions for members for voting electronically are as under: -In case of members receiving e-mail:

    (i) Log on to the e -voting website www.evotingindia.com.(ii) Click on "Shareholders" tab.(iii) Select "OLYMPIC CARDS LIMITED" from the drop down menu and click on "SUBMIT"(iv) Enter your User ID (For CDSL: 16 digits beneficiary ID, For NSDL: 8 Character DP ID

    followed by 8 Digits Client ID, Members holding shares in Physical Form should enterFolio Number registered with the Company.

    (v) Next enter the Image Verification as displayed and Click on Login.(vi) If you are holding shares in Demat form and had logged on to www.evotingindia.com and

    voted on an earlier voting of any company, then your existing password is to be used.(vii) If you are a first time user follow the steps given below:(viii) After entering these details appropriately, click on "SUBMIT" tab.(ix) Members holding shares in physical form will then reach directly the Company selection

    screen. However, members holding shares in Demat form will now reach ' Password Creation'menu wherein they are required to mandatorily enter their login password in the newpassword field. Kindly note that this password is to be also used by the Demat holders forvoting for resolutions of any other company on which they are eligible to vote, provided thatcompany opts for e -voting through CDSL platform. It is strongly recommended not to shareyour password with any other person and take utmost care to keep your password confidential.

    Item No.3Brief resume of the Director seeking re -appointment:

    Mr. N.Mohamed Faizal (DIN: 00269448), born on 21/10/1981, a Post Graduate in MBA (HR)has got rich experience in management and administration. He was appointed as Whole TimeDirector of the Company on 01/12/2007 and holds 9,42,845 shares in the Company. He is notholding any directorship/membership of Committee in any other company. He is the son ofMr. H. Noor Mohammed, Managing Director of the Company who holds 53,59,718 (32.86%)equity shares.

    Item No.4At the 22nd Annual General Meeting held on 11.09.2014, M/S. C.S. Hariharan & Co. (FRNo.001086S), Chartered Accountants, Chennai were appointed as auditors of the Company for aperiod of 3 years to hold office till the conclusion of 25 Annual General Meeting. Pursuant to theprovisions of Section 139 of the Companies Act, 2013 read with Rule 6 of Companies (Audit andAuditors) Rules, 2014, an audit firm can be appointed as auditors of a Company for not more thantwo consecutive terms of five years each. For the purpose of calculating the period of 10consecutive years, the period for which the audit firm had held office as auditors, prior to April1, 2014, is required to be taken into account. Accordingly, the aforesaid auditors are eligible to beappointed for a maximum period of 2 years from the conclusion of this Annual General Meetinguntil the conclusion of the 25 Annual General Meeting of the Company. Provided suchappointment is also subject to the ratification by the Members at every Annual General Meeting,till the expiry of their term.

    Accordingly, the Company proposes to ratify the appointment of M/S. C.S. Hariharan & Co. (FRNo.001086S), Chartered Accountants, Chennai as the auditors of the Company to hold office untilthe conclusion of the 25th Annual General Meeting of the Company.

    M/S. C.S. Hariharan & Co. (FR No.001086S), Chartered Accountants, Chennai has consented tothe said appointment and issued a certificate to the effect that the appointment, if made, shall be inaccordance with the conditions as prescribed in Sections 139 and 141 of the Companies Act, 2013and the Companies (Audit and Auditors) Rules, 2014.

    Mr. N.Mohamed Faizal, 31 Years, holds a degree in Master of Business Administration (HR) and isthe son Mr. H.Noor Mohamed, who is the Managing Director of the Company. He has beenactively involved with this company.

    At the meeting held on 27th May 2015, Board on the recommendation of the nomination andremuneration committee, re -appointed Mr. N.Mohamed Faizal as the Whole Time Director with asalary of Rs.6,00,000/-p.a as mentioned in the resolution with effect from 1' December 2015 for aperiod of three years.

    DIVIDEND

    TRANSFER TO RESERVES:

    A sum of Rs. 1,15,741/ -has been transferred to General Reserve out of the profits for the year underreview. The total Reserves and Surplus as on March 31, 2015 is Rs.21,63,73,878/- comprising ofGeneral Reserve Rs.49,38,773/-; Surplus in Profit & Loss Account Rs.4,73,19,105/- and SharePremium Account Rs.16,41,16,000/-.

    BUSINESS OPERATIONS:

    The Company has made a gross income of Rs.5507.30 Lakhs during the year under review(previous year-Rs.5381.27 Lakhs). The depreciation for the year under review amounted toRs.286.88 Lakhs as against Rs.81.21 Lakhs in the corresponding period of the previous year. TheCompany has registered a profit after tax of Rs.13.50 Lakhs during the year under review asagainst the profit after tax of Rs.265.23 Lakhs of the previous year. Due to implementation of theexpansion, there was increase in the Interest and depreciation. Consequently there has been dip inthe profitability.

    MARKET SCENARIO

    Market scenario is still challenging and competitive. However your Company has managed toincrease the turnover. The establishment of company owned retail outlets has contributed towardsturnover and improved profitability is expected to grow in future. We are mainly involved inmanufacturing and trading of Wedding Invitation Cards, Greeting Cards, Visiting Cards, OfficeEnvelopes, and Cloth lined Covers, Student Notebooks, Account Books, Files, etc. and we are alsoinvolved in the trading of the items like Screen -Offset Inks. Our Brand name "OLYMPIC" ispopular and well known to the general public for its quality, affordability, variety and reliability formany decades.

    MANAGEMENT DISCUSSION AND ANALYSIS

    A detailed review of operations, performance and future outlook of the Company is contained inthe "MANAGEMENT DISCUSSION AND ANALYSIS REPORT" that forms an integral part ofthis report. (Annexure -I).

    MATERIAL CHANGES & COMMITMENTS:

    There is no change in the nature of business of the company during the year. There are no materialchanges and commitments in the business operations of the company since the close of thefinancial year on 31st March 2015 to the date of this report.

    WHISTLE BLOWER POLICY:

    A HOME FOR WEDDING CARDS

    As per Section 177 (9) of the Act read with relevant Rule 7 of the Companies (Meetings of Boardand its Powers) Rules, 2014 and Clause 49 of the Listing Agreement, the Company has establisheda vigil mechanism overseen by the Audit Committee. The Policy ensures that strict confidentialityis maintained whilst dealing with concerns and also that no discrimination will be meted out to anyperson for a genuinely raised concern. This has been uploaded in the Company's website. Nocomplaint under this facility was received in Financial Year 2014-15.

    REMUNERATION POLICY:

    The Remuneration Policy of the Company for the managerial personnel is based on theperformance potential and performance of the individual/personnel.

    Criteria for payment of Remuneration to Non -Executive Directors (Pursuant to Clause 49 of theListing Agreement)

    The Non -Executive Directors will be paid sitting fees for attending the Board and CommitteeMeetings as per the stipulations in the Act, and the Articles of Association of the company and asrecommended by the Nomination and Remuneration Committee. Different scales of sitting feemay be fixed for each category of the directors and type of meeting. However, the fees payable tothe Independent Directors and Woman Directors shall not be lower than the fee payable to othercategories of directors.

    [n addition to this, the travel and other expenses incurred for attending the meetings are to be metby the Company. Subject to the provisions of the Act and the Articles ofAssociation, the Companyin General Meeting may by special resolution sanction and pay to the Directors remuneration notexceeding 1 % of the net profits of the Company computed in accordance with the relevantprovisions of the Act. The company shall have no pecuniary relationship or transactions with anyNon -Executive Directors.

    RISK MANAGEMENT POLICY:

    The Company has Business Risk Management framework to identify, evaluate business risks andopportunities. This framework seeks to create transparency, minimize adverse impact on thebusiness objectives and enhance the Company's competitive advantage.

    PUBLIC DEPOSITSThe Company has not accepted deposits during the year and there are no public deposits fallen duefor payment and claimed but not paid as on 31st March, 2015. The total amount of depositoutstanding as at 31' March, 2015 was Nil.

    SIGNIFICANT & MATERIAL ORDERS:There are no significant and material orders passed by the regulators or courts or tribunalsimpacting the going concern status and company's operations in future.

    DETAILS OF ADEQUACY OF INTERNAL FINANCIAL CONTROLS:The Company has an Internal Control System, commensurate with the size, scale and complexityof its operations. To maintain its objectivity and independence, the Internal Audit function reportsto the Chairman of the Audit Committee of the Board. During the year, such controls were testedand no reportable material weaknesses in the operations were observed.

Our market strategies aretailored made based on customer needs and optimized on customer satisfaction. We also ensurethat our stocks are frequently updated in terms of quality, design and latest consumer trends in allour retail outlets as well as franchisees. We also provide printing service to the customers so thattheir needs are solved under one roof.

    OPPORTUNITIES AND THREATSOrganized retailing is growing in India and your Company The Company is in the process oflocating franchisees at thickly populated places and this will create new opportunities. The newtechniques of SMS messaging Service and invitation by electronic facilities and competition bysmall players pose threat to our Wedding Cards business. However the invitation market has itsown advantage of sentiment among the public in inviting their friends and relatives throughinvitation cards.

    PRODUCT -WISE PERFORMANCEThe Wedding Cards sales were Rs.2198.79 Lakhs (42% of the total turnover) during the year underreview. The contribution of greeting cards sales to the total turnover stands at 4.5% and envelopesstands at 21.31%.

    RISKS AND CONCERNSEconomic factors like a downturn in the overall economy, unforeseen social and politicalupheavals, shortage of rainfall are likely to affect the industry as well as our business.

    INTERNAL CONTROL SYSTEMS AND THEIR ADEQUACYYour Company has in place adequate internal control systems combined with delegation ofpowers. The control system is also supported by internal audits and management reviews withdocumented policies and procedures.

    FINANCIAL PERFORMANCE & OPERATIONAL PERFORMANCEDuring the year under review your Company recorded total revenue of Rs. 5507.30 Lakhs ascompared to Rs. 5381.28 Lakhs in the previous financial year, up by 2.34%.The Net Profit afterTax for the same period stands at Rs.13.50 Lakhs as against Net Profit after Tax of Rs. 265.23Lakhs in the previous year. Due to implementation of the expansion of the overall operations, therewas increase in the Interest and depreciation. Consequently there has been dip in the profitability.

    HUMAN RELATIONSEmployee welfare was strengthened with a view to provide the employee the Best Workingatmosphere. The number of employees as on 31' March, 2015 is 229.

    I have also examined compliance with the applicable clauses of the Listing agreement enteredinto by the Company with Bombay Stock Exchange.

    I report that, during the year under review, the company has compiled with the provisions of theActs, rules, regulations and guidelines mentioned above.

    I further report that, there were no actions/events in pursuance of:

    a) The Securities and Exchange Board of India ( Issue and Listing of Debt Securities)Regulations, 2008:

    b) The Securities and Exchange Board of India (Delisting of Equity Shares) Regulations,2009; and

    c) The Securities and Exchange Board of India (Buyback of Securities) Regulations, 1998,

    requiring compliance thereof by the company during the financial year and the SecretarialStandards issued by The Institute of Company Secretaries of India were not applicable during theyear.

    I further report that, based on the information provided by the Company, its officers and authorizedrepresentatives during the conduct of audit, in my opinion, adequate systems and processes andcontrol mechanism exist in the company to monitor and ensure compliance with general laws likeLabour and environmental laws.

    During the period under review the Company has complied with the provisions of the Act, Rules,Regulations, Guidelines, Standards, etc. mentioned above subject to the following observations:NIL

    The Board of Directors of the Company is duly constituted with Proper balance of ExecutiveDirectors, Non -Executive Directors and Independent Directors. The changes in the compositionof the Board of Directors that took place during the period under review were carried out incompliance with the provisions of the Act.

    Adequate notice is given to all directors to schedule the Board Meetings, agenda and detailednotes on agenda were sent at least Seven days in advance, and a system exists for seeking andobtaining further information and clarifications on the agenda Items before the meeting and formeaningful participation at the meeting.

    As per the minutes of the meetings duly recorded and signed by the chairman, the decisions ofthe Board were unanimous and no dissenting views have been expressed.
