EB-‐5 INVESTMENT PROGRAM:

The EB-‐5 visa for Immigrant Investors is a United States Visa created by the Immigration Act of 1990. It provides a method of obtaining an expedited green card for foreign nationals who invest money in the United States. To obtain the visa, individuals must invest $1,000,000 (or at least $500,000 in a "Targeted Employment Area" -‐ high unemployment or rural area), creating or preserving at least 10 full-‐time jobs for U.S. workers excluding the investor and their immediate family.

The EB-‐5 Visa program is widely regarded as one of the most effective strategies for international high net worth individuals and families to obtain their U.S. Green Card(s).

Investor and their family receives residency -‐ Upon making a single qualifying EB-‐5 investment, you will receive a U.S. green card, as well your dependents that are unmarried and under the age of 21 (at the time of application filing).

Expedient -‐ Compared to other Visa programs, the EB-‐5 program is extremely fast, and is generally considered to be one of the quickest U.S. Visa programs available.

Section 203(b)(5) of the Immigration and Nationality Act (INA), allocates 10,000 “EB-‐5” immigrant visas per year to qualified individuals seeking Lawful Permanent Resident (LPR) status on the basis of their capital investment in a commercial enterprise. • There are many ways to structure an EB-‐5 transaction. Some ways emphasize the EB-‐5 candidates’ immigration goals, others do not. We always structure our EB-‐5 transactions in order to emphasize and maximize our clients’ immigration goals. For example, one of the EB-‐5 models we work has historically produced EB-‐5 investors their Green Card in approximately 50% of the time required by most EB-‐5 investments in the market today.

Together with our Professional Partners, we put all of our projects through a series of rigorous underwriting processes in order to validate the above criteria.

• Emphasis on global brands, namely Hilton, Marriot, Hyatt, Starwood, and Intercontinental.

• Project must be located in major city.

• Project must be located within Targeted Employment Area (“TEA”), qualifying it for $500,000 per EB-‐5 investor.

Forza’s Investment Strategy.

• Key parties, including developer, architect, management company, and builder, must have extensive, proven track record of success with similar projects.

• Capital stack:

ü 1st position – Established bank.

ü 2nd position – EB-‐5 investment. Must not exceed 40% of total cost of project. Legal structure needs to clearly maximize protection for EB-‐5 capital.

ü 3rd position – There must be substantial equity capital invested in a subordinate position to the EB-‐5 capital, with a substantial portion coming from the key parties.

• Study must be conducted by established independent research firm to validate market /demand.

• Must present detailed business plan with biographies, financials, market study, competitive analysis, etc.

• EB-‐5 capital will not fund until every project component is 100% certain (i.e. bank funding in place, equity funding in place, etc.).

• There must be a very high probability of return of principal, and a clearly defined mechanism to accomplish this.

• Project structure and documentation must be reviewed/created/approved by every member of our Professional Partner team, including our EB-‐5 Securities lawyer, EB-‐5 Immigration lawyer, Economists (as applicable), EB-‐5 Accountant, Business Plan team, and Investment Advisory team.

• Projected conservative job creation figures must be at least 15% higher than the minimum required to satisfy the corresponding EB-‐5 requirements.

• Term of investment must be at least 4 years in order to ensure that EB-‐5 requirement is met.

There are four steps to becoming a Lawful Permanent Resident (LPR) through the EB-‐5 program.

1. Form I-‐526 immigrant petition approval.

2. Application for an immigrant visa either through adjustment of status (Form I-‐485) in the United States with USCIS, or through am application

3. Upon approval of the Form I-‐485 or admission on an EB-‐5 immigrant visa, the alien is granted two-‐years of conditional permanent resident status.

4. A Form I-‐829 petition to remove the conditions on the LPR status must be filed at the end of the two-‐year conditional period. If the alien has fulfilled the EB-‐5 requirements, then the conditions will be removed and the alien will be an unconditional LPR and be given a permanent green card.
