Since 1995, INSOL International and UNCITRAL have jointly sponsored a series of unique and importantinternational Judicial Colloquiums. This is the fifth time The World Bank has joined with INSOL Internationaland UNCITRAL to present the Eleventh Joint Multinational Judicial Colloquium on Insolvency.These Colloquiums have brought together judges, regulators and judicial officials from around the world to consider a wide range of insolvency-related issues. These issues have included judicial co-operation in cases of cross-border insolvency, access to courts by insolvency practitioners and recognition ofinsolvency administrations by foreign courts.The Eleventh Joint Multinational Colloquium has an extremely important agenda. With the growth of cross-border trade, the number of insolvency cases where there are assets in more than one jurisdiction, orwhere there are cross-border groups will inevitably increase. The Colloquium will assist participants tounderstand the developments in the handling of such cases. It will compare the judicial and juridicalpractice in dealing with practical and theoretical issues arising in cross-border insolvency cases in anumber of jurisdictions representing all major legal systems.The Colloquium is a closed meeting, open only to Judges, civil servants from relevant Ministries and judicialadministrators. A3 Intellectual property - ownership, licenses, enforcement and sales

In recent years, as the high-tech markets have grown and companies in distresshave looked for innovative ways to realise value from their intangible assets, newopportunities have opened up for the purchase and licensing of intellectualproperty in connection with creditor protection proceedings. Around the world,differing insolvency laws create unique opportunities for debtors to sell andprotect their own intellectual property and, possibly, to shed unwanted IPlicenses they entered into in better times.It is important for practitioners to understand the potential consequences of an insolvency proceeding on the rights of owners, licensors and licensees ofintellectual property. The panelists in this session will compare and contrast thediffering treatment of intellectual property, particularly trademarks and patents, in various countries and the competing policies that guide these distinctions. B1 Tax havens: the future of transparency in the offshore banking andincorporation sectors

Offshore financial centres are very much in the news these days, but not alwaysfavourably. Both the press and the public consistently conflate the issuessurrounding offshore financial centres by labeling all offshore financial centres as“tax havens”, a term with negative connotations. A clear distinction needs to bemade between the different types of offshore financial centres, as some are taxhavens, notably the tax treaty jurisdictions and the secrecy jurisdictions, whileothers are not, such as the neutrality jurisdictions. Transparency is the objectiveof the neutrality jurisdictions, and it is not possible to have a proper debatewithout understanding these distinctions.Once this objective is understood, consideration needs to be given as to the best method to achieve transparency for the purposes of eliminating criminality,money laundering and tax evasion. Query whether FATCA as promulgated by the United States is the most effective method to achieve these objectives, orwhether the FATF 40 Recommendations (as supported by the G20 and OECD)are the most effective method to achieve these objectives. Is it cost effective to have both methodologies?This session will explore these issues to allow the audience to reach their ownconclusions.

B2 The corporate group restructuring / insolvency, 2015 edition

The 2015 corporate group is global. It may have headquarters in country A but its subsidiaries, even some of its divisions, are in jurisdictions B, C and D andeven L, M and N. What happens when financial difficulties strike? Do the insolvency laws of allthese different jurisdictions need to be factored into strategic thinking by thoseplotting a route to the financial ‘sunny uplands’ for the group? Or is there a wayto utilise just one set of laws and courts and hence avoid multi-jurisdictionalcomplexity? Or is this thinking just a solution in search of a problem?In answering these questions, the panel will look at (a) the existing “specialcases” – substantive consolidation, piercing the corporate veil, multi-companyconsolidating schemes, (b) ways of making different laws and courts work bettertogether – co-ordination of courts and practitioners through the UNCITRALModel Law provisions and best practice guidelines, the EC Regulationrequirements and the potential new EU provisions for “Group Co-ordinators”,

B3 The independent director: private portfolio and public companies

With increasing regularity, independent directors have been called upon toprovide comfort in the context of corporate actions, especially transactionsamong affiliate portfolio companies. Similarly, when a company is troubled byfinancial problems, it often falls to the independent director to assess whetherprotection through an insolvency proceeding is appropriate and in the bestinterests of shareholders and creditors. An independent director can also becalled upon to make decisions for a company on inter company claims whenother members of the board sit on multiple affiliate boards.This session explores the differences in the roles between those traditionallydischarged by an independent director in public companies and those arising in entities controlled by private equity or hedge funds that comprise a group ofportfolio companies.

C1 - The downfall of the Batista Empire

The meteoric rise of Brazilian natural resources, and logistics magnate Eike Batistaand his “X” empire in the last decade was only matched by its catastrophic bust in2013, after overly optimistic oil production estimates failed to materialise that led tothe collapse of oil exploration and extraction giant OGX, the group’s centrepiece.As complex financing structures involving assets, companies and investors inmultiple jurisdictions unravelled, the stage was set for a battle between localbanks, government development agencies, international bond investors and publicequity holders for the remains of the once high flying “X” empire, all the whileputting Brazilian bankruptcy courts and law to its greatest test ever.Using the downfall of the Batista Empire as a backdrop, the speakers will focuson issues facing creditors and professionals in large bankruptcy proceedings inBrazil. Key aspects of the Brazilian bankruptcy law, the role of the courts, theconflicts between local and foreign creditors and the political and social forcesthat influence the process will be part of the discussion in this interactive session.The speakers will also discuss the challenges in structuring bankruptcy remotefinancing using offshore financing companies and how these structures playedout in practice.

C2 Insolvency law reform in the EU – hello Chapter 11 or goodbye NY and London?

Cross-border restructurings in which companies “forum shop” to benefit frommore favourable insolvency laws abroad have become common place in Europe.This has created international competition between insolvency regimes withinEurope and urged European legislators to revamp their insolvency laws in orderto offer a more attractive restructuring environment. Several Member States haverecently reformed or are currently undertaking reviews of their national insolvencylaws. On 12 March 2014 the European Commission published recommendationson a new approach to business failure and insolvency, further prompting MemberStates to reform their national insolvency rules. On the other side of the AtlanticChapter 11 of the US Bankruptcy Code is currently also under review.Are legislators in Europe modelling reform on an outdated US system that the US itself is moving away from? Together with the participants the speakers willtry to identify the key elements that any modern restructuring law should feature.

In 2007 the era of apparently unlimited liquidity jammed up, heralding a bankliquidity crisis followed by a full-blown solvency crisis across the financial world. In some countries with disproportionately large banking sectors this mushroomedinto a sovereign debt crisis. The consequences are still with us today in abnormalmeasures such as QE and near-zero interest rates. The cry from around the globewas “Never again!” shortly followed by “And if it happens again, then not with our money!”By common consent there is no appetite around the world for taxpayers’ moneyto be spent bailing out banks – therefore techniques have evolved to redefinehow failed or failing financial institutions are dealt with. Dramatic new powers (thelatest being bail-in) have been invested in central banks, which fundamentallychange all previous conceptions of insolvency and property. The speakers fromaround the world will examine these changes. They will deal with the practicalaspects of resolution (where there is a necessarily high degree of similarityaround the world) and the wider political and social implications.

The financial crisis resulted in dramatic changes to the restructuring landscape.Commercial banks have receded from their traditional role as providers of debtcapital and they've pared their loan portfolios to reduce pressure on their capitalrequirements. The sovereign debt markets have been roiled with the prospect oflooming defaults.This altered landscape has provided fertile territory for hedge funds that, in response,have greatly expanded their roles in distressed situations. Funds have eclipsedbanks as original debt holders, debtor-in-possession financing providers, and exitfinanciers. Funds now constitute controlling equity. They hold significant blocks ofsovereign debt. Indeed, funds have populated all levels of the capital structure tothe extent that they are in competition with other hedge funds to achieve dominantpositions in a restructuring. This session addresses the evolution of the roles offunds in the current environment and looks ahead to what might be next.

English Law shall govern the contract between delegates, accompanying personsand INSOL International and any disputes shall be the exclusive preserve of the English Courts.

Copyright: Copyright in all software, papers and other material produced for the Conference will be vested in INSOL. Companies and their delegates may copy such material for their personal use, but further copying,and in particular copying for sale or any other commercial purpose is prohibited without prior permission.

Travel & Health Insurance: INSOL International shall not be responsible for, and shall be exempt from, allliability in respect of any loss, damage, injury, accident, delay or inconvenience to any person during theConference. It is the delegate and accompanying person’s responsibility to be adequately insured in caseof claims pertaining to travel/accidents and illness for the duration of your visit to USA.

Cancellation of the Conference by the Organisers and Insurance: In the event that the Conference iscancelled by INSOL, or by any reason of any factor outside the control of INSOL, and cannot take place,the amount of the Registration fee shall be refunded. The liability of INSOL shall be limited to that refund,and INSOL shall not be liable for any other loss, cost or expense, howsoever caused, incurred or arising. In particular, INSOL shall not be liable to refund any travel costs incurred by delegates or their guests ortheir companies. It follows that delegates and their guests and their companies are advised to take outcomprehensive insurance including travel insurance.

Cancellations of Attendance by Delegates: All cancellations must be made in writing and sent to INSOLInternational, 6-7 Queen Street, London EC4N 1SP United Kingdom. The policy regarding the refund ofregistration fees is as follows:

Cancellations received up to and including 21 February 2015There will be a cancellation fee of £50 per delegate and/or accompanying guest, which will cover theproduction of delegate materials and administration expenses.

Cancellations received after 21 February 2015It is regretted that from this date, there will be no refund of registration fees received, and delegates will be liable for the total cost of any outstanding fees relating to the Conference. A substitute maybe putforward to fill your delegate’s place.

Confirmation of Cancellation: If no written confirmation of the cancellation is received within 24 hoursplease contact INSOL International and ensure the cancellation has been received.

Hotel Bookings and Cancellations: All hotel bookings are the responsibility of the individual delegate to make and cancel directly with the hotel. Credit card guarantee is required at time of reservations.

Hotel Cancellation Policy and No Show Policy: Cancellations made up to “48 hours” prior to arrival will be accepted, and the deposit refunded for those rooms for the full night’s stay. No Show Policy: one nightsroom rate plus tax.

INSOL App

INSOL produced its first Conference App for INSOL2013 which was met with great enthusiasm by thedelegates. We further developed the App for INSOLHong Kong and we are pleased to announce thatwe will showcase the latest version for INSOL SanFrancisco, kindly sponsored by Madison Pacific.

The next version will include many new features fordelegates. We are intending to cut down on thepaperwork that you receive and there will be a newelectronic interactive sponsorship section on theApp. The assessment form will be linked to the Appso you can record your views electronically, CV’swill be able to be uploaded in the networkingsession and there will be more local informationincluded. The App will be available at least threeweeks prior to the conference so that you candownload the materials and familiarise yourself withthe App.

This will also allow more time for delegates toupload their details to the networking site andarrange meetings with like-minded colleagueswhen they are in San Francisco.
