33 II Section 4.2

In the event of the Bidder's failure

to submit the Bonds, Guarantees

and Documents and supply the

solution / equipment as per

schedule specified in this RFP,

Haryana Police may at its

discretion withhold any payment

until the completion of the

contract. Haryana Police may also

deduct from the Bidder as agreed,

liquidated damages to the sum of

0.5% of the contract price of the

delayed/undelivered services (as

detailed in Volume I of this RFP)

for every week of delay or part of

a week, subject to the maximum

value of the Liquidated Damages

being not more than 10% of the

value of delayed services. This

right to claim any liquidated

damages shall be without

prejudice to other rights and

LD should be applicable for the delay directly attributable to the vendor.

Further LD should be the sole and exclusive remedy.

82 IIF. Undertaking On

Patent Rights

do hereby undertake that none of

the deliverables being provided by

us is infringing on any patent or

intellectual and industrial property

rights as

per the applicable laws of relevant

jurisdictions having requisite

competence.

2. I/We also confirm that there

shall be no infringement of any

patent or intellectual and

industrial property rights as per

the applicable laws of relevant

jurisdictions having

requisite competence, in respect

of the equipments, systems or any

part thereof to be supplied by us.

We shall indemnify Haryana Police

against all cost/claims/legal

claims/liabilities arising from third

party claim in this regard at any

We request to consider restricting the provisions to the IPs existings and

registered in India. The format should be linked with relevant scetion of MSA of

the RFP. The IP infringement should have exclusion like: (a) Client's use of the

Deliverable other than in accordance with the Agreement ; (b) modification of

the Deliverable other than by or on behalf of Accenture; (c) the Client's failure

to use corrections or enhancements that have been made available by

Accenture; (d) the Client's use of the Deliverable in combination with any

product or information not owned or developed by Accenture, except to the

extent contemplated in the Agreement; (e) the Client’s distribution, marketing

or use of the Deliverables, for the benefit of third parties; (f) information,

software, direction, specification or materials provided by the Client or any

third party; or (g) any wilful, wrongful or negligent act or omission of the Client

in its use of the Deliverable.

The System Integrator shall allow

access to the CLIENT or its

nominated agencies to all

information which is in the

possession or control of the

System Integrator and which

relates to the provision of the

Services as set out in the Audit,

reasonably required by the CLIENT

to comply with the terms of the

Audit, Access and Reporting

Schedule set out as Schedule IV of

this Agreement.

We request to consider modification and include the provision that any such

audit should be subject to the following conditions: 1. Reasonable prior written

notice of the audit (not less than 3 weeks); 2. Confidentiality obligations on the

Client and auditor; 3. Audit is not carried out by the SI's competitor; and 4.

Scope of audit is restricted to assess compliance of obligations under the

Contract

We request to consider adding a liability cap section in the RFP as under: "The

sole liability of SI (whether in contract, indemnity, tort, negligence, strict liability

in tort, by statute or otherwise) for any claim in any manner related to this

Agreement, including the work, deliverables or services covered by this

Agreement, shall be the payment of direct damages and damages due by SI

under this Agreement shall in no event in the aggregate exceed the yearly fees.

In no event shall either party be liable for any consequential, incidental,

indirect, special or punitive damage, loss or expenses (including but not limited

to business interruption, lost business, lost profits, or lost savings) even if it has

been advised of their possible existence. Each Party has a duty to mitigate the

damages and any amounts payable under an indemnity or any claim that would

otherwise be recoverable from the other Party pursuant to this Agreement by

taking appropriate and commercially reasonable actions to reduce or limit the

amount of such damages or amounts".

As we understand that security should be an integral part of the infrastructure

and therefore to ensure integrity and confidentiality, the data collected (both

online and offline) at the police location should be digitally signed and

encrypted before it is sent from one location to other / central data center.

Appliance based FIPS certified Hardware Security module shall help in security

of the signing key, key management and multifactor authentication to access

the key and

most significantly it will enhance the performance of the complete system by

offloading the complete cryptography. All data interchanged among various

police offices and between the users of an application interface, Core

application, Police agencies and CCTNS databases should be digitally signed and

encrypted using the PKI infrastructure. Hardware Security Module should be

used to provide a higher level of security. The PKI public and private keys will be

stored inside the hardware module thus making it inaccessible, tamper proof

and highly secure.

The storage shall have the ability to create instant, online and consistent point-

in-time images of the data including databases so that these images can be

used as online backups for instant restores. The system should be able to keep

at least 14 (twice a day) copies of these images per LUN/volume online for at

least one week on the storage for restores, if required, without affecting the

performance of the system.

If the storage uses a a Copy-On-Write method to create Snapshot copies that

affects the performance of the storage then atleast double the usable capacity

stated above needs to be supplied to prevent any performance impact on the

production storage.

The system should have the ability to create these images and restore these

images in seconds regardless of the data size. Any software required to take

NDA and for all practical purposes SI would be solely responsible for service and

Delivery as per the SLA and Scope of work.SI may inform Client for all these

engagement.

However the System Integrator shall provide the list of all the other services

planned to be sub contracted with the Technical proposal. It is clarified that the

System Integrator shall be the principal employer for all claims arising from the

liabilities statutory or otherwise, concerning the sub-contractors. The System

Integrator undertakes to indemnify the CLIENT or its nominated agencies from

any claims on the grounds stated hereinabove.

36 III Section 2.23 (b)

As per RFP Request deletion of this one sided clause and Wipro request insertion of the

below clause:- If the dispute cannot be settled by mutual discussions within

the thirty (30) day period, either party may refer the matter to a panel of three

arbitrators. Each party shall choose one arbitrator, both of whom shall elect the

third arbitrator who shall be the presiding arbitrator. The arbitration

proceedings shall be held under the provisions of the Arbitration and

Conciliation Act, 1996 or any of its subsequent amendments. The arbitration

proceedings shall be in English and the venue of arbitration shall be Chandigarh,

India.

Schedule

Pre –Go live readiness CLIENT hereby agrees to make the site ready as per the agreed specifications,

within the agreed timelines. CLIENT agrees that Wipro shall not be in any

manner be liable for any delay arising out of CLIENT's failure to make the site

ready within the stipulated period, including but not limited to levy of liquidated

damages for any delay in performance of Services under the terms of this

Contract. Further any idle time resulted due to non available of site or

infrastructure or data, Customer shall make payment to Wipro for the same.

Either party may request a change order (“Change Order”) in the event of

actual or anticipated change(s) to the agreed scope, Services, Deliverables,

schedule, or any other aspect of the Statement of Work. Bidder will prepare a

Change Order reflecting the proposed changes, including the impact on the

Deliverables, schedule, and fee. Absent a signed Change Order, Bidder shall not

be bound to perform any additional services. The parties agree to negotiate in

good faith all Change Order proposals. The parties further agree that Bidder

may undertake and accomplish tasks of a de minimis nature necessary to

perform its obligations under any Statement of Work at no additional cost and

without requiring the execution of a Change Order.

Wipro shall not be liable for any indirect, punitive, consequential or incidental

loss, damage, claims, liabilities, charges, costs, expense or injury, including,

without limitation, loss of use, data, revenue, profits, business interruption, and

loss of income or profits, that may arise out of or result from this Agreement,

irrespective of whether it had an advance notice of the possibility of any such

damages. Subject to the above and notwithstanding anything to the contrary

elsewhere contained herein, the maximum aggregate liability of Wipro for all

claims under or in relation to this Agreement, shall be, regardless of the form of

claim(s), the consideration actually received by Wipro under this Agreement.

services, or to meet agreed service levels shall be excused if and to the extent

Wipro’s non-performance is caused by Customer’s omission to act, delay,
