Preamble The present terms and conditions conform to the dispositions of law no.65.557 of 10th July 1965 and of decree no. 67.223 of 17th March 1967 which is applied. It has the following objects: - determine communal areas for use of several or all co-proprietors and private areas for exclusive use of each co-proprietor; - establish consequently the rights and obligations of co-proprietors of the different lots composing the building, whether they be on the installations which are their exclusive property or common; - organising the administration of the building; - defining the conditions of improvements of the building, its reconstruction and its insurance as well as the rules to be applied in case of litigation disputes. It also contains the description and division of the buildings. All lots comprise a private area and a portion of communal areas. The conditions of the present terms and conditions of co-propriety and the modifications that will be brought to them will be obligatory for all co-proprietors and occupants, their heirs and rightful successors, of whatever area of the building. The present terms and conditions of the co-propriety and its modifications will constitute common law to which all must abide. The present terms and conditions will be applied as soon as the building belongs at least two co-proprietors. For information articles no.6 to 37, 41-1 to 42 and 46 of the law no. 65-557 of 10th July 1965 fixing the status of co-propriety of buildings are of public order. All contradicting clauses are reputed as non-written. These articles define: - The rights and obligations of co-proprietors; - The division of general charges of the building; - The division of equipment charges; - The type, object, powers, and responsibility of the residents’ association; - The general assemblies of co-proprietors: the unique means for decisions for the co-propriety - The function, appointment, mission, powers, obligation, responsibilities of the executive of the residents’ association: the representative of the co-propriety and executor of general assembly decisions; - The role, appointment, dismissal, organization, composition of the residents’ association: permanent body of assistance and control of the co-propriety; - The debts of each co-proprietor towards the residents’ association; - The rules of the majority for the votes in general assemblies; - The division of the co-propriety; - The union of several residents’ associations; - The procedures adapted to co-proprieties in difficulty; - The raising and construction of buildings Chapter 1. DESCRIPTION AND DIVISION OF BUILDINGS 1. Description The present description and division and the buildings regulations apply to a building built on the territory of the Chamonix Mont Blanc commune situated at 57 chemin de Champraz. It is on the plan, Section C named ‘Les Rosières’ and has the number 3584 and a cadastral capacity of 1 hector 08 acres. 2. The description of the terrain The building, as present consists of the terrain as above, in which are located ten buildings identified under the letter SS for the basement, and numbers 1 to 9. The exterior spaces are defined as communal and private areas. The terrain of the co-propriety was not subject to a boundary determining process.

3. Description of the co-propriety The co-propriety has a basement on one floor on which are built six buildings numbered 1 to 6. The area also comprises of three other buildings numbers 7 to 9. Buildings 7 and 8 are built against building 6 and do not have direct access to the basement. Building SS, basement has 67 parking spaces, 28 garages, 53 cellars, stairwells to the ground floor of buildings 1 through 6, six ski storage rooms and elevator shafts servicing buildings 1, 5, and 6 as well as their machine rooms, a transformer, the swimming pool’s maintenance room, a gym, toilets, corridors to these premises and several maintenance rooms. Building 1. Four floors with attic comprising 17 apartments, a staircase and lift that services all levels, and reception for the residence. Building 2. Four floors, comprising 8 apartments, two office spaces, a staircase that services all levels, and two ventilation system rooms. Building 3. Four floors with attic space comprising 7 apartments, a staircase that services all levels, and swimming pool on the ground floor. Building 4. Four floors comprising 5 apartments, a staircase that services all levels, two ventilation rooms on the 3rd floor and a gym on the ground floor. Building 5. Five floors with attic space comprising 14 apartments, staircase and lift that services all levels, two maintenance rooms on the 3rd floor and one in the attic. Building 6. Four floors with attic space, comprising four groups of apartments, a staircase and lift that services all floors, a ventilation room on the 2nd floor, and three maintenance rooms on the 3rd floor. Building 7. Five floors comprising four groups of apartments, a staircase that services all floors, and a ventilation room on the 2nd floor, and four maintenance rooms on the 3rd floor. Building 8. Four floors comprising three groups of apartments, a staircase that services all floors, and a ventilation room on the 2nd floor. Building 9. One level comprising one open space, situated close to ‘La route des Drus.’ 4. Plan of the division of areas Here follows a description of the divided areas comprising of: 1. Please note that the numbering of the lots written on these plans corresponds exclusively to the number on the plans and not to the numbers on the doors or the numbers written on the existing plans. 7- Method used for calculating and applying the proportions of communal areas. Pursuant to the last paragraph of article 10, established 10th July 1965 and in accordance with the SRU law adopted on 13th December 2000 (article 76) the elements taken into account and the calculation method for fixing the proportions of the communal areas are taken from the article 5, on the 10th July 1965 establishing the status of the co-proprietary of the buildings. Article 5 If not specified to the contrary in the co-propriety regulations, the proportions of the communal areas specific to each lot is proportional to the relative value of each private area in respect of the whole value of the lots, said lots, having been established during the formation of the co-proprietary, comprising of the surface area and their uses.

Proportions of the Communal Areas A. Proportions of the General Communal Areas The calculation of the proportions of the general communal areas of the co-proprietary attached to each lot are the result of the application of article 5 taking into account the relative value of each lot. This is calculated on the basis of the division of the surface area, which is dependent on the diverse elements such as private living space, ‘loi carrez’ (square meterage above 1.8m in height) and additional exterior surface area, (balconies, terraces, gardens….) These areas are weighted by the following elements consisting of: Nature Coefficient Apartment 1.00 Apartment height < 1.80m 0.65 Balcony, terrace 0.20 Garage 0.45 Covered parking 0.30 Cellar 0.25 Gardens 0.05 B. Proportion of the Specific Communal Areas The calculation of the proportion of the specific communal areas of the lots within the buildings are decided based on the same criteria as those of the general communal areas. Gardens are not included in the calculations. C. Proportion of the Specific Communal Areas of the Building Lots The proportion of the specific communal areas of the building lots are calculated based proportionately on the surface area of each apartment.

CHAPTER 3. DISTINCTION BETWEEN COMMON AND PRIVATE AREAS 8. Distinction between private and common areas The buildings are divided into: Common areas - affected to the use or utility of all co-proprietors or a group of co-proprietors, it is up to them to use and participate in the charges and afferents that conform to the dispositions of the present terms and conditions. These communal areas will be the object of a unique property split between the co-proprietors. Private areas – for the exclusive use of each individual co-proprietor. 9. Definition of the communal general areas The general communal areas are owned by all co-proprietors and are divided based on the proportions indicated in the description of the lots. As written in article 815 and thereafter of the Civil Code, the communal areas cannot be sold separately irrespective of which private area it is attached to. They are not limited to, but comprised of the following list: - Ownership of floor area (built or non-built) such as described above. - The fences surrounding the properties, the gates, and entrances controlling access. - The exterior non-private spaces such as . ‘le chemin de Champraz’ . the exterior access to the underground . the three exterior parking areas . the footpaths between buildings . the non-private gardens -The corridors of the buildings for use of all co-proprietors until they divide into their respective buildings. - The Utility panels for water, gas and electricity and in general the tools at everyone’s disposition and the areas where these are located. This list is purely enunciative and not limiting. 10. Specific communal areas The specific communal areas are areas that are exclusively for the use of a determined group of co-proprietors. Specific communal areas of each building (building 1 – 8) They comprise the communal areas within a given building and the elements that constitute it. They comprise: The foundations and construction of the building (façade, walls, pillars, floors). All elements used to ensure that the structure of the building is watertight. The facades and their coating. The general conduits of the building, such as guttering, drains, water pipes, electricity and telephone cables, gas pipes, and multimedia cables. (This does not include cables used inside each apartment/lot). And in general all conduits of which the use is common to all the co-proprietors of the building. This list is purely enunciative and not limiting. In general it includes all objects fixed or mobile which, by their character, situation or use within the building, and are not for the exclusive use of one individual.

Specific communal areas of the building lots These are communal areas within the building lots. They comprise the reception, and leisure equipment for the use of the apartments. Notably: Entrance, reception, leisure and relaxation areas situated on the ground floor of Building 1. The swimming pool and maintenance rooms, situated on the ground floor of Building 3. The gym, changing rooms and showers in the basement of Building 4. The gym, relaxation room, changing rooms, sauna and hammam, the toilets annexed to it, situated in the ground floor of Building 4. The heating equipment for the ski rooms. This list is purely enunciative and not limiting. In general it includes all objects fixed or mobile due to their character, situation or use within the building, and are not for the exclusive use of one individual. It does not include objects whose use is exclusive to one individual. The building lots are the apartments listed as no.1 to 20, 23 to 64, and no. 204. They comprise a portion of the specific communal areas. These specific communal areas are situated in Buildings 1, 3, and 4. The building lots are, by consequence, also affected by a proportion of the specific communal areas of Buildings, 1, 3, and 4, even if the apartment is not situated in the Buildings 1, 3, or 4. Lot numbers 21 and 22 are not apartments and are not going to be. They are therefore not affected by a proportion of the specific communal areas. 11. Definition of the private areas. The areas determined by the State of the Description and Division established above are included in the composition of a lot and are affected by the unique and exclusive use of the owner of said lot, and it is up to each co-proprietor to ensure the maintenance and function of these private areas at his own discretion and charge. These areas include, but are not limited to, the following list: - Tiles and flooring including those of balconies and terraces for private use. - Ceilings or false ceilings - Non structural walls - Entry doors, all windows and their shutters, and in general all openings from private apartments. - Plastered walls and partitions of any kind. - Internal pipes and connections and their counters when included. - Fittings and accessories. - All sanitary installations in the toilets, bathrooms and shower rooms. - Kitchen installations - Central and water heating in the private areas. - Doorbells, telephones, televisions and their sockets and electrical conduits. - Door handles and taps, etc. - Electrical installations and their sockets and electrical conduits. - Furniture and interior décor (mirrors, chimneys, paintings, woodwork). - The whole of Building 9. To summarise: this includes everything inside the lots that is for the exclusive use of the owner of said lot. This list is purely enunciative and not limiting. For the exterior garden space the private areas include the superficial vegetation and earth. This land being a general communal area.

12. Neighbouring Parts The walls, fences or windows separating two lots, and all premises or locations closing two adjacent lots belonging to different co-proprietors belong in joint ownership of these lots, except for supporting walls which remain general public areas. The walls separating private premises within communal areas, and the walls and structures in the section that crosses private premises are counted as communal between the neighbouring lots. 13. Accessories to the general communal areas The following are accessories to the general communal areas: - The right to raise a building. - The right to build new buildings in any location on the land including in private areas. - The right to scour the floor of courtyards and gardens both private and public. - The right to create new underground spaces. - The right to joint ownership The common areas and the rights that are their accessories cannot be the object, separately to the private areas, of a shared action or forced sale.

CHAPTER 4. FUNCTION AND USE OF THE BUILDING 14. Use of the Building The building’s primary use is as living space. The building is intended to be both a classic housing residence and a tourist residence. The co-proprietors making the choice of the type of occupation they wish to have with regards their lot. They can either choose to occupy the lot themselves; rent it out permanently or seasonally. In the latter case the rental is organized by internal regulations. Each co-proprietor has the right to enjoy and use things that are their own private property provided they do not harm the individual or common rights of other co-proprietors and comply to the requirements set out below. No modification can be made that will compromise the function or use of the building without the consent and unaminity of the co-proprietors. The lots will remain exclusively for living purposes. Liberal, professional or associated activities are allowed in the premises used for residential use under the following conditions and to the exclusion of any industrial or craft activity, manufacturing, repairs, or the sale of any products. Professional activities as referred to above are authorized subject to obtaining the necessary administrative approvals and subject to the conditions that there will not be resulting excessive problems in particular related to the odours or the rights of other co-proprietors. The co-proprietors cannot prevent client passage to said professional premises through the communal areas of the buildings. Nor can they oppose any measures that could be used to facilitate access for customers to said professional activities. However if the passage of clients is such that the communal charges increase then the owner of the professional activity would bear the cost and expenses. The transformation of apartments into furnished bedrooms for individual lease is prohibited. But the apartment can be leased as a whole furnished apartment as well as apartment space. 15. Usage of Communal Areas Generalities Each co-proprietor will be responsible, in respect of the residents’ association, for any disturbances or infringements of the regulations caused by them personally, their family, guests, tenants, occupants, or suppliers whether as the result of their direct or indirect action and they will be held legally responsible for any resulting damages caused by any of said persons. It is each co-proprietor’s responsibility to make sure that the aforementioned people respect the regulations and the rules of the building. A rule that is broken, regardless of the length of time it has been tolerated cannot become a right. The residents’ association cannot be held responsible for any thefts or criminal activity that takes place in the communal or private areas. Each co-proprietor must take responsibility for the supervision of their property. Miscellaneous Each co-proprietor may have free use of the communal facilities designated for his/her property according to these rules provided that they do not infringe on the rights of the other co proprietors and with the reservation that they do not infringe the rules, exceptions and restrictions noted in the present document. Each co-proprietor must respect the internal rules which can he drawn up for the use of certain communal areas, the functioning of the collective services and shared equipment.

Clutter No one should, even temporarily leave clutter in the communal areas, nor leave any encumbrances, nor use the areas for their exclusive personal use, other than their permitted normal use except in case of emergency. The corridors, passages and rights of access must be left free at all times No co-proprietor may undertake other domestic work in the communal areas. No co-proprietor may leave litter or any household rubbish. These must be disposed of in the places provided for that purpose. The stopping and parking of vehicles is forbidden in communal areas and in general outside the places provided except in emergency. Exterior aspect of the building The general appearance of the building must be respected at the discretion of the residents’ association. All advertising or posting of commercial or professional publicity is in principal forbidden throughout the building. However the posting of a provisional announcement advising of the sale or letting of a property is permitted. The contracting authority has the permission to post notices of sale or letting of properties belonging to them without the agreement of the residents’ association. The residents’ association can authorise the posting of advertising for suitable professional services on communal surfaces of a size and appearance agreed on by the association with the agreement of and reservation that the appropriate permission is obtained from the administrative authorities. In case of dispute the case will be referred to the assembly of the residents’ association for a majority decision. The posting of official public and ministerial documents is authorised according to normal current usage. The request for the outside installation of radio television antennae has to be submitted to the residents’ association to make sure that they respect the general appearance of the building. The installation of exterior air conditioning equipment on the façade, terraces, balconies etc. is forbidden. Joint services and equipment Letter boxes of a size and type decided by the residents association will be installed in equal number to the number of flats. The co props have the rights to make changes to the pipes containing waste water and the pipes and the networks of water, electricity, telephone and, generally speaking on all the pipes and the networks in the communal areas, in so far as they do not cause difficulty to other co proprietors and are within the conditions of this agreement. A co proprietor may not claim damages or interest in case of stoppage to the collective services and communal equipment caused by acts of God or in case of temporary suspension for maintenance or accidental reasons. If the suspension of use of an element of equipment is due to necessary hygiene precautions it is necessary to obtain an absolute majority of article 25, law of 10 July 1965. If it is due to non-use or the cost of its replacement is too onerous it is possible to have recourse to the double majority of article 26 of the aforementioned law. Free spaces Free spaces, paths and driveways and the equipment necessary for their upkeep must be kept in a state of rigorous cleanliness. The washing of cars is strictly forbidden in all communal drives and spaces.

Parking of bicycles and electric vehicles The parking spaces 16 to 20 are reserved for electric vehicle parking and re-charging. Parking space number 2 is reserved for bicycles. Upkeep of private areas. The building has the services of a caretaker. Apartment no.20, being the property of the residents’ association, is the accommodation provided with the job. 16. Use of private areas As regards the privately owned premises each co-proprietor has the right to enjoy and do what they want with them in so far as it does not in any way harm the other co-proprietors and does not put the structure of the building in danger or in any way prejudice the whole building or one of its parts and does not do anything injurious to the whole building or private areas as already laid out. If circumstances require, and with the condition that the enjoyment of the private areas in the building are not affected in any lasting way, a co prop or those acting for them cannot prevent the execution of regular work expressly decided by the general meeting of the residents according to paragraph e), g), h) et i) of article 25 and of article 30 of the law of 10 July 1965. Co-proprietors must be notified at least eight days in advance of any work requiring access to their property unless urgently required for matters of security or the conservation of property. I) Occupation The apartments or premises must be occupied by people of good manners and behaviour who must not do anything directly or indirectly to harm the good character of the building and its surroundings. Liberal professions are allowed under the formal condition that the profession being exercised does not harm the appearance or the peacefulness of the building nor disturb the other co-proprietors by noise or smells and on condition that the necessary administrative authorisation has been obtained. II) Letting The co-proprietors can, if they so wish, lease the apartment so long as they respect the conditions of the present regulations and the internal regulations. The lease or letting agreement must require the client to conform to these rules and the internal rules. The co-proprietor will remain as personal guarantors and responsible for the fulfillment of this requirement. The conversion of the apartments into single furnished rooms to be let to separate people is forbidden but the letting of the whole apartment furnished is permitted. III) Internal regulations An internal regulation establishing the general framework intended to govern the organisation of the rents and the collective life of the tenants and users of equipment common to the private residences has been drafted and must be applied. It provides the rules regarding access, use of the pool, sports room, spa and other communal sporting facilities. It also furnishes the rules for letting the properties, provision for one appointed person to be responsible for the rents in the building, the provision of premises and an office and the services provided. The internal rules may be modified by majority decision of the general assembly of residents’ association by a majority vote according to article 25.

IV) The peace and tranquility of the building The residents, whoever they are, must not disturb the peace of the other co-proprietors. The use of all electronic equipment or IT appliances is authorised so long as they conform to civil and police rules and with the proviso that the resulting sound does not constitute a nuisance to neighbours, even temporarily. Any noise, day or night, of whatever nature, which is likely to disturb the peace of the residents is formally forbidden even if it takes place inside an apartment or other private area. Any working with wood, metal or other materials inside a private apartment, which could constitute a nuisance by noise or odour is formally banned, except where it is required for essential maintenance and repairs to the apartment. In general residents must not cause any disturbance, day or night, by vibration, smell, heat, radiation or any other cause taking into consideration the residential purpose of the building. Residents who experience such nuisances should make a complaint directly to the administration and not to the executive of the residents’ association. They must make sure that the standards of tidiness, sanitation and cleanliness are maintained. Washing machines and other appliances which could give rise to vibration have to be mounted on a surface which prevents transmission of the vibrations. Electric appliances must conform to the norms and be anti-virus. In all the tiled areas the tables and chairs must be fitted with sound dampers. Any animals which are misbehaved, dangerous, smelly, dirty or noisy will not be tolerated even momentarily. With the above reservation any type of pet is permitted provided that they are kept on a lead when outside the apartment and that the cleanliness and rules of the communal areas are rigorously adhered to. It is expressly forbidden to carry out any mechanical work, emptying, draining or washing on the communal drives. V) Use of the windows and terraces The use of the terraces must not cause a nuisance to any of the co-proprietors. Any fittings or decorations made by the co-proprietor to the terraces or balconies must in no circumstances cause a prevention of enjoyment to the other co-proprietors either by the exterior appearance of the apartment or by spoiling the harmony of the buildings. They should only be carried out with the agreement of the residents’ association and the residents’ association council. These fittings and decorations should be, if they need to be made, placed and paid for exclusively by the co-proprietors concerned. Co-proprietors with an apartment with a balcony or terrace must maintain them in a perfect state of cleanliness and maintenance. They are responsible for any damage resulting directly or indirectly from cracks, leaks etc, which they could cause. (This is likely to mainly affect plants). The use of charcoal and gas barbecues is forbidden, electric barbecues are permitted. Except with express permission of the residents’ association assembly the enclosing of balconies or terraces is forbidden.

VI) Harmonisation of the building. Windows, shutters and outside doors, although they are part of the private areas, cannot be modified in so far as materials or paint are concerned and the colour of the paint may not be changed without the authorisation of the general assembly of the residents’ association. No furnishing or decoration can be fixed by any co-proprietor in the loggias or terraces which do not conform to the general harmony of the building. Entrance doors to the apartments cannot be individualised, not even by the colour of the paint. Everything must be kept in good condition at the expense of the co-proprietor including the doors to the private areas, windows and also shutters or blinds where they are fitted. No notices or advertising may be fixed to the exterior of the private apartments, particularly on windows, vestibules, doors etc. except as provisional notice of the sale or letting of the apartment. VII) Work and modifications Each co-proprietor can modify, as they wish and at their own expense, the interior arrangement of their apartment provided that the stipulations of the present rules relating to the harmony, aspect , security and tranquility of the building are respected and that the necessary authorisation is obtained from the administrative services or sales by the lending body. Should they take place these works should be carried out under the surveillance of the controlling architect who will be responsible for assessing the fees. He must take all necessary measures to avoid harming the security of the building and he will be responsible for any structural weakening or damage and other consequences which might result from the work both as regards the co-propriety and, if appropriate, the building company. Any works which would involve a company or an exclusive use of the communal areas or would affect the exterior aspects of the building must be submitted for authorisation to the residents’ association general assembly subject to the conditions in article 25 of the law of 10th July 1965 and /or article 25-1 and/or article 26 if the works affect the load bearing structure of the building. Furthermore each co-proprietor will have the possibility to create openings between two adjoining apartments under the supervision of the architect of the building. If the adjoining wall of apartments is a party wall as indicated above, the permission of the general assembly is indispensible. If the wall is not a party wall the owner of the two adjoining apartments may proceed with creating an opening. VIII) Security and cleanliness No dangerous, dirty or smelly materials may be placed or kept in the private areas; the storing of hydrocarbons and any other volatile or inflammable materials in the garages or other stores is strictly prohibited. No objects may be placed or stored whose weight exceeds that allowed on the floors or walls as determined by the architect in the relevant document. No object may be put on the window ledges or terraces, flower pots must be fixed and placed on solid shelves to prevent water overflowing. Taps, appliances for water and their attachments in the private areas must be maintained and in good working order and repaired immediately in order to avoid loss of water and other inconveniences for the other flats and the community. Pipes of whatever sort may not be used except for the purpose for which they are intended and they may not be used to remove products or objects, used or not, which could obstruct them. They must be protected against the consequences of frost, to avoid causing damage to other apartments and the community. Dangerous and inflammable materials may not be placed in the drains, and especially not in any leading to the sewers. It is forbidden to use pipes liable to damage from frost when it is likely to be frosty.

Any electrical work in the private apartments must be carried out by a qualified electrician and the residents’ association must be notified of the work. Individual heating appliances must conform to the administrative terms and conditions and their use be compatible with the technical concept of the building. The co-proprietor must ventilate their apartments to avoid any consequence of damage due to the accumulation of condensation as well as fungus. The residents must take all measures necessary or useful to avoid infestation by harmful insects and vermin. They must furthermore conform to all relevant directives issued by the residents’ association. The ventilation and aeration systems must not at any time be obstructed. Any damage occasioned by being in default of this instruction will be paid for by the resident responsible. IX) Heating Each of the co-proprietors and occupiers will make sure that a base temperature of at least 7°C is maintained in all the habitable areas. This instruction is aimed at ensuring the comfort of the other occupants, to prevent having to compensate for a ‘thermal hole’ and avoid the damaging effects that such a situation could have on the overall construction of the building. As a result all co-proprietors are required to make sure that their convectors and all heating appliances are kept on from 15 October to 15 April. This frost avoidance measure must be maintained even during times of temporary occupation or temporary inoccupation at the expense of the co-proprietor. The co-proprietor must make sure that their appliances are functioning properly. Any co-proprietor or occupier who does not comply with this measure can be held responsible for any discomfort and supplementary expense which a neighbour might incur and the said neighbour will have the right to demand reparation. X) Use of the private gardens The co-proprietor whose apartments include an exterior space are liable to the following obligations: - in general they should maintain such space in good condition, in harmony with the communal spaces in the surrounding area; - they should only be used for the purpose for which they are designed and may not be used for anything even of a temporary nature which would devalue them. - soil may not be moved around, even temporarily, in such a way that it alters the natural level of the soil; - use of charcoal and gas barbecues is forbidden, only electric barbecues are allowed; - the planting of trees is rigorously forbidden; - the maintenance of the green space, both communal and private areas, will be carried out by the co-propriety in order to preserve the harmony of the whole. In the garden area hedges and fences may be placed at the boundary with the communal area. XI) Free access In case of prolonged absence any occupier must leave the keys for their property with a fellow resident. They must notify the residents’ association of the address of the keyholder. The keyholder should have permission to enter the property in case of emergency.

XII) Miscellaneous The co-proprietor must allow the execution of repairs, work and necessary maintenance operations to communal areas, collective services or elements of communal equipment, even if these are in the exclusive use of another private property, for however long, and if necessary allow access to architects, tradespeople, workers, and people responsible for overseeing the work, and conduct the repairs and work and allow scaffolding for the cleaning of the façade, servicing of gutters and drainage, down-pipes and other work not limited by this list, without compensation. At all times free access to the premises must be allowed to the residents’ association and its representatives to verify the functioning and check on notably, plumbing, heating or to investigate the origin of leaks or infiltration. Free access will be similarly allowed after any works in private premises to check that the said works are not of a nature to damage the security of the building or infringe the rights of the other co-proprietors. Each co-proprietor must allow free access to the place where their service controls are, water pipes, electric and phone cables, and meters, to tradespeople and administration specialists to allow maintenance, repair, reading of meters or even adding further connections. The owners of premises on the top floor must allow free passage to give access to the attic or terraces, if there are any, and the roof if required for the sole purpose of checking, maintenance repairs or re-placing items of a communal nature. 17. Miscellaneous conditions Easements In general co-proprietors must respect all passageways in respect of the building now and in the future whether the use of the passageway was originally conventional, legal, civil or administrative. Co-proprietors must allow and respect the views other co-proprietors have onto their property even if the distances are lower than the distances provided by the civil code. Respect of laws and regulations The co-proprietors must observe and follow the city, police, and town hygiene regulations, and in general keep their property in a good condition. Negligence in maintaining private property If a property, external areas or any communal space owned by the property owner is not kept up to the above standards, the residents’ association can demand the property owner pay for works done to return said areas to the standard required by the residents’ association. Property owners would be notified of this by registered letter giving the owner two months to rectify the situation prior to the works being done by the Residents’ association, at the owner’s cost. Individual antennas The use of exterior individual antennas is subject to the current regulations notably law number 66-457 of 2nd July 1966. If authorized, the installation of an antenna is preferred on the roof of the building. All cables used for the antennas must pass through ducts controlled by the residents’ association and cannot under any circumstances be visible.

CHAPTER 5. DISTRIBUTION OF CHARGES 18. In General The provisions of this title are to: Define the different categories of charges. And for each of these categories to fix: - The lots between which they have to be split. - The proportion that each lot will have to bear. However, a co-proprietor who increases the costs of the charges either by him/herself or through tenants, suppliers or visitors of any kind, must bear these supplementary costs him/herself. Definition and distribution The definition of these charges and the method of their distribution have been established in reference to article 10 of the law July 10th 1965 that establishes a distinction between the charges relative to conservation, maintenance and administration of communal areas, and charges brought on by collective services and communal technical equipment. The first category of charges is split proportionally pro-rata based on the percentage owned by the co-proprietor. The second is split based on the use of these services and elements for each lot. 19. General communal charges Charges relating to conservation, maintenance and administration of the building (general communal charges).

The general communal charges split proportionally pro-rata are: 1. Property tax of the building 2. Costs of communal administration and management such as remuneration of the Residents’ association, operating costs of the Residents’ association and of the Residents’ association council. 6. The difference between the cost of the general consumption of water and the amount of water used by the co-proprietor as indicated on the individual counters. 7. Cost of lighting of communal areas. 8. Costs of caretakers (salary, compensations, benefits…) 9. Cleaning costs of the communal areas (employees, salaries, equipment, supplies…) 10. The cost of maintaining green spaces. 11. Taxes for garbage collection, drainage, sweeping as long as these are not addressed to a specific co-proprietor. 12. Overall costs of cold water used for general maintenance of the co-propriety.

This list is enunciative and not limiting.

These general communal charges, such as defined, will be divided between the co-proprietors based on a pro-rata proportion of their proportion of the general communal areas expressed in ten thousandths. However, the co-proprietors who increase these general expenses, by their own, their tenants, employees or other visitors’ fault, will bear the costs. 20. Specific communal charges Specific communal charges to each building. These are the costs relating to the conservation, maintenance and administration of the special communal areas of each building as defined in the article ‘Definition of specific communal areas’ and are split between all of the co-proprietors of the lots in each building by pro-rata based on their proportion of the specific communal areas of the building they own, such as defined in the description and division of lots.

Notably these concern: Maintenance, repair and reconstruction costs concerning the foundation of the building and its shell (outside walls, facades, partition walls, pillars,..) In general all structural elements. Maintenance, repair and reconstruction costs involved in ensuring the building is watertight, notably the roof. In general the outer structure of the building. Maintenance, repair and reconstruction costs of the facades and their coating. Maintenance, repair and reconstruction costs of the general conduits of the building such as ducts, pipes, gutters, sewage pipes, underground pipes, pumps, and electricity, gas, telephone, multimedia cables and pipes and the technical service ducts, accessible or not, in which these are contained. The exception to these are the parts of these pipes and cables contained within the lots and for exclusive use of the owner/s. In general any conduit whose use is common to all co-proprietors of the building. 21. Charges relating to the communal services and elements of communal equipment (special communal charges). These charges include all costs for use, servicing, repairing and replacing installations and equipment. Special communal charges for central heating and sanitary hot water. The building is equipped with a low (base) temperature communal heating system designed to maintain a minimum temperature in all the buildings. Each property is therefore equipped with an individually controlled heating system and hot water heating system. Hot water charges Not applicable. Base central heating charges These include: - The cost of servicing, repairing, or replacing any part of the installed system for the production and distribution of base temperature central heating. - The cost of heating ‘fluid’, i.e. the water and energy necessary for the production and distribution of the base temperature central heating. - The cost of maintenance and control systems. This list is purely enunciative and not limiting. Division of charges The heating charges will be divided between all the properties heated by the central heating system, in proportion to their volume. Special communal charges for the servicing and repairing of lifts The building is equipped with three lifts situated in Building 1, Building 5 and Building 6. These lifts service all levels from the underground level. Definition These include: - The cost of servicing, repairing and even replacing the lifts, gates, cabins, rigging, cables, winches, brake systems, counter weights, guides and accessories, and includes the cost of servicing, repairing and replacing the emergency devices, alarm systems, tele-surveillance systems, if in existence. - The cost of servicing and reparation of the machine room and machines. The cost of electricity consumed by the lifts. - The rental cost of the counters or sub counters, (one for each lift). - Premiums and contributions for insurance against accidents caused by the lift, if these premiums cannot be divided individually.

Division of charges The charges, such as they have been defined will be divided per lift between the lots serviced by each lift. Only the lots on the ground floor will be excluded from these calculations. The charges per lift will be proportional to the floor area of each lot weighted according to a coefficient dependent upon the nature of the lot and a coefficient dependent on the level, in the proportion indicated in the summary table to follow.

The three lifts service the underground level.

The walkways and corridors of the underground level servicing the parking places, the garages and the cellars, allow circulation between all of the buildings. The lifts are accessible and usable from each parking place, garage and cellar. Consequently the lifts of Buildings 5 and 6 allow access to every garage, parking space and cellar. Therefore owners of parking spaces, garages or cellars will be charged a third of the cost normally due per lift.

Apartments situated on the ground floor do not contribute to lift charges. 23. The calculation method used to define the proportion of charges Pursuant to the article 76 of the SRU law, 13th December 2000. The elements taken into account and the calculation methods for defining the proportionality of charges per lot are taken from article 10, of the law 10th July 1965 (partially written below) defining the co-proprietary status of the buildings. Two types of charges are defined, those of maintenance, conservation and administration of communal areas, and those incurred by collective services communal equipment. Article 10, 10th July 1965 The co-proprietors are required to participate in the expenses incurred by the collective services and the communal equipment based on the value and use that these services and equipment have in respect to each lot. They are required to participate in charges related to the conservation, maintenance and administration of the communal areas as a proportion relative to the number of portions of their lot, these values have been defined by article 5. The rules of the co-propriety define the portion of each lot in each category of charges. A. Division of charges of communal areas - General communal charges – division of: The general communal charges are calculated based on the same criteria as those of the calculation of the portions of general communal areas applied to this building as defined by the description of the division conforming to article 5. - Specific communal charges – division of: The specific communal charges are calculated based on the same criteria as those of the calculation of the portions of general communal areas applied to this building as defined by the description of the division conforming to article 5. B. Division of charges for collective services and communal equipment These charges are split based on the location of lots and their potential use of communal equipment. Here follows the different charges by type.

Lift charges: Lift charges are split proportionally based on the surface or number of rooms of the lot, taking into account the level and nature of the lot. Nature Coefficient Cellar 0.10 Parking 0.30 Primary lot (apartment…) 1.00 Heating charges: The building is equipped with a heating system for which the charges are split between the lots dependent on volume of lot. Cold water charges: The cold water charges are calculated (if there are no individual water meter) pro-rata based on the size of the specific communal areas owned, or based on the size of the lots. If individual meters are in place the charge for the cold water consumption are taken from the meter readings. The difference between the general consumption of the building and the sum of individual consumptions is split proportionally based on general communal areas owned. The rental, maintenance, and reading costs of the meters are split proportionally to the number of meters installed. Hot water charges: In the presence of individual meters hot water charges breakdown into two categories: 1. The supply of water and its heating including fuel or energy costs are split proportionally to consumption. 2. The general costs of maintenance, repair, replacement of facilities for the production and distribution of hot water and / or of meters are split pro-rata based on the general communal charges of the lots owned, or of the surface of each lot. 24. Shared and private charges SHARED CHARGES Expenses of any kind relevant to partition walls of private premises that are subject to joint ownership pursuant to the present regulations shall be divided equally between the joint owners. But, if the expenses are due to work carried out on the building as a whole then the costs will be split between all co-proprietors. PRIVATE CHARGES The co-proprietors will pay building contributions and taxes. They must also fulfill all their obligations with regards to subscriptions for gas, electricity, water, phone, personal insurance, and pay to the Residents’ association the sum for which they are liable. They will also pay for the cost of all furnishings in the lots. The maintenance cost of flooring, excluding water proofing, balconies and terraces, will be borne by the owner of the lot on which the work is necessary.

The maintenance cost of the structure of balconies and terraces will be paid for by all co-proprietors, however, if these works were partially or totally necessary due to improper or abnormal use of said areas, the totallity or part of the cost may be, after expert analysis, charged to the person responsible. 25. Rules and regulations Each co-proprietor can use their rights in various legal forms, contracts and obligation under the conditions outlined below in respect to articles 4-6 of the Decree number 67-223, 17th March 1967 but must notify the Residents’ association in respect of this. 26. Supplies, contingency fund, guaratnees. The Residents’ association may require payment for: - An advance to make up the reserve of the co-proprietary fund, such that the reserve cannot exceed one sixth of the provisional budget. - Provisions equal to a quarter of the budget voted for the current fiscal year, unless the Annual General Assembly establishes different arrangements. - Provisions for expenses included in the provisional budget notably for works on conservation and works on the building; for works on communal equipment excluding maintenance equipment. - Advances corresponding to schedule of the multi year plan adopted by the General Assembly. - An advance for special conditions provided for the in the sixth paragraph in article 18, 10th July 1965. The Residents’ association will produce annual evidence of its expenditure for its past financial year on the terms of article 11 of the Decree of 17th March 1967. - The advances must be available the first day of each trimester or the first day of the period defined by the General Assembly. Payment pursuant to the above will be made in the same month the demand was made by the Residents’ association. After this time, those persons who have not made their payment, will have to pay the statutory interest of the conditions in article 36, 17th March 1967. The other co-proprietors will if necessary have to pay an advance to compensate for the lack of funding of one or more co-proprietors. The payment due in part or in full by each co-proprietor will be pursued and ensured by all legal means provided by the law. The same can be said for the payment of late penalties stipulated above. Late payment will be followed up by extrajudicial act and will be considered unsuccessful after a 15 day period. Obligations of each co-proprietor are indivisible with respect to the Residents’ association, which accordingly may require their execution by any of his heirs or rightful claimants. 27. Insurance The civil liability of the building or of the Residents’ associations actions with regard to the co-proprietor, a neighbour or third party will fall in the hands of each co-proprietor in a proportion equal to their share of the building. However if the damage can be accounted for by one individual, without cover from collective insurance then they will be held responsible for said damage. To apply these rules relative to responsibility including that incurred in case of fire, the buildings’ owners will be considered as third party in relation to each other and the insurance companies will have to accept and respect this. The Residents’ association is insured against: - fire, lightning, explosions, damages caused by electricity, gas and water (with waver of recourse against the co-proprietors occupying an apartment, premise or garage or against the tenants of said lots). - Recourse by neighbours and recourse of tenants and occupants. - Civil liability for damages caused to third parties by communal areas and communal facilities, (lack of maintenance, repair or construction defects) and persons, whose companies must answer for the object or person placed under its keep. Lifts will have a special insurance against damages caused to third parties and co-proprietors. The General Assembly can decide by simple majority any other insurance policies relative to other risks.

Pursuant to the foregoing the building will be the object of a multi-hazard global policy covering both communal and private areas of the building. Consecutive premiums to the use or to the special nature of certain lots or specific communal areas will fall to the concerned co-proprietors. Questions regarding insurance will be discussed and resolved by the General Assembly or by the insurance companies relating to services and elements of communal facilities by those concerned co-proprietors to whom will fall related premiums. The General Assembly or interested co-proprietors will decide in particular the risk cover and the selection of one or more insurance companies. The policies will be signed the Residents’ association pursuant to the decisions taken. Each co-proprietor will be required to be insured by a reputable company in regard of his own lot and in doing so have insurance to cover: the furniture it contains and the recourse from neighbours against fire, explosions of gas and accidents caused by electricity or water damage. Each non occupying co-proprietor pursuant to article 9-1, 24th March 2014 will be obliged to take out insurance against all civil liability risks to which he must answer as a non-occupying proprietor. The co-proprietor will also have to require from his tenants insurance for rental risks and responsibilities with regards to neighbours and other co-proprietors. The Residents’ association can demand justification of each of these contracts and of the payment of the related premium. In case of a disaster, allocated allowances under general policies are received by the Residents’ association with the presence of a co-proprietor appointed previously by the General Assembly. It is up to the Residents’ association to deposit them in the bank under conditions determined by the Assembly. 28. Diverse operations Property transfer The residents’ association, before establishing the transfer of a property, must address a letter comprising of three parts, to the Solicitor at his or at the co-proprietors demands, indicating that the co-proprietor is transferring all or part of his rights of the lot. In the first part the executive of the residents’ association must, even if in an approximate manner and subject to the clarity of the accounts detail the amounts that may remain due by the co-proprietor for the lot in question to the residents’ association. Comprising: - Payments due for the provisional budget. - Eligible liabilities not included in the provisional budget. Annual General Assembly establishes different arrangements. - Unpaid charges of previous fiscal years. - Any sums mentioned in article 33, of the law 10th July 1965. - Any advances due. In the second part the executive of the residents’ association must, even if in an approximate manner and subject to the clarity of the accounts, detail the amounts of which the Residents’ association could be responsible with regards to the selling co-proprietor. Comprising: - Advances mentioned in article 45-1. - Provisions of the provisional budget for the period after the current period which were made payable due to an advancement of the date of payment under article 19-2 of the law of 10th July 1965. In the third part, the executive of the residents’ association must detail the amounts that should fall to the new co-proprietor for the lot. Comprising: - Reconstitution of advances mentioned in article 45-1 even if in an approximate manner. - Not yet eligible provisions for the provisional budget. - Not yet eligible liabilities not included in the provisional budget.

In an annex to the third part, of the dated statement the executive of the residents’ association details the amount corresponding to the proportion pertaining to the lot in the provisional budget and in the total of expenditures not included in the provisional budget for the last two fiscal years. He mentions if necessary the status of on going proceedings in which the residents’ association is a party to. The property transfers and charges Obligations to charges In case of transfer, the former co-proprietor is liable for the payment of all claims made by the Residents’ association, which at the date of transfer are due and payable whether they be provisional or final payments. The new co-proprietor will be required in conjunction with the residents’ association to pay the amounts due as a result of articles 6-2 and 6-3 of the Decree no. 67-223 of the 17th March 1967. The former co-proprietor cannot require of the residents’ association even a partial restitution of the sums paid as an advance or provisionally. However, the act of selling can contain a clause of repayment by the buyer to the seller based on a pro-rata timeline of the advances and provisional expenses paid by the seller. The above conditions apply to all transfers of properties whether they be for private or professional use, free or paid for. Information of parties The conditions of opposability of the co-proprietary documents to the buyer of a lot referred to in Article 4 of the decree no. 67-223 of 17th March 1967 are set out in the article 5 of the same decree. The executive of the residents’ association must keep up to date the maintenance record of the building in accordance with article 18-1 of law no.65-557 of 10th July 1965 that must be consultable by any potential buyers. The right to oppose the Residents’ association with regards to reimbursements. The procedure destined to reserve the rights of the Residents’ association during the sale of a lot is exposed to article 20 modified of law no. 65-557 of 10th July 1965. If the lot is subject to an auction, foreclosure or expropriation for public use, or the right of first refusal, then the transfer notice planned by article 20 of law no.65-557 of 10th July 1965 must comply with the conditions of article 5-1 of decree no.67-223 of 17th March 1967. For the application of foregoing conditions, only debts of the Residents’ association, credit and payable on the date of transfer, are taken into account. Opposability of future terms and conditions The present terms and conditions of the co-propriety and the description, division and modifications that could be brought to it, are enforceable to the successors thanks to their publication in the property file by the co-proprietors. Failing publication of the property file, enforceability by the buyers or rightful heirs on a specific lot is subject to conditions of article 4, last paragraph of the decree of 17th March 1967. Modification of lots Each co-proprietor can, subject to non infringement of dispositions of article L111-6-1 of construction and housing code, and if necessary of authorisations from administrative services or loan agencies, divide his lot into as many lots as he wishes and then re-unite or subdivide the said lots, all under conditions required to establish a new distribution grid. Under the same conditions and reserves, the co-proprietor of several lots can modify the composition, and re-unite them or subdivide the said lots as he wishes. The co-proprietors may also exchange or transfer the detached elements of their lots. As a consequence, interested co-proprietors will have the options of modifying the portions of communal areas and of charges of all nature related to the lots concerned by modification provided that the total remains unchanged.

However, in case of isolation of one or more parts of a lot, the redistribution of charges between portions will be pursuant to article 11 of the law 10th July 1965 subject to approval of the General Assembly of interested co-proprietors acting by means of common decisions taken in accordance with article 24th of the law 10th July 1965. In addition, the reuniting of several lots into one lot will only take place if this reunion is likely to be published in the property file in accordance with its own conditions. All permanent modification of lots after a division, reunion or subdivision will be made the object of the act of modification of description and division and the distribution of general and specific charges. In common interest of future co-proprietors or their successors it is stipulated that in case of modification to said documents an authentic copy of the act modifying these must be be given to: - The executive of the residents’ association. - The solicitor holding the originals, or to their successor so that the changes can be recorded. All costs at the charge of the co-proprietors that made the modifications. Mortgage The owner mortgaging his lot will have to obtain from his creditor that he accepts that insurance indemnity is paid directly to the executive of the Residents’ association for reconstruction. Leasing The co-proprietor leasing his lot will have to bring to his tenants attention the present terms and conditions. The tenant will have to make the commitment in their lease agreement to comply with said terms of conditions. The co-proprietor must notify the executive of the Residents’ association of the leasing and will remain liable for damages or inconvenience that may be caused by the tenant. Legal action Any co-proprietor bringing a legal action regarding the propriety or the use of his lot, pursuant to article 15, paragraph 2 of the law 10th July 1965 must insure that the executive of the Residents’ association be informed in accordance with article 51 of the decree of 17th March 1967. 29. Miscellaneous conditions Administration of the co-propriety The functioning and administration of the co-propriety will be carried out in accordance with the legislative and regulatory conditions in place. Availability of the co-propriety documents In the conditions laid out by the law, the executive of the Residents’ association holds all paperless documents relating to the management of the building, which are available to co-proprietors. Application of article 5, of law no. 85.1470 of 31st December 1985 By application of article 5 of the law85.1470 of 31st December 1985 it is deemed that the co-proprietors will have by qualified majority, the faculty of making up a co-operative residents’ association. Land registration-property The present terms and conditions of the co-propriety and description and division of the lots will be published by the land registration services of Bonneville in accordance with law of 10th July 1965 and to the legal conditions relative to land registration. It will be the same for all modifications that could be made to these terms and conditions. Land registry procedure For the completion of the land registration formalities the parties acting in a common interest will give all necessary powers to an authorized and qualified clerk in order to draw up or sign off on any additional corrective actions to bring this act into line with the mortgage documents, cadastral plans or civil status.
