Direct Franchisee Agreement

Between

NetCreativeMind Solutions Private Limited

And

Swami Vivekanand Institute of Information & Technology

This Direct Franchisee Agreement is signed on 03-June-2013 between NetCreativeMind

Solutions Private Limited, a company incorporated under the Companies Act 1956 having its

registered office at 133 Ground Floor, Katwaria Sarai, New-Delhi-110016. Represented by its

COO, Mr. Manish Kumar, and

Hereinafter called the FIRST PARTY of the contract, which expression shall unless repugnant tothe context or meaning thereof include its successors and permitted assigns.

And

Swami Vivekanand Institute of Information & Technology, a trust having its registered office at

First Floor, Shahi Building, Cinema Road, Gorakhpur-273001. Represented by its Director, Mr.

Naveen Rungta

FIRST PARTY and SECOND PARTY are hereinafter called the Party or collectively the

Parties.

PREAMBLE

Whereas, the FIRST PARTY is engaged in the business of website development, training onguidelines for Indian Government Websites & General and Application Specific Computer IT

training, and

Whereas, the SECOND PARTY is engaged in the areas vocational and technical education in

Computer Technology, Management, Journalism, Public Relations and Mass Communication.

The SECOND PARTY is agreed to be the direct Franchisee.

And therefore all conditions as per the law of the land incumbent upon direct Franchisee will be

applicable to the second party.

Whereas the PARTIES have specialization in their area of work and are convinced on the

advantages of working together, and

Whereas, the PARTIES wish to avail services of the other party to offer end to end solution to

the departments/ministries of the Government of India, and other departments and

Now, therefore, in consideration of mutual premises and the mutual covenants here contained the

parties agree as follows:

DEFINITIONSThe following expressions shall have the meaning hereby assigned to them unless the context

would obviously require otherwise.

Contract means the projects undertaken by any of the party on behalf of both the parties and

which are mutually beneficial for both the parties as well as any contract amendment.

Contract Amendment, means a document duly signed by the Parties by which any alterations,

amendments or modifications to the terms and conditions of the Contract shall be introduced in

the Contract.

Service(s) means the work to be done by each PARTY.

Other capitalized expressions used in this Contract shall have the meanings respectively assignedto them elsewhere in this Contract.

Words indicating the singular only also included the plural and vice versa, where the context so

requires.

The headings of the Articles are for convenience only and shall not affect their interpretation.

CONTRACT VALIDITYThis DIRECT FRANCHISEE AGREEMENT is valid until and unless withdrawn by any of the

parties by giving in writing to the other party.

NOTICEAll notices required by this DIRECT FRANCHISEE AGREEMENT shall be furnished by hand

delivery, certified post telefax to the following addresses:

All notices shall only be effective on receipt

Either party may change its address by a notice to the other party in the manner set forth above.

LANGUAGEThe English language in which this DIRECT FRANCHISEE AGREEMENT is written shall be thelanguage to be used in all documents and correspondence related to the execution of this DIRECTFRANCHISEE AGREEMENT.

ORIGINALS OF CONTRACTThe parties in two originals have duly signed this DIRECT FRANCHISEE AGREEMENT and theparties have taken one each.
