General terms and conditions

A. General

1. DNV GL SE (DNV GL) is an independent organisation providing worldwide survey and technical certification services.

2. DNV GL acts impartially and objectively.

3. The right of interpretation of their technical Rules (e.g. GL Rules for Classifica-tion and Construction) rests with DNV GL alone.

4. The respective latest version of the General Terms and Conditions as well as the pertinent technical Rules are applicable to all services rendered by DNV GL, including those rendered within the scope of their statutory functions, even if no separate agreement has from case to case been reached regarding their applicability. Where contractual relations are established between DNV GL and any persons other than the client, the relevant technical Rules and the provi-sions of G.1. to 7. below shall also apply to such third parties.

5. The contract is made solely on the basis of the said General Terms and Condi-tions. No other terms shall apply, even if DNV GL accepts the contractual performance of the Client without protest.

6. DNV GL also provides technical analyses and consulting services.

7. The parties confirm that to the best of their knowledge they are not engaged in any business, including the carriage of any cargo, which would result for the other party or any of its subcontractors being in breach of any sanction or prohibition imposed by any State, Supranational or International Governmental Organisation, including EU Regulation 267/2012, by providing the services requested. In addition, DNV GL and the Client shall comply to the best of their ability with applicable anti-corruption laws.

B. Reservation Clause

1. No confirmation or certification (certificates) with regard to compliance of technical facts or products with the technical Rules issued by DNV GL must be given or issued by anybody other than DNV GL. Without relevant certificates being issued by DNV GL, no statements must be made to the effect that the product in question was manufactured in accord-ance with the Rules of DNV GL.

2. A confirmation given or certificate issued shall not release the client from his contractual obligations towards third parties. The maintenance of the validity of such confirmation or certificate, for example through the process of regular surveys in the case of ship classification, is the responsibility of the Client.

3. Certificates are issued by DNV GL subject to withdrawal at any time. The right of withdrawal may, for instance, be exercised in the event of adaptations of the technical Rules to the state of the art or of the client failing to comply in due time with conditions or instructions issued by DNV GL.

C. Scope and Performance

1. The kind and scope of services rendered by DNV GL are based on the relevant agreements concluded and always, in the absence of an express special agreement, on the Rules for Classification and Surveys applicable at the time of class inspections and/or surveys and, with respect to the review of construction documents, on the Rules for Construction of DNV GL applicable at the time the contract was made between the shipyard and the ordering party of the vessel. Safety-relevant changes to the Rules for Construction made after the date of the contract between the shipyard and the ordering party shall be taken into consideration. With respect to flag state inspections the relevant regulations shall apply.

2. It is the clients obligation to ensure that the services of DNV GL can be ren-dered smoothly and without delay. DNV GL shall, to the extent requested, be granted unrestricted access and the right of inspection. Any information, drawings, etc. required for performance of the functions and activities of DNV GL must be made available in due time.

3. Before DNV GL starts work, the client shall inform DNV GL about relevant safety issues and take all necessary safety-related measures to ensure a safe work en-vironment for the persons carrying out the work for DNV GL and shall comply with all legal and other safety regulations.

4. The Client acknowledges and consents to the fact that DNV GL may subcon-tract work related to this contract to subsidiaries of DNV GL. DNV GL is respon-sible for subcontracted work in accordance with the provisions of this contract.

5. DNV GL is only responsible for services it has delivered directly or through its subcontractors.

D. Confidentiality

DNV GL and the client mutually agree to safeguard confidential information. Confidential Information shall be information which is disclosed by one of the parties before or after the ordering date unless the information has been publicly accessible or available to the recipient without the obligation of confidential treatment prior to the receipt initiated by the disclosing party or has been developed independently by the recipient. DNV GL and the client will use the Confidential Information exclusively within the framework of their activity underlying these terms and conditions. Confidential Information shall only be provided to third parties with the prior written consent of the other party, however such prior consent shall not be required in the case of informa-tion provided to the respective subsidiary of DNV GL involved in the carrying out of the order or if applicable stipulations of the International Association of Classification Societies (IACS) require such discolsure. Further, the aforesaid duty of confidentiality shall not apply to the extent disclosure is made in ac-cordance with a statutory obligation under the applicable law, or to a person professionally bound by a duty of confidentiality, or in accordance with the obligations DNV GL has towards flag state administrations and other interna-tional organisations, in particular the right to unrestricted access and inspection of inspectors of the EU Commission, or on the basis of statute or international convention. Information acquired by DNV GL within the scope of these terms and conditions may be used by DNV GL as part of DNV GLs knowledge as far as this does not infringe any statutory intellectual property rights of the client. The duty to maintain confidentiality shall survive the end of the contract between DNV GL and the client.

E. Remuneration

1. Offered prices are net, except where VAT is expressly included.

2. For services rendered by DNV GL fees are to be paid in accordance with the tariffs of DNV GL or on the basis of the price quoted in the offer. In addition thereto, DNV GL will charge any extra expenses incurred in connection with the services rendered (e.g. travelling or other expenses and, where applicable, any value added/turnover tax).

3. Additional expenses, which are incurred, for instance, as a result of poor organisation on the part of the client or of repetition of tests and for which DNV GL is not responsible, will be charged separately at the respective current cost rates.

4. In the event an agreement is terminated by the Client prior to completion of the services it shall be presumed in accordance with 649, 3rd sentence of the German Civil Code that DNV GL shall be entitled to at least 10% of the remu-neration agreed in respect of those services which have not been provided.

F. Payment of Invoices

1. The fees for all services rendered by DNV GL are due for payment without deduction 14 days after the date of invoice. On default DNV GL is without prejudice to any other rights entitled to charge default interest, to withhold certificates and other documents and/or to suspend or revoke the validity of certificates.

2. DNV GL has a right of retention in respect of all claims (whether related or not) arising out of the business relationship, regardless of whether one or more ves-sels owned or managed by the client are affected.

3. Any rights of lien or retention in favour of the client, statutory or otherwise, are hereby excluded. Likewise excluded are any rights of set-off with clients counter-claims, unless such counter-claim is undisputed or has been finally adjudicated upon by the courts.

G. Liability

1. Liability of DNV GL for defects as to quality shall in the context of a contract for work and services (Werkvertrag) be limited to remedying such defects. In the event that this is unsuccessful, the client shall, in addition to his right as per 637 of the German civil code, have the right to claim a reduction in the contractual price or to withdraw from the contract.

2. Claims of the client for defects as to quality shall become time barred one year after acceptance by the client of the performance by DNV GL of its obligations, in so far as such defects shall not have been wrongfully concealed by DNV GL or caused by the wilful misconduct of DNV GL.

3. Furthermore, except in case of breach by DNV GL of a material contractual obligation, liability of DNV GL for a slightly negligent performance of its obligations towards the client shall be limited to five times the remuneration of the individual obligation to which the breach relates. This limitation of liability shall also apply to claims for damages by the client based on the tort of slight negligence. In the event of a slightly negligent breach by DNV GL of one of its material contractual obligations, the liability of DNV GL shall be limited to typi-cal contractual foreseeable damage. In the event of wilful misconduct or gross

negligence on the part of DNV GL, the liability of DNV GL shall be determined as provided for by law. This shall also apply to any case where DNV GL is strictly liable by law.

4. Personal liability of the organs of DNV GL or persons to whom DNV GL resorts to perform its obligations is excluded except in case of their wilful misconduct or gross negligence.

5. The attention of the client is expressly drawn to the fact that it has the possibil-ity of agreeing with DNV GL that the liability of DNV GL be extended beyond what is provided for in these General Terms and Conditions. However, such extension of liability is subject to the client demanding this of DNV GL, to the insurer of DNV GL accepting to take on such additional risk and to the client bearing any additional insurance cost associated with such increase in liability.

6. Claims for damages which are not claims for defects pursuant to paragraph 1 hereof, with the exception of tortious claims and/or claims brought under the German law on product liability, shall be time barred one year after acceptance by the client of the performance by DNV GL of the obligation in question, in so far
