Natural ozone concentration on the earth’s surface is considered to range between 0.010 and 0.050 ppm. (parts per million in volume) which reflects several scenarios (3,4,5). I. OBJETIVO Y JUSTIFICACIÓN DE ESTAS

REGLAS

El cumplimiento de lo establecido en la estipulación 7ª del Acuerdo de 26.03.07 entre YY y XX, requiere, entre otras actuaciones, la realización de los trabajos de verificación o comprobación comúnmente denominados duediligence, que son práctica habitual en este tipo de operaciones.

La due diligence será, en consecuencia, un trabajo de carácter instrumental que deberá permitir a YY y ZZ (las Partes), por medio de sus Bancos de Negocio y Asesores Legales, obtener el grado de satisfacción adecuada sobre el soporte documental de respaldo de los patrimonios a valorar y a integrar posteriormente en la NewCo.

Considerando la importancia de estos trabajos, el momento en el que habrán de realizarse, los alcances de dichos trabajos, y el carácter confidencial de determinadas informaciones que serán accesibles a las partes, se debe partir de una clara delimitación de los intervinientes en el proceso material de revisión, las condiciones de acceso al espacio físico habilitado o Data Room (DR) donde quedará disponible la documentación, todo lo cual aconseja disponer unas ciertas normas que garanticen:

I. OBJECTIVE AND JUSTIFICATION OF THESE RULES

Compliance with that established by the 7th stipulation of the Agreement of 03/26/2007 between YY and XX, requires, among other activities, a process of verification or auditing commonly called "due diligence", which is standard practice in this type of operation.

Therefore, due diligence will be a documenting process that will allow YY and ZZ (hereinafter, The Parties), through their investment banks and legal counsel, to reach an adequate degree of satisfaction regarding supporting documents which corroborate theassets to be appraised and later integrated into the resulting New Company.

Considering the importance of this work, a determination of the time-frame in which it will be carried out, the scope of such work, and the confidential nature of certain information which will be accessible to The Parties, should be based on a cleardefinition of the contracting parties which will be involved in the actual revision process and the conditions of access to the physical space provided or Data Room (Hereinafter, DR), where the documentation will be available. All of these considerations suggest the stipulation of certain regulations that garantee:
