Conversely, if utilization is substantively lower than demand, the contract contains a 30-day termination notice. It is proposed that the valet fee be set of $5 for 0-3 parking hours and $12 for parking from 3-10 hours. This recommendation is based on hourly parking data over the last few years, which show on average 78% of the hourly parking in Lake and Forest Garage is under 3 hours in duration, with about 52,000 parkers per year or approximately 166 cars per day (Mon – Sat) which utilize the garage for short term parking. Therefore, with the proposed fee structure, the cost of the valet contract will break even if an average of 83 cars per day utilize the service (which is roughly ½ of the current short term parking customers at the Lake & Forest Garage). Background On August 4, 2014 the Lake and Forest Garage will be closed in anticipation of a new parking garage to be built. According to agreements with the developer the construction of the new facility is to be completed within 12 months.

On July 1, 2014 the Village issued a Request for Proposals (RFP) for downtown valet parking services to provide an alternative option for area parkers during the 12 month construction of the new Lake and Forest Garage.

On July 10, 2014 the Village received four (4) responses for consideration. Staff reviewed the RFPs to determine the qualifications of the vendors, which included the responsiveness to the RFP and experience. During the review process, staff additionally met with representatives of Downtown Oak Park to obtain their recommendations related to fees and utilization. Staff determined that LAZ was the lowest qualified respondent and is recommending it as the valet parking operator.

It is anticipated that the valet parking services will be provided Monday through Friday during the day to help facilitate customers going to appointments in the area. It is proposed that the valet fee be set of $5 for 0-3 parking hours and $12 for parking from 3-10 hours. This recommendation is based on hourly parking data over the last few years, which show on average 78% of the hourly parking in Lake and Forest Garage is under 3 hours in duration, with about 52,000 parkers per year.

Alternatives The Village could elect not to provide a valet services while the Lake and Forest Garage is under construction.

LAZ Parking will appoint Stephane Adovleande, Director of Valet Operations, as acting manager and liaison to the Village of Oak Park and the Downtown Valet Service. Stephane’s experience and great customer service skills will undoubtedly serve the valet operation and the Village of Oak Park well.

Stephane will oversee the implementation and coordination of the Downtown Valet Service, and will be available to the Village of Oak Park on an ongoing basis to provide insight and recommendations regarding best practices and efficiencies.

In addition to Stephane, Alex Moreira, General Manager of Valet Operations, will also be available as an alternate contact for the Village of Oak Park, as well as LAZ Parking’s extensive support network of parking and administrative professionals. Tony DiPaolo Regional Vice President Based in Chicago Regional Office

Antonio (Tony) DiPaolo is the Regional Vice President for LAZ Parking’s Midwest regional office. Tony has been with LAZ Parking since 2005 and has overseen a variety of operations within the Boston, Washington, D.C., and currently, Chicago marketplaces. Since opening the Chicago Regional office in 2006, Tony and his team have established a successful region that includes the operation of 60-plus locations, including the dynamic operations of the Chicago Parking Meters and Millennium Garages. Tony has an MBA in Sports Management from the University of New Haven and a BS in Business Administration from the University of Northern Colorado.

Alex Moreira General Manager Valet Operations Based in Chicago Regional Office

Alex Moreira, who currently serves as General Manager of Valet Operations for LAZ Parking Chicago, joined the LAZ Parking family of companies in 2007 as an Account Manager, overseeing key residential and hotel properties with Ultimate Parking in Boston, MA. While with Ultimate Parking, Alex was responsible for the daily operations of his assigned portfolio, including managing a staff of 40-plus employees, creating and managing annual budgets and forecasts, executing operational audits, and collaborating with clients on creation and implementation of strategic marketing plans. Alex as GM of Valet Operations in Chicago, now oversees a staff of 20-plus managers and more than 300 frontline employees, who serve the 18 hotel and residential valet operations in Alex’s portfolio. Alex’s current responsibilities include creating and managing annual budgets and forecasts, monthly P&L statement reviews, annual employee evaluations, managing the CBA, and assisting with new business development. Alex graduated from Johnson & Wales University with a BS in Hospitality Management.

Stephane Adovelande

Director of Valet Operations Based in Chicago Regional Office

Stephane joined LAZ Parking in August 2011 as a Senior Manager, overseeing several of LAZ Parking Chicago’s most complex hotel valet operations, including the Hyatt Regency Chicago. Now in his current capacity as Director of Valet Operations, Stephane oversees a diverse hotel portfolio including 8 unique hotel valet operations, 12 managers, and over 100 valet employees. In addition to executing daily, weekly, and monthly revenue control audits and reports, Stephane develops, implements, and maintains various qualities of service and appearance standards for LAZ Parking’s hotel division. Stephane is a liaison to all of LAZ’s hotel valet operations and attends all weekly and monthly meetings to assist and coordinate upcoming events as well as implementing new hotel initiatives. Stephane has a Bachelor of Science in Business Administration from Northeastern Illinois University.

Sandor Dizes Controller, Management Accounting Based in Hartford, CT Office

Sandor joined LAZ Parking in 2011 and oversees LAZ Parking’s Management Accounting and Reporting team. He reports to Nathan Owen, CFO and is also involved in the financial and administrative support functions performed by our home office and regional teams. Sandor spent 12 years at two leading regional public accounting firms in the Hartford, CT market where he served as a manager providing business compliance and tax services primarily to closely-held, middle market companies. Prior to joining LAZ, he served as CFO of a private-equity backed 3rd party service provider of digital imaging repair services and reverse logistics for Big Box retailers and all leading OEM’s in the consumer electronics industry. Sandor and his team have been instrumental in developing sound accounting policies and procedures to ensure that client monthly reports are provided accurately and on time. He leads a team of 20 highly qualified accountants that service over 500 managed client locations located across the country. Sandor graduated from Bryant University in Smithfield, Rhode Island with Bachelor of Science in Business Administration with a concentration in Accounting. He is a Certified Public Accountant.

Maggie DiPaolo HR Manager Based in Chicago Regional Office

Maggie joined LAZ Parking in 2008, when she became the Midwest Region’s HR Manager, overseeing recruiting, training, local Union Collective Bargaining Agreement management and compliance, and other key responsibilities related to the regions 500-plus employee workforce. While with LAZ Parking, Maggie has had the opportunity to gain valuable experience with evaluating and training the existing and new employee bases that were acquired in several high-profile and complex transitions, including the Chicago Parking Meters and Ohio State University parking operations. Maggie’s experience and expertise would be well-served to a transition of an operation that is of the size and complexity as that of the parking operations at Northwestern Memorial Hospital. Maggie and her HR team are a major asset to LAZ Parking’s Midwest Region as it continues to evolve. She is able to recruit new talent, as well as provide existing employees with the knowledge and training they need to continue to grow within LAZ Parking. Maggie has a BA in Interdisciplinary Communications from Elmhurst College and is a certified PHR (Professional in Human Resources).

Carl Davis Assistant Regional Controller Based in Chicago Regional Office

Carl Davis joined LAZ Parking in 2010, originally as the Boston Region Operational Auditor performing operational audits in both the commercial parking and hospitality divisions. In 2013, he was promoted to Assistant Controller for the Midwest Region encompassing the Chicago area as well as the Denver market. In his current role, Carl ensures accuracy in reporting client financial information in a timely and accurate manner. He oversees the accounting and audit functions for the region and is responsible for the review of financial data from the field and from Staff Accountants. Carl graduated from Trevecca Nazarene University in Nashville, TN with a Bachelor of Science in Accounting & Computer Information Systems. He received a Master of Science in Accounting from Middle Tennessee State University and is a Certified Public Accountant.

The map below illustrates where LAZ Parking believes the best option for the valet stand to be, as well as our proposed options to be utilized for valet storage that will allow service levels to be maximized and wait times minimized.

The proposed valet stand is located directly in front of 1010 Lake St., which features an existing curb cut for on-street meter parking, and could be easily reassigned as a valet loading zone.

Our success at valet operations can be attributed to strategically staffing the proper mix of full and part-time staff that focuses on serving the residents of the property, as well as the resources and tools we provide our employees with to succeed.

We have included below a proposed staffing schedule based on the initial proposed hours of operation included in the RFP.

LAZ Parking has been at the forefront of implementing the latest technologies available at each property where valet can be added from both a service and financial control standpoint. All audits are reviewed with the on-site manager. If there are no issues the report is filed in the facility file. If there are issues, a list of recommendations is presented to the manager. If the recommendations have not been implemented, the report is reviewed and disciplinary action may be taken.

The objective of our Implementation Plan is to identify all transition initiatives for the parking operations associated with the Village of Oak Park Downtown Valet Service. Communication is the key to a smooth implementation. Our comprehensive plan ensures a smooth and timely transition. From the beginning, our local and remote teams will work with the Village of Oak Park to refine the timeline of the transition plan and begin to implement the action items. We utilize a regimented transition checklist to ensure every conceivable detail is covered and implemented prior to the transition date.

The implementation goal is to provide a seamless transition from a real and perceived standpoint. Our Transition Team members will work through a pre-opening checklist to develop action plans and standard operating procedures that accommodate all property needs. This systematic approach will ensure that our staff will be prepared to service the Village of Oak Park’s parkers with professionalism and efficiency from day one. Goals are more specifically identified as follows:

• Implementation is a Non-Event for parkers • Create a true partnership with the Village of Oak Park team. • Implementation is seamless • Maintaining revenue flow during transition • All personnel hired and trained prior to commencement (if needed) • No disruption in customer service

Upon Award of Contract

• Introduce the dedicated transition and Implementation team • Establish Clear Line of Communication with the Village of Oak Park • Established Timelines and Implementation Checklists • Prepare and discuss the proposed operating plan with all stake holders 30 days prior to

transition. • Order any needed supplies, tickets, phones, and change-over of existing technical services

(such as data and phone lines from pervious provider), etc. • Implement recruitment for all staff and accept resumes from existing employees

Our Commitment We understand and recognize the sensitivities regarding a transition of parking services. Because we fully acknowledge the adjustments and challenges of a transition, LAZ will take full responsibility and ownership of the process. We will provide the Village of Oak Park with our full commitment that we will do everything needed to ensure a smooth and successful transition. We will also lead the transition and keep the Village of Oak Park informed, step-by-step, of our progress. RESOLUTION

A RESOLUTION AUTHORIZING THE EXECUTION OF AN AGREEMENT WITH LAZ PARKING CHICAGO, LLC FOR VALET PARKING SERVICES

IN AN AMOUNT NOT TO EXCEED $120,000 IN THE VICINITY OF LAKE STREET AND FOREST AVENUE

BE IT RESOLVED by the President and Board of Trustees of the Village of Oak Park,

Cook County, State of Illinois (“Village”), in the exercise of their home rule powers, that the

Agreement with LAZ Parking Chicago, LLC for valet parking services in the vicinity of Lake

Street and Forest Avenue is approved at a base amount of $8,298 per month, in an amount

not to exceed $120,000 over a one (1) year period, and the Village Manager is authorized to

execute the Agreement in substantially the form attached.

THIS RESOLUTION shall be in full force and effect from and after its adoption and

approval as provided by law.

VALET PARKING SERVICES AGREEMENT THIS VALET PARKING SERVICES AGREEMENT (“Agreement”) is entered into this _____ day of _________________, 2014, between the Village of Oak Park, an Illinois home rule municipal corporation (hereinafter referred to as the “Village”), and LAZ Parking Chicago, LLC, an Connecticut limited liability authorized to transact business in the State of Illinois (hereinafter referred to as the “Operator”).

R E C I T A L S WHEREAS, the Village intends to have valet parking services performed by the Operator pursuant to the Operator’s Proposal dated July 10, 2014, attached hereto and incorporated herein by reference (hereinafter referred to as the “Operator’s Proposal”), the Village’s Request for Proposals, attached hereto and incorporated herein by reference (hereinafter referred to as the “RFP”), and this Agreement. NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth, the parties agree as follows: 1. SERVICES OF THE OPERATOR AND TERM OF AGREEMENT. 1.1. The Operator shall provide the services set forth in the Operator’s Proposal (hereinafter referred to as the “Services”) after receiving written authorization by the Village for one (1) year from the Effective Date of this Agreement, with an option to renew by the Village for an additional one (1) year period.

1.2. The Operator shall submit to the Village all reports, documents, data, and information set forth in Operator’s Proposal in a format customarily used in the industry. The Village shall have the right to require such corrections as may be reasonably necessary to make any required submittal conform to this Agreement. The Operator shall be responsible for any delay in the Services to be provided pursuant to this Agreement due to the Operator’s failure to provide any required submittal in conformance with this Agreement.

1.3. In case of a conflict between provisions of the Operator’s Proposal and the

Village’s RFP and/or this Agreement, this Agreement and the Village’s RFP shall control to the extent of such conflict. 2. COMPENSATION FOR SERVICES. 2.1. The Village shall compensate the Operator for the Services as set forth pursuant to the Operator’s Proposal. The Operator shall be paid not more frequently than once each month (“Progress Payments”). Payments shall be made within thirty (30) days of receipt by the Village of a pay request/invoice from the Operator. Payments shall be due and owing by the Village in accordance with the terms and provisions of the Local Government Prompt Payment Act, 50 ILCS 505/1 et seq., except as set forth herein.

2.2. The Village may, at any time, by written order, make changes regarding the general scope of this Agreement in the Services to be performed by the Operator. If such changes cause an increase or decrease in the amount to be paid to Operator or time required for performance of any Services under this Agreement, whether or not changed by any order, an equitable adjustment shall be made and this Agreement shall be modified in writing accordingly. No service for which additional compensation will be charged by the Operator shall be furnished without the written authorization of the Village.

2.3. The Operator shall, as a condition precedent to its right to receive a monthly

payment, submit to the Village an invoice accompanied by such receipts, vouchers, and other documents as may be necessary to establish costs incurred for all labor, material, and other things covered by the invoice and the absence of any interest, whether in the nature of a lien or otherwise, of any party in any property, work, or fund with respect to the Services performed under this Agreement. In addition to the foregoing, such invoice shall include (a) employee classifications, rates per hour, and hours worked by each classification; and (b) total amount billed in the current period and total amount billed to date.

2.4. Notwithstanding any other provision of this Agreement and without prejudice

to any of the Village’s rights or remedies, the Village shall have the right at any time or times to withhold from any payment such amount as may reasonably appear necessary to compensate the Village for any actual or prospective loss due to: (1) services that are defective, damaged, flawed, unsuitable, nonconforming, or incomplete; (2) damage for which the Operator is liable under this Agreement; (3) claims of suppliers, or other persons performing any Services pursuant to this Agreement; (4) delay in the progress or completion of the Services; (5) inability of the Operator to complete the Services; (6) failure of the Operator to properly complete or document any pay request; (7) any other failure of Operator to perform any of its obligations under this Agreement; or (8) the cost to the Village, including attorneys’ fees and administrative costs, of correcting any of the aforesaid matters or exercising any one or more of the Village’s remedies set forth in this Agreement. The Village must notify the Operator of cause for withholding within fourteen (14) days of the Village’s receipt of an invoice.

2.5. The Village shall be entitled to retain any and all amounts withheld pursuant

to this Agreement until the Operator shall have either performed the obligations in question or furnished security for such performance satisfactory to the Village. The Village shall be entitled to apply any money withheld or any other money due the Operator under this Agreement to reimburse itself for any and all costs, expenses, losses, damages, liabilities, suits, judgments, awards, attorneys’ fees, and administrative expenses incurred, suffered, or sustained by the Village and chargeable to the Operator under this Agreement. 3. TERMINATION. 3.1. This Agreement may be terminated, in whole or in part, by either party if the other party substantially fails to fulfill its obligations under this Agreement through no fault of the terminating party. The Village may terminate this Agreement, in whole or in part, for its convenience. No such termination may be effected unless the terminating party gives

the other party not less than thirty (30) calendar days written notice pursuant to Section 14 below of its intent to terminate. 3.2. If this Agreement is terminated by either party, the Operator shall be paid for Services performed to the effective date of termination, including reimbursable expenses. In the event of termination, the Village shall receive reproducible copies of drawings, specifications and other documents completed by the Operator pursuant to this Agreement. 4. INDEMNIFICATION. 4.1. The Operator shall, without regard to the availability or unavailability of any insurance, either of the Village or Operator, indemnify, save harmless, and defend the Village, its officers, employees, agents, and volunteers against any and all lawsuits, claims, demands, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees and administrative expenses, that may arise, or be alleged to have arisen, out of or in connection with the Operator’s performance of, or failure to perform, the Services or any part thereof, whether or not due or claimed to be due in whole or in part to the active, passive, or concurrent negligence or fault of Operator, but only to the extent caused by the negligence of the Operator or its respective employees. 5. INSURANCE. 5.1. The Operator must purchase and maintain for the term of this Agreement, the lines of insurance described in this section. All insurance coverage shall be on an occurrence basis. The Operator shall provide evidence of such insurance to the Village together with its proposal, and will provide evidence that the Village has been added as a named insured, where applicable, before commencement of the services and on an annual basis thereafter. Certificates of Insurance shall contain a clause stating that the coverage afforded by the policies listed will not be canceled or materially altered, except after forty-five (45) days advance written notice to the Village. The Operator shall secure the following endorsements to each of the required policies: "It is understood and agreed that the insurance company will give not less than forty-five (45) days advance written notice of any cancellation or material change under any of these policies to the Village of Oak Park. "In the event that such notice is not given to the Village of Oak Park at least forty-five (45) days prior to cancellation or material change, the policy will continue in full force and effect for the benefit of the Village as if such change or cancellation had not occurred." The limits of liability for the insurance required shall provide coverage for not less than the following amounts, or greater where required by law:

(a) Crime and Fraud Coverage Crime coverage such as that provided by Standard Financial Institution Bond Form 24. (b) Commercial General Liability: i. Coverage to include, Broad Form Property Damage, Contractual and Personal Injury. ii. Limits:

General Aggregate $ 2,000,000.00 Each Occurrence $ 1,000,000.00 Personal Injury $ 1,000,000.00 iii. Coverage for all claims arising out of the Operator’s operations or premises, anyone directly or indirectly employed by the Operator. (c) Workers’ Compensation: i. Workers’ compensation insurance shall be in accordance with the provisions of the laws of the State of Illinois, including occupational disease provisions, for all employees who perform work pursuant to this Agreement. In case employees engaged in hazardous work under this Agreement are not protected under said worker’s compensation insurance, the Operator shall provide adequate and suitable insurance for the protection of employees not otherwise provided. (d) Comprehensive Automobile Liability: i. Coverage to include all owned, hired, non-owned vehicles, and/or trailers and other equipment required to be licensed, covering personal injury, bodily injury and property damage. ii. Limits: Combined Single Limit $1,000,000.00 (e) Umbrella: i. Limits: Each Occurrence/Aggregate $2,000,000.00 (f) The Village, its officers, officials, employees and agents shall be named as additional insureds on all insurance policies set forth herein except Workers’ Compensation. The Operator shall be responsible for the payment of any deductibles for said insurance policies. The coverage shall contain no special limitations on the scope of protection afforded to the Village, its officers, officials, employees and agents.

5.3. The Village and the Operator agree to waive against each other all claims for special, incidental, indirect, or consequential damages arising out of, resulting from, or in any way related to the Project. 5.4. The Operator understands and agrees that any insurance protection required by this Agreement or otherwise provided by the Operator, shall in no way limit the responsibility to indemnify, keep and save harmless, and defend the Village as herein provided. 6. SUCCESSORS AND ASSIGNS/NO SUBCONTRACTING. 6.1. The Village and the Operator each bind themselves and their partners, successors, executors, administrators and assigns to the other party of this Agreement and

to the partners, successors, executors, administrators and assigns of such other party in respect to all covenants off this Agreement. Except as above, neither the Village nor the Operator shall assign, sublet, or transfer its interest in this Agreement without the written consent of the other. Nothing herein shall be construed as creating any personal liability on the part of any officer or agent of any public body that may not be a party hereto, nor shall it be construed as giving any right or benefits hereunder to anyone other than the Village and the Operator. 6.2. The Operator shall not subcontract any of the Services to be performed pursuant to this Agreement without the prior written approval of the Village. 7. FORCE MAJEURE. 7.1. Neither the Operator nor the Village shall be responsible for any delay caused by any contingency beyond their control, including, but not limited to: acts of nature, war or insurrection, strikes or lockouts, walkouts, fires, natural calamities, riots or demands or requirements of governmental agencies. 8. AMENDMENTS AND MODIFICATIONS. 8.1. This Agreement may be modified or amended from time to time provided, however, that no such amendment or modification shall be effective unless reduced to writing and duly authorized and signed by the authorized representative of the Village and the authorized representative of the Operator. 9. STANDARD OF CARE. 9.1. The Operator is responsible for the quality, timely completion, and coordination of all Services furnished or required under this Agreement, and shall endeavor to perform such Services with the same skill and judgment which can be reasonably expected from similarly situated entities in the valet parking industry. 9.2. The Operator shall promptly make revisions or corrections regarding its Services resulting from its errors, omissions, or negligent acts without additional compensation. The Village’s acceptance of any of Operator’s Services shall not relieve the Operator of its responsibility to subsequently correct any such errors or omissions, provided the Village notifies Operator thereof within one year of completion of the Operator’s Services. 9.3. The Operator shall respond to the Village’s notice of any errors and/or omissions within seven (7) days of written confirmation by the Operator of the Village’s notice. Such confirmation may be in the form of a facsimile confirmation receipt by the Village, or by actual hand delivery of written notice by the Village to the Operator.

9.4. The Operator shall comply with all federal, state, and local statutes, regulations, rules, ordinances, judicial decisions, and administrative rulings applicable to its performance under this Agreement.

9.5. The Operator shall give all notices, pay all fees, and take all other action that may be necessary to ensure that the Services are provided, performed, and completed in accordance with all required governmental permits, licenses, and other approvals and authorizations that may be required in connection with providing, performing, and completing the Services, and with all applicable statutes, ordinances, rules, and regulations, including, but not limited to, the Fair Labor Standards Act; any statutes regarding qualification to do business; any statutes prohibiting discrimination because of, or requiring affirmative action based on race, color, religion, sex, national origin, ancestry, age, order of protection status, marital status, physical or mental disability, military status, sexual orientation, or unfavorable discharge from military service or other prohibited classification, including, without limitation, the Americans with Disabilities Act of 1990, 42 U.S.C. §§ 12101 et seq., and the Illinois Human Rights Act, 775 ILCS 5/1-101 et seq. The Operator shall also comply with all conditions of any federal, state, or local grant received by the Village or the Operator with respect to this Agreement. 9.6. The Operator shall be solely liable for any fines or civil penalties that are imposed by any governmental or quasi-governmental agency or body that may arise, or be alleged to have arisen, out of or in connection with the Operator’s performance of, or failure to perform, the Services required pursuant to this Agreement or any part thereof. 10. DOCUMENTS AND BOOKS AND RECORDS. 10.1. Reports, examinations, information, observations, calculations, notes and any other reports, documents, data or information, in any form, prepared, collected, or received by the Operator in connection with any or all of the Services to be provided pursuant to this Agreement (“Documents”) shall be and remain the property of the Village upon completion of the project and payment to the Operator all amounts then due under this Agreement. At the Village’s request, or upon termination of this Agreement, the Documents shall be delivered promptly to the Village. The Operator shall have the right to retain copies of the Documents for its files. The Operator shall maintain files of all Documents unless the Village shall consent in writing to the destruction of the Documents, as required herein. 10.2. The Operator’s Documents and records pursuant to this Agreement shall be maintained and made available during performance of the Services under this Agreement and for three (3) years after completion of any Services. The Operator shall give notice to the Village of any Documents to be disposed of or destroyed and the intended date after said period, which shall be at least ninety (90) days after the effective date of such notice of disposal or destruction. The Village shall have ninety (90) days after receipt of any such notice to given notice to the Operator not to dispose of or destroy said Documents and to require Operator to deliver same to the Village, at the Village’s expense. The Operator shall maintain for a minimum of three (3) years after the completion of this Agreement, or for three (3) years after the termination of this Agreement, whichever comes later, adequate books, records and supporting documents to verify the amounts, recipients and uses of all disbursements of funds passing in conjunction with the Agreement. The Agreement and all books, records and supporting documents related to the Agreement shall be available for review and audit by the Village and the federal funding entity, if applicable, and the Operator

agrees to cooperate fully with any audit conducted by the Village and to provide full access to all materials. Failure to maintain the books, records and supporting documents required by this subsection shall establish a presumption in favor of the Village for recovery of any funds paid by the Village under the Agreement for which adequate books, records and supporting documentation are not available to support their purported disbursement. The Operator shall make the Documents available for the Village’s review, inspection and audit during the entire term of this Agreement and three (3) years after completion of the Project as set forth herein and shall fully cooperate in responding to any information request pursuant to the Illinois Freedom of Information Act, 5 ILCS 140/1 et seq. by providing any and all responsive documents to the Village.

10.3. The Operator shall furnish all records related to this Agreement and any documentation related to the Village required under an Illinois Freedom of Information Act (ILCS 140/1 et. seq.) (“FOIA”) request within five (5) business days after the Village issues notice of such request to the Operator. The Operator shall not apply any costs or charge any fees to the Village regarding the procurement of records required pursuant to a FOIA request. The Operator agrees to defend, indemnify, and hold harmless the Village, and agrees to pay all reasonable costs connected therewith (including, but not limited to reasonable attorney’s and witness fees, filing fees, and any other expenses) for the Village to defend any and all causes, actions, causes of action, disputes, prosecutions, or conflicts arising from the Operator’s actual or alleged violation of the FOIA, or the Operator’s failure to furnish all documentation related to a request within five (5) days after the Village issues notice of a request. Furthermore, should the Operator request that the Village utilize a lawful exemption under FOIA in relation to any FOIA request thereby denying that request, the Operator agrees to pay all costs connected therewith (such as reasonable attorney’s and witness fees, filing fees, and any other expenses) to defend the denial of the request. The defense shall include, but not be limited to, challenged or appealed denials of FOIA requests to either the Illinois Attorney General or a court of competent jurisdiction. The Operator shall defend, indemnify, and hold harmless the Village, and agrees to pay all costs connected therewith (such as reasonable attorney’s and witness fees, filing fees and any other expenses) to defend any denial of a FOIA request by the Operator’s request to utilize a lawful exemption to the Village. 11. SAVINGS CLAUSE. 11.1. If any provision of this Agreement, or the application of such provision, shall be rendered or declared invalid by a court of competent jurisdiction, or by reason of its requiring any steps, actions or results, the remaining parts or portions of this Agreement shall remain in full force and effect. 12. NON-WAIVER OF RIGHTS. 12.1. No failure of either party to exercise any power given to it hereunder or to insist upon strict compliance by the other party with its obligations hereunder, and no custom or practice of the parties at variance with the terms hereof, nor any payment under this agreement shall constitute a waiver of either party's right to demand exact compliance with the terms hereof.

12.2. This Agreement shall not prohibit the Operator from providing services to any other public or private entity or person. In the event that the Operator provides Services to a public or private entity or person, the Village, at its sole discretion, may determine that such Services conflict with a service to be provided to the Village by the Operator, and the Village may select another Operator to provide such Services as the Village deems appropriate. 13. THE VILLAGE’S REMEDIES.

13.1. If it should appear at any time prior to payment for Services provided pursuant to this Agreement that the Operator has failed or refused to prosecute, or has delayed in the prosecution of, the Services to be provided pursuant to this Agreement with diligence at a rate that assures completion of the Services in full compliance with the requirements of this Agreement, or has attempted to assign this Agreement or the Operator’s rights under this Agreement, either in whole or in part, or has falsely made any representation or warranty, or has otherwise failed, refused, or delayed to perform or satisfy any other requirement of this Agreement or has failed to pay its debts as they come due (“Event of Default”), and has failed to cure, or has reasonably commenced to cure any such Event of Default within fifteen business days after Operator’s receipt of written notice of such Event of Default, then the Village shall have the right, at its election and without prejudice to any other remedies provided by law or equity, to pursue any one or more of the following remedies:

13.1.1. The Village may require the Operator, within such reasonable time as may be fixed by the Village, to complete or correct all or any part of the Services that are defective, damaged, flawed, unsuitable, nonconforming, or incomplete and to take any or all other action necessary to bring Operator and the Services into compliance with this Agreement; 13.1.2. The Village may accept the defective, damaged, flawed, unsuitable, nonconforming, incomplete, or dilatory Services or part thereof and make an equitable reduction; 13.1.3. The Village may terminate this Agreement without liability for further payment of amounts due or to become due under this Agreement except for amounts due for Services properly performed prior to termination; 13.1.4. The Village may withhold any payment from the Operator, whether or not previously approved, or may recover from the Operator any and all costs, including attorneys’ fees and administrative expenses, incurred by the Village as the result of any Event of Default or as a result of actions taken by the Village in response to any Event of Default; or

13.1.5. The Village may recover any damages suffered by the Village as a result of the Operator’s Event of Default.

14.1. The Operator hereby represents and certifies that the Operator is not barred from contracting with a unit of state or local government as a result of: (1) a delinquency in the payment of any tax administered by the Illinois Department of Revenue unless Operator is contesting, in accordance with the procedures established by the appropriate revenue Act, its liability for the tax or the amount of the tax, as set forth in 65 ILCS 5/11-42.1-1; or (2) a violation of either Section 33E-3 or Section 33E-4 of Article 33E of the Criminal Code of 1961, 720 ILCS 5/33E-1 et seq. The Operator hereby represents that the only persons, firms, or corporations interested in this Agreement are those disclosed to the Village prior to the execution of this Agreement, and that this Agreement is made without collusion with any other person, firm, or corporation. If at any time it shall be found that Operator has in procuring this Agreement, colluded with any other person, firm, or corporation, then the Operator shall be liable to the Village for all loss or damage that the Village may suffer thereby, and this Agreement shall, at the Village’s option, be null and void and subject to termination by the Village. 15. ENTIRE AGREEMENT. 15.1. This Agreement sets forth all the covenants, conditions and promises between the parties, and it supersedes all prior negotiations, statements or agreements, either written or oral, with regard to its subject matter. There are no covenants, promises, agreements, conditions or understandings between the parties, either oral or written, other than those contained in this Agreement. 16. GOVERNING LAW AND VENUE. 16.1. This Agreement shall be governed by the laws of the State of Illinois both as to interpretation and performance. Venue for any action arising out of or relating to this Agreement shall be in the Circuit Court of Cook County, Illinois. 17. NOTICE. 17.1. Any notice required to be given by this Agreement shall be deemed sufficient if made in writing and sent by certified mail, return receipt requested, by personal service, by facsimile and by email to the persons and addresses indicated below or to such other addresses as either party hereto shall notify the other party of in writing pursuant to the provisions of this subsection: If to the Village: If to the Operator:

17.2. Mailing of such notice as and when above provided shall be equivalent to personal notice and shall be deemed to have been given at the time of mailing. 17.3. Notice by facsimile transmission shall be effective as of date and time of facsimile transmission, provided that the notice transmitted shall be sent on business days during business hours (9:00 a.m. to 5:00 p.m. Chicago time). In the event facsimile notice is transmitted during non-business hours, the effective date and time of notice is the first hour of the first business day after transmission. 18. HEADINGS AND TITLES. 18.1. The headings or titles of any provisions of this Agreement are for convenience or reference only and are not to be considered in construing this Agreement. 19. COUNTERPARTS. 19.1. This Agreement shall be executed in counterparts, each of which shall be considered an original and together shall be one and the same Agreement. 20. EFFECTIVE DATE. 20.1. As used in this Agreement, the Effective Date of this Agreement shall be the date that the Village Manager for the Village of Oak Park executes this Agreement as set forth below. 21. AUTHORIZATIONS. 21.1 The Operator’s authorized representatives who have executed this Agreement warrant that they have been lawfully authorized by the Operator’s board of directors or its by-laws to execute this Agreement on its behalf. The Village Manager and Village Clerk warrant that they have been lawfully authorized to execute this Agreement. The Operator and the Village shall deliver upon request to each other copies of all articles of incorporation, bylaws, resolutions, ordinances or other documents which evidence their legal authority to execute this Agreement on behalf of their respective parties. 22. EQUAL OPPORTUNITY EMPLOYER.

A. Introduction and Mandatory Terms

The Village of Oak Park (“Village”) serves an area of four and one-half square miles

located eight miles west of downtown Chicago. Oak Park has a population of 52,104

(based on 2010 Census). The Village’s population is diverse in income levels, age,

and professions with a stimulating mixture of racial, religious and ethnic groups. Oak

Park is a Home Rule community and operates under the Board-Manager form of

government, in which an elected legislative body, consisting of the President and a

Board comprised of six Trustees, hires a professional manager to oversee the day-to-

day operations of all governmental services and programs, and carry out the policy

directives set out by the elected officials.

The Village provides a multitude of services to its citizens in the form of police and

fire protection, street maintenance and construction, community relations, housing

programs, school crossing guards, traffic control, forestry, garbage collection, flood

control, health and human services, animal control, water and sewer, building and

code enforcement, economic development, and general administrative functions.

The Village has an annual budget in excess $112 million dollars and cash and

investments of $124 million dollars including two (2) pension funds. During the

fiscal year 2013, the Village expects to receive from various sources including but

limited to: State Income Tax, Motor Fuel Tax, Sales and Use Taxes, Municipal

Telecommunications Tax, Personal Property Replacement Tax, Local Liquor Tax, Real

Estate Transfer Tax, Utility Tax, Hotel/Motel Tax, Community Development Grants,

and other miscellaneous grants.

More detailed information on the government and its finances can be found in the

Village’s 2014 Budget and the Comprehensive Annual Financial Report (CAFR) for

the Year Ended December 31, 2012. The budget, CAFR and other pertinent

statements can be viewed at the Village’s website at http://www.oak-park.us/your-

government/finance-department.

The Village requests the services of a qualified valet parking services Operator to

provide valet services in the Village’s downtown area while the Village’s Lake and

Forest Garage is under construction.

The Village will receive responses Monday through Friday, 8:30 A.M. to 5:00 P.M. at

Parking and Mobility Services, Village of Oak Park, 123 Madison Street, Oak Park,

Illinois, 60302. Each service provider shall provide five (5) hard copies of their

response in a sealed envelope titled "RFP#14-113 Downtown Valet Parking

Services,” as well as one (1) softcopy via email.

Email submissions will be accepted until the close of business on July 10, 2014 at

5:00 pm. Submissions received after the submittal time may be rejected.

There is no pre-bid conference currently scheduled.

Responses will be reviewed and evaluated in private, and all information regarding

status will be kept confidential until a decision is made and a recommendation

provided to the Village Board for approval.

B. Presentation of Request for Qualifications

The Village reserves the right to select a short list of service providers at its own

discretion to present their qualifications, respond to questions, and supply

supplemental information.

C. Service Provider Notification

Service providers will be notified in writing of further questions and/or decisions.

D. Award of Contract

A contract or equivalent agreement may be executed once one or more respondents

are found to be qualified, a selection of the most qualified is determined by the

evaluation committee, and the Village Board approves of the award.

Any agreement with a selected Consultant must be reviewed and approved by the

Village Attorney, may be approved and authorized by the Village of Oak Park Board of

Trustees, and executed by the Village Manager. The Vendor is advised that Village

staff, other than the Village Manager, have no authority to sign agreements or modify

existing agreements on behalf of the Village and that any such agreements are null

and void.

E. Taxes Not Applicable

The Village as a municipality pays neither federal excise tax nor Illinois retailer’s

occupational tax.

F. Interpretation of the Request for Proposal Document

Any service provider in doubt as to the true meaning of any part of this document

may request an interpretation thereof from the Village or its representative. The

person requesting the interpretation shall be responsible for its prompt delivery. At

the request of the Service Provider or in the event that Village management deems

the interpretation to be substantive, the interpretation will be made by written

addendum duly issued by the Village.

In the event that a written addendum is issued, either as a result of a request for

interpretation or the result of a change in the requested RFP specifications initiated

by the Village, a copy of such addendum will be posted on the Village’s Website and

DemandStar.com. The Village will not assume responsibility for receipt of such

addendum. In all cases it will be the service providers' responsibility to obtain all

addenda issued.

G. Listing of Subcontractors and/or Subconsultants

In order that the Village may be assured that only qualified and competent

subcontractors and/or subconsultants will be employed on the proposed project,

each Service Provider shall submit with their response a list of subcontractors and/or

sub consultants who would be called upon to perform the work. The consultant shall

have determined to their own satisfaction that a listed subcontractor and/or sub

consultant has been successfully engaged in this particular type of work for a

reasonable length of time and is qualified both technically and financially to perform

that pertinent phase of the work for which they are listed.

H. Competency of Service Provider

No submission will be accepted from, or contract awarded to, any person, firm or

corporation that is in arrears or is in default upon any debt or contract. The Service

Provider, if requested, must present evidence of ability and possession of necessary

facilities, and financial resources to comply with the terms of the scope of services.

I. Subletting of Contract

No contract awarded by the Village shall be assigned or any part sub-contracted

without the Village’s written consent. In no case shall such consent relieve the

vendor from its obligations or change the terms of the contract.

J. Village Ordinances

The Service Provider will strictly comply with all Ordinances and codes of the Village

of Oak Park and laws of the State of Illinois.

K. Term of Agreement

The contract term shall be for a one year period from the effective date of the

agreement after which the Village will have the right to renew for two additional one

year agreements.

L. Payments

All invoices will be paid within 30 days of approval. Charges for late payments must

be in accordance with the Local Government Prompt Payment Act, 50 ILCS 505/1,

requiring a maximum interest penalty of 1% per month or portion thereof.

M. Termination for Non-appropriation of Funds

The Village reserves the right to terminate any multi-year agreement if the Village’s

Board of Trustees fails to appropriate funds for this purpose in any subsequent fiscal

year. All funds for payments after December 31st of the current fiscal year are

subject to Village’s appropriation for this purpose.

N. Service Provider Personnel Assigned to the Village of Oak Park Account(s)

The Village reserves the right to accept or reject any staff designated by the Service

Provider to manage the Village account(s). If no suitable replacement staff is

provided, the Village reserves the right to terminate the contract.

O. Confidentiality

The Service Provider shall keep the Village’s employee and all related data

confidential.

P. Insurance Requirements

The selected Service Provider must purchase and maintain for the length of the

contract, the lines of insurance described in this section. All insurance coverage

shall be on an occurrence basis. The Service Provider shall provide evidence of such

insurance to the Village together with its proposal, and will provide evidence that the

Village has been added as a named insured, where applicable, before

commencement of the services and on an annual basis thereafter. Certificates of

Insurance shall contain a clause stating that the coverage afforded by the policies

listed will not be canceled or materially altered, except after forty-five (45) days

advance written notice to the Village. The Service Provider shall secure the following

endorsements to each of the required policies: "It is understood and agreed that the

insurance company will give not less than forty-five (45) days advance written notice

of any cancellation or material change under any of these policies to the Village of

Oak Park. "In the event that such notice is not given to the Village of Oak Park at

least forty-five (45) days prior to cancellation or material change, the policy will

continue in full force and effect for the benefit of the Village as if such change or

cancellation had not occurred." The limits of liability for the insurance required shall

provide coverage for not less than the following amounts, or greater where required by

law:

(a) Crime and Fraud Coverage

Crime coverage such as that provided by Standard Financial Institution Bond

Form 24.

(b) Commercial General Liability:

i. Coverage to include, Broad Form Property Damage, Contractual

and Personal Injury.

ii. Limits:

General Aggregate $ 2,000,000.00

Each Occurrence $ 1,000,000.00

Personal Injury $ 1,000,000.00

iii. Coverage for all claims arising out of the Proposer's operations or

premises, anyone directly or indirectly employed by the Proposer.

(c) Workers’ Compensation:

i. Workers’ compensation insurance shall be in accordance with the

provisions of the laws of the State of Illinois, including occupational disease

provisions, for all employees who perform work pursuant to the contract, and in

case work is subcontracted, the Service Provider shall require each

subcontractor similarly to provide Workers’ Compensation Insurance. In case

employees engaged in hazardous work under this Agreement are not protected

under said worker’s compensation insurance, the Proposer shall provide, and

shall cause each sucontractor to provide, adequate and suitable insurance for

the protection of employees not otherwise provided.

(d) Comprehensive Automobile Liability:

i. Coverage to include all owned, hired, non-owned vehicles, and/or

trailers and other equipment required to be licensed, covering personal injury,

bodily injury and property damage.

ii. Limits:

Combined Single Limit $1,000,000.00

(e) Umbrella:

i. Limits:

Each Occurrence/Aggregate $2,000,000.00

(f) The Village, its officers, officials, employees and agents shall be named

as additional insureds on all insurance policies set forth herein except Workers’

Compensation and Professional Liability. The Service Provider shall be

responsible for the payment of any deductibles for said insurance policies. The

coverage shall contain no special limitations on the scope of protection afforded

to the Village, its officers, officials, employees and agents.

The Service Provider understands and agrees that any insurance protection required

by the contract or otherwise provided by the Service Provider shall in no way limit the

responsibility to indemnify, keep and save harmless, and defend the Village, its

officers, officials, employees and agents as herein provided.

Q. Hold Harmless and Indemnity

Notwithstanding any limitations or restrictions applicable to any insurance or bonds

required hereunder, the Service Provider shall defend, indemnify and hold the Village

of Oak Park and its officers, officials, employees, and agents harmless from and

against any and all liability, loss, damage, claim, payment or expense, including

attorney fees, which the Village or its officers, officials, employees, and agents may

incur resulting from or arising out of any error or omission in the performance of the

agreement by the Service Provider, including, without limitation, errors or omissions

in the handling, accounting for, or transferring of funds, or to work, services or

systems or products provided in the performance of the agreement by the Service

Provider or its employees, agents, servants, associates, contractors, subcontractors,

or assignees.

Section II. Specific Requirements

A. Scope of Work:

The Village requests the services of a qualified valet parking services Operator. The selected

Operator will provide all labor, supervision, equipment, materials and all other items

necessary to operate a high quality valet parking service in the Downtown area. The

proposed minimum valet parking service requirements are as follows:

1. Proposed Days and Hours of Operations: Monday thru Friday, 8:00 a.m. to 5:00 p.m.

CST. Increasing or decreasing days and times to accommodate for customer demand

may be proposed by the operator or Village and will be subject to Village Approval.

2. Valet Parking Location: In the general vicinity of Lake Street and Forest Avenue to be

mutually agreed upon by the Operator and the Village. A map of the general area is

depicted on Attachment I.

3. Parking Storage: Exclusive valet parking areas will be provided by the Village based

on the final location of the valet parking services. Potential parking areas have

identified in Attachment I.

4. Proposed Rate: The operator will charge customers a fee for valet services as

established by the Village in collaboration with the selected valet parking services

operator.

5. Valet Staff: Operator shall provide a staffing plan, an appropriate valet staff training

program and uniforms.

6. Marketing Program: The operator will cooperate with the Village in marketing efforts.

7. Customer Service: The selected valet services operator must respond immediately to

customer complaints and inquiries. Operator is expected to provide excellent

customer service to internal and external clients.

8. Proposed Performance Measures: The operator should retrieve a car within 15

minutes 80% of the time. A customer should wait no more than 5 minutes to drop off

the car 80% of the time.

9. Records and Reports: The operator will provide weekly reports by Tuesday of the

following service week, which include the following information:

the number of customers served each day of operation;

maintain accounting records of all income and expenses related to

revenue collection and provide a monthly summary to the City;

complaints received and the resolution of the complaint;

customer wait times for drop off and retrieving vehicles;

staffing levels for each day of service; and

documentation describing incidents or accidents.

If a Service Provider cannot meet any of the specifications, expectations or services

in Section II, or takes exception to any of the terms or conditions presented, these

exceptions should be distinctly noted in the appropriate sections. If no exceptions are

presented, the Village will assume full capabilities as described in Section II.

Section III. RFP Response Instructions

A. Proposal Format

Proposals should be prepared simply and economically, providing a straight-forward,

concise description of proposer capabilities to satisfy the requirements of this

request.

For your hardcopy submission, special bindings, colored displays, promotional

materials, etc., are not desired. If using tabs please ensure each tab is labeled with

more than simply a number or letter.

Emphasis should be placed on completeness, simplicity and clarity of content. All

proposal responses must be in the following format:

The desired information for each of these sections is described below.

1. Cover Letter

The cover letter should contain the name of the proposing Service Provider

(and/or third party vendors), the address of the proposing officer(s), and the

contact individual(s) authorized to answer technical, price, and contract

questions. Contact information should include telephone number, fax

number, mailing address, and email address. The cover letter must be signed

by a person or persons authorized to bind the proposer(s).

2. Table of Contents

The contents of the proposal shall be included in an index at the beginning of

the proposal and should include all contents and attachments.

3. Respondent Background

This section should include the full name and principal address of the

respondent. Include the state in which the vendor is incorporated to operate

and the date of incorporation if applicable.

The Village requests that proposing service provider set forth the names of a

designated account executive or relationship manager, as well as an

alternate. The designated account executives must have the authority to

make timely decisions in the normal course of business on their own. In

addition, describe the organization of any additional staff team which would

service the account. Provide a listing of the entire proposed staff team,

including name, title, and length of service with the vendor. Additional

qualifications and experience on similar accounts may be included.

4. Proposed Scope of Services

In addition to addressing the topics covered in this proposal with regards to scope of work and reports required, include any other pertinent information you feel will set you apart from other proposers.

If there are any services offered in addition to what the Village has requested

that may be of interest to the Village, please describe those in an additional

subsection at the end of your response to the scope of services.

5. Proposed Schedule of Implementation

Discuss the implementation effort and lead time that would be required to

establish the services requested in this RFP. Include the detailed steps

involved and your proposed schedule for meeting each step. Please also

provide detailed working assumptions as to what the schedule is based upon

such as availability of Village resources, etc.

6. References

Provide a list of client references of similar sized and/or municipal accounts

which the proposer has served over the past two years and is currently

serving. Provide no fewer than three references. Provide a contact person,

telephone number, and email address for each referenced customer.

7. Cost Proposal

All service providers must utilize Attachment II. Cost Proposal Form to officially

submit pricing information. Service providers may provide additional

documentation. However, evaluations will utilize Exhibit A to compare costs.

8. License to Provide Service in Illinois and Disclosures

Service providers shall provide an affirmative statement indicating that the

firm and all assigned key professional staff have any applicable licenses to

provide service in the State of Illinois.

the firm was involved in over the past five (5) years which dealt with the

Section IV. Proposal Evaluation

Proposals will be evaluated by Village staff. Evaluation will be based on criteria outlined

herein which may be weighted by the Village in a manner it deems appropriate. All proposals

will be evaluated using the same criteria and weighting. The criteria used will be:

A. Responsiveness to RFP

The Village will consider all the material submitted to determine whether the

Service Provider’s offering is in compliance with this RFP.

B. Ability to Perform Current and Projected Required Services

The Village will consider all the material submitted by each service provider,

and other relevant material it may otherwise obtain, to determine whether the

proposer is capable of and has a history of successfully completing contracts

of this type.

C. Experience and Relevant Knowledge

The Village will assess the experience and relevant knowledge of the

proposed dedicated team of personnel.

D. Financial Stability

The Village may conduct analysis to examine the respondent’s

creditworthiness, including capital adequacy, asset quality, management,

earnings, liquidity, and sensitivity to interest rate or market risk. This will be

assessed by internal staff and/or external rating services.

E. References

The Village may contact references directly to inquire about the quality and

type of services currently being provided to other customers.

F. Cost Proposal

The Village will evaluate aggregate services based on the overall cost effective

approach to providing the services requested in this RFP.

G. Optional Interviews and/or Site Visits

The Village may, at its sole option, conduct interviews and/or site visits as part

of the final selection process. Teleconferencing is an acceptable option.
