SUBJECT: AQUATIC CENTER EQUIPMENT MAINTENANCE
Recommended Action:
1. Approve a First Amendment to the Agreement with Knorr Systems, Inc. to
perform Equipment Maintenance Services at Aquatic Center that extends the
term one year and increases the contract amount by $ 50, 000 for a total
authorization of $ 81 , 210 since 2015; and
2. Authorize the City Manager to execute the First Amendment to the Agreement.
Fiscal Impact:
Regularly scheduled maintenance of the pool equipment is proposed to cost 51 ,623 permonth, or $ 19, 476 for FY 2016- 17.
Staff is also recommending including an additional $ 30, 524 in the contract amount forunforeseen equipment repairs that may become necessary outside of the regularscheduled maintenance scope. These are contingency funds budgeted that will only beutilized if staff authorizes the extra work.
Background:
The Aquatic Center construction was completed in 2009 and opened for its first full
season in 2010. During its first six years only minor maintenance and repairs were madeto the pool equipment. More significant equipment repairs and replacements were
necessary and completed during the past year to ensure the facility remains in safe andworking order. These items included the chemical controllers, chemical pumps, backwashfilters, heaters and exhaust fans.
Discussion:
In order to help protect the new and existing equipment staff is recommending to contractwith the equipment supplier, as the only local firm qualified to maintain the equipment, toprovide regular scheduled maintenance on all major equipment. Daily pool maintenancesuch as cleaning and chemical balancing will continue to be provided by Premier AquaticServices and C& R Pools as part of their existing contracts.

Regular preventative maintenance will help extend the life of the equipment, which has ahigh replacement cost. Any work recommended outside of the regular maintenance scopewill pe reviewed by staff and authorized as necessary to keep the pool operating properly.
Staff is recommending Council authorize staff to execute the amended agreement withKnorr Systems, Inc. in FY 16- 17 in an amount not to exceed $ 50,000, which includes both
the regular maintenance and extra work as authorized by staff.

FIRST AMENDMENT TO AGREEMENT FOR
EQUIPMENT MAINTENANCE SERVICES AT AQUATIC CENTER
1. PARTIES AND DATE.
This First Amendment to the Agreement for Equipment Maintenance Services at Aquatic
Center (" First Amendment") is entered into on the day of 20 by andbetween the City of Aliso Viejo ( hereinafter referred to as the " City") and Knorr Systems, Inc.hereinafter referred to as the " CONTRACTOR". City and Contractor are sometimes
collectively referred to herein as the " Parties."
2. RECITALS.
2. 1 Agreement. The Parties entered into that certain Agreement for Equipment
Maintenance Services at Aquatic Center dated September 18, 2015 (" Agreement").
2.2 First Amendment. The Parties now desire to amend the Agreement in order torenew the Agreement for an additional one-year term and to increase the total compensation
under the Agreement.
3. TERMS.
3. 1 Term. Pursuant to Section 3. 1. 2 of the Agreement, the City hereby exercises theoption to renew the Agreement and extend the term of the Agreement for one year from July 1,2016 to June 30, 2017, unless earlier terminated as provided in the Agreement.
3. 2 Scope of Services. The Agreement is hereby amended to include the scope ofservices set forth in Exhibit" A," attached hereto and incorporated herein by reference.
3. 3 Compensation. Contractor shall receive compensation, including authorizedreimbursements, for all Services rendered under this First Amendment at the rates set forth in
Exhibit " B" attached hereto and incorporated herein by reference. The total compensation forthe Services provided pursuant to this First Amendment shall not exceed Fifty ThousandDollars ($50, 000) without written approval of the City Manager. The total compensation for theServices provided pursuant to the Original Agreement and this First Amendment shall not
exceed Eighty One Thousand Two Hundred Ten Dollars ($81, 210).
3. 4 Declaration of Political Contributions. Prior to the City' s approval of thisAmendment, Contractor shall submit to City a statement in writing declaring any politicalcontributions of money, in-kind services, or loan made to any member of the City Council withinthe previous twelve-month period by the Contractor and all of Contractor' s employees, includingany employee( s) that Contractor intends to assign to perform the Services described in thisAgreement.

3. 5 Remaining Provisions of Agreement. Except as otherwise specifically set forth inthis First Amendment, the remaining provisions of the Agreement shall remain in full force andeffect.

Ancillary chemicals should be available on an as needed basis in order to maintain proper water balance, such as sodiumbicarbonate and calcium chloride. Knorr Systems is able to provide these chemicals, please contact us for a quote.
This proposal includes labor, materials, testing equipment, travel and standard parts necessary to perform the statedscope of work. It does not include any additional parts or labor if other repairs or equipment replacement is required. Anyadditional materials or work will be quoted as applicable.
