Structuring private equity and venture capital investmentsPrivateequityinLatinAmericahasgrownconsistentlyinrecentyears.Interest in the region is high compared to developed countries, presenting an optimistic picture for the years to come. The industry is maturing rapidly: there are more local funds ready to invest, while foreign investors arechangingtheirrolefrominvolvement-freeinvestorsseekingcheapmultiples, to more committed investors willing to participate actively in the company after the deal is secured. However, there are still many limitations including restricted level of leverage, lack of diversity in the financial products, underdeveloped capital markets and difficulty in exiting. Latin American lawyers are a key factor in bringing the right expertise and the right tools to structure the deals, develop the business and secure effective exit strategies.

Labour court decisions: a new source of law in civil law countries?In many Latin American countries, the number of labour lawsuits has recordedasubstantialgrowth,whichresultedinthebirthoftheso-called‘labourlawsuitindustry’.Thislitigationareaischaracterisedbythefactthatcourts base their decisions on the previous rulings they, or a different court has issued. This increased use of case law represents a major change in civil law countries.This panel will present the latest trends in labour court decisions and will examine whether case law has stepped up to become a new source of law. A training programme presented by the IBA Latin American Regional Forum on its 20th anniversary, supported by universidad de Montevideo (uM)

Experienced legal practitioners from different Latin American countries will address issues relating to commercial contracts,

such as the importance of including ‘standard’ clauses and the consequences of badly-worded contracts.

The training session will also include a strategy for young lawyers on how to benefit from membership of an international

legal organisation such as the IBA.

IBA Latin American Regional Forum overviewTheLatinAmericanRegionalForumcoversallcountriesinLatinAmericaaswellasMexico,PuertoRicoandSpanish-speakingareasoftheCaribbean.TheForumprovidesafocusforallactivitiesintheregion.Thegrouporganises sessions at IBA conferences and in particular has been instrumental in ensuring that a Latin American perspective is addressed during relevant special sessions. The Forum is closely affiliated with the North American Forum as the regions are geographically adjacent and share many issues.
