SECOND SUPPLEMENTAL AGREEMENT

This PALM PARKWAY TO APOPKA-VINELAND CONNECTOR ROADSECOND SUPPLEMENTAL AGREEMENT (this "Second SupplementalAgreement"), effectiveas of the latestdate of execution (the"EffectiveDate"),ismadeand entered intoby and among DARYL M. CARTER, not individuallybut as Trusteeunder a Florida land trustknown and designated as "CARTER-ORANGE 105 SANDLAKE LAND TRUST" (the "Trust"),created pursuant to Section 689.071, Florida

WHEREAS, Kerina, Inc.,SLI, and the County are partiesto that certainPalm

Parkway to Apopka-Vineland Connector Road Supplemental Agreement, a copy ofwhich isrecorded at OfficialRecords Book 8387, Page 3525, of the Public Records of

Orange County, Florida;and

WHEREAS, on April 10, 2008, SLI conveyed itsright,title,and interestin theSLI Property to Carter,pursuant to thatcertainGeneral Warranty Deed, a copy of whichisrecorded at OfficialRecords Book 9657, Page 2821, in the Public Records of OrangeCounty, Florida,

WHEREAS, on March 12,2009, Kerina,Inc.conveyed a portionof itsright,title,and interestin the Kerina Property to Kerina Wildwood, Inc.,a Florida corporation;Kerina Village,Inc.,a Florida corporation;Kerina Loop, Inc.,a Florida corporation;Kerina Palms, Inc.,a Florida corporation;Kerina Parkside,Inc.,a Florida corporation;Kerina Schoolside,Inc,a Floridacorporation;Kerina Woods, Inc.,a Floridacorporation;Kerina Parkside Master, Inc.,a Floridacorporation;and Kerina Fish Lake, Inc.,a Florida

corporation,pursuant to those certainSpecial Warranty Deeds, copies of which arerecorded at OfficialRecords Book 9846, Page 0315, Page 0270, Page 0204, Page 0234,Page 0250, Page 0166, Page 0130, Page 0325, and Page 0321 in the Public Records of

Orange County, Florida,allof which are related,eitherdirectlyor indirectly,to Kerina,Inc.;and

WHEREAS, Kerina Village, LLC is the successor by conversion to Kerina

Village,Inc.and isthe only Kerina entitythatisaffectedby thisSecond SupplementalAgreement; and

WHEREAS, ithas taken longer than originallyanticipatedforCarter and Kerinato fileand process those certainapplicationsfor vacations of rights-of-wayas more

particularlydescribedin Section 18.1 of the Connector Road Agreement, and the partiesto this Second Supplemental Agreement now mutually desire to amend the terms

regarding the timing of the vacation,as well as the terms granting certaineasements

benefitingOrange County for underground utilitieswithin the right-of-waythatwillbe

vacated;and

WHEREAS, Hannah L. Smith executed a joinder and consent to the ConnectorRoad Agreement, and has also executed a joinder and consent to this Second

Supplemental Agreement, for the sole and limited purpose of agreeing to convey toCarterallof her right,title,and interest,ifany, in and to the Fenton StreetMissing Link,which is more particularlydescribed in Subsection 18.1 of the Connector Road

Agreement.

NOW THEREFORE, in considerationof the covenants and agreements containedhereinand forothergood and valuableconsideration,thereceiptand sufficiencyof whichare hereby acknowledged, the partiesto thisSecond Supplemental Agreement agree asfollows:

Section 1. Recitals. The foregoing Recitalsare true and correctandare included as partof the terms and provisionsof thisSecond Supplemental Agreement.All capitalizedterms used herein without definitionshallhave the meanings ascribedtheretointhe Connector Road Agreement.

Section2. Vacation, Release, or Exchange of Right-of-Way. The

County hereby agrees to waive the followingrequirements setforthin Section9.1 of theConnector Road Agreement:

9.1 In the event the County electsto vacate the East-West Segment of

Fenton Street,the vacation ordinance shallhave an effectivedate of June

23, 2007 and shallreserveforthe County's benefitan underground utilityeasement twenty (20) feetin width, extending eastfrom the centerlineofthe Granby Street right-of-way to connect with the reserved utilityeasement in the Fenton StreetMissing Link. In the event the Countyelectsto vacate the Fenton StreetNorth-South Segment, such vacationshalltake effectimmediately upon the County's approval of the vacationordinance. In the event the County electsto vacate Granby Street,thevacation shalltake effectimmediately upon the County's approval of thevacation ordinance, and the vacation ordinance shall reserve for the

County's benefit an underground utilityeasement twenty (20) feet inwidth and with ten (10) feetof such easement to be locatedon each sideofthe existingcenterlineof the Granby Streetright-of-way.

In exchange for waiving the above referenced requirements,the partiesto this

Supplemental Agreement hereby agree to the followingprocesses:

In the event the County electsto vacate the above referenced rights-of-way, such vacations shall be approved simultaneously. Prior to the

hearingon the vacation,Carterand Kerina shalleach delivertothe Countyexecuted documents grantinga non-exclusive utilityeasement from their

respectivepropertiesas described and depicted on Exhibit 14 attachedhereto and incorporatedherein. The aforementioned easements shallberecorded and take effectimmediately following the vacationof the rights-of-way. The locationsof the easements are depicted on Exhibit 14 andhave been approved by Carter,Kerina,and the County.

Section3. Exchange of Smith-Bennett Road and Conveyance ofFenton Street Missing Link. The County hereby agrees to waive the followingrequirementssetforthin Section 18.1 of the Connector Road Agreement:

Kerina, SLI and Hannah L. Smith, who has joined in this Agreementexpresslyfor the purpose of acknowledging the conveyance commitmentset forth in this Subsection 18.1, shall convey to the County their

respectiveownership interestsinthe feetitleto a thirty(30)footwide stripof land more particularlydepicted and described on Exhibit 10 attached

hereto and incorporatedherein (the"Fenton StreetMissing Link"). Thedeeds conveying the Fenton StreetMissing Link shallcontain a rightofreverterthat shalltake effecton June 23, 2007 for allof the County'sinterestin the Fenton StreetMissing Link except thatthe County shallreserve for the County's benefitan underground utilityeasement twenty(20) feetin width extending in an east-westdirectionforthe entirelengthof the Fenton Streetmissing Link at a locationacceptableto the OrangeCounty UtilitiesDepartment Director,SLI and Hannah L. Smith.

In exchange for waiving the above referenced requirements,the partiesto thisSecond Supplemental Agreement hereby agree to thefollowingprocesses:

Hannah L. Smith, who has joined in thisSecond Supplemental Agreementexpresslyforthe purpose of acknowledging her conveyance commitmentsetforthin thisSection 3, shallconvey to Carterallof her right,title,and

interest,ifany, in and to a thirty(30) footwide stripof land depicted anddescribed on the Amended Exhibit 10 attached hereto and incorporatedherein (the"Fenton StreetMissing Link") by Quit-Claim Deed within ten

(10) days of the EffectiveDate of thisSecond Supplemental Agreement,which conveyance by Hannah L. Smith shall be without covenant,warranty,representation,or recourse. Carter shallbe responsiblefor thecosts associated with recording the deed, as well as attorneys' feesassociatedwith the conveyance. In considerationof the County's vacationof Fenton StreetEast-West Segment, Granby Street,the Fenton StreetNorth-South Segment, and the Smith-Bennett Connector, Carter andKerina shalleach grantthe County a utilityeasement, as more particularlyset forth in Section 2 of this Second Supplemental Agreement, in

substantiallythe same form that is attached to the Connector Road

Agreement.

Section4. Recordation. This Second Supplemental Agreement shallbe recorded in the Public Records of Orange County, Floridawithin thirty(30) days ofthe EffectiveDate. Carterand Kerina hereby agree to each pay one-halfof the recordingcosts.

Section5. No Other Modifications. Except as expressly modified

hereby, allof the terms, covenants, provisions and conditions of the Connector Road

Agreement and the Supplemental Agreement shallremain in fullforce and effectinaccordance with their terms and are hereby ratifiedand confirmed and cannot bemodified unlesssaidmodificationsareproduced in writingand signed by alltheparties.
