SECTION A- INVITATION FOR BIDS
1. INVITATION FOR BIDS
1.1. Allahabad Bank, established in 1865, was nationalized in the year 1969 and is a leading public sector
undertaking listed in BSE/NSE, hereinafter called “The Purchaser” or “Bank”. which term or
expression unless excluded by or repugnant to the context or the meaning thereof, shall be deemed to
include its successors and permitted assigns, intends to issue this Bid document, hereinafter called
Request for Empanelment, or “RFE”, for Empanelment of software development firms to support
Bank’s in-house software development and maintenance in Allahabad Bank. The Bank has
implemented Core Banking Solution B@ncs24, with TCS as the Systems Integrator for the project. The
Bank’s Data Centre (DC) is at M/s CtrlS Data Centres Limited, Plot No EL -72/1/A, TTC Industrial Area
MIDC, Mahape, Navi Mumbai-400701, Disaster Recovery Site (DRS) is at 3rd Floor, Zonal Office
Building Hazratganj, Lucknow (U.P.) 226001 and various NAPs are spread across the Country. Bank
has 3300+ branches / offices spread across India.
1.2. Allahabad Bank intends to empanel bidders for Software Development and customisation in Bank. The
broad scope of the project envisages design, documentation, development, installation, customization,
parameterization, implementation and maintenance of application software/web portal/ mobile
application, etc. The scope also includes installation/reinstallation, configuration/re-configuration and
maintenance of system software, database, interfaces etc. at various locations of the Bank for a period
of three (3) years, along with complete handover of the software product with source code and related
documents as well as training to Bank’s designated personnel. This ‘RFE’ shall be the single point of
reference for all points pertaining to this stated requirement.
1.3. The Bank invites bids from reputed skilled IT firms/Software Service Providers/ Software development
firms (hereinafter referred to as ‘Bidder’ or ‘Vendor’) for the proposed scope of work and Bank’s
requirements. The material and services that is sought to be procured, installed and maintained via this
empanelment should ensure satisfactory delivery of application software. The Bidder would be the
single point of contact for the Bank as sub-contracting to third party is not permissible.
1.4. This enquiry is in the nature of Request for Empanelment (RFE) intended to result in the selection of a
panel of software bidders. The responses received pursuant to this RFE will be evaluated as per the
criteria specified in this document and the qualified bidders will be placed on the panel. Empanelled
bidders will be invited, as and when work arises in the Bank, to submit their Proposals based on
detailed scope of work of the project on a case-to-case basis.
1.5. A complete set of RFE documents may be purchased by interested Bidders on the submission of a
written application, from Allahabad Bank, Head Office, 2nd Floor, Information Technology & Digital
Banking, 2, Netaji Subhas Road, Kolkata – 700 001, India upon payment of non-refundable fee of

INR 20,000/- (INR Twenty Thousand only) in the form of Demand Draft or Banker’s Cheque drawn on
any scheduled bank in favour of ‘Allahabad Bank’, payable at Kolkata. Only those Bidders, who
purchase the RFE in their names, will be eligible for submission of bid.
1.6. The bidder may download the RFE documents from bank’s official web-site : www.allahabadbank.in

1.7. The RFE can also be obtained from the following address during office hours on all working days
during RFE sale period between 10.00 A.M. to 5.00 P.M, either in person or by post.

1.8. This tender is not transferable. Only the Bidders who have officially purchased this tender document
shall be entitled to quote, subject to their fulfilling the eligibility criteria.
1.9. The bidders who have received the RFE through mail / downloaded and want to participate in the
bidding process must pay a fee of Rs.20,000.00 (Rupees Twenty Thousand Only), towards cost of the
bid document, in the form of Demand Draft or Bankers Cheque, payable in favour of ‘Allahabad Bank’,
payable at Kolkata.

1.11. In this RFE, the bidder is required to submit Technical bid in physical form along with other bid
documents mentioned herein. The original RFE (and addendums if any) needs to be signed and
stamped by the Bidder and has to be submitted along with the Technical Bid.
The Bidder has to submit soft copy of the complete Technical Bid and Compliance to Eligibility Criteria
in Microsoft Office / Open Office format on CD / DVD along with the hard copy..
1.12. All Technical Bids must be accompanied by a Bid Security for INR 2,00,000/- (INR Two Lac only) as
specified in Annexure-05 and must be delivered at the above office on or before specified date and
time indicated above. This security will remain in force up to and including 60 days after the period of
the bid validity.
1.13. MSEs (Micro and Small Enterprise (MSE) are exempted from paying the application money
and Earnest Money deposit amount for which the concerned enterprise needs to provide
necessary documentary evidence. For MSEs, the provisions as per Government of India shall be
considered while evaluating the tender.
1.14. Each Bidder is eligible for submitting only one Bid per category in response to this RFE.
1.15. Technical Bids will be opened in the presence of the Bidder’s representatives who choose to attend
on the specified date and time. The names of the technically qualified bidders who fulfil the eligibility
criteria as well as technical specifications will be notified separately for empanelment.
1.16. No further discussion/ interface will be granted to Bidders whose bids have been disqualified.
1.17. Allahabad Bank reserves the right to accept or reject in part or full any or all the offers without
assigning any reasons whatsoever
1.18. In case of any discrepancy noticed within the RFE at a later stage, the discretion of the Bank shall
prevail and be binding on the Bidder.
1.19. Disclaimer
1.19.1. The RFE document is not a recommendation, offer or invitation to enter into a contract, agreement
or any other arrangement in respect of the services. The provision of the services is subject to
observance of selection process and appropriate documentation being agreed between the Bank

and any successful Bidder as identified by the Bank after completion of the evaluation process
detailed in the RFE.
1.19.2. While this section is a Preface to the entire document, the following sections are meaningfully
segregated for better understanding of the document. The section headings or any other headings
do not have any contractual sequence and the submission of responses should be based on the
total understanding of the document.
1.19.3. The responses should be comprehensive enough to cover the requirements envisaged in the
document and all supporting Annexure. The Bidder is advised to consult the RFE document and all
its supporting Annexure to arrive at a solution for proposing to the Bank, and in developing technical
responses.
1.19.4. The RFE for all intents and purposes is final. However, Bank reserves the right to bring about any
changes in requirements / scopes and the same will be communicated to the Bidders well in
advance so as to allow the Bidders sufficient time to prepare their proposal.

SECTION B- INSTRUCTION TO BIDDERS (ITB)
2. ABOUT ALLAHABAD BANK
2.1. Allahabad Bank (‘the Bank’) was established on 24th April 1865 in Allahabad. In the year 1969, the
Government of India nationalized 14 commercial banks and Allahabad Bank was one of them. For
operational convenience, the Head Office of the Bank was shifted from Allahabad to Kolkata in 1923.
2.2. The Bank is a leading Public Sector Commercial Bank based in India. The Bank offers a range of
financial services including cash management services, depository services, corporate agency
arrangements, visa debit cum ATM card, bank assurance and mutual fund, Real Time Gross
Settlement, Unified Payment Interface, Gold Card scheme for exporters, National Electronic Fund
Transfer (NEFT), Government Business, Credit Card business (proposed) and online payment. The
bank operates through four business segments, namely, Treasury, Corporate / Wholesale Banking,
Retail Banking, and Other Banking.
2.3. As on Dec. 31, 2017, the Bank has a network of around 3248 Domestic Branches, 8 FGM Offices, 49
Zonal Offices, 6 Staff Colleges and 77 other offices, spread all over the country. The Bank also has an
Overseas Branch at Hong Kong.
2.4. The Bank has Core Banking Solution Office (CBSO), Data Center (DC) & Near Disaster Recovery Site
(Near DR) in Navi Mumbai, IT Innovation Centre (ITIC) in Kolkata and Disaster Recovery Site (DRS) in
Lucknow.
The CBS implementation of the Bank was completed on 18th December 2010. The CBS software is
Bancs24, supplied and maintained by M/s Tata Consultancy Ltd (TCS). Core Infrastructure for the
Centralized Banking Solution is hosted at the Data Center (DC) and Disaster Recovery Site (DRS). DC
& DRS are operational on 24 x 7 basis and have necessary infrastructure in place.
2.5. The point to point replication is done directly at DRS from DC. The data at DRS is not more than 15
minutes (Recovery Point Objective) behind the production data at DC. In case of disaster, the DRS can
be up and running within 4 hours (Recovery Time Objective). The above mentioned CBSO/ DC/
DR/NDR are for Bank’s Indian operations. Synchronous replication is done between DC and Near DR
with zero data loss.
2.6. The Bank has one wholly owned subsidiary All Bank Finance Ltd, One RRB – Allahabad U.P. Gramin
Bank, and two JVs ASREC & Universal Sompo General Insurance Co. Ltd.
2.7. The Bank will open branches, offices from time to time & may also promote/acquire Associates/JVs as
and when required.

3. INTRODUCTION
3.1. Background
3.1.1. Application software development and customization are ongoing processes in the Bank to meet its

3.1.2. These new requirements / changes require domain expertise in the latest technologies and existing
application software products are also subjected to major changes due to frequent change
requirements received from business departments.
3.1.3. In view of dynamic changes in the Banking sector, it has been felt that a strong software development
set-up should be available to Bank for proficient handling of new business requirements within
stipulated time frame.
3.2. Objective
3.2.1. Bank intends to engage skilled IT firms to cater the time to time requirement of new application
software developments, customisations in the existing software products.
3.2.2. The bidders empanelled through this process will be required to carry out Bank’s software
development / customization activities. However, whether to carry out the software/ mobile/ Web
portal application development/ customization work, in any of the areas, by using the services of
empanelled Bidder(s) or not, will be the decision of the Bank and will be binding on the Bidders.
Therefore, the empanelled bidders will have to ensure continued availability of professionals for the
period of empanelment/ during project assigned.
3.2.3. The software should be customized to suit the entire need of the Bank and to provide end to end
solution for any requirement/change in Allahabad Bank as per Terms & Conditions, Technical
specifications and Scope of Work mentioned in the RFE.
3.2.4. The source code including DLLs, images, library files, database dictionaries, associated documents
should be satisfactorily handed over to our in-house development teams for maintenance and change
management. The copyright of the software would remain with the Bank.
3.2.5. All the empanelled vendors would sign a non-disclosure agreement, in addition to an undertaking that
the software developed by their professionals for our Bank would not be used by them for any other
purpose.
3.2.6. Empanelment will be done under 2 (Two) categories based on the project nature and estimated cost
involved in software developments/customization as depicted below:-
Category A - Upto Rs 35 Lacs (Projects of transactional (online, off-line, batch processing)
nature, closely integrated to CBS application etc)

Category B - Upto Rs 10 Lacs (Projects like MIS, Reporting, Web portals, mobile apps etc.,
which will not carry out any financial transactions).
The top five Bidders based on the eligibility and technical scoring will be selected for empanelment in
each category. Number of bidders in each category may vary at the discretion of the Bank.
3.2.7. The empanelled Vendors for Category “A” will be also eligible to carry out development work for
category “B”, subject to company should have the development & maintenance centre at Kolkata.
Note: If any Bidder applying for Category “A” wishes to apply for “Category B” then the Bidder should
mandatorily comply with Point No F, Clause 4 (Additional Eligibility Criteria for Category B), which
mentions that the Bidder must have a development centre and technical support centre in Kolkata
and also submit relevant documents supporting the claim.
3.2.8. Bidder has to explicitly specify the category for which he is submitting his Bid for empanelment as
part of Annexure-2.
3.2.9. The above categorization may be modified / reviewed by the Bank at any time as per requirements
of the Bank.
3.2.10. The empanelled Vendors will be eligible to participate in the closed RFE process issued by the Bank
to carry out software development/customization work, only if they have specific skills in the area for
which the development/customization work will be initiated.
3.2.11. In view of above, Bidders are requested to specify their detailed technical skills in Annexure-18. The
vendors may not be considered for the specific work, if the skill set is not available with the Vendor
as per information provided in Annexure-18.
3.2.12. Bank at its discretion, may call for commercial quotations from Category B bidders for Category A
work also depending on the Bidder competency
4. ELIGIBILITY CRITERIA
Bidders are expected to meet the following eligibility criteria for different categories and submit the
relevant documents as per Annexure-3 and 4. Bidders failing to either meet these criteria or not
furnishing the requisite supporting documents / documentary evidence is liable to be rejected and
will not be considered for empanelment.

Bidder must comply with all the above mentioned criteria and provide the requisite information. Non-
compliance of any of the criteria will entail rejection of the offer summarily. Photocopies of relevant
documents / certificates should be submitted as proof in support of the claims made. The Bank
reserves the right to verify /evaluate the claims made by the Bidder independently. Any decision of the
Bank in this regard shall be final, conclusive and binding upon the Bidder.
5. EMPANELMENT PERIOD:
The period for empanelment of vendors for software development in the bank will be for a period of
3 Years. The empanelment period may be extended for a period of two years, at the behest of the Bank.
Bank shall have the option of terminating the contract during the contract period by giving a 3 month’s
notice. An annual review of the empanelled bidders will be conducted by the Bank. If deemed necessary,
Bank may remove any of its vendors from empanelment based on review & feedback and Bank may also
add new bidder(s) in the panel. Irrespective of the period, the empanelment will be deemed operative until
the close of the assigned projects and hence the empanelled firm should ensure resource availability until
completion of the work in hand.
6. SCOPE OF WORK
The broad scope of project envisages empanelment of software bidders who will provide end to end new
software solution and existing software solution customisation to meet the Bank's business requirements. It
includes study, design, development, integration, testing and implementation of the software and other
components required. This would also envisage parameterization, historical data management, verifying
data quality user acceptance testing, documentation, trainings and complete knowledge transfer along with
complete ownership of software and IPR of the same.

Scope of work of the empanelled software bidders will include application development in the different
areas including customization of a product / solution in terms of adding new functionalities / changes,
integration of new modules in an existing product / solution or developing a new software solution or
related activities like database support etc. The empanelled Bidders will be approached by the Bank based
on its requirement to participate in the closed tendering process to carry out software application
development / customization work, subject to their possessing the necessary skill set as per Annexure 18.
Bank has the discretion to not consider the empanelled Bidder/s for the specific work, if they do
not possess the necessary skill set required in carrying out that work. Applicants are
requested to specify their detailed technical skills as in Annexure-18 under respective Technical
criteria.
Commercial quotations will be invited by Bank from the empanelled Bidders as stated above, who possess
the necessary skills set, for the total project cost/manpower rates on the specified skills as per specific
requirement of the project / Bank. The detail scope of work will be shared for each of Bank’s requirement
while calling commercials. The bidder has to comply with below mentioned items:
i) Bidder has to provide Source code of application, Source Code of DLLs, images, library files, object
code / executable code etc required to customise the application as per requirements, unit test cases,
unit test code, and compilation procedures (build/make file, build scripts etc), Source code quality
report using reputed Code Quality Tools, Test Scripts for CIT / SIT / UAT of the developed application
/ customizations and subsequent upgrades, if any.
ii) Bidder has to transfer the ownership of all software developed / customized / configured / procured.
All licenses & support related documents should be in the name of Bank.
iii) Bank should have the Intellectual Property Rights on all software developed / customized / configured
/ procured along with related documents executed under the scope of this RFE.
iv) Bidder has to provide all necessary functional and technical documentation (Technical specifications,
Integration specifications, Application architecture/design, Integration architecture / design, Test
Cases documentation for CIT / SIT / UAT, Deployment guide on infrastructure servers, and Release
notes) to the bank with every source code delivery for any change.
v) Bidder has to sign an agreement with the Bank to execute the contract and NDA as per format of the
Bank.
vi) Consortium and/or Subcontracting for execution of project given by the bank are not permissible.
vii) Bidder has to ensure that the software development will be carried out as per standard software
development process and taking into consideration the best practices followed worldwide.
viii) Bidder has to ensure that the software developed should be compatible with the current infrastructure
of the Bank and also should be forward compatible.
ix) The bidder shall undertake to provide appropriate human as well as other resources required as per

Bank’s requirement, to execute the various tasks assigned as part of the project, from time to time.
x) Bank will provide the scope of work of projects and details of available OS/DB/third party tools.
xi) Bidder has to rectify the gaps identified during the audit of software developed/customized by
internal/external agencies or by any of the regulators at no additional cost to the bank
xii) Bidder has to work at their own location and use their own resources for software development /
customization / configuration unless specifically asked by the bank.
xiii) The Bank may decide to have a mixed set of in-house and bidder’s resources for sustainable good
quality of software development and the bidder has to agree to work under this setup. Bidder should
agree to transfer necessary knowledge and skills to Bank personnel - Functional Specifications,
Technical specifications, Integration specifications, Application architecture / design, Integration
architecture / design, Test Cases document (for CIT / SIT& UAT), Deployment guide on infrastructure
servers, and Release notes are mandatory deliverables apart from Source code & Build guides.
xiv) If any of the empanelled bidders do not participate in minimum two closed tender’s project during the
contract period for any reason, even after getting an invitation to bid by the bank, then their
candidature will not be considered for one year from the date of the second project offered and not
participated by the Bidder . The Empanelled Security Deposit submitted by the bidder could be
forfeited by the bank.
xv) If any of the empanelled vendor has been selected for a software development project and has been
issued a Purchase Order (PO), thereafter if the selected Empanelled vendor fails to perform the
obligations as per the PO or does not perform his duties as the empanelled vendor after selection, the
empanelment security could be forfeited by the Bank.
xvi) Bank may change any of the conditions of this empanelment document at its discretion.
xvii) The application development / customization work carried by the successful empanelled bidder will be
subject to unit testing, system integration testing & user acceptance testing and security audit as
applicable. However, bank will not pay any additional fee / charges for the rectification of errors
detected during the testing / audit process.
xviii) Bidder has to ensure that separate teams are provided for software development and software testing.
xix) Bidder has to provide one year warranty and maintenance support for the application software
developed / customized / configured / at no extra cost to the Bank during the warranty period.
xx) Bidder has to comply with all the gaps identified in the software developed during the audit of
internal/external agency or during review with any of the regulator at no additional cost to the Bank.
xxi) Bidder has to provide maintenance / support after warranty period as per Bank’s requirement. AMC /
ATS cost shall be included during the requirement stage although it will not be accounted in
commercial evaluation as opting for AMC/ATS will be bank’s discretion.
xxii) Bank shall have the right to cancel the panel of bidders at any time, without thereby incurring any

liabilities to the affected applicants. Reasons for cancellation, as determined by Bank in its sole
discretion include but are not limited to, the following:
Services contemplated are no longer required. Scope of work not adequately or clearly defined due to any reason.
xxiii) Bank may at any time, by a written order given to the successful bidder, make changes within the
general scope of the project in any one or more of the following:
a) Designs, specifications, requirements which software or service to be provided under the project
are to be specifically developed and rendered for Bank.
b) Schedule for deployment Acceptance.
c) The place of delivery and / or the services to be provided by the bidder.
xxiv) When a change request is initiated by the bank after Go live of the project or during the warranty/ATS
period , below mentioned steps will be followed:
a. Identification and documentation of the need for the change - The information related to initiator,
initiation date and details of change required and priority of the change will be documented by
Bank.
b. Analysis and evaluation of the Change Request - Impact of the change in terms of the estimated
effort, changed schedule, cost and the items impacted will be analyzed and documented by the
successful bidder.
c. Approval or disapproval of the change request – Bank will approve or disapprove the change
requested including the additional payments for software development, quoted man-month rate in
the project shall be used for cost estimation, efforts of all technical resources- project manager,
analyst, software developer, testing engineer, database architecture etc shall be taken into
account for total man-month estimation to carry out the software development resulting from the
change request.
d. Implementation of the change - The change will be implemented in accordance to the
agreed cost, effort, and schedule by the successful bidder.
e. Verification of the change - The changes will be verified by the concerned Department of
the Bank on implementation of the change request.
f. All changes outside the scope of supplies agreed to herein which may have likely financial
implications in terms of the overall cost / time of the project shall be undertaken by the bidder only
after securing the express consent of the Bank. In the event that the consent of Bank is not
received then the change will not be carried out. While approving any change request, if required,
Bank may ask the bidder to deploy the required resources on-site.
g. If any such change outside the scope of supplies agreed to herein causes an increase or decrease
in cost of, or the time required for, firm's performance of any provisions under the agreement,

equitable adjustments shall be made in the Agreement Price or Delivery Schedule, or both, and
the Agreement shall accordingly be amended. Any claims by firm for adjustment under this must
be asserted within 30 (thirty) days from the date of bidder receiving the Bank’s change order which
shall not be unreasonably withheld or delayed.
xxv) For change requests pertaining to the application development scope, the bidder needs to justify
the change request and submit the effort estimation required for making necessary changes in
the application. Bank shall verify the estimated effort details submitted by the Selected bidder and
the final effort required for executing the change request shall be mutually agreed between
the Selected bidder and the Bank. Necessary payments shall be made to the bidder as per the
man month rate quoted in the commercial bid for Application Development
xxvi) Bidder will also be responsible for development of interfaces of software with bank’s CBS network
or any other applications used in bank, subject to bank’s discretion.
7. BROAD SCOPE OF WORK:
The successful bidder(s) shall be responsible to undertake various project activities as per the
requirement raised by the bank during the empanelment period but not limited to the following:
7.1. Application software development and integration
The software developer needs to ensure that the application development process is as per the
standard life cycle of Software Development. The vendor shall carry out the following activities during
application development and integration.
7.1.1 System Requirement Study
The vendor shall carry out a detailed systems study to define the Functional Requirements
Specifications (FRS) and formulate the System Requirements Specifications (SRS). Under this
category of the scope the vendor will be responsible for the following:
Preparation and Finalization of Functional Requirement Specification
Preparation of System requirement Specification (SRS) as per the latest IEEE template
Preparation of other documents, project reports as required
7.1.2 Development of Software Application
Preparation of Software Design Document including Class Diagram, Entity Relationship (ER)
Diagram/ Database table structure, Traceability Matrix etc shall be carried out by Vendor.
The vendor shall prepare & submit System Design Document (SDD) / Process Design Report
based on principles of enterprise and service oriented architecture to provide for secure and
scalable application software. The design should be modular. The SDD should include

An industry standard methodology should be adopted for Software Engineering,
covering the entire SDLC (Software Development Life Cycle).
The vendor shall be responsible for the development of application as per the requirements
provided by the Bank.
The Application must have integrated security / monitoring features.
Audit trail should be maintained, all deleted & edited records should be traceable and copy of
all editions / deletions should be available with MIS reporting of the same. The audit trail
should be preserved in securely and no user other than authorized should be allowed to modify
audit record.
Software testing of the application (other than Third Party auditing) shall be borne by the
vendor. The selected vendor shall be responsible for the following:
Conducting testing of various components/ modules of the software developed, as
per the latest version of the IEEE 730 standards.
Designing the Testing strategy, Test Cases
Obtaining sign-off on testing approach and plan.
Deployment and Configuration of application : The selected Bidder shall be provided with
required infrastructure at Bank to host application.
7.1.3 User Acceptance Testing (UAT)
Preparation and submission of detailed FAT/ UAT plans/ schedules/ procedures/ formats as
mutually agreed between the Selected Bidder and the Bank
Selected Bidder should prepare various use cases and scenarios.
Performing Software Testing: The Selected Bidder should conduct testing of various
components/modules of the software developed, as per the latest version of the IEEE 730
standards. The bidder shall also be required to share the testing documents and standards
with the designated software testing team, wherever applicable/ required.
The selected Bidder must assist Bank in carrying out user acceptance of solution.
The selected Bidder should provide System Test Cases with Results
The selected Bidder should provide UAT Case and Results
Rectifying the Software application/ issues/ bugs reported during the testing until the
satisfaction of Bank.
Final approval / user acceptance of the software and system shall be given by Bank after
successful implementation and testing. This is the responsibility of the Bidder to obtain the
UAT approval from the Bank.
7.2. Training and Capacity Building

If Bank requires, the selected Bidder shall have to provide training to Bank’s officials at Bank’s location
,for the functionality developed or for the customized module of software application The Bidder should
ensure / note the following while imparting Training:
a. Training of staff is essential for ensuring that the software developed is actually put to use.
Hence, the selected Bidder shall also ensure a proper hands-on training to the designated end-
users on the application developed so as to make them conversant with the functionalities,
features and processes built in the application.
b. Training shall be in multiple sessions as per the need and requirement of the project /
application. Hence, Bidder shall conduct Training Needs Analysis for all the concerned staff and
draw up a systematic training plan.
c. The content of the training plan and schedule shall be mutually decided by Bank and the Bidder.
d. The Bidder shall have to retrain the staffs, whenever significant changes are made in the
application and/or personnel.
e. The Bidder shall take the feedback from the Employees, and submit the same along with invoice
raised for the payment.
f. In case, more than 30% of the respondents suggest that the training provided to them was
unsatisfactory or less than satisfactory, then Bidder will have to re- conduct the same training at
no extra cost.
g. Bidder shall deliver training to end users utilizing the deployed infrastructure at the designated
locations. Role-based training for the identified personnel will be carried out at the location
decided and provided by the Bank.
h. The requisite training infrastructure shall be provided by Bank
i. The Bidder shall provide the instructor with quality training material (role based) and the
language of training material shall be in English.
j. The Bidder shall ensure that all the training documentation is in place, both in Hardcopy and
Softcopy (user training, operation procedures, visual help-kit, FAQs etc.).
k. The objective of conducting such trainings would be to give first-hand view of benefits of using
the developed application. The Bidder has to quote the training cost as part of commercial bid
submission if Bank raises a requirement while calling for quotations.
7.3. Deployment of Application and Commissioning (Go-Live)
a. The Bidder shall integrate application software and commission the whole project. The Bidder
shall conduct Final Acceptance Testing (FAT) on commissioning of the whole project. The entire
project would be deemed to have been commissioned, only after the acceptance of FAT reports

Live and will enter into the Support and Maintenance phase.
b. Bidder shall provide all related documents viz. user manual (Role wise) as mentioned in this
RFE document.
c. Bidder shall transfer the ownership of all software developed/ customized/ configured/ procured.
All the licenses & support related documents shall be in the name of Bank.
d. The Bidder shall be responsible to extend support to the Bank and ensure successful roll-out of
the developed application.
e. Application Disaster Recover (DR) setup should be implemented and Data replication between
Data Centre & DR should also be configured.
7.4. Application Support and Maintenance
The Bidder shall be responsible for Support and Maintenance activities for the time period as described
by the Bank, during the time of calling for quotations, post successful go-live of the application. The
broad activities to be conducted by the Bidder during the Support and Maintenance Phase are
mentioned below:
7.4.1 Helpdesk Support (Incident/ Problem Management):
a. Helpdesk should be able to handle issues of the Bank.
b. The helpdesk resources should be accessible to all the project locations and their end-users on
telephone / by e-mail.
c. The Bidder shall have to maintain a web based online call log register with all the necessary
details / references and submit the report of the same to the Bank as and when required. The
Bidder shall also provide a login to the Bank for logging in and viewing the status of the
complaint. The format of the report would be mutually decided by the Bank and Bidder, later at
appropriate time.
d. Once the complaint is registered by the Bank in the system, the system will create a ticket for
the problem reported. The problem / ticket should be closed only by the Bank after the
resolution of the problem.
e. Helpdesk staff shall escalate the problem to the project manager and maintain the log / status of
the complaint in the online call log register.
f. Helpdesk resources shall reply to the queries / feedback / suggestions / complaints from the
Bank.
g. Help desk shall provide handholding support at all project location through online / telephone
line.
7.4.2 Support Services for developed application
a. The Bidder shall be responsible for deploying sufficient manpower for overall administration,

operations, monitoring, maintenance of the deployed application and the Database to
ensure the desired uptime.
b. The Bidder shall be in-charge of administration, support & maintenance throughout the project
period. The Bidder shall provide support on the following activities
Minor changes in developed application
Bugs Fixing reported
Maintain version control and archives of source code
Download definitions / patches / updates / service packs of the deployed third party
tools / middle ware Software and to ensure the desired uptime.
7.4.3 MIS Reports
a. The Bidder shall have to submit certain key deliverables as mentioned below:
Software license management – Bidder to ensure up to date licensing of all the
software for the entire project period.
SLA Compliance Report – Bidder to provide Quarterly report within 1 Week of the
end of each Quarter
b. However, in addition to the reports/ deliverables as indicated above, the Bidder shall prepare
and submit all other required information in the desirable format as notified by the Bank related
to project.
c. The formats for all the reports shall be prepared by the Bidder and submitted to the
Bank for approval. The reports submitted by the Bidder should strictly be in the approved
format only which, if required, may be revised from time to time.
7.4.4 Third Party Audit (TPA)
a. A third party auditor, if required, may be selected and appointed by the Bank at its own cost.
b. The audit may cover one or more of the following aspects of the project: -
Functional requirement review
Penetration testing of the systems and networks (External and Internal)
Application Security Assessment
System Performance Testing/ Monitoring
Review and Assessment of Security Policies
Data Quality Review
c. The Bidder shall be required to share the testing documents and standards with the
designated third party wherever applicable/ required.
d. The Bank may appoint the TPA for the entire project period including the Operation and
maintenance period. The TPA may conduct bi-annual or annual audits as per the decision of
the Bank.

e. Based on the audit reports submitted by the TPA, the selected Bidder shall make the required
changes to the application and incorporate the suggestions of the auditor at no extra cost to
the Bank. The purchaser shall recover costs from the pending payments or performance
security on failure of the Bidder to make the required changes.
7.5. Other Requirements
7.5.1 Bank’s IT security Policy in vogue should be followed in spirit which includes password
management, change management, backup, patch update etc.
7.5.2 IS audit of the application at various levels of implementation would be conducted by the Bank and
its important issues should be closed before the acceptance of the software/solution. Additionally,
any changes in the software and yearly IS audit issues would also be required to be attended at
respective levels, within the stipulated time period.
7.5.3 Audit logs should be retained and made promptly available, as and when required during the life
cycle of data retention.
7.5.4 Bank may setup Security Operation Centre (SOC) wherein monitoring of all critical servers mainly
application & database servers would be done for its security, uptime/ downtime, performance,
user access to system, parameter changes, etc would be monitored based on different logs from
servers and devices. Bidder to provide necessary logs of system, application users and database
etc for integration with SOC. For integration of SOC with the system being provided by the bidder,
required support and tools (if any for log generation and pushing to SOC) would be required from
bidders.
7.5.5 IT assets, Management of the same, documentation, version control, configuration / parameter
controls, Change Management etc. should meet standards and expectations of ISO 27001 level,
as the Bank is in the process of acquiring the same for our DC/DR.
8. SERVICE LEVEL AGREEMENTS:
The Service Level Agreement is developed to provide Bank with optimal services rendered by the
successful bidder. This will be based on different stages of software development lifecycle, during the
warranty period and AMC/ATS period, if opted by the bank.
8.1 The SLA parameters for software development lifecycle will be defined on a case to case basis with
different projects. The bidder has to abide by the timelines and other parameters mentioned by the
bank or else bank will take appropriate action which may include deduction of penalty from residual
payment or even revoking the PBG.
8.2 The SLA parameters shall be monitored on a monthly basis as per the individual SLA parameter
requirements. However, if the performance of the system / services is degraded significantly at any

given point in time during the warranty/ATS period and if the immediate measures are not implemented
and issues are not rectified to the complete satisfaction of the Bank or an agency designated by them,
then the Bank will have the right to take appropriate action including deducting penalty from residual
payment or revoking the PBG.
8.3 A Service Level violation will occur if the successful bidder fails to meet Minimum Service Levels, as
measured on a quarterly basis, for a particular Service Level. Overall Availability and Performance
measurements will be on a monthly basis for the purpose of Service Level reporting. An "Availability
and Performance Report" will be provided by the bidder on monthly basis in the Bank’s suggested
format and a review shall be conducted based on this report. A monthly Availability and Performance
Report shall be provided to the Bank at the end of every month containing the summary of all incidents
reported and associated bidder performance measurement for that period.
8.4 Wherever required, some of the Service Levels will be assessed through audits or reports e.g.
utilization reports, measurements reports, etc., as appropriate, which will be provided by the bidder on
a monthly basis, in the formats required by the Bank. The tools to perform the audit shall be provided
by the bidder. Audits will normally be done on regular basis or as required by the Bank and audits will
be performed by the Bank or the appointed third party agencies.
8.5 The SLAs will prevail from the start of the Operations and Maintenance Phase. However, SLAs
will be subject to being redefined, to the extent necessitated by experience and the developments of
technological practices globally. The SLAs may be reviewed on an annual / bi- annual / Quarterly basis
as per decision of the Bank.
8.6 Review Committee and Review Mechanism: The designated review committee / members, on
a quarterly basis, shall review and discuss the services, delivery and performance standard compliance
of the selected bidder. The review would be at the discretion of the Bank and would include but not be
limited to:
Service provided during the review period.
Major incidents during the review period.
Problems that remains outstanding.
Review of Change requests / Variation and progress for enhancements.
Future events or business developments that will affect the Service.
Review any potential changes required to the SLA.
Agree items for submission to the executive decision making
Review schedules for Services provided.
8.7 The bidder is expected to provide service levels as defined by the bank on case to case basis
depending on the criticality of project during the warranty period and AMC/ATS period, if opted by the

bank. In case these service levels cannot be achieved at service levels defined in the project, it shall
result in a breach of agreement and invoke the penalty clause. Payments to the bidder are linked to
the compliance with the SLA metrics laid down in the tables. During the contract period, it is
envisaged that there could be changes to the SLA, in terms of addition, alteration or deletion of
certain parameters, based on mutual consent of both Bank and the selected bidder.
8.8 Penalty for downtime : If the selected bidder fails to deliver the required services due to reasons
attributable to him like non-accessibility of the application, non-availability of the technical personnel /
manpower, etc. the cumulative penalty, as applicable, would be imposed as mentioned below while
processing the payment for respective milestone
The sum total of penalties will not exceed 20% of order value. Thereafter, the contract/purchase order may
be cancelled and Performance Bank Guarantee may be revoked and the bidder will be de-empanelled.
9. EVALUATION PROCESS
9.1. Objective of Evaluation Process
9.1.1 The evaluation by Allahabad Bank will be undertaken by an Internal Committee formed by the
Bank. The bank may consider recommendations made by External Experts/Consultants on the
Evaluation. The decision of the committee shall be final.
9.1.2 The Bank will scrutinize the offers to determine whether they are complete, whether any errors
have been made in the offer, whether required technical documentation has been furnished,
whether the documents have been properly signed, and whether items are quoted as per the
schedule. The Bank may, at its discretion, waive any minor infirmity, non-conformity, or irregularity
in a Bid, which does not constitute a material deviation. This shall be binding on all Bidders and
the Bank’s decision in the matter will be final.
9.1.3 Each Recipient acknowledges and accepts that the Bank may, in its sole and absolute discretion,
apply whatever criteria it deems appropriate in the selection of bidder, not limited to those
selection criteria set out in this RFE document.
9.1.4 Bank may call for any clarifications/additional particulars on the technical bids submitted. The
Bidder has to submit the clarifications/ additional particulars in writing within the specified date and
time. The Bidder’s offer may be disqualified, if the clarifications/ additional particulars sought are
not submitted within the specified date and time. Bank reserves the right to call for presentation/s,
product walkthroughs, on the features of the solution offered etc., from the Bidders based on the
technical bids submitted by them. Allahabad Bank also reserves the right to conduct Reference
Site Visits at the Bidder’s client sites. Through this Request for Empanelment, Bank aims to select
Bidder (s) / application provider (s) who would undertake the designing and implementation of the
required solution. The Bidder shall be entrusted with end-to-end responsibility for the execution of

the project under the scope of this RFE. The Bidder is expected to commit for the delivery of
services with performance levels set out in this RFE with a Service Level Agreement.
9.1.5 Adherence to Terms and Conditions: The bidders who wish to submit responses to this RFE
should abide by all the terms and conditions contained in the RFE. The bidder is required to put in
a no deviation bid as per Annexure-19 If the responses contain any extraneous conditions put in
by the respondents, such responses may be disqualified and may not be considered for the
selection process.
9.1.6 The competitive bids shall be evaluated in one stage: Eligibility Cum Technical Bid.
9.1.7 During evaluation of the Tenders, the Bank, at its discretion, may ask the Bidder for clarification
with respect to the tender. The request for clarification and the response shall be in writing, and no
change in the substance of the tender shall be sought, offered, or permitted. The Bank reserves
the right to accept or reject any tender in whole or in parts without assigning any reason
thereof. The decision of the Bank shall be final and binding on all the bidders to this
document and bank will not entertain any correspondence in this regard. The objective of evolving
this evaluation methodology is to facilitate the selection of the most suitable Software
Development firms who meet the functional / technical requirement of the Bank.
9.2. Eligibility Cum Technical Bid
Eligibility criteria for the Bidder to qualify this stage are clearly mentioned in ITB Clause 4- Eligibility
Criteria. Bidder needs to submit the Compliance to Eligibility Criteria for their respective Category as
per Annexure-03 or 04, whichever applicable. The bidder would need to provide the requisite
supporting documents as part of the eligibility proof.
The Technical Proposal will be evaluated for technical suitability as mentioned in Technical
Requirement as part of Annexure-18. The bidder needs to achieve a cut – off score of 70 marks in this
evaluation stage to be technically qualified. The Technical Proposal will be evaluated for technical

The top five Bidders based on the eligibility and technical scoring will be selected for empanelment in
each category. Number of bidders in each category may vary at the discretion of the Bank. In case
there is less number of bidders having technical score of 70 or more, the Bank may, at its sole
discretion, also consider the next highest technical scores and qualify such bidder(s). In case, none of
the participating bidders qualify the technical criteria and reach or exceed the cut-off score of 70, then
the Bank, at its sole discretion, may qualify bidders on the basis of their scores (merit). However, the

9.3. Empanelment Of Vendors:
Bidders who qualify eligibility criteria and technical evaluation will only qualify for empanelment. Bank,
at his discretion, may select the top five scoring Bidders for Empanelment in each category. Number of
bidders in each category may vary at the discretion of the Bank
9.4. Commercial Bid Evaluation (during period of empanelment)

discretion may invite commercial quotations only from qualifying empanelled vendors , as and
when necessary, based on their fulfilment of the requirements of the Bank during the period of
empanelment. Only those empanelled vendors will be invited for providing commercial quotations,
who fulfil the necessary technical skill set required by the Bank for the particular software
development project. The qualifying criteria will be based on Technical Skill Set (Annexure-18)
provided by the Empanelled Vendor and hence the Annexure for Technical Skill Set should be
complete in all respects. Bank has the discretion to not consider the empanelled Bidder/s for
the specific work, if they do not possess the necessary skill set required in carrying out
that work. Applicants are requested to specify their detailed technical skills as in
Annexure-18 under respective Technical criteria.
9.4.2 Bank at its discretion may even call for Reverse Auction Process for Commercial Bid Evaluation.
9.4.3 Bank at its discretion, may call for commercial quotations from Category B bidders for Category
A work also depending on the Bidder competency
9.4.4 Bank, based on its requirement shall call for price bid from the empanelled vendors. The Price Bid
should adhere to the following:
a. The vendor is requested to quote in Indian Rupee (INR). Bids in currencies other than INR
would not be considered.
b. The prices and other terms offered by vendors must be firm for an acceptance period of 180
days from the opening of the commercial bid.
c. Prices quoted by the Vendor should be inclusive of all taxes, duties, levies etc. except GST.
GST and surcharge/cess applicable on GST will be paid additional at actual. Further taxes in
lieu of GST or additional, if any, applicable, as per govt. directives, shall also be
reimbursed/paid. There will be no price escalation for during the contract period and any
extension thereof. Bid submitted with an adjustable price quotation will be treated as non-
responsive and will be rejected.
d. Terms of payment as indicated as per Clause 27.7 (payment terms) of this RFE will be final
and binding on the vendor and no interest will be payable by the Bank on the outstanding
amounts under any circumstances.
e. Based on the Bank’s requirements, the vendor should identify the best-suited option which is
cost-effective and which would meet the Bank’s requirements and quote for the same. In case
the vendor quotes more than one option then the response would be considered as improper
and liable to be rejected. The vendor should not give options to the Bank to select from his
offer. The vendor is expected to select the best option and quote for the same in his offer.
f. The vendor is required to quote for all the components / services as per Bank’s requirement.
In case the vendor does not quote for any of the components / services, the response would

be deemed to include the quote for such unquoted components / service at no extra cost to
the Bank. The Bank shall ascertain and conclude that everything as mentioned in the RFE
and future Bank’s requirements circulated to the vendors and responded by the vendor have
been quoted for by the vendor, and there will be no extra cost associated with the same in
case the vendor has not quoted for the same
g. In the event optional prices are not quoted by the vendor, for items where such prices are a
must and required to be quoted for, the highest price quoted by any of the participating vendor
will be taken as the costs, for such alternatives and also for arriving at the Total Cost of
Ownership for the purpose of evaluation of the defaulting / deviating vendor. The same item
has to be supplied by the vendor free of cost.
h. Normalization of bids: The Bank will go through a process of evaluation and normalization of
the bids to the extent possible and feasible to ensure that vendors are more or less on the
same ground of evaluation. After the normalization process, if the Bank feels that any of the
bids needs to be normalized and that such normalization has a bearing on the price bids; the
Bank may at its discretion ask all the empanelled vendors to resubmit the commercial bids
once again for scrutiny. The Bank can repeat this normalization process at every stage of bid
submission or till the Bank is satisfied. The vendors agree that they have no reservation or
objection to the normalization process and all the empanelled vendors will, by responding to
this RFE, agree to participate in the normalization process and extend their co-operation to
the Bank during this process. The vendors, by submitting the response to this RFE, agree to
the process and conditions of the normalization process.
i. The Vendor is expected to provide for services which are required to be extended by the
Vendor in accordance with the terms and conditions of the RFE/ Empanelment contract.
j. The Vendor must provide and quote for the product and services as desired by the Bank as
mentioned in this RFE and subsequent requirement by the Bank. Any products / services not
proposed to be provided by the Vendor will result in the proposal being incomplete, which may
lead to disqualification of the Vendor.
10. LIQUIDATED DAMAGES
10.1 Notwithstanding the Bank’s right to cancel the order, liquidated damages at 0.5% (Half percent) of the
contract price per week or part thereof will be charged for every week's delay in the specified delivery
schedule. The Liquidated Damages including Service Level Penalties subject to a maximum of 20% of
the total project cost. Over and above, FM resources penalties would be on actual basis, if opted by the
bank. The Bank reserves its right to recover these amounts by any mode including adjusting from any
payments to be made by the Bank to the Bidder.

10.2 However, notwithstanding the schedule, Bank reserves the right to cancel the order at any given point
of time, if bidder fails to meet any of the milestones. In the event of cancellation of order, Bank will
claim entire amount paid to bidder with interest (@18% pa simple) along with additional 10% as penalty
charge.
10.3 The Purchaser may without prejudice to its right to effect recovery by any other method, deduct the
amount of Penalty from any money belonging to the Bidder in its hands (which includes the
Purchaser’s right to claim such amount against Bidder’s Bank Guarantee) or which may become due to
the Bidder. Any such recovery of penalty shall not in any way relieve the Bidder from any of its
obligations to complete the works / Services or from any other obligations and liabilities under the
Contract.
11. LANGUAGE OF BID
The bid as well as all correspondence and documents relating to the bid exchanged by the Bidder and The
Bank shall be in English language only.
12. NON-TRANSFERABLE OFFER
This Request for Proposal (RFE) is not transferable. Only the Bidder who has purchased this document in
its name or submitted the necessary RFE price (for downloaded RFE) will be eligible for participation in the
evaluation process. The Bidder should also submit an undertaking to the effect that they have not made
any modifications in the original copy of RFE and his/her bid would be liable for rejection for any violation
of the above.
13. ERASURES AND ALTERATIONS
The Bid should contain no alterations, erasures or overwriting except what is necessary to correct errors
made by the Bidder, in which case corrections should be duly stamped and initialled / authenticated by the
person/(s) signing the Bid. The Bidder is expected to examine all instructions, forms, terms and
specifications in the bidding documents. Failure to furnish all information required by the bidding
documents or submission of a bid not substantially/conclusively responsive to the bidding documents in
every respect will be at the Bidders risk and may result in rejection of the bid.
Filling up of the information using terms such as OK, ACCEPTED, NOTED, AS GIVEN IN
BROUCHER / MANUAL, etc. is not acceptable.
14. PRE BID MEETING
14.1. Only the prospective bidders, who have purchased a copy of the RFE, will be eligible to attend a pre-
bid meeting to be held as per schedule details mentioned in the RFE. Upto a maximum of two

representatives of each prospective bidder will be permitted to attend the pre-bid meeting. However
the Purchaser, at its discretion, may permit any additional representative of any prospective bidder or
any representative of manufacturer of the related equipment to attend the pre-bid meeting
14.2. The purpose of the meeting is to clarify issues and to answer questions on any matter that may be
raised up to that stage. Bidders are requested to send their queries in the format mentioned in
Annexure-14 relating to RFE to our office by e-mail/ fax / speed post / courier, well in advance (at least
two days prior to the Pre Bid Meeting), so that the same could be discussed during the Pre-Bid meeting
with interested Bidders. The Purchaser will have liberty to invite its technical consultant or any outside
agency, wherever necessary, to be present in the pre-bid meeting to reply to the technical queries of
the bidders in the meeting.
14.3. Clarifications including the text of the questions raised (without identifying the source of inquiry) will be
sent to all prospective bidders who have purchased the RFE.
14.4. Authorization Letter to be submitted as per Annexure-13
14.5. Non-attendance at the Pre-bid Meeting will not be a cause for disqualification of a Bidder.
15. AMENDMENT OF RFE
15.1. Any modification of RFE, which may become necessary, as a result of the Pre Bid meeting or
otherwise, shall be made by the Purchaser, exclusively through the issue of an
Addendum/Corrigendum.
15.2. At any time, prior to the submission of bids, the Purchaser for any reason, whether at its own initiative
or in response to the clarification requested by the Bidder, may modify the RFE , by amendment.
15.3. All prospective Bidders who have purchased the RFE will be notified of the amendment in writing or fax
or by email and will be binding on them
15.4. In case of amendment (s) taking place in RFE, the Purchaser at its sole discretion may extend the
deadline for the submission of bids, to ensure availability of reasonable time to the prospective bidders
for preparing their Bids.

The bid security is required for protecting the Purchaser against risk of bidder’s conduct during the
period of bid validity.
The bid shall remain valid for 180 days after the scheduled date of opening of Technical Bid prescribed
by the Purchaser. Therefore, the bid security will have to be submitted for a period of (180+60) days. A
bid valid for a shorter period shall be rejected by the Purchaser as non responsive.
Non-submission of Bid Security will lead to outright rejection of the Offer.
The BID SECURITY of unsuccessful Bidders will be returned to them on completion of the bidder
selection process. No interest will be payable on bid security amount. The BID SECURITY of

a. If the Bidder withdraws its bid during the period of bid validity (180 days from the date of opening of
Technical bid).
b. If the Bidder makes any statement or encloses any form which turns out to be false, incorrect and/or
misleading at any time prior to signing of contract and/or conceals or suppresses material
information; and / or
c. In case of the successful Bidder, if the Bidder fails:
To sign the Empanelment contract in the form and manner to the satisfaction of THE
BANK.
To perform, in accordance with the terms and conditions of the RFE or Contract
fails or refuses to furnish the Empanelment Security , in accordance with the Terms &
Conditions of the RFE or Contract
16.3. Empanelment Security:
16.3.1. Successful bidders, shortlisted for empanelment will have to submit separate security of an
amount of Rs. 2,00,000/- (Rupees Two Lakhs Only) valid for a period of three (3) year + 180
days from start of the empanelment, as per format given in Annexure – 08 . In case the purchaser
decides to extend the period of empanelment, the empanelment security will have to be
accordingly extended i.e. it should be valid upto the period of extension + 180 days. An
empanelment security valid for a shorter period shall be rejected by the Purchaser, as non
responsive.
16.3.2. The empanelment security is required to protect the Purchaser against risk of empanelled
vendor’s conduct during the period of empanelment.
16.3.3. The empanelment security shall be denominated, in INDIAN RUPEES only and shall be in the
form of Bank Guarantee, issued by a Scheduled Commercial Bank (other than Allahabad Bank)
located in India
16.3.4. Any bid, in the due course, not secured in accordance with this RFE above will be rejected by the
Purchaser as non-responsive.
16.3.5. The empanelled vendor’s empanelment security will be discharged upon completion of
empanelment validity, subject to successful performance of the obligations as an empanelled
vendor.
16.3.6. The empanelment security may be forfeited, if the empanelled vendor fails

16.4. Performance Bank Guarantee
16.4.1. During the period of empanelment if Bank places order for any software development
requirement /CR with an empanelled Vendor, then the Selected Vendor shall provide a
Performance Bank Guarantee (PBG), within 21 days from the date of issue of purchase
order/Letter of Intent (LOI), for a value equivalent to 10% of the project cost (TCO) in the format
as per Annexure-10. The PBG should be valid for 1 year plus 180 days from the GO Live of the
project. In case of the expiry of PBG within this period, the bidder should furnish a fresh PBG.
Bidder has to submit a Performance Bank Guarantee for a sum equivalent to 10% of the
AMC/ATS cost valid during the complete AMC/ATS period, if the bank opts for it.
16.4.2. The Performance Guarantee shall contain a claim period of six months from the last date of
validity. The selected empanelled Bidder shall be responsible for extending the validity date and
claim period of the Performance Guarantee as and when it is due on account of non-completion
of the project and/or Warranty period.
16.4.3. In case further orders are placed with the same Empanelled Vendor during the period of
empanelment, the Selected Vendor shall amend the previously submitted PBG/shall provide a
new PBG
16.4.4. In case the selected Empanelled Bidder fails to submit performance guarantee within the time
stipulated, the Bank, at its discretion, may cancel the order placed on the selected Bidder without
giving any notice. Bank shall invoke the performance guarantee in case the selected Bidder fails
to discharge their contractual obligations during the period or Bank incurs any loss due to Bidder’s
negligence in carrying out the project implementation as per the agreed terms & conditions.
16.4.5. The Performance Bank Guarantee shall be denominated in Indian Rupees and shall be by way of
Bank Guarantee issued by a Public / Private Sector Bank in India (Other than Allahabad Bank),
acceptable to the Bank. The format of the PBG will be provided with the request for proposal for
projects, when initiated by the bank under the scope of this RFE.
16.5. Submission of Technical Bid - 16.5.1. The RFE response (Technical Bid) should be provided in two envelopes in duplicate (One Original
and One Copy) duly sealed and super-scribed as follows:

Any Bid received by the Bank after deadline for submission of Bids prescribed, will be rejected and
returned unopened to the Bidder.
Note:
a. There should be two outer envelopes i.e. Original Bid and Copy Bid One set for Technical Bid, &
Eligibility Criteria.
b. If the outer cover / envelope is not sealed and super scribed as required, the Bank will assume no
responsibility for bid’s misplaced or premature opening.

16.5.5. ENVELOPE - II - Compliance to Eligibility Criteria
This envelope should contain Bidder’s response to the eligibility criteria specified in the RFE and
supporting documents which demonstrate the compliance to eligibility criteria.
This should contain at least the following,
a. Eligibility Criteria for respective category (Annexure 03 or Annexure 04 whichever is applicable) -
All relevant documents like Certificate of Incorporation, Audited Financial Statements, P& L
Statements, Performance statement (as per Annexure 06), Customer Credentials (as per
Annexure 07), PF letter issued by Employee Provident Fund organisations to cover its employees,
CMM/ISO Certification letter, all other self certified letters as requested etc should be submitted
along with the Annexure.
b. Any other documents deemed necessary.
c. Please Note: In case a Bidder of Category A also wishes to apply for Category B, Bidder has to
mention the same in tender forwarding letter and provide relevant proof in support of Clause (f) of
Annexure 4 i.e. (Must have development centre and technical support office at Kolkata) in addition
to all the documents of Annexure 3.
17. DEADLINE FOR SUBMISSION OF BIDS
17.1. Bidders must ensure that their Technical Bids are received by the Purchaser at the address specifies,
no later than the time and date mentioned in the schedule details. In the event of the specified date for
the submission of Bids being declared a holiday for the Purchaser, the bids will be received up to the
appointed time on the next working day.
17.2. The Purchaser may at its discretion extend the deadline for submission of bids by amending the RFE in
accordance with the RFE, in which case all rights and obligations of the Purchasers and Bidders
previously subjected to the deadline will thereafter be subject to the deadline as extended.

As the technical bids will be evaluated for technical suitability, the Purchaser will open the Technical Bids
as per the schedule mentioned in the ITB, in presence of the representative of the Bidder.
19. PRELIMINARY SCRUTINY
The Bank will scrutinize the offers/bids to determine whether they are complete, whether any errors have
been made in the offer/bid, whether required technical documentation has been furnished, whether the
documents have been properly signed, and whether items are quoted as per the RFE requirement.
The Bank may, at its discretion, waive any minor non-conformity or any minor irregularity in an offer/bid.
This shall be final, conclusive and binding on all Bidders and the Bank reserves the right for such waivers.
20. PERIOD OF VALIDITY OF THE BID
Bids shall remain valid for 180 (One Hundred eighty) days after the date of bid opening prescribed by the
Bank. The Bank holds the right to reject a bid valid for a period shorter than 180 days as non-responsive,
without any correspondence. In exceptional circumstances, the Bank may solicit the Bidder’s consent to an
extension of the validity period. The request and the response thereto shall be made in writing. Extension
of validity period by the Bidder should be unconditional and irrevocable. The Bid Security provided shall
also be suitably extended. A Bidder acceding to the request will neither be required nor be permitted to
modify its bid. A Bidder may refuse the request without forfeiting its Bid Security.
21. ADDRESS OF COMMUNICATION
Offers / bid should be addressed to the Bank at the address given in the RFE.
22. EXERTING UNDUE INFLUENCE
Bidder shall NOT contact Allahabad BANK on any matter relating to this bid, from the time of the
submission of commercial bid to the time the contract is awarded. Any effort by a Bidder to influence
Allahabad Bank’s bid evaluation, bid comparison or contract award decision may result in the rejection of
the bid.
23. SIGNING OF THE BID
The bid shall be signed by a person or persons duly authorized by the Bidder with signature duly attested.
In the case of a body Head, the bid shall be signed by the duly authorized officers and supported by
internal Head authorizations.
24. COSTS OF PREPARATION & SUBMISSION OF BID

The Bidder shall bear all costs for the preparation and submission of the bid. THE BANK shall not be
responsible or liable for reimbursing/compensating these costs, regardless of the conduct or outcome of
the bidding process.
25. BANK’S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS
The Bank reserves the right to accept or reject any offer without assigning any reason thereof. Any
decision of the Bank in this regard shall be final, conclusive and binding upon the Bidders. The bank
reserves the right to accept or reject any bid, and to cancel the bidding process and reject all bids at any
time prior to contract award, without thereby incurring any liability to the affected Bidder or Bidders or any
obligation to inform the affected Bidder or Bidders of the grounds for bank’s action. During the evaluation
process at any stage if it is found that the Bidder does not meet the eligibility criteria or has submitted false
/ incorrect information the bid will be rejected summarily by the bank’s notification of rejection of bid.
26. NO COMMITMENT TO ACCEPT ANY LOWEST OR ANY TENDER
The Bank will be under no obligation to accept the lowest or any other offer received in response to this
tender notice and shall be entitled to reject any or all offers, including those received late or incomplete
offers, without assigning any reason whatsoever. Purchaser will not be obliged to meet and have
discussions with any Bidder and/or to listen to any representations.

SECTION C- GENERAL TERMS AND CONDITIONS OF CONTRACT
27. TERMS OF REFERENCE
27.1. Contract Period
The Bank intends to empanel software developers for a period of 3 year from the date of empanelment,
which may be extended two more years, at the behest of Bank.
27.2. Delivery:
The delivery timelines will be defined at the time the commercials are invited from the empanelled
bidders. Bidder will have to pay late delivery charges to Allahabad Bank @ 0.5% of the purchase order
value inclusive of all taxes, duties, levies etc., per week or part thereof, for late delivery beyond due
date of delivery, to a maximum of 10% of the total purchase order value inclusive of all taxes, duties,
levies etc.. If delay exceeds five weeks from due date of delivery, Allahabad Bank reserves the right to
cancel the respective purchase order.
If after placing order with the successful bidder is not able to provide software for any reason
whatsoever then a Non execution penalty charge of 5% of the purchase value inclusive of all taxes,
duties, levies etc. will be charged as penalty by the Bank from the bidder. Bank at one time will either
charge the bidder for late delivery charges or non execution penalty charge but not for both. Bank may
also forfeit the Empanelment security/PBG submitted by the bidder in order to recover any dues to the
bank.
27.3. Warranty and Annual Technical Support
The application software developed by the empanelled Bidder will have warranty period of one year
and maintenance support for the same should be provided by the empanelled Bidder at no extra cost
to the Bank during the warranty period.
Maintenance / support after warranty period need to be provided by the Bidder as per Bank’s
requirement. AMC / ATS cost shall be included during commercial bid submission of the project. The
broad activities to be conducted by the bidder during the Support and Maintenance Phase shall be
detailed at the time commercial quotes as invited by the Bank.
If Bank opts for AMC/ATS after the Warranty period, the Bidder has to enter into an AMC agreement
with the bank, which will be for a period of one year and will be reviewed thereafter after obtaining
necessary feedback from concerned department and if Bank deems necessary.
27.4. Ownership, Grant and delivery
The Bidder shall provide to the Bank the Source code including DLLs, images, library files, database
dictionary, documentation, object code / executable code which shall be exclusive, transferable,
enterprise wide perpetual property of the Bank for all the software to be provided as a part of this

project and / or as part of any Change Request in the future. The Bank can use the software at any of
its branches and locations without restriction and use of software by service providers on behalf of the
Bank would be considered as use thereof by the Bank and the software should be assignable /
transferable to any successor entity of the Bank
27.4.1. New Applications Developed / Customised in Bank's existing applications :
The new application software/ Mobile apps/ Portals developed based on the Allahabad Bank
requirements, the ownership of all deliverables including Source Code and artifacts resulting from
these engagements including any intellectual property shall vest solely with the Bank. The
proprietorship of the application/software component developed should be of the Bank and the
Bidder will not use the same developed software for any other purpose/client/country. Bank shall
remain the exclusive owner of its proprietary information and all patents, copyrights, trade secrets,
trademark and other intellectual property rights therein.
If Bank on request of Bidder grants permission to use the source code for any other
Purpose/Client/Country, the Bidder have to share the revenue to Bank on mutually agreed terms
& conditions for each instance.
27.4.2. Bidder's existing software product / solution offered
Bidder proposes the bidder's existing software product / solution as part of this engagement then,
the software shall specifically include right
a. TO USE.
(i) to use and modify source code, data dictionary etc to meet Bank's time to time customisation
requirements
(ii) to use the executable code version of the Software and all Enhancements, Updates and New
Versions made available from time to time solely for business operations of the Bank;
(iii) to use the Program Documentation for purposes of installing or operating the Programs and
supporting the use of the Software by the Bank;
(iv) to use the technical Training Materials for purposes of supporting Users;
(v) to use the executable code version of the Software and all Enhancements, Updates and New
Version made available from time to time for Test and Development, Training, Near DR, Disaster
Recovery Site of the Bank. The Intellectual Property Rights on the developed software code will
be exclusively with the Bank for indigenously developed software.
b. TO COPY.
(i) to copy the Software that operates on server systems to support the users of the Bank;
(ii) to make additional copies of the Program Material for archival, emergency back-up, testing, or
disaster recovery purposes; and

(iii) to copy the Program Documentation to support its Users.
c. TO WORK AS INTERFACE:
(i) to work with other Application Software packages at the Bank as interface;
(ii) to allow other application software packages at the Bank to work as interfaces to the Software. If
such interfacing requires any modification or change to the Software, such modification or
change has to be carried out by the Bidder free of any additional License charge or fees or
expenses.
d. Delivery: The Bidder, at the time of installation shall deliver to the Bank required copies of the
object code version of the Software and the associated Program Documentation including
operation manual and training material. The Bidder, after customization shall deliver to the Bank
required copies of the object code version of the customized Software and the associated Program
Documentation including operation manual and training material. The Bidder, after modifications,
updates or new versions shall deliver to the Bank required copies of the revised object code version of
the latest Software and the revised associated Program Documentation including operation
manual and training material. The Program Documentation shall consist of required number of User
Manuals per branch / service Center / office / extension counter, Near Site, Data Center and Disaster
Recovery Center. The program documentation shall be supplied by the Bidder to the Bank both in
hard copy form (except where hard copies are not available) and soft copy form (MS word format and
HTML Browser format). The operational manual shall be provided by the Bidder under help menu in
the software as dynamic online documentation / help files, wherever applicable. The object code
version of the Software, executables and required run-time files shall be on Compact Disc or on any
such media as desired by the Bank as may be applicable.
e. License: The grant of license by the Bidder herein shall be for processing the internal business
of the Bank or its permitted affiliates and does not, without limitation, include the rights to reverse
engineer, reverse compile or otherwise arrive at the source code of the Software nor does it include
the rights to sell, lease, license, sublicense or otherwise transfer, convey or alienate the software for
commercial consideration to any person.
Except as specifically agreed by and between Bidder and Bank, the ownership of all rights, title and
interest, including without limitation, all patents, copy right, trade secrets and any other form of
intellectual property rights in and to software, any derivative works thereof and enhancements thereto,
software and documentation are and shall at all times remain with the Bidder or its Licensors and be
the sole and exclusive property of the Bidder or its Licensors. The Bank acknowledges that nothing
contained in this Tender and subsequent Agreement shall be construed as conveying by the Bidder
or its licensor’s title or ownership interest in any licensed software or any derivative works
thereof and enhancements thereto. Nothing contained herein shall be construed to preclude the

Bidder from owing, using, improving, marketing, including without limitation, licensing to other persons
any and all licensed software.
f. Rights: The Bidder shall ensure that the software does not infringe third party intellectual property
rights. If a third party's claim endangers or disrupts the Bank’s use of the software, the Bidder
shall be required to, at no further expense, charge, fees or costs to the Bank, (i) obtain a license so
that the Bank may continue use of the software in accordance with the terms of this Tender and
subsequent Agreement and the license agreement; or (ii) modify the software without affecting
the functionality in any manner so as to avoid the infringement; or (iii) replace the software with a
compatible, functionally equivalent and non-infringing product; or (iv) refund to the Bank the amount
paid for the infringing software and bear the incremental costs of procuring a functionally equivalent
software from a third party, provided the option under the sub clause (iv) shall be exercised by the
Bank in the event of the failure of the Bidder to provide effective remedy under options (i) to (iii)
within a reasonable period which would not affect the normal functioning of the Bank. The Bidder shall
have no liability for any claim of infringement based on (i) a claim which continues because of Bank’s
failure to use a modified or replaced software that is at least functionally equivalent to the software, or
the Bank’s failure to use corrections, fixes, or enhancements made available and implemented by the
Bidder, despite notice of such failure by the Bidder in writing, (ii) any change, not made by or on
behalf of the Bidder, to some or all of the software/deliverables supplied by the Bidder or modification
thereof, provided the infringement is solely on account of that change ; or (iii) the Bank’s continued
misuse of some or all of the software/deliverables or any modification thereof despite notice from
the Bidder of such misuse in writing.
g. Bidder is the Prime Bidder for purposes of all deliverables and services, with the single-point
responsibility for the same. Should the software provided by the Bidder be infringing, it would have a
serious business impact on the business of the Bank.
Therefore, the Bidder should take responsibility of its actions. Even if Bank would have used the
deliverables before the infringement was noticed, legally each such use constituted infringement and
therefore the Bidder is in breach of the Bidder’s warranty and obligation.
27.5. Customization Process The Bidder shall carry out all the customization related work at the premises of the Bank or offsite in
case the customization cannot be carried out at the Bank premises subject to Bank’s discretion. The
Bank shall be a party to the Business Requirement Document (BRD) sign-off, Functional Requirement
Specifications (FRS) sign-off, User acceptance test (UAT) sign-off, Installation sign-off and
Implementation & Final Acceptance test sign-off. The Bidder shall install and commission the software
for customization and User Acceptance Test as per Project Plan to be agreed with the Bank failing
which the Bidder shall be liable to pay the Bank penalty defined in SLA projects initiated under the

scope of this RFE. The Bidder shall provide all tools, testing instruments, drivers, consumables, etc.
required to install and customize and test the software free of any fees or charges or any expenses.
The Bidder shall document and submit to the Bank all the testing activities, procedures and
results. The Bidder shall carry out all the testing related work at the premises of the Bank or offsite in
case the testing cannot be carried out at the Bank premises subject to Bank giving a go ahead for the
same. The Bidder shall be required to ensure that the software provides interfaces to the other
application systems at the Bank as specified during the time of requirement at no additional cost or fees
or charges or expenses. The Bidder shall provide the Bank weekly progress report on the bugs /
problems reported / points taken up with schedule of date of reporting, date of resolving, and status for
all kind of bugs and problems whether reported by branch / Regional office / Head Office or Bidder
staff. In case of disputes relating to resolution of problem relating to any site, the Bidder is required to
send the copy of call report pertaining to each visit of each of the engineer to the said site indicating the
purpose of call, when called, when visited, when problem was resolved, how resolved, etc.
Customizations would be with respect to the respective solution and other software solution that the
Bank proposes to implement through the selected Bidder.
27.6. Installation and Implementation
The Bidder needs to ensure that the scope of work for implementation of the software includes creating
master data at the Data Center (DC)/ Disaster Recovery Site (DRS) of the Bank or at any other location
specified by the bank by downloading from existing systems namely migration of data as a part
of solution, functional requirements specifications study, data conversion, live cut- over, customization,
configuration, installation, implementation and integration of the software. The precise nature and scope
of the activities and functions to be undertaken for installation and implementation of the licensed
software have been detailed and set out in broad scope of work of this Tender document.
27.7. Payment Terms
Head Office will place the orders and deployment of application will be at the offices as mentioned at
the time of requirement raised by the Bank. The successful bidder out of the empanelled bidders shall
make necessary arrangements for processing the purchase orders. The Bidder must accept the
payment terms proposed by the Bank. The commercial bid submitted by the empanelled bidders must
be in conformity with the payment terms proposed by the Bank. Any deviation from the proposed
payment terms would not be accepted. The Bank shall have the right to withhold any payment due to
the bidder, in case of delays or defaults on the part of the bidder. Such withholding of payment shall
not amount to a default on the part of the Bank. If any of the items / activities as mentioned in the price
bid is not taken up by the bank during the course of the assignment, the bank will not pay the
professional fees quoted by the bidder in the price bid against such activity / item.

The payment will be released as follows (In case of any modification in the below mentioned payment
term the same shall be highlighted at the time commercial quotes are invited by the Bank):
a. Software development and Implementation Charges
20% - UAT Sign off by both Bank’s identified Project Manager & bidder representative.
20% - Handing over to the Bank the Source Code of developed Application (Soft Copy as
well as Hard Copy) and / or any license and / or any other deliverable required to run the
developed application. Delivery sign off from the Bank’s identified Project Manager.
20% - On Commencement of Production Use or 30 days after UAT sign off and IT System Audit
Certification by the bidder and also on Sign off by both Bank’s identified Project Manager & bidder
representative (in case the application is brought in Production use)
30% - Go Live Closure Sign Off in the form of FAT (Final Acceptance Test). FAT should be signed
by both Bank’s identified Project Manager & bidder representative.
10% - On completion of 1st successful DR drill or after three months if application deployment is
not subject to DR drill.
b. Training charges (if applicable)
100% - On completion of training. Training completion certificate duly certified and signed by the
Bank’s identified Project Manager to be submitted. The certificate should include the attendance
sheet, trainee’s feedback (if any) and training material.
c. AMC / ATS (if applicable)
Payable quarterly in advance, against receipt of satisfactory service report of previous quarter from the
officials of the concerned user department.
d. Onsite Support (if applicable)
Payable quarterly at the end of each quarter against receipt of satisfactory support report of
previous quarter from the user department of the application
There shall be no escalation in the prices once the prices are fixed and agreed to by the Bank and the
bidder. Payment will be released by the bank as per above payment terms on submission of relevant
documents.
The Bank will pay invoices within a period of 30 days from the date of receipt of undisputed invoices. Any
dispute regarding the invoice will be communicated to the selected bidder within 15 days from the date of
receipt of the invoice. After the dispute is resolved, Bank shall make payment within 30 days from the
date the dispute stands resolved.
28. AWARD OF CONTRACT
28.1. Notification of Empanelment
28.1.1 Prior to expiration of the period of bid validity, the Purchaser will notify the Empanelled Bidder(s) in

writing or cable/fax/email, further confirmed in writing by registered letter, that the bidder has been
empanelled as vendor by the Purchaser for discrete procurement of standard items. Upon
receiving the notification of empanelment, the selected vendors will have to provide acceptance
(as per Annexure-15) within seven (7) days from date of receipt of the notification. And submit their
Empanelment Security as per Annexure 08.
28.1.2 The notification of empanelment will constitute the basis for formation of the Contract.
28.1.3 Upon notification of empanelment to empanelled bidders, the Purchaser will promptly notify each
unsuccessful Bidder and will discharge its bid security.
28.2. Signing of Contract
28.2.1 At the same time as the Purchaser notifies the Empanelled Bidder(s) that its bid has been
accepted for empanelment, the Purchaser will send the Bidder(s) the Empanelment Contract Form
(Annexure-09, already provided in the RFE), incorporating all agreements between the parties.
28.2.2 Within 10(Ten) days from notification of empanelment, the Empanelled bidders shall sign the
contract and return it to the Purchaser.
28.2.3 Failure of the Empanelled Bidder(s) to comply with the requirement Clause 28.1 and 28.2 shall
constitute sufficient grounds for the forfeiture of the bid security, in which event the Purchaser at its
discretion may empanel the next ranked bidder.
28.3. Discharge of Bid Security
Upon acceptance of the notification of Empanelment by the successful Bidders, the Bank shall
promptly request the empanelled Bidders to provide Empanelment Security. Bid Security of successful
Bidders shall be discharged on the signing the Empanelment Contract/Agreement and upon furnishing
the Empanelment Security. The Bid Security of unsuccessful bidders shall be discharged and returned
by the bank on completion of the bidding process.
29. EXPENSES FOR THE CONTRACT
The incidental expenses for execution of Agreement / Contract shall be borne by the successful Bidder.
30. FAILURE TO ABIDE BY THE AGREEMENT / CONTRACT
The conditions stipulated in the Agreement/Contract shall be strictly adhered to and any breach/ violation
thereof will entail termination of the Contract without prejudice to the other rights of the Bank including
recovery of penalties as specified in this RFE or Agreement/ Contract.
31. PRICES
Prices payable to the successful Bidder as stated in the Contract shall be firm and not subject to
adjustment during performance of the Contract, irrespective of reasons whatsoever, including exchange

rate fluctuations. The Bidder will pass on to the Bank, the benefit of discounts if any announced in respect
of the cost of the items for which orders have been placed during that period.
32. NOTICES
Notice or other communications given or required to be given under the contract shall be in writing and
shall be faxed/e-mailed followed by hand-delivery with acknowledgement thereof, or transmitted by pre-
paid registered post or courier.
Any notice or other communication shall be deemed to have been validly given on date of delivery if hand
delivered & if sent by registered post, then on expiry of seven days from the date of posting.
33. EMPANELLED VENDORS INTEGRITY:
The empanelled vendors are responsible for and obliged to conduct all contracted activities in accordance
with the contract using state of the art methods and economic principles and exercising all means available
to achieve the performance specified in the contract.
34. EMPANELLED VENDORS OBLIGATIONS:
34.1. The Empanelled vendors are obliged to work closely with the Purchaser’s staff, act within its own
authority and abide by directives issued by the Purchaser and implementation activities.
34.2. The Empanelled vendors will abide by the job safety measures prevalent in India and will free the
Purchaser from all demands or responsibilities arising from accidents or loss of life, the cause of which
is the Empanelled vendor’s negligence. The Empanelled vendor will pay all indemnities arising from
such incidents and will not hold the Purchaser responsible or obligated.
34.3. The Empanelled vendors are responsible for managing the activities of its personnel or subcontracted
personnel and will hold itself responsible for any misdemeanors.
34.4. The Empanelled vendors are under obligation to supply goods and services as per the supply orders
received from various zones/offices from time to time within the empanelment period.
The Empanelled vendors will treat as confidential, all data and information about the Purchaser,
obtained in the execution of his responsibilities, in strict confidence and will not reveal such information
to any other party without the prior written approval of the Purchaser

35. USE OF CONTRACT DOCUMENTS AND INFORMATION:
35.1. The Empanelled Vendors shall not, without the Purchaser’s prior written consent, disclose the Contract
or any provision thereof or any specification, plan, drawing pattern, sample or information furnished by
or on behalf of the Purchaser in connection therewith, to any person other than a person employed by
the Empanelled Vendor in the performance of the Contract. Disclosure to any such employed person
shall be made in confidence & shall extend only as far as may be necessary for purposes of such
performance.
35.2. The Empanelled Vendors shall not, without the Purchaser’s prior written consent, make use of any
document or information related to bank except for purposes of performing the Contract.
35.3. Any document, other than the Contract itself, enumerated shall remain the property of the Purchaser
and shall be returned (in all copies) to the Purchaser on completion of the Empanelled Vendors’
performance under the Contract, if so required by the Purchaser.
35.4. The Empanelled Vendor shall permit the Purchaser to inspect the Supplier’s accounts and records
relating to the performance of the Supplier and to have them audited by auditors appointed by the
Purchaser, if so required by the Purchaser.
36. PATENT RIGHT :
36.1. The Empanelled Vendors shall indemnify the Purchaser against all third party claims of infringement of
patent, trademark or industrial design rights arising from use of the Goods, Software package or any
part thereof in India and abroad.
36.2. In the event of any claim asserted by the third party of infringement of copyright, patent, trademark or
industrial design rights arising from the use of the Goods or any part thereof in India, the Empanelled
Vendor shall act expeditiously to extinguish such claims. If the Empanelled Vendor fails to comply and
the Purchaser is required to pay compensation to a third party resulting from such infringement, the
Empanelled Vendor shall be responsible for the compensation including all expenses, court costs and
lawyer fees. The Purchaser will give notice to the Empanelled Vendor of such claims, if it is made,
without delay.
37. EXECUTION OF NON-DISCLOSURE AGREEMENT
The Empanelled Bidders should execute Non-disclosure Agreement (NDA) as per Annexure-11 within one
month from the date of acceptance of Letter of Empanelment.

38. TERMINATION FOR DEFFAULT :
38.1. The Purchaser may, without prejudice to any other remedy for breach of contract, by written notice of
default of 30 days sent to the Supplier, terminate the Contract in whole or in part:
a. If the Empanelled Vendor fails to deliver any or all of the Goods and Services within the time
period(s) specified in the Contract, or within any extension thereof granted by the Purchaser or
b. If the Empanelled Vendor fails to perform any other obligation(s) under the Contract.
c. If the Empanelled Vendor, in the judgment of the Purchaser has engaged in corrupt or fraudulent
practices in competing for or in executing the contract.
38.2. In the event the Purchaser terminates the Contract in whole or in part, the Purchaser may procure,
upon such terms and in such manner, as it deems appropriate, Goods and services similar to those
undelivered and the supplier shall be liable to the Purchaser for any excess costs for such similar
Goods and/or Services. However, the Supplier shall continue performance of the Contract to the
extent not terminated.
39. FORCE MAJEURE :
39.1. The empanelled vendors shall not be liable for forfeiture of its Bid security or Empanelment security,
liquidated damages or termination for default, if and to the extent that it’s delay in performance or other
failure to perform its obligations under the contract is the result of an event of Force Majeure.
39.2. For purposes of this clause, “Force Majeure” means an event beyond the control of the Empanelled
vendor and not involving the Vendor’s fault or negligence and not foreseeable. Such events may
include, but are not restricted to, acts of the Purchaser in its sovereign capacity, wars or revolutions,
fires, floods, epidemics, quarantine restrictions and freight embargoes.
39.3. If a Force Majeure situation arises, the Empanelled Vendor shall promptly notify the Purchaser in
writing of such condition and the cause thereof. Unless otherwise directed by the Purchaser in writing,
the Empanelled Vendor shall continue to perform its obligations under the Contract as far as is
reasonably practical and shall seek all reasonable alternative means for performance not prevented by
the Force Majeure event.
40. TERMINATION FOR INSOLVENCY :
The Purchaser may at any time terminate the contract by giving written notice to the supplier if the
Supplier becomes bankrupt or otherwise insolvent. In this event, termination will not prejudice or affect
any right of action or remedy, which has accrued or will accrue thereafter to the Purchaser.

41. TERMINATION FOR CONVENIENCE :
41.1. The Purchaser, by written notice sent to the Supplier, may terminate the Contract, in whole or in part, at
any time for its convenience. The notice of termination shall specify that termination is for the
Purchaser’s convenience, the extent to which performance of work under the Contract is terminated
and the date upon which such termination becomes effective.
41.2. The Goods that are complete and ready for shipment within thirty (30) days after the Supplier’s receipt
of notice of termination shall be accepted by the Purchaser at the Contract terms and prices. For the
remaining Goods and Services, the Purchaser may elect -
a) To have any portion completed and delivered at the Contract terms and prices; and/or
b) To cancel the remainder and pay to the Supplier an agreed amount for partially completed Goods
& Services and for materials & parts previously procured by the Supplier.
42. RESOLUTION OF DISPUTES :
42.1. The Purchaser and the Supplier shall make every effort to resolve amicably by direct informal
negotiation any disagreement or dispute arising between them under or, in connection with the
Contract.
42.2. If, after thirty (30) days from the commencement of such informal negotiations, the Purchaser and the
Supplier have been unable to resolve amicably a Contract dispute, either party may require that the
dispute be referred for resolution to the formal mechanisms specified in this RFE. These mechanisms
may include, but are not restricted to, conciliation mediated by a third party, adjudication in an agreed
national forum and/or national arbitration.
42.3. The packing, marking and documentation within and out-side the packages shall comply strictly with
such special requirements as shall be expressly provided for, in the Contract, including additional
requirements, if any, specified herein and in any subsequent instructions ordered by the Purchaser.
43. JURISDICTION
Arbitration proceedings shall be held in Kolkata, India.
44. AUTHORIZED SIGNATORY
The selected Empanelled Bidders shall indicate the authorized signatories who can discuss and
correspond with The Bank, with regard to the obligations under the contract. The selected Bidder shall
submit at the time of signing the contract a certified copy of the resolution of their board, authenticated by
the company secretary, authorizing an official or officials of the Bidder to discuss, sign

agreements/contracts with The Bank, raise invoice and accept payments and also to correspond. The
Bidder shall provide proof of signature identification for the above purposes as required by the Bank.
45. CONTRACT AMENDMENT:
No variation in or modification of the terms of the Contract shall be made, except by written amendment
signed by the parties.
46. ASSIGNMENT:
The Empanelled vendor shall not assign, in whole or in part, its obligations to perform under the Contract,
except with the Purchaser’s prior written consent.
47. CANCELLATION OF EMPANELMENT PROCESS
Allahabad Bank reserves the right to accept any of the offers or reject in part or full any or all offers,
without assigning any reason thereof. Any decision of Allahabad Bank in this regard shall be final,
conclusive and binding upon the Bidders. The Bank reserves the right to accept or reject any Bid in part or
in full, and to cancel the Bidding process and reject all Bids at any time prior to contract award, without
thereby incurring any liability to the affected Bidder or Bidders or any obligation to inform the affected
Bidder or Bidders of the grounds for Bank’s action. During the evaluation process at any stage if it is found
that the Bidder does not meet the eligibility criteria or has submitted false /incorrect information the bid will
be rejected summarily by The Bank.
48. PUBLICITY
Any publicity by the Bidder in which the name of The Bank is to be used should be done only with the
explicit written permission of The Bank. The Bidder shall not make or allow making a public announcement
or media release about any aspect of the Contract unless The Bank first gives the Bidder its prior written
consent.
49. CORRUPT OR FRAUDULENT PRACTICES :
49.1. As per CVC directives it is required that Bidders/Suppliers/Contractors observes the highest standard
of ethics during the procurement and execution of such contracts. In pursuance of this policy;
(i) “Corrupt practice” means the offering, giving, receiving or soliciting of anything of value to
influence the action of a public official in the procurement process or in contract execution; And
(ii) “Fraudulent practice” means a misrepresentation of facts in order to influence a procurement
process or the execution of contract to the detriment of the Purchaser and includes collusive
practice among Bidders (prior to or after bid submission) designed to establish bid prices at

artificial non-competitive levels and to deprive the Purchaser of the benefits of free and open
competition.
49.2. The Purchaser will reject a proposal for award if it determines that the Bidder recommended for award
has engaged in corrupt of fraudulent practices in competing for the contract in question.
49.3. The Purchaser will declare a firm ineligible, either indefinitely or for a stated period of time, to be
awarded a contract if at any time it determines that the firm has engaged in corrupt or fraudulent
practices in competing for, or in executing a contract.
50. ARBITRATION
All disputes and differences of any kind whatever arising out of or in connection with this agreement shall
be referred to arbitration by sole arbitrator. The sole arbitrator shall be appointed by mutual consent of both
the parties; in case of disagreement, then the arbitration shall be conducted by panel of three arbitrators,
one to be nominated by each party and the two appointed arbitrators shall upon consensus appoint a
preceding arbitrator, before commencing the arbitration proceedings. Decision of the arbitrator or the panel
shall be final. Such arbitration is to be governed by the provision of the Indian Arbitration Act, 1996, and its
rules, as amended from time to time.The language of Arbitration shall be in English.

SECTION D- SPECIAL CONDITIONS OF CONTRACT
51. INSPECTION AND QUALITY CONTROL TESTS
The Bank reserves the right to carry out inspection by a team of Bank officials, of any of the existing live
installations of the Empanelled Bidders that have been referred to in the Technical Bid or demand a
demonstration of the solution proposed on a representative model in Bank/Bidder’s office.
52. ACCEPTANCE TESTS
The selected empanelled Bidder in presence of the Bank’s authorized officials will conduct acceptance test
at the site. The test will involve installation and successful operation of the developed software. On
successful completion of installation, commissioning, acceptability test, receipt of deliverables etc., and
after the solution runs successfully after going live and Bank is satisfied with the working on the system,
the acceptance certificate (as mutually decided and approved by the Bank) signed by the successful
empanelled Bidder and the representative of the Bank will be issued. The date on which such certificate is
signed shall be deemed to be the date of successful commissioning of the systems.
No additional charges shall be payable by the Bank for carrying out these acceptance tests.
53. MANUALS / DOCUMENTATION
53.1. Before the products / systems are taken over by the Bank, the empanelled selected bidder shall supply
User Manuals and any other manuals as required, for the software and all required interfaces. If
applicable, user manuals for Administrative Office / Zones / branches for all the models shall be
provided by the bidder. The manuals shall be in English.
53.2. Unless and otherwise agreed the products and equipment shall not be considered to be complete for
the purpose of taking over until such manuals have been supplied to the Bank.
53.3. The Supplier shall provide one set of Design Manual, System Manual, User manual and Security
Manual for all the supplied products. The Supplier shall also provide one soft copy of each of the
manuals. Soft and hard Copy Manuals shall be commensurate with number of installations of Products
in the Bank.
53.4. Documentation should be comprehensive & include:
Product literature
Operating manuals
General Specifications
Operator Reference manuals for each operator task
Messages manuals
Documentation on troubleshooting

54. CHANGE ORDERS
The Bank may, at any time, by a written order given to the successful empanelment Bidder, make changes
within the general scope of the Contract in Technical and functional specifications.
However, no Change Request (CR) will be considered for any changes/amendments in the software or in
any reports/statements, requested by the Bank within 6 months from the date of Go-Live of the application.
It shall be obligatory on the part of the bidder to comply with revised requirements of the Bank and arrange
to deliver them within reasonable items at no additional cost to the Bank.
Modifications /changes in functional specifications of project including all interfaces with respect to RBI/
NPCI/ Regulatory/ Audit requirements must be carried out by the Bidder with no additional cost to the Bank
during the warranty period and AMC/ATS period, if opted by the bank.
55. TAXES AND DUTIES
55.1. The Bidder will be entirely responsible to pay all taxes including GST, corporate tax and income tax,
duties, license fees, octroi, road permits etc. in connection with delivery of goods at site including
incidental services and commissioning.
55.2. Wherever the laws and regulations require deduction of such taxes at the source of payment, the
Purchaser shall effect such deductions from the payment due to the Bidder. The remittance of
amounts so deducted and issuance of certificate for such deductions shall be made by the Purchaser
as per the laws and regulations in force. Nothing in the Contract shall relieve the Bidder from his
responsibility to pay any tax that may be levied in India on income and profits made by the Bidder in
respect of this Contract.
55.3. GST/Sales Tax/VAT, Service Tax and Octroi / Entry Tax / equivalent local authority cess, applicable
shall be paid / reimbursed on actual basis on production of bills. Further, receipts of such payments
made to relevant authorities must be produced for Octroi / Entry Tax / equivalent local authority cess.
The Bank will not pay any other taxes, cost or charges. In case of any discrepancies found in filing of
the tax returns to respective tax authorities, due to which Bank is unable to get the CENVAT credit, the
Bank shall deduct the discrepant tax amount form the subsequent payments.
56. INDEMNITY
56.1. The Bidder hereby indemnifies Bank, and shall always keep indemnified and hold Bank, its employees,
personnel, officers, directors, representatives (hereinafter collectively referred to as “Personnel”)
harmless from and against any and all losses, liabilities, claims, actions, costs and expenses (including
attorneys’ fees) relating to, resulting directly or indirectly from or in any way arising out of any claim,
suit or proceeding brought against Bank as a result of:

Bank’s authorized/ bonafide use of the Deliverables and/ or the Services provided by Bidder
under this RFE; and/or
an act or omission of the Bidder, employees, agents, sub contractors in the performance of the
obligations (including delivery of equipment and performance of service) of the Bidder under this
RFE; and/or
claims made by employees or subcontractors or subcontractors’ employees, who are deployed
by the Bidder, against Bank; and/or
breach of any of the term of this RFE or breach of any representation or false representation or
inaccurate statement or assurance or covenant or warranty of the Bidder under this RFE;
and/or,
any or all Deliverables or Services infringing any patent, trademarks, copyrights or such other
Intellectual Property Rights; and/or,
breach of confidentiality obligations of the Bidder contained in this RFE; and/or,
willful negligence or gross misconduct solely attributable to the Bidder or its employees or sub-
contractors; and/or,
Non-compliance of the Bidder with Laws/ Governmental Requirements; and/or,
IP infringement under any laws including Copyrights Act 1957 and IT Amendment Act 2008;
and/or,
Loss of data due to any of the reasons mentioned above
56.2. The Bidder shall at its own cost and expenses defend or settle any such claim against Bank, provided
Bank notifies the Bidder in writing. The Bank shall cooperate with the Bidder in the defense and
settlement of the claims.
56.3. It will be the Bidder’s responsibility to rapidly do away with such third-party claims. The Bidder will also
pay any compensation arising from the infringement claims and the Bank will in no manner be
responsible for such payments. In addition, the Bidder will bear all the related expenses and legal fees.
56.4. On its part, the Bank will promptly relay to the Bidder any such claims and offer assistance within
reasonable limits to rid the claim.
56.5. The Bidder must undertake to indemnify that all the components delivered are free of defects, are
brand new and original. If at some stage it is discovered that the components do not meet these
criteria, the Bank has the right to cancel the order and the Bidder will have to refund the total amount
received from the Bank along with the interest and separate penalties. Similar conditions apply to
software as well. Software offered must be licensed and original.
56.6. All indemnities shall survive notwithstanding expiry or termination of the contract and bidder shall
continue to be liable under the indemnities

57. BIDDER’S LIABILITY
57.1. Bidder aggregate liability in connection with the obligations undertaken as a part of RFE regardless
of the form or nature of the action giving rise to such liability ( whether in contract or otherwise), shall
be at actual and limited to the value of the total Contract. This limit shall not apply to third party claims
for
IP infringement indemnity.
Bodily injury (including death) and damage to real property and tangible personal property caused
by bidder’s gross negligence.
57.2. Bidders liability in case of claims against the Bank resulting from misconduct/fraud or gross
negligence of bidders, its employees and sub-contractors or from infringement of patents, trademarks,
copy rights or such other Intellectual Property Rights or breach of confidentiality obligations shall be
unlimited.
57.3. Bidder will declare and undertake that the Bank shall not be held liable for and shall stand
absolved of any responsibility or claim/litigation arising out of the use of any third party
equipments supplied by bidder as a part of the RFE.
57.4. Under no circumstances Bank shall be liable to the selected vendor for direct, indirect, incidental,
consequential, special or exemplary damages arising from termination of this Agreement, even if Bank
has been advised of the possibility of such damages, such as, but not limited to, loss of revenue or
anticipated profits or lost business.
58. MINIMUM WAGES
The bidder hereby agrees and undertakes that during the subsistence of this agreement it will not employ
any personnel/individual below the Minimum Wages fixed by appropriate Government on this behalf from
time to time, as per the provisions of Minimum Wages Act 1948. Bidder should submit confirmation for
Government Rules relating to Minimum wages as per Annexure-19
59. PENALTY
59.1. The Bidder shall perform its obligations under the agreement entered into with The Bank, in a
professional manner.
59.2. If any act or failure by the Bidder under the agreement results in failure or inoperability of systems and
if The Bank has to take corrective actions to ensure functionality of its property, The Bank reserves the
right to impose penalty, which may be equal to the cost it incurs or the loss it suffers for such failures.
59.3. Bank may impose penalty to the extent of loss incurred, if the loss was due to the actions directly
attributable to the staff of Bidder.

59.4. If the Bidder fails to complete the due performance of the contract in accordance with the specification
and conditions of the offer document, The Bank reserves the right either to cancel the order or to
recover a suitable amount as deemed reasonable as Penalty / Liquidated Damage for non-
performance.
59.5. Failure to maintain uptime SLA will attract penalty.
59.6. The overall penalty (excluding Liquidated Damage) is limited to 20% of the total contract value.
60. CONFLICT OF INTEREST
The Bidder shall disclose to The Bank in writing, all actual and potential conflicts of interest that exist, arise
or may arise (either for the Bidder or the Bidder’s team) in the course of performing the Service(s) as soon
as practical after it becomes aware of that conflict.
61. OWNERSHIP AND RETENTION OF DOCUMENTS
61.1. The Bank shall own the documents, prepared by or for the selected Bidder arising out of or in
connection with the Contract.
61.2. Forthwith upon expiry or earlier termination of the Contract and at any other time on demand by The
Bank, the chosen empanelled Bidder shall deliver to The Bank all documents provided by or originating
from The Bank and all documents produced by or from or for the Bidder in the course of performing the
Service(s), unless otherwise directed in writing by The Bank at no additional cost.
61.3. The selected empanelled Bidder shall not, without the prior written consent of The Bank, store, copy,
distribute or retain any such Documents.
61.4. The selected empanelled Bidder shall preserve all documents provided by or originating from the Bank
and all documents produced by or from or for the Bidder in the course of performing the Service(s) in
accordance with the legal, statutory, regulatory obligations of the Bank/Purchaser in this regard.
62. COMPLIANCE WITH LAWS:
Compliance with all applicable laws: The Bidders shall undertake to observe, adhere to, abide by,
comply with and notify the Bank about all laws in force or as are or as made applicable in future, pertaining
to or applicable to them, their business, their employees or their obligations towards them and all purposes
of this tender and shall indemnify, keep indemnified, hold harmless, defend and protect the Bank and their
employees/ officers/ staff/ personnel/ representatives/ agents from any failure or omission on its part to do
so and against all claims or demands of liability and all consequences that may occur or arise for any
default or failure on its part to conform or comply with the above and all other statutory obligations arising
there from.

63. COMPLIANCE IN OBTAINING APPROVALS/PERMISSIONS/LICENSES:
The selected empanelled Bidder shall promptly and timely obtain all such consents, permissions,
approvals, licenses, etc., as may be necessary or required for any of the purposes during the duration of
the Contract or for the conduct of their own business under any applicable Law, Government
Regulation/Guidelines and shall keep the same valid and in force during the term of the contract, and in
the event of any failure or omission to do so, shall indemnify, keep indemnified, hold harmless, defend,
protect and fully compensate the Bank and their employees/ officers/ staff/ personnel/
representatives/agents from and against all claims or demands or liability and all consequences that may
occur or arise for any default or failure on its part to conform or comply with the above and all other
statutory obligations arising there from and the Bank will give notice of any such claim or demand of
liability within reasonable time to the bidder.
This indemnification is only a remedy for the Bank. The Bidder is not absolved from its responsibility of
complying with the statutory obligations as specified above. Indemnity would be limited to court or
appropriate authority awarded damages and shall exclude indirect, consequential and incidental damages.
However indemnity would cover damages, loss or liabilities suffered by the Bank arising out of claims
made by its customers and/or regulatory authorities.

1. In this Agreement words and expressions shall have the same meanings as are respectively assigned to
them in the Conditions of Contract referred to.
2. The following documents shall be deemed to form and be read and construed as part of this Agreement,

(b) RFE & it's addendums, (if any)
(c) The Purchaser’s Notification of Empanelment
(d) Empanelled Vendor’s Notification of Acceptance
3. In consideration of the payments to be made by the Purchaser to the Empanelled Vendors in terms of
Purchase Orders for software development placed by Head Office of the Purchaser, the empanelled
vendor hereby covenants with the Purchaser to provide services and to remedy defects therein in
conformity in all respects with the provisions of the contract. In case the empanelled Vendor is issued a
Purchase Order for software development, and the Vendor fails to provide the requisite services or does
not execute the project for any reason, then the Bank at its discretion may forfeit the Empanelment
Security submitted by the Empanelment Bidder4. The Purchaser hereby covenants to pay the Empanelled
vendor in consideration of the provision of the services and the remedying of defects therein, the
Purchase order Price or such other sum as may become payable under the provisions of the Contract at
the times and in the manner prescribed by the Contract.

1. Confidential information
"Confidential Information" means and includes all data, documents and information disclosed or to be

any and all information, in whole or in part, directly or indirectly, from such information including all notes,
summaries, analyses, compilations and other writings. Confidential information shall include any copy, abstract,

Receiving Party” means the party who receives the confidential information and is obligated to keep it secret
“Receiving Party” may use the information solely for and in connection with the Purpose.
"Disclosing Party" means party who discloses Confidential Information.
2. Use of Confidential Information
Each party agrees not to use the other’s confidential information for any purpose other than for the specific
purpose permitted in this agreement. Any other use of such confidential information by any party shall be made
only upon the prior written consent from the authorized representative of the other party or pursuant to
subsequent agreement between the Parties hereto.
The receiving party shall not commercially use or disclose for commercial purpose any confidential information
or any materials derived there from, to any other person or entity other than persons in the direct employment of
the Receiving Party who have a need to access to and knowledge of the confidential information solely for the
purpose authorized above. The Receiving Party may disclose confidential information to consultants only if the
consultant has executed non-disclosure agreement with the Receiving Party that contains terms and conditions
that are no less restrictive than these and such consultant should also be liable to the original disclosing party
for any unauthorized use or disclosure. The Receiving party shall take appropriate measures by instruction and
written agreement prior to disclosure to such employees to assure against unauthorized use or disclosure. The
Receiving Party agrees to notify the Disclosing Party immediately if it learns of any use or disclosure of the
Disclosing party’s confidential information in violation of the terms of this Agreement.
Neither party shall make news release, public announcements, give interviews, issue or publish advertisements
or Agreement, the contents/provisions thereof, other information relating to this agreement, the purpose, the
Confidential information or other matter of this agreement, without the prior written approval of the other party.
3. Exemptions
The obligations imposed upon either party herein shall not apply to information, technical data or know how
whether or not designated as confidential, that:
Is already known to the Receiving party at the time of the disclosure without an obligation of
confidentiality.
Is or becomes publicly known through no unauthorized act of the Receiving party.
Is rightfully received from a third party without restriction and without breach of this agreement.
Is independently developed by the Receiving party without use of the other party’s Confidential
Information and is so documented.
Is disclosed without similar restrictions to a third party by the Party owning the confidential information.

Is approved for release by written authorization of the disclosing party; or
Is required to be disclosed pursuant to any applicable laws or regulations or any order of a court or a
governmental body; provided, however that the Receiving party shall first have given notice to the
Disclosing Party an made a reasonable effort to obtain a protective order requiring that the confidential
information and / or documents so disclosed used only for the purposes for which the order was
issued.
4. Term
This agreement shall be effective from the date of the execution of this agreement and shall continue till
expiration or termination of this agreement due to cessation of the business relationship between the parties.
Upon expiration or termination as contemplated herein the Receiving party shall immediately cease any or all
disclosures or uses of confidential information and at the request of the disclosing party, the receiving party shall
promptly return or destroy all written, graphic or other tangible forms of the confidential information and all
copies, abstracts, extracts, samples, note or modules thereof.
The obligations of the receiving party respecting disclosure and confidentiality shall continue to be binding and
applicable without limit until such information enters the public domain.
5. Title and Proprietary Rights
Notwithstanding the disclosure of any confidential information by the Bank to the Bidder, the Bank shall retain
title and all intellectual property and proprietary rights in the confidential information. No license under any
trademark, patent or copyright or application for same which are or thereafter may be obtained by the Bidder is
either granted or implied by the conveying of confidential information.
6. Return of Confidential Information
Upon written demand of the disclosing party, the receiving party shall (I) cease using the confidential information
(ii) return the confidential information and all copies, abstracts, extracts, samples, note or modules thereof to the
disclosing party within seven (7) days after receipt of notice and (iii) upon request of the disclosing party, certify
in writing that the receiving party has complied with the obligations set forth in this paragraph.
The Bidder shall not make news releases, public announcements, give interviews, issue or publish
advertisements or publicize in any other manner whatsoever in connection with this Agreement, the contents /
provisions thereof, other information relating to this Agreement or information received under this Agreement,
the Purpose, the Confidential Information or other matter of this Agreement, without the prior written approval of
the Bank.

The Bidder shall not reverse-engineer, de-compile, disassemble, or otherwise interfere with any software
disclosed hereunder.
7. Remedies
The receiving party acknowledges that if the receiving party fails to comply with any of its obligations hereunder,
the disclosing party may suffer immediate, irreparable harm for which monetary damages may not be adequate.
The receiving party agrees that, in addition to all other remedies provided at law or in equity, the disclosing party
shall be entitled to injunctive relief hereunder.
8. Entire Agreement
This agreement constitutes the entire agreement between the parties relating to the matter discussed herein
and supersedes any and all prior oral discussion and/or written correspondence or agreements between the
parties. This agreement may be amended or modified only with the mutual written consent of the parties.
Neither this agreement nor any rights, benefits and obligations granted hereunder, shall be assignable or
otherwise transferable.
9. Severability
If any provision herein becomes invalid, illegal or unenforceable under any law, the validity, legality and
enforceability of the remaining provisions and this agreement shall not be affected or impaired.
10. Indemnity
The Bidder will indemnify the Bank against all actions, proceedings, Claims, suits, damages and any other
expenses for causes attributable to Bidder in connection with purchase of Hardware/software/goods under this
contract. The total liability of the Bidder under the contract will not exceed the total cost of the project.
11. Dispute Resolution Mechanism
In the event of any controversy or dispute regarding the interpretation of any part of this agreement or any
matter connected with, arising out of, or incidental to the arrangement incorporated in this agreement, the
matter shall be referred to arbitration and the award passed in such arbitration shall be binding on the parties.
The arbitral proceeding shall be governed by the provisions of Arbitration and Reconciliation Act 1996 and the
place of arbitration shall be Kolkata.
12. Jurisdiction
The parties to this agreement shall submit to the jurisdiction of courts in Kolkata.

The provisions of this agreement shall be governed by the laws of India.

to as “RFE”) issued by Allahabad Bank (“Bank”) we hereby covenant, warrant and confirm as follows:
We hereby agree to comply with all the terms and conditions / stipulations as contained in the RFE and the
related addendums and other documents including the changes made to the original tender documents issued
by the Bank. We understand that the Bank is not bound by any other extraneous matters or deviations, even if
mentioned by us elsewhere either in our proposal or any subsequent deviations sought by us, whether orally or
in writing, and the Bank’s decision not to accept any such extraneous conditions and deviations will be final and
binding on us. We confirm having read and understood the terms and conditions of the RFE & addendums as
well as the Procedures relating to the Bidding process. We hereby undertake and agree to abide by all the
terms and conditions stipulated by the Allahabad Bank in the RFE & addendum documents including all
annexes and the Procedure for Bidding Your bank is not bound to accept the lowest or any bid received by you,
and you may reject all or any bid. If our Bid for the above job is accepted, we undertake to enter into and execute
at our cost, when called upon by the Bank to do so, a contract in the prescribed form. Unless and until a formal
contract is prepared and executed, this bid together with your written acceptance thereof shall constitute as a
binding contract between us. If our bid is accepted, we are to be jointly and severally responsible for the due
performance of the contract. Your bank may accept or entrust the entire work to one bidder or divide the work to
more than one bidder without assigning any reason or giving any explanation whatsoever.

No Deviation:
We have submitted a no deviation bid and unconditionally accept all requirements, payment terms, SLAs and
the terms and conditions as mentioned in the said RFE including all corrigendum/amendment floated by
Allahabad Bank pertaining to Empanelment of Vendors for Software Development in Allahabad Bank. Any
assumption or exclusion submitted by us in the proposal which is contradictory to the RFE stands null and
void.
Know Your Employee (KYE)
We confirm that all the Resource (both on-site and off-site) deployed/to be deployed on Bank’s project for the
captioned RFE have undergone KYE (Know Your Employee) process and requisite checks have been
performed prior to employment of said employees as per our policy. We undertake and agree to save defend

and keep harmless and indemnified the Bank against all loss, cost, damages , claim penalties expenses, legal
liability because of non compliance of KYE and of misconduct of the employee deployed by us to the Bank We
further agree to submit the required supporting documents (Process of screening, Background verification
report, police verification report, character certificate, ID card copy, Educational document, etc) to Bank before
deploying officials in Bank premises for captioned RFE.
Minimum Wages
We confirm that the employees engaged/to be engaged by our Company to carry out the services in your bank
for the above said contract are paid minimum wages / salaries as stipulated in the Government (Central / State)
Minimum Wages / Salaries act in force. We also indemnify the Bank against any action / losses / damages that
arise due to action initiated by Commissioner of Labour for non- compliance to the above criteria. We further
authorize the Bank to deduct from the amount payable to the Company under the contract or any other contract
of the Company with the Bank if Labour Commissioner imposes a penalty towards non-compliance to the
“Minimum Wages / Salary stipulated by government in the Act by your company.
