Plan of Merger: =================================================================================

To all RASL Realtor® Members:

The following is the procedure approved by the Board of Directors for voting on the Plan of Merger and con-

ducting the Special Meeting to be held on August 8, 2013 at 10:00 a.m. at the Association office at 6666 South

U.S. Hwy 1, Suite One, Port St. Lucie, FL, 34952:

• Only Realtor® members of the Realtors Association of St. Lucie, Inc. ("RASL") may participate in the special

meeting to consider the Plan of Merger and only Realtor® members may vote to approve or disapprove of the Plan of

Merger. In order to participate in the meeting, a Realtor® member must be present, in person, at the meeting. There

will be no facilities or equipment provided or permitted to allow telephonic or other participation for the meeting.

• The vote shall be by an official paper ballot, which shall be prepared only by the Association, and shall provide a

choice to vote for or against the Plan of Merger. In order to be counted as a vote, the official ballot must clearly indi-

cate that the member has voted for or against the Plan of Merger and must be signed by the Realtor® member who

shall print his/her name legibly below the signature.

A Realtor® member may vote in person at the meeting or by proxy. If voting by proxy, in order for the ballot to be

counted in the vote, the official ballot, meeting the requirements above, must be delivered to the Association office by

hand delivery, by mail, by email (bkingry@rasl.com) or by fax (772-464-5774), so long as it is received at the Associ-

ation office by the close of the vote as announced by the President at the special meeting on August 8, 2013. If deliv-

ered by email, Association staff shall print the ballot upon receipt, but the vote will only be counted if it is properly

signed by the RASL Realtor® member with the name legibly printed below the signature.

In order to obtain an official ballot, a RASL Realtor® member may request the Association staff to provide the ballot

during normal business hours or may attend the special meeting where ballots shall be provided to each RASL Real-

tor® member. If a ballot is requested prior to the meeting, it may be provided to the requesting Realtor® member by

mail, email, fax or personal delivery, as may be reasonably available to the member and Association staff at the time

• A quorum shall consist of 5% of the Realtor® membership of RASL as of the time of calling the special meeting to

order. In order to determine a quorum, those RASL Realtor® members who are present at the special meeting in per-

son or by proxy (where the official ballot meeting the above requirements has been received by the Association at the

time that the special meeting is called to order) shall be counted. In other words, the quorum shall be determined by

counting the number of legible Realtor-signed official ballots that have been received at the Association office and by

all Realtors® present at the special meeting at the time the meeting is called to order.

• At the special meeting, after motion is made and seconded, a reasonable amount of time shall be allotted for dis-

cussion. The President (or chairman of the special meeting, if the President is not in attendance) shall determine when

the discussion shall end, at which time he shall call for the vote and permit sufficient time for Realtor® members pre-

sent at the special meeting to deliver their signed official ballots or proxy ballots to the person(s) appointed to collect

the ballots. After all ballots from those present have been collected, voting shall be declared closed and no further

voting shall be permitted, in person or in proxy by personal delivery, mail, email, fax or other permitted media.

• All ballots received in person or by proxy, properly executed by RASL Realtor® members at the time that voting is

declared closed shall be counted by persons appointed by the President. The President, in his discretion, may an-

nounce the results of the vote before adjourning the meeting or may adjourn the meeting to permit the count of the

ballots and announce the results to the members by email or other media. The Plan of Merger shall be approved or

disapproved by a majority vote of all of the official ballots cast as of the close of the vote at the special meeting.

• The special meeting shall be governed by Roberts Rules of Order. However, wherever there is a conflict between

these procedures and Roberts Rules of Order, these procedures shall supersede and control.
