WILEY ONLINE ENHANCED AGREEMENT FOR CONSORTIUM CUSTOMERS

This Agreement dated as of 1st January 2020 (the “Agreement”) sets forth the terms and conditions under which

John Wiley & Sons, Inc. (“Wiley US”), a New York corporation, 111 River Street, Hoboken, New Jersey 07030,

USA, and its affiliates, including without limitation, John Wiley & Sons, Ltd., a company incorporated under the

laws of England and Wales, The Atrium, Southern Gate, Chichester, West Sussex PO19 8SQ, UK (“Wiley UK”),

Wiley-VCH Verlag GmbH & Co. KGaA, a company incorporated under the laws of Germany, Boschstrasse 12

D-69469 Weinheim, Germany (“Wiley Germany”) and John Wiley & Sons Australia, Ltd., Level 5, 42

McDougall St., Milton, Queensland, Australia 4064 (“Wiley Australia”), collectively “Wiley” will provide the

organizations set out in Appendix A, hereinafter the Customer(s), duly represented by Kungliga biblioteket /

National Library of Sweden (the “National Library of Sweden”), whose primary business address is c/o Box

5039, SE-102 41 Stockholm, Sweden, with access to and use of the Electronic Products and Services subscribed

to by the Customers and with publishing services for open access articles in Wiley’s journals.

A. DEFINITIONS

The following terms shall be deemed to have the meaning as set forth below:

1. Accepted Articles - articles that have been accepted for publication in a Wiley journal.

2. Article Publication Charge (APC) - the charge levied by Wiley on acceptance for publication

for open access publication of an Accepted Article in Hybrid and Gold Open Access Journals, the

amount of which is dependent on the publication in which such material is published and on the

discount further described in Appendix D.

3. Authorized Users - Those persons who are authorized by the Customer to have access to the

Licensed Electronic Products. Authorized Users must be current or retired bona fide faculty

members, students, researchers, staff members, librarians, scientific staff, other executives or

employees of the Customer, or contractors engaged by the Customer (whether on a permanent,

temporary contract or visiting basis), provided such contractors have been informed of, and agree

to abide by, the Terms and Conditions of Use set forth herein and they access and use Wiley

Online Library (or other platforms designated by Wiley) via the Customer’s Secure Network.

Walk-in Users from the general public or business invitees may also be permitted by the

Customer to access and use Wiley Online Library (or other platforms designated by Wiley) from

designated terminals with a Customer-controlled IP address and are also considered as

Authorized Users. These designated terminals shall be physically located in libraries or similar

physical premises directly controlled by the Customer.

4. Corresponding Author - an individual member of teaching or research staff employed by or

affiliated to the Customer or a student enrolled at the Customer who is responsible for manuscript

submission, correction, proof reading, whole correspondence during the paper submission,

handling the revisions and re-submission of revised manuscripts up to the acceptance of the

manuscripts by Wiley, signing the author agreement allowing for the publication of the article,

and who is named as the Corresponding Author on the final published article; and who is

authorized by the Customer to submit the article to Wiley.

5. Customer – The organizations listed in Appendix A, who have agreed to participate in this

Agreement. Each such participating organization shall provide access via its Secure Network for

its Authorized Users as defined in this Agreement for the implementation of the Agreement. The

participating organizations comprising the Customer have given the National Library of Sweden

power of attorney to enter into this Agreement on their behalf and to make all payments due from

the Customer to Wiley under this Agreement.


The term “Customer” shall be deemed to include each such participating organization in the

singular and all such participating organizations, as the case may be.

Appendix A will include information on IP addresses for the Secure Network which are covered

by this Agreement and contacts for each such organization. Each Appendix for a Licensed

Electronic Product will specify financial terms for each organization.

6. Electronic Products - All products, services and content available in Wiley Online Library (or

other platforms designated by Wiley) are included within the definition of Electronic Products.

Details specific to the type of electronic products or services licensed hereunder as well as pricing

and the Customer’s access rights are provided in the appropriate Appendix. These products and

services are defined as follows:

a. Licensed Electronic Products - The electronic (online) editions of Wiley journals and

other publications and the content therein, including but not limited to major reference

works, Current Protocols laboratory manuals and databases which the Customer has

licensed hereunder as specified herein and in the appropriate Appendices.

Licensed Electronic Products are listed in the Appendices as follows:

- Appendix B Licensed Electronic Journals (the Database)

- Appendix E: Licensed Online Reference Works

- Appendix F: Current Protocols Online

- Appendix G: The Cochrane Library

b. Licensed Electronic Services – The electronic features and services in Wiley Online

Library (or other platforms designated by Wiley) available to the Customer and its

Authorized Users, as follows.

1. EarlyView – publishes peer reviewed, fully citable articles online as soon as they are

ready, before the release of the compiled journal issue.

2. Saved Title Alerts – allows Authorized Users to request and receive via e-mail the

tables of contents from any of the journals available online in Wiley Online Library

(or other platforms designated by Wiley) and to receive notification of articles newly

published which match specified search criteria.

7. Hybrid Journals - Subscription journals published by Wiley that also offer authors the option to

publish papers on an open access basis.

8. Gold Open Access Journals – Open access journals published by Wiley that publish all papers on

an open access basis.

9. Institutional Account List - the list of institutional account holders Wiley publishes on

https://authorservices.wiley.com/author-resources/Journal-Authors/licensing-open-access/open-

access/institutional-funder-payments.html.

10. Intellectual Property Rights - These rights include, without limitation, patents, trademarks,

trade names, design rights, copyright (including rights in computer software), database rights,

rights in know-how and other intellectual property rights, in each case whether registered or

unregistered, which may subsist anywhere in the world.


11. Secure Network - The network which provides access to Wiley Online Library for Authorized

Users via the Customer’s IP addresses. Authorized Users may access the Secure Network off-site.

12. Wiley Online Library - The online service (or any successor thereto) available from Wiley

including all products, services and features offered via the service. Certain products and services

under this Agreement may be delivered from other platforms as noted in the Appendices. The

terms and conditions hereof are equally applicable to those products and services.

13. WOAA - the Wiley open access account held by the Customer for the purposes of administering

open access workflows in Wiley’s Hybrid and Gold Journals.

B. ACCESS, USE AND PUBLICATION PRIVILEGES

1. Wiley grants to the Customer and its Authorized Users, during the Term as defined below, a non-

exclusive, non-transferable right and license to access and use, via Wiley Online Library (or other

platforms designated by Wiley), the full text and other material such as datasets published online for

the Licensed Electronic Products as listed in the Appendices attached hereto as may be amended from

time to time with a written amendment executed by both parties, on the Terms and Conditions of Use

described below.

2. Authorized Users will have access to all available tables of contents, article abstracts, chapter

summaries and associated websites for all Electronic Products.

3. The Customer grants access to and use of Wiley Online Library (or other platforms designated by

Wiley) only to Authorized Users as defined herein. The number of the Authorized Users who may

simultaneously access and/or use Wiley Online Library (or other platforms designated by Wiley) is

unlimited.

4. The Customer acknowledges that the Electronic Products, Wiley Online Library, Wiley’s other

platforms, and the Intellectual Property Rights contained therein are protected by law. All rights not

specifically licensed herein to the Customer are expressly reserved by Wiley. The contents of the

Electronic Products are solely for the non-commercial personal, scholarly, educational or scientific

research use of the Authorized Users.

5. Wiley reserves the right, upon prior notice to Customer, to withdraw from the Licensed Electronic

Products any item or part of an item for which it no longer retains the right to publish, or which it has

reasonable grounds to believe infringes copyright or is defamatory, obscene, unlawful or otherwise

objectionable. For journal titles that are transferred out of the Licensed Electronic Products, Wiley

will use all reasonable efforts to comply with the Transfer Code of Practice or to the prevailing

industry standard at the time. In the event of a material change, the parties shall negotiate in good

faith an appropriate amount as fair compensation for such material change.

For the avoidance of doubt, if a journal no longer offers the option to publish papers on an open

access basis during the Term but still remains published or controlled by Wiley and/or any of its

affiliates, Customer will keep continuous access to this journal during the rest of the Term.

6. Wiley grants Corresponding Authors during the Term, as defined below, a non-transferable right to

publish Accepted Articles open access (“Open Access Right”) in Wiley’s Hybrid and Gold Open

Access Journals as provided in Appendix C subject to payment provided in Appendix D. For the

avoidance of doubt, the Open Access Right shall only apply to Articles accepted for publication by

Wiley between the implementation of this Agreement and 31st December 2022. Corresponding


Authors publishing Accepted Articles open access will be required to sign the then-current author

agreement provided by Wiley. In the event of any conflict between the provisions of this Agreement

and the provisions of such author agreement, the provisions of this Agreement shall prevail.

C. TERMS AND CONDITIONS OF USE

1. The rights and restrictions governing access to and use of Wiley Online Library (and other

platforms designated by Wiley) and the Electronic Products by the Customer and its Authorized

Users, as well as the Open Access Right, are outlined below.

a. Authorized Users may download, search, retrieve, display and view, copy and save to a

Secure Network or other electronic storage media and store or print out single copies of

individual articles, chapters or entries in the Licensed Electronic Products for the

Authorized User’s own personal use, scholarly, educational or scientific research or

internal business use. Authorized Users may also transmit such material to a third-party

colleague in hard copy or electronically, for personal use or scholarly, educational, or

scientific research or professional use but in no case for re-sale, systematic distribution,

e.g. posting on a listserv, network (including systematic distribution through social

networking websites and scholarly collaboration networks, except for those that have

agreed to Wiley’s Article Sharing Policy found here:

https://onlinelibrary.wiley.com/researchers/tools-resources/article-sharing and solely in

accordance therewith) or automated delivery, or for any other use. Authorized Users may

also publicly display or publicly perform limited excerpts of the Licensed Electronic

Products as part of a presentation at a seminar, conference, or workshop, or other similar

events for scholarly, educational or scientific research. In addition, Authorized Users

have the right to use, with appropriate credit, figures, tables and brief excerpts from

individual articles, chapters or other entries from the Licensed Electronic Products in the

Authorized User’s own scientific, scholarly and educational works such as books and

articles. This right does not extend to use of material, including images or figures, that are

separately and expressly listed as the copyright of a third party.

b. All Authorized Users have the option to create a My Profile Page which will allow them

to create data files and links to articles, chapters and entries of interest in the Licensed

Electronic Products, and search criteria which may be reused by them. In order to do so,

the Authorized User will have to select and register a user name and password which the

Authorized User must keep confidential and not disclose to or share with anyone else.

c. The Customer and its Authorized Users may create links to Wiley Online Library (or

other platforms designated by Wiley) from their Online Public Access Catalog (OPAC)

records, library catalogs, link resolvers, locally hosted databases or library web pages,

provided those links are operated by the Customer on a Secure Network, do not result in

access to licensed content by anyone other than Authorized Users and are not used in

connection with any paid or commercial service or for any other commercial use

whatsoever. Authorized Users may search, view, and browse Licensed Electronic

Products using the interface provided by Wiley. Automated searching, robotic searching

and decompilation are strictly prohibited, unless otherwise permitted herein.

d. Authorized Users who are members of the Customer’s faculty or staff may download and

print out multiple copies of material from Licensed Electronic Products for the purpose of

making a multi-source collection of information for classroom use (course-pack) or a

virtual learning environment, to be distributed to students at the Customer's institution

free of charge or at a cost-based fee. Course packs in non-electronic non-print perceptible


form, such as Braille, may also be offered to Authorized Users who are reading impaired

at the cost of the Customer or at a cost-based fee. Material from Licensed Electronic

Products may also be stored in electronic format in secure electronic data files for access

by Authorized Users who are students at the Customer’s institution, as part of their

course work, so long as reasonable access control methods are employed such as user

name and password.

e. The Customer’s library staff may supply to another library in Sweden, upon request by

that library, either a single paper copy (by post or fax) or an electronic copy of an

individual document from the Licensed Electronic Products, for the purpose of research

or private study, and not to be shared further beyond such purpose.

f. As provided in and without prejudice to the users rights granted by Article 3 of the EU

Directive on copyright and related rights in the Digital Single Market (2019/790) and

further described in Recitals 8 to 17 of the same directive, Authorized Users may,

through an approved API service such as CrossRef’s TDM service or a Wiley API, use

and make copies of the Licensed Electronic Products to perform and engage in text and

data mining activities for non-commercial purposes. For the avoidance of doubt,

Authorized Users are free to use the output of such text and data mining activities as

authorized by law and any rights, including but not limited to database rights, created as a

result of such activities are the sole property of the Authorized Users subject to the

underlying rights in the Licensed Electronic Products.

g. Authorized Users may, when reading or visually impaired, use Braille displays, voice

synthesizers and other such devices to enable use of the Licensed Electronic Products.

h. The right to publish open access in Wiley’s Hybrid and Gold Open Access Journals is

granted only to Corresponding Authors subject to the terms of Appendix C. Wiley

reserves the right to verify periodically that Corresponding Authors qualify under the

description listed above.

i. The Corresponding Author and its co-authors whose work is accepted for behind-paywall

publication (i.e. non open access) within the Licensed Electronic Products retain the non-

exclusive, royalty-free right to use their work for personal use, scholarly, educational or

scientific research, including self-archiving or depositing the accepted version of the

work in institutional, subject-based, national or other open not-for-profit repositories or

archives (including the author's own web pages or departmental servers), and to comply

with all grant or institutional requirements associated with the work, provided that a link

to the work on the Wiley Online Library is included subject to the terms of Wiley’s

sharing guidelines

The Customer will make all reasonable efforts to link from the deposited version to the

final article on Wiley Online Library and include the following notice: ‘This is the peer

reviewed version of the following article: FULL CITE, which has been published in final

form at [link to final article].

For the avoidance of doubt, it is the intent of the parties to this Agreement that the

Corresponding Author and its co-authors are third party beneficiaries of this provision of

the Agreement.

2. Except as provided in Paragraph C.1 above or with respect to material published on an open

access basis, Authorized Users may not copy, distribute, transmit or otherwise reproduce, sell, or

resell material from the Electronic Products; store such material in any form or medium in a

retrieval system; or transmit such material, directly or indirectly, for use in any paid service such

as document delivery or list serve, or for use by any information brokerage or for systematic

distribution, whether or not for commercial or non-profit use, or for a fee or free of charge.

3. The Customer and its Authorized Users may not remove, obscure or modify any copyright or

proprietary notices, author attribution or any disclaimer as they appear on Wiley Online Library

(or other platforms designated by Wiley). Authorized Users may not integrate material from the

Electronic Products with other material or otherwise create derivative works in any medium.

However, brief quotations for purposes of comment, criticism or similar scholarly purposes are

not prohibited herein.

4. Authorized Users may not do anything to restrict or inhibit any other Authorized User’s access to

or use of Wiley Online Library (or other platforms designated by Wiley) and the Licensed

Electronic Products.

5. If an Authorized User fails to abide by these Terms and Conditions of Use or other terms of this

Agreement, or a Customer hosts an IP address or range of addresses that have been identified as

abusive or malicious, Wiley reserves the right in its sole discretion to suspend access to Wiley

Online Library (or other platforms designated by Wiley) and the Licensed Electronic Products by

such Authorized User or IP address(es) immediately without notice, in addition to any other

available remedies. Except in the case of a material breach dangerous to the integrity and

security of Wiley Online Library (or other platforms designated by Wiley), or for a breach which,

if not immediately remedied, is likely to continue to cause damage, Wiley shall give prior written

notice to the Customer of its intention to suspend such access and shall allow the Customer and/or

the Authorized User as applicable 30 days after receipt of such notice to cure the breach or agree

to abide by the terms and conditions of this Agreement. The Customer shall notify Wiley when

malicious credentials associated with offending IP address(es) have been remediated. Wiley shall

immediately restore services upon notification that credentials associated with the abusive or

malicious activity have been remediated.

6. Nothing in this Agreement, including but not limited to Paragraph C, shall be interpreted to

diminish the rights and privileges of the Licensee or Authorized Users that they may want to rely

on under the applicable law, including exceptions or limitations to the exclusive rights of

copyright owners.

D. FEES AND CHARGES

1. The fees for online access to and use of the Licensed Electronic Products by the Customer and its

Authorized Users, and for publishing services provided to Corresponding Authors and other

services provided by Wiley under this Agreement (the “Licensing and OA Publishing Fees”),

are specified in Appendix D attached hereto, and will be due within 60 days from invoice receipt.

All invoices will be provided electronically in the PEPPOL BIS Billing 3 format. The National

Library of Sweden is responsible for the payment of the invoice. For the avoidance of doubt, any

fees are exclusive of any sales, use, value added tax or similar taxes and the Customer is liable for

any such taxes in addition to the fees.

2. The Customer is responsible for any charges associated with accessing Wiley Online Library (or

other platforms designated by Wiley) and the Licensed Electronic Products, including, but not

limited to, any computer equipment, telephone or Internet connections, and access software.


3. The Customer is responsible for ensuring that any third party authorized by the Customer to

make payments on its behalf shall promptly pay Wiley the full amounts due under this

Agreement.

4. Wiley shall annually send the National Library of Sweden an Invoice Agreement Letter at the

latest within the first week of January of each calendar year of the Term. The actual invoice will

be dated January month. Upon the Customer’s signature on the Invoice Agreement Letter or

written acceptance of fees via email, and payment of fees set forth therein, this Agreement shall

apply, or shall renew for the period set forth in the Invoice Agreement Letter. The terms and

conditions of this Agreement (including updated Appendices) shall continue to apply.

5. Wiley may issue invoices through any of its affiliates upon prior notice to Customer.

E. MUTUAL OBLIGATIONS

1. Wiley will:

a. ensure uninterrupted online access to and continuous availability of the Licensed

Electronic Products to Authorized Users in accordance with this Agreement, and restore

access to such Licensed Electronic Products as promptly as possible in the event of an

interruption or suspension of the Wiley Online Library service (or other platforms

designated by Wiley) which is not attributable to any third-party service provider over

which Wiley has no control (e.g. an Internet or telecommunications service provider).

Within the control of Wiley, scheduled downtime will be performed at a time to

minimize inconvenience to customers worldwide. Wiley will use reasonable efforts to

notify the Customer of scheduled downtime. In case of prolonged and/or repeated

interruption or suspension of the Wiley Online Library service, Customer shall be entitled

to claim fair damages and/or compensation from Wiley, in addition to any other available

remedies;

b. provide aggregate usage statistics to the Customer which are compliant with the most

current version of the COUNTER Codes of Practice or conform to the then-prevailing

industry standard (except as otherwise specified in the attached Appendices) about the

use of the Licensed Electronic Products by the Customer’s Authorized Users, consistent

with applicable privacy laws and confidentiality requirements. Usage statistics will be

delivered using the most current version of the Standardized Usage Statistics Harvesting

Initiative (SUSHI) protocol;

c. use all reasonable efforts to provide link-resolver vendors and other library systems

suppliers quarterly with full details of the Licensed Electronic Products in accordance

with the most current KBART standard (http://www.uksg.org/kbart/s5/guidelines); and

also with related data of (i) the first and final year, volume, and issue and (ii) the

algorithm or syntax for constructing an article-level link from an article’s metadata within

the Licensed Electronic Products;

d. make commercially reasonable efforts to meet the W3C standards

(www.w3.org/WAI/Resources/#in), the Open URL Standard (ANSI/NISO Z39.88), the

NISO recommended practice Access and License Indicators (NISO RP-22-2015) and

NISO recommendations for Mechanisms for Distributing Metadata, which includes

delivering metadata to Crossref and other relevant third parties;

e. make reasonable efforts to deliver, upon request, metadata relating to the Licensed

Electronic Products to the National Library of Sweden and Customer by FTP data feed or


by any other means agreed between the parties. The metadata will contain the following

fields: chapter/article title, book/journal title, ISBN/ISSN, author(s), volume, issue, year,

page, publisher and link to full text on the Wiley Online Library (or another platform

designated by Wiley). The National Library of Sweden may load and format the metadata

onto the freely accessible National Union Catalogue Libris (http://libris.kb.se). The

Customer may load and format the metadata onto the Customer’s server to enable

indexing of the Licensed Electronic Products by the Customer solely for the purpose of

enhanced navigation. The Customer may load the metadata to a secure third-party server

provided that the Customer is contractually responsible for the third party. The records

will be used for the purpose of increasing discoverability of journal articles in Wiley

Online Library (or other platforms designated by Wiley) for the benefit of its Authorized

Users. Access to the full text will solely be available to Authorized Users on Secure

Network. Wiley agrees to permit the National Library of Sweden and the Customer to

release metadata relating to the Licensed Electronic Products.

f. designate both Portico and CLOCKSS as third-party providers of perpetual access in the

Licensed Electronic Products. The Customer may access the Licensed Electronic

Products on either Portico’s or CLOCKSS’ server, or another third-party provider

designated by Wiley solely in the event of a Trigger Event (as defined below), provided:

o Wiley continues to designate Portico, CLOCKSS or such third party as a

provider;

o the Licensed Electronic Products are available on Portico, CLOCKSS, or such

third party;

o Wiley maintains copyright over the Licensed Electronic Products;

o Portico’s, CLOCKSS’ or such third party’s reasonable procedures for providing

access are followed.

“Trigger Event” (i) if Wiley makes a general assignment for the benefit of creditors, or

files a voluntary petition in bankruptcy or for reorganization or rearrangement under the

bankruptcy laws, or if a petition in bankruptcy is filed against it and is not dismissed

within 60 days after the filing, or if a receiver or trustee is appointed for the property or

assets of Wiley or an equivalent or similar event or proceeding occurs in any jurisdiction,

or ceases its scholarly publication operations; or (ii) downtime of Wiley Online Library

and/or a total loss of access by the Customer to the Licensed Electronic Products for at

least 30 days.

Such access would be deactivated immediately on resumption of access to Wiley Online

Library.

g. publish on an open access basis Accepted Articles submitted by Corresponding Authors,

accepted by Wiley, and the Corresponding Authors selecting the open access option in

the workflow provided by Wiley (open access being the default option provided that the

Corresponding Authors properly identified their affiliation), subject to the terms of

Appendix C and payment of the fee outlined in Appendix D.

2. The Customer will:

a. take all reasonable measures to inform Authorized Users of the Terms and Conditions of

Use governing access to Wiley Online Library (and other platforms designated by Wiley)

and to emphasize to such Authorized Users the need to comply with whatever restrictions

on access, use, reproduction and transmission are included therein;

b. make access available to Authorized Users only through the Customer’s Secure Network

and from valid IP addresses or other secure authentication methods as described in the

appropriate Appendix; undertake reasonable measures within its control to prevent access


to and improper use of the Licensed Electronic Products and Wiley Online Library (and

other platforms designated by Wiley) by unauthorized persons (including without

limitation using the most current patches, regularly scanning the Secure Network for

vulnerabilities, and regularly monitoring the proxy logs for unauthorized user access

(such as multiple logins using the same id, high volume downloads, and

tracking/blocking automated traffic)); and take responsibility for remediating all issues

uncovered and for suspending any unauthorized access of which it has actual notice or

knowledge;

c. provide Wiley with information about the Customer’s IP addresses which can be used by

Wiley to authenticate Authorized Users and for the purposes of identifying

Corresponding Authors. The Customer represents that all such IP addresses shall be

limited to the Customer’s Secure Network, and shall be listed in Appendix A as updated

from time to time. The Customer is responsible for ensuring that all IP addresses on

Appendix A or otherwise provided to Wiley correspond with the Customer’s IP addresses

and are limited to the physical addresses specified in this Agreement.

d. use all reasonable efforts to monitor compliance with the Terms and Conditions of Use

and promptly notify Wiley of any copyright infringement or unauthorized usage of the

Electronic Products which comes to the Customer's attention; and cooperate with Wiley

as reasonably necessary in the investigation of such infringement or unauthorized use and

in any action which Wiley takes to enforce its copyright and other Intellectual Property

Rights, at Wiley’s expense. Notwithstanding the above, the Customer will not be

responsible for such unauthorized use which is done without the express or implied

consent of the Customer, provided that the Customer has taken reasonable steps to

prevent such misuse and, upon learning of it, uses all reasonable efforts to ensure that

such activity ceases, and notifies Wiley promptly of any such breach or infringement.

F. PRIVACY AND DATA PROTECTION POLICY

Wiley recognizes the importance of protecting the information it collects in the operation of Wiley Online

Library (and other platforms designated by Wiley) and will act in compliance with the General Data

G. TERM AND TERMINATION

1. The term of this Agreement shall commence on 1st January 2020 and end on 31st December 2022

(“Term”). Customer has the option to extend the Term up to two additional years under the same

terms and conditions and subject to the additional terms of the Wiley offer, submitted and agreed

to by the Customer on November 5th, 2019 (“2020 BIBSAM Transitional Proposal v13 051119”).

2. Wiley may suspend access to Wiley Online Library by an Authorized User who breaches Wiley's

Terms and Conditions of Use or infringes the copyright or other Intellectual Property Rights in

the Electronic Products or Wiley Online Library under the same conditions as provided in

Paragraph C.5 above, and Customer shall assist Wiley as reasonably necessary.

3. Either party may terminate this Agreement if the other party materially breaches its obligations

under this Agreement and fails to cure such material breach, provided that the non-breaching

party shall give written notice of its intention to terminate and shall allow the breaching party 60

days after receipt of such notice to remedy the breach. In case of a Customer’s breach, the

termination and all its consequences will only affect the breaching organization. On termination

for Wiley’s breach, Wiley shall forthwith refund the proportion of the Licensing and OA


Publishing Fees that represents the paid but unexpired part of the Term and unused portion of the

OA Fund, in addition to any other available remedies.

4. Notwithstanding Paragraph G.3 above, either party’s failure to perform any term or condition of

this Agreement as a result of conditions beyond its control such as, but not limited to, war,

strikes, fires, floods, governmental restrictions, acts of terrorism, public health emergencies,

power failures, or damage to or destruction of any network facilities or servers, shall not be

deemed a breach of this Agreement.

5. The Customers have the option to opt out during the Term. Notice of such a decision must reach

Wiley by November 1st at the latest for implementation at the commencement of the next calendar

year. In this case, the concerned Customers’ Licensing and OA Publishing Fee will be deducted

from the invoice. Access in perpetuity will be maintained as outlined in the appropriate

Appendix.

6. Should the overall value invoiced in each year of the Agreement decline by more than 3% of the

annual fees outlined in Appendix D (excluding overage payments by Customers or individual

authors for APCs), all pricing terms of this Agreement will be subject to renegotiation.

7. New organizations have the option to opt in during the Term under the same terms and conditions

as set forth herein. Notice of such a decision must reach Wiley by November 1st at the latest for

implementation at the commencement of the next calendar year. In this case, the new

organizations’ fee will be added to the invoice.

H. WARRANTY AND DISCLAIMERS

1. Wiley represents and warrants that it has the right and authority to make the Licensed Electronic

Products available to the Customer and its Authorized Users pursuant to the terms and conditions

of this Agreement and that the Licensed Electronic Products do not infringe upon any copyright,

patent, trade secret or other proprietary right of any third party.

2. Wiley Online Library (and other platforms designated by Wiley) may provide Authorized Users

with links to third-party websites. Where such links exist, Wiley disclaims all responsibility and

liability for the content of such third-party websites. Authorized Users assume sole responsibility

for the accessing of third-party websites and the use of any content on such websites.

3. Except for the warranties provided by Wiley in Paragraph H.1 above,

a. Wiley Online Library, other platforms designated by Wiley, and the Electronic Products

and all materials contained therein are provided on an "as is" basis, without warranties of

any kind, either express or implied, including, but not limited to, warranties of title, or

implied warranties of merchantability or fitness for a particular purpose;

b. the use of the Electronic Products, Wiley Online Library, other platforms designated by

Wiley, and all materials is at the Authorized User’s own risk, provided that nothing in

this Agreement shall limit or exclude the Wiley’s liability for death or personal injury

caused by its negligence or that of its employees, servants or agents;

c. access to Wiley Online Library, other platforms designated by Wiley, and the Electronic

Products may be interrupted as provided in this Agreement and may not be error free; and


d. neither Wiley nor anyone else involved in creating, producing or delivering Wiley Online

Library, other platforms designated by Wiley, the Electronic Products, or the materials

contained in such platforms, shall be liable for any indirect, incidental, special,

consequential or punitive damages arising out of the Authorized User’s use of or inability

to use Wiley Online Library, other platforms designated by Wiley, the Electronic

Products, and all materials contained therein.

4. Wiley shall indemnify and hold the Customer harmless from and against any damages, costs,

loss, liability, expenses and fees (including reasonable attorney’s fees) resulting from any

legal action and/or judgment against the Customer arising out of the claim of a third party that

Wiley’s license of the Licensed Electronic Products or the Customer’s use thereof constitutes

an infringement of any copyright, patent, trade secret or other proprietary right of any such

third party. This indemnity shall survive termination of the Agreement for any reasons. This

indemnity shall not apply if the claim involves content which has been modified or used in a

manner not permitted under this Agreement.

The Customer shall give prompt notice of an infringement claim to Wiley, shall provide such

cooperation and assistance to Wiley as is reasonably necessary to defend the claim, and shall

allow Wiley to have the sole control of the defense, provided, however, that the Customer

retains the right to participate in the defense at its own expense.

5. Under no circumstances shall Customer and/or its Authorized Users be liable for any indirect,

incidental, special, consequential or punitive damages of any character arising out of the use

of or inability to use Wiley Online Library, the Electronic Products and all materials contained

therein.

6. Irrespective of the cause or form of action (except for Paragraph H.4 above), each party’s

aggregate liability for any claims, losses, or damages arising out of any breach of this

Agreement shall in no circumstances exceed the Licensing and OA Publishing Fee paid by

and plus amounts owed by concerned Customer to Wiley for the calendar year during which

the breach occurs.

I. CONFIDENTIALITY PROVISIONS

1. Thirty days after execution of this Agreement, this Agreement or any part of it can freely be made

public by Wiley and/or the Customer, as well as by the National Library of Sweden.

2. While negotiating this Agreement and during the Term thereafter, one party may provide the

other with certain information which may be oral or written (including information in electronic

format), which is deemed confidential (“Confidential Information”). For the purposes of this

Agreement, Confidential Information is defined to include all information pertaining to Wiley

Online Library which is proprietary to Wiley, and any other material which has either been

marked “confidential” by one of the parties or which, by the nature of the circumstances

surrounding the disclosure, would be clearly understood to be confidential by a reasonable party.

Confidential Information does not include any information which at the time of disclosure is: (a)

known to the recipient independently of this Agreement without a breach of any confidentiality

obligation; (b) is in the public domain; (c) is made available to the recipient at any time by an

independent third party which has not obtained it directly or indirectly in breach of any obligation

of confidentiality to a party of this Agreement.

3. Confidential Information shall be used by the parties solely for the purposes of negotiating and

implementing this Agreement. The parties agree to take reasonable care to protect the

Confidential Information from disclosure to third parties and to limit disclosure of the


Confidential Information to those employees or contractors of the parties including affiliates of

the parties who have a need to know in connection with this Agreement, and who have been made

aware of, and agree to abide by, these restrictions. When disclosure is legally mandated, the

parties will use, whenever possible, a version of the Agreement without Confidential Information.

4. Customer and the National Library of Sweden are government agencies that must act in

accordance with the Swedish Freedom of Information and Secrecy Act (SFS 2009:400). Should

any conflict arise between the Swedish Freedom of Information and Secrecy Act and Section I.2

and I.3 of this Agreement, the Swedish Freedom of Information and Secrecy Act will prevail.

J. GENERAL PROVISIONS

1. Wiley may assign its rights under this Agreement to its successors, subsidiaries or assigns which

will be bound by the same terms and conditions. Wiley will notify the Customer in writing of any

transfer or assignment. This Agreement may not be assigned by the Customer except with the

prior written consent of Wiley.

2. This Agreement shall be construed and interpreted pursuant to the laws of Sweden without

regard to conflict of law rules. Any dispute, controversy or claim arising out of or in connection

with this contract, or the breach, termination or invalidity thereof, shall be finally settled by

arbitration in accordance with the Arbitration Rules of the London Chamber of Arbitration, which

Arbitration Rules are deemed to be incorporated by reference into this clause. The Arbitral

Tribunal shall be composed of a sole arbitrator. The seat, or legal place, of arbitration shall be

London, the United Kingdom, and the language to be used in the proceedings shall be English.

Any award of the arbitrator may be entered as a judgment in any court of competent jurisdiction.

3. In the event of a material breach of the terms and conditions of this Agreement by either party,

the non-breaching party shall be entitled to all remedies available pursuant to this Agreement or

at law.

4. Any notice, request, statement or other communication to be given hereunder to any party shall

be in writing addressed to Wiley at the address on page one, attention Executive Vice President,

and to the Customer’s Agreement Administrator at the address on Appendix A, or mailed or

delivered to such other address as each party may designate by notice given in like manner, and

any such notice, request, statement or other communication, shall be deemed to have been given

when received, except that if mailed by registered or certified mail, return receipt requested, or

delivered by overnight courier service, it shall be deemed to have been given when mailed as

aforesaid or when delivered.

5. This Agreement constitutes the complete understanding of the parties and supersedes all prior

understandings between the parties with respect to the subject matter of this Agreement. No

modification, amendment, or waiver of any provisions shall be valid unless in writing and

executed by the parties. Any waiver in one or more instances by either of the parties of any

breach by the other of any terms or provisions contained in this Agreement shall not be

considered a waiver of any succeeding or preceding breach. In the event that any clause of this

Agreement is determined to be void or unenforceable, the remainder of the Agreement shall

survive.

6. All Appendices attached or to be attached to this Agreement are incorporated herein and shall be

governed by the terms and conditions of this Agreement unless otherwise specified in such

Appendix. In the event of any conflict between the terms of an Appendix and the terms of this

Agreement, the terms of the Appendix will govern.

APPENDIX A – THE CUSTOMER

When additional organizations agree in writing to the terms of their participation in this Agreement, they are

deemed to be included in the definition of Customer as parties to the Agreement. Appendix A will be amended to

include information on sites and contacts. Financial terms and other supporting documents for each such

Customer will be attached to this Agreement in a separate amendment.

APPENDIX B – LICENSED ELECTRONIC JOURNALS – THE DATABASE

Customers: Organizations duly represented by the National Library of Sweden as listed in Appendix A The Database will comprise all subscription-based journal titles published on Wiley Online Library (or any platform designated by Wiley) including titles previously excluded from collections, transfer titles and newly launched journals. The complete list of titles included for 2020 in the Database is included in Schedule 1 below. The following titles included in the 2020 Database are not available via Wiley Online Library: British Journal of Radiology (BJR) and Dentomaxillofacial Radiology (DMFR). However, they may be accessed via the URL https://www.birpublications.org/action/showLogin. The Customer will be able to obtain Usage statistics for BJR and DMFR via the URL https://www.birpublications.org/page/usagedata. Wiley may change the URLs at its sole discretion. Wiley will provide the Customer with a list of all journals included in the Database in the following year each September 1st of the Term, including all confirmed new and transfer journal titles. For journal titles that are transferred out of the Database, Wiley will use all reasonable efforts to comply with the Transfer Code of Practice or to the then-prevailing industry standard. Such lists shall be delivered in MS Excel format and shall include: title, print ISSN and online ISSN, URL, access start year, volume, issue, as well as indication of the Hybrid Journals and their APC list price. Such lists will be merged and delivered together with similar lists described in Appendix C. Archival Access The subscription will entitle the Customer to online access to the electronic files of all content published in the journals that comprise the Database during the term of the subscription and retrospective content, generally back to 1997, depending on the start date of online publishing by Wiley. Retrospective content for BJR and DMFR is provided back to 2009. For the avoidance of doubt, this does not include any material included in Backfiles (i.e. generally older than 1997) for the same journals. Perpetual Access Upon termination of this Agreement, Wiley will provide the Customer with perpetual access to the electronic files of all content published in the journals that comprise the Database during the term of the subscription, in the format originally published, where Wiley has the rights to deliver this. For the avoidance of doubt, the Customer will retain perpetual access rights to current electronic files and retrospective content, generally back to 1997, for any journals in which the Customer currently has such rights. Retrospective content for BJR and DMFR is provided back to 2009. No perpetual access rights are provided under this Appendix B for any material included in Backfiles (i.e. generally older than 1997) for the same journals. Wiley will continue online perpetual access to the Database on Wiley's server or that of a third party, in the format originally published. As a last resort, Wiley will provide Customer with an archival copy in the electronic medium selected by Wiley at a reasonable cost-based fee, mutually agreed by the parties. If a Customer leaves the Agreement before the end of the full Term, then the Customer will lose any perpetual access rights to the content published during the whole term of the Agreement. In the event of a discrepancy between this Appendix and the Agreement, the terms of this Appendix shall prevail. By providing such perpetual access Wiley grants to the Customer a non-exclusive, royalty-free, license to use such material in accordance with the Terms and Conditions of Use of this Agreement (including, but not limited to, restrictions on use specified in Paragraph C), which shall survive any termination of the Agreement.


For the avoidance of doubt, perpetual access rights under previous license terms are unaffected by this Agreement.

APPENDIX C – PUBLISHING

Customers: Organizations duly represented by the National Library of Sweden as listed in Appendix A

1. General 1.1 Wiley agrees to the open access publication in Hybrid and Gold Open Access Journals of Accepted Articles

as requested by Corresponding Authors through the agreed workflow outlined below. List of Gold Open Access Journals is included in Schedule 1 to this Appendix C below.

1.2 Corresponding Authors publishing under this Agreement retain their copyright and only grant Wiley the

right to publish these articles under a Creative Commons license. Wiley shall encourage Corresponding Authors to publish with the CC-By license and the publication workflow shall always direct them to it as the first option. Although the CC-By license is offered first, Corresponding Authors will be able to select the Creative Commons license Attribution Non-Commercial 4.0 International (CC-By-NC 4.0) or the Creative Commons license Attribution Non-Commercial Non-Derivative 4.0 International (CC-By-NC-ND 4.0) for the publishing of their articles if they wish. Nothing in this Agreement or in the author agreement between Wiley and a Corresponding Author shall be taken to restrict, limit or curtail any provisions of the Creative Commons licenses.

1.3 Under the standard hybrid publication workflow, if the Corresponding Author has identified his/her

primary affiliation with a Customer by selecting from a standardized list of institutions, the Corresponding Author will be presented with a choice of publishing options. The option to publish open access will be presented as default. Wiley will make clear to Corresponding Authors that Accepted Articles are meant to be published open access as part of this Agreement (so long as the correct affiliation of the Corresponding Author is captured in Wiley system metadata) and that they do not need to pay any fee for open access publication of their articles. For any journals that follow a non-standard hybrid publication workflow, the Corresponding Author of any eligible articles who has identified his/her primary affiliation with a Customer in the electronic editorial office submission system will be presented with a choice of publishing options and informed that the articles are meant to be published open access as part of this Agreement and that they do not need to pay any fee for open access publication of their articles.

1.4 Wiley, in consultation with Customer, will use reasonable efforts for aligning the workflow described herein with the ESAC Workflow Recommendations for Transformative Agreements (https://esac-initiative.org/about/oa-workflows/).

2. Identification 2.1 Wiley shall be responsible for the identification of Corresponding Authors as part of the submission and

publication process (for Gold Open Access and Hybrid Journals, respectively). Corresponding Authors shall be identified through at least one of the following parameters: their organization name; their e-mail domain; persistent identifier, such as Ringgold or other recognized institutional identifier. Wiley and the Customer will review the verification process as set forth herein on a reasonable time basis during the duration of the Agreement and will work collaboratively to address any workflow issues that have been identified relating to the publication process and approvals or denials of requests.

2.2 If Wiley fails to identify Corresponding Authors as eligible and then publishes their article on a

subscription basis, Wiley shall be responsible to convert the article so that it is published open access. 2.3 If Wiley fails to identify Corresponding Authors as eligible and then charges them for publication of their

article, Wiley shall refund the author within 30 days.

3. Verification of Requests


3.1 Wiley shall notify the Customer by email each time a Corresponding Author is identified as eligible for

verification of the request directing the Customer to the WOAA dashboard. The article record in the

dashboard will include all necessary metadata including, but not limited to, name and email address of the

author, full name of author’s affiliation (e.g. university, institute, department) and other affiliations if there

are more than one, submission or acceptance date (for Gold Open Access and Hybrid Journals,

respectively), journal title, manuscript ID (if applicable), article title, article type, amount of the APC.

3.2 If the Customer denies affiliation for a submission, the Corresponding Author will be offered the

opportunity to pay the APC or to publish under subscription terms. In case the Wiley does not receive either

an approval or a denial of the submission within a reasonable period of time (by the time the final version

of each Approved Article is ready for publication), the submission will be deemed approved. In order to

ensure timely production and publication of articles, articles will continue the production process while

eligibility is being determined.

3.3 The date that will determine which year the APC will be deducted from the OA Fund will be the date on

which an article has been accepted by Wiley for publication.

4. Articles Publication 4.1 Final versions of Accepted Articles are published online without delay and in the first instance open access

when the request has been approved by the Customer. 4.2 Wiley will endeavor to introduce a workflow to enable labeling all open access articles in Hybrid and Gold

Open Access Journals published under this Agreement as made possible through Customer [Name of Customer] in the paper itself (e.g., a footnote in the version of record shall state “Open access provided through Customer Name”). This enabling note can be adjusted with the consent of the Customer. Until a proper workflow can be implemented during the Term, authors can include this statement in the acknowledgments section of the article (at the submission stage for Gold Journals, and at the proofing stage for Hybrid Journals), and Wiley and the Customer will work together to determine an appropriate mechanism to communicate this instruction to the authors.

4.3 Upon publication, Wiley will provide the Corresponding Author by email with a link to the version of

record of their article with a mechanism to access the PDF copy, the article’s DOI and encouragements to share the article, for example via social medias, blogs and repositories.

4.4 Wiley will endeavor to introduce a workflow within the Term to provide the Customer with the final

version of the published articles version of record within a timeframe mutually agreed by Wiley and the Customer after first publication, and/or push full-texts to a central repository designated by the Customer via FTP (ftp, ftps, sftp) or SWORD 1.3 protocol or another technical solution to be mutually agreed to accomplish that articles end up in an institutional repository subject to Terms of this Agreement.

4.5 Wiley intends to make all open access articles available to anyone on its website at all times, including

beyond the Term as provided herein, and on a twenty-four hour basis, save for routine maintenance (which shall be notified in advance wherever possible),

4.6 Wiley will use commercially reasonable efforts to ensure that its server has adequate capacity and

bandwidth to support access to the open access articles at a level commensurate with the standards of availability for information services of similar scope operating via the Internet, as such standards evolve from time to time.

5. Wiley’s Obligations


In consideration of the payments listed in Appendix D and subject to the terms and conditions of this Agreement, Wiley shall during the Term: 5.1 not charge a Corresponding Author an APC for any Accepted Article submitted by such Corresponding

Author that is accepted for publication in a Hybrid or Gold Open Access Journal, provided the Corresponding Author submits said material according to the WOAA workflow put forward by Wiley and there remain reasonable funds in the Customer’s WOAA to cover the APC fee. If a Corresponding Author requests Wiley to change the publication basis (i.e. make their article open access when they originally opted not to make their article open access) of his/her submission prior to publication, Wiley will do so; changes cannot be made post-publication, unless otherwise stated. Any APC incurred outside the WOAA workflow is not covered by this Agreement;

5.2 include the Customer in Wiley’s author services site for all Hybrid and Gold Open Access Journals as an

institutional account holder; 5.3 provide a link from the entry for the Customer on the Institutional Account List on Wiley Online Library to

the Customer; 5.4 identify on Wiley Online Library the articles that are available on an open access basis in the Hybrid and

Gold Open Access Journals; 5.5 provide the Customer with a list of all Gold Open Access journals applying to this Agreement each

September 1st of the Term, including all confirmed new and transfer journal titles. Such lists shall be delivered in MS Excel format and shall include title, ISSN, URL and APC list price. Such lists will be merged and delivered together with similar lists described in Appendix B.

5.6 When provided by the Corresponding Author, Wiley undertakes to use ORCID (http://orcid.org/)

throughout the workflow from submission to publication and expose Corresponding Authors’ ORCID ID in their articles and via Abstracting & Indexing (A&I) services, CrossRef and other discovery services.

5.7 Upon publication of an article, Wiley will register as much metadata as possible on CrossRef, including,

but not limited to: (1) the article’s digital object identifier (DOI), (2) the funding metadata, including funder name and grant number, in the metadata in Funder Registry (on CrossRef), (3) bibliographic citations and (4) the Creative Commons license used.

5.8 Wiley is responsible for updated and current information at the DOAJ and SHERPA/RoMEO websites. 5.9 Wiley will make commercially reasonable efforts to comply with the last version of NISO’s Recommended

Practice on Access and Licensing Indicators (https://www.niso.org/standards-committees/access-and-license-indicators), including, not limited to, guidance regarding free_to_read and license_reference metadata fields and regarding mechanisms for distributing metadata.

6. Editorial Independence Nothing herein shall oblige Wiley to publish any article submitted to Wiley by a Corresponding Author. The Customer acknowledges that the selection of material to be published in the Hybrid and Gold Open Access Journals is entirely at the discretion of Wiley/the editors of the Hybrid and Gold Open Access Journals and the Customer waives any claim it may have against Wiley in the event that Wiley or its editors refuse or decline to publish any material (or part thereof) submitted by a Corresponding Author. An article will be considered to be selected for publication once the Corresponding Author has been notified that the article has been accepted and Wiley has received the applicable author agreement for the Hybrid and Gold Open Access Journal signed by the right holder(s) of the article.

7. Reporting


7.1 Wiley will quarterly report, in a machine-readable format, all articles from authors affiliated with the

Customer published in Wiley’s journals, indicating the journal type (i.e. hybrid, gold open access or subscription based). The reports shall include the following details:

Name and email address of the author Author’s affiliation Date of acceptance Online publication date Journal Title Article title Article type DOI and a link to the published article license type Funding organization (research funder when available) APC cost and date of payment (when applicable)

Not all of these fields are available for every article and will be included whenever they are available.

7.2 Wiley will report annually how many Wiley’s journals have flipped during the year from/to a subscription model to/from an open access model, including hybrid model. Wiley will make commercially reasonable efforts to include which proportion of articles are published open access in each individual Wiley’s journal in this report.

7.4 A copy of all reports will be forwarded to the National Library of Sweden.

APPENDIX D – PRICING MODEL AND PRICES FOR ACCESS TO AND USE OF THE DATABASE

AND FOR PUBLISHING

Customers: Organizations duly represented by the National Library of Sweden as listed in Appendix A

The pricing model of the Agreement allocates an increasing percentage of total expenditure into an open

access fund (“OA Fund”) during the Term, enabling increasing amounts of Corresponding Authors articles to

be published open access in Wiley Gold and Hybrid publications. As the open access spend increases,

subscription spend decreases whilst still giving Customer and its Authorized Users all current read privileges.

The Licensing and OA Publishing Fee for 2020 consists of all Corresponding Authors APC spend “in the

wild” in Wiley Gold and Hybrid publications during 2018 and Customers subscriptions cost for 2018, plus a

2.5% price increase.

The Article Processing Charge levied by Wiley for open access publishing in both Gold and Hybrid publications

during the Term will be at Wiley article processing charge list price for the journal, discounted by 15% (“APC”).

Additional discounts due to memberships and/or affiliation may also apply.

The annual payment made for the OA Fund will fund the WOAA balance administered across a number of

accounts to be managed by each Customer. The OA Fund is pooled across all Customers and used on a first in,

first out basis. Customers may choose to provide additional fees to their individual OA Fund at any time. APCs

due for each Accepted Article are deducted from the OA Fund, until such time as the OA Fund value has been

reached.

In the event that the balance is nil before the end of a given year, Corresponding Authors of subsequent articles

accepted for publication in the same year will be charged an APC.

If the Customers are unable to spend the maximum OA allocation in the Fund, Wiley agrees to rollover up to a

maximum 10% of the total year 1 OA allocation into year 2, adding the rollover value to the agreed maximum OA

allocation. At the end of year 2, if the Customers are unable to spend the maximum OA allocation, Wiley agrees

APPENDIX E – LICENSED ONLINE REFERENCE WORKS

Customers: Organizations duly represented by the National Library of Sweden as listed in the table below

Licensed Online Reference Works (ORW) are the electronic editions of Wiley’s major reference works to which

the Customer has access under this Agreement (the “Edition(s)”). They include tables of content, abstracts, full

text and illustrations, data tables and additional content not included in the print versions of the major reference

works.

An Annual Subscription will give the Customer access to the ORW Edition that is available at the time this

Agreement begins, plus any content added or updated during the Appendix Term specified below. The Customer

must continue to subscribe each year in order to retain access.

Certain products and services may be delivered from other platforms. The terms and conditions hereof are equally

applicable to those products and services.

Non-perpetual Access

An annual subscription will give the Customer access to the MRW edition that is available at the time this

Agreement begins, plus any content added or updated during the Term. The Customer must continue to subscribe

each year to the MRW in order to retain access to it.

For the avoidance of doubt, previous perpetual access rights are unaffected and continue as described under previous licensed terms.

Pricing

New MRW subscriptions will be priced based on the then current Customer’s number of FTEs. For this purpose

FTEs are defined as full-time equivalent students and academic faculty. Existing MRW subscriptions from 2019

will be priced for 2020 according to a price increase of 2.5%.

including but not limited to search and retrieval tools, software and functionality. CP Online will be updated

regularly.

An annual subscription will give the Customer access to the Current Protocols edition that is available at the time

this Agreement begins for twelve months, plus any content added or updated during the Term of the subscription.

Perpetual Access

For the avoidance of doubt, previous perpetual access rights are unaffected and continue as described under previous licensed terms.

Pricing

New CP Online subscriptions will be priced based on the Customer’s number of FTEs. For this purpose FTEs

are defined as full-time equivalent students and academic faculty. Existing CP Online subscriptions from 2019

will be priced for 2020 according to a price increase of 2.5%.

purpose FTEs are defined as full-time equivalent students and academic faculty. Existing subscriptions to The

Cochrane Library from 2019 will be reverted for 2020 to the 2018 prices.
