Force Majeure Cancellation & Payments: The Promoter shall not be held liable for failure of or delay in performing its obligations under this Agreement if such failure or delay is the result of an act of God, such as earthquake, hurricane, tornado, fl ooding, or other natural disaster, or in the case of war, action of foreign enemies, terrorist activities, labor dispute or strike, government sanction, blockage, embargo, or failure of electrical service. The non-performing party must make every reasonable attempt to minimize delay of the performance or event. If the force majeure continues longer than 120 days, either party may terminate the Agreement. All payments are fi nal and non-refundable, but a credit will be applied to the Client's account.

Independent Status: It is agreed and understood between the parties that nothing contained herein shall constitute or imply an agreement or understanding of joint venture, agency, partnership or employment between the parties, and neither party shall have the authority to incur any fi nancial or contractual obligations on behalf of the other party. Client shall have no power of direction and control over the Promoter or the Promoter’s employees, agents, subcontractors, or volunteers, or the manner or method utilized by the Producer in the performance of its functions. The Promoter shall determine and have sole discretion over the manner and methods utilized to achieve the results desired by Client and shall be solely responsible for the direction, control and supervision of Client’s acts and those of Client’s agents, employees, volunteers, and subcontractors relating to the performance of this Agreement.

Indemnifi cation: Client shall (i) defend, release, indemnify and save and hold harmless the Promoter and (ii) with respect to the serving, selling, and/or sampling by Client of Client products, release, indemnify and save and hold harmless the Producer as concessionaire of the event venue: (x) against any and all damages to property or injuries to or death of any person or persons, including property and employees or agents of the Promoter (“Damages”), and (y) from any and all claims, demands, suits, actions, liabilities, causes of action or legal or equitable proceedings of any kind or nature, including workers' compensation claims, of or by anyone whomsoever (“Claims”). Client’s foregoing obligations shall apply to Damages and Claims in any way resulting from or arising out of and to the extent caused by acts, errors, or omissions of Client or its offi cers, employees, representatives, suppliers, invitees, licensees, sub consultants, subcontractors, or agents in the performance under this Agreement; provided, however, that Client need not indemnify and save and hold harmless the Promoter, its offi cers, agents, and employees from damages proximately resulting from the sole negligence of the Promoter’s offi cers, agents, and employees. This indemnity clause shall also cover the Promoter’s defense costs, in the event that the Promoter, in its sole discretion, elects to provide its own defense. Defense costs coverage must be included in the liability coverage provided for the Promoter, its offi cers, offi cials and employees as additional insureds. These indemnifi cation obligations shall survive the termination of this Agreement by expiration of the Term hereof or otherwise.

Dispute Resolution: This Agreement has been executed in the State of Arizona and shall be governed by the laws thereof; and Arizona shall be the sole and exclusive forum for the resolution of all disputes arising under or relating to this Agreement. In the unlikely event that a dispute arises between parties, both agree to make a good faith eff ort to resolve their diff erences by mediation before a neutral mediator under the auspices of the American Arbitration Association (“A.A.A.”). Either party must demand in writing such mediation within ten (10) calendar days after the controversy arises by sending a notice to arbitrate to the other party and to the A.A.A. Each party shall bear half the costs of mediation. In the event that the dispute is not resolved in mediation, the parties agree to arbitrate any dispute arising under this Agreement before an arbitrator under the auspices of A.A.A. The mediation and, if necessary, the arbitration shall take place in Tucson, Arizona or in the offi ce of A.A.A. closest to that city, in the event that arbitration is necessary, the prevailing party shall have its costs associated with the arbitration, including its reasonable attorneys' fees, paid by the other party.

TERMS OF AGREEMENT

THIS TERMS OF AGREEMENT (this “Agreement”) is made and entered into on the date refl ected in the International Celebrity Golf Tournament ("ICGT") registration and sponsorship form submitted by the players and/or sponsors ("Client") to J. Nelson Company and Stevens Film, Video & Music Productions, LLC, both Arizona Limited Liability Companies ("Promoter") . This Agreement is enterered into by and between the Client and Promoter.
