The Receiving Party agrees to hold and maintain this Confidential Information and Creative Concepts within this proposal in strictest confidence for the sole and exclusive benefit of BDi LLC. Receiving Party shall carefully restrict access to Confidential Information to employees, contractors and third parties as is reasonably required. Receiving Party shall not, without prior written approval of BDi LLC, use for Receiving Party's own benefit, publish, broadcast, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of BDi LLC, any Confidential Information and Creative Concepts presented herein. Receiving Party shall return to BDi LLC any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if BDi LLC requests it in writing.

Immediate benefits of appointing BDi as your Agency-of-Record:

1. BDi will meet with all media reps so you don’t have to! Saving you the time and money … see #5 and #6.

2. BDi is working as your advocate. Whereas reps are working as advocates for their particular media company, as

they should be. But that isn’t always in your best interest.

3. BDi will bring you all proposals with recommendations based on your marketing goals.

4. BDi negotiates best rates and times based on our broad knowledge of placing media in a multitude of markets.

Your company benefits from the buying power that BDi brings to the each media negotiation.

5. BDi will handle all of the details of placing advertising orders, developing creative, handle creative scheduling and

distribution.

6. BDi monitors active orders for compliance, receives all invoicing and then preforms a detailed invoice

reconciliation (typically resulting in a 5% to 15% saving from discrepancies)

7. BDi will coordinate payment on the client approved invoices to the media. You receive one consolidated bill from

BDi simplifying your accounting efforts.

8. BDi is paid on commissions from the media outlet. So every dollar you commit to advertising goes to the purchase of advertising. If BDi places a $1,000 order for example, you receive $1,000 in advertising time.

BDi is paid through the traditional media-agency commission structure at no additional cost to you:

Combined media orders totaling over $4,000 are placed at No-Charge to you. Orders between $1,500 and $3,999 have a $400 placement fee added.

Orders under $1,500 have a $300 placement fee added.

Roger Gaither Roger brings 40 years of marketing experience to the BDi team. He began his professional

career as a on-air personality and radio program director. In 1996 he realized his dream of starting his own advertising agency. During that time he has written and produced numerous ADDY award winning television and radio commercials. Early 2012, he pooled his talents with longtime friend and confidant Chris Johnson to form BDi, llc. Chris Johnson Chris has a career that spans over 40 years in the marketing, advertising, business

management and ownership. He began in radio as an on-air personality and then moved into programming , sales and station management. His experience includes a partnership in a Cleveland area advertising agency, ownership of radio stations in central New York state, northeast Ohio and ownership of a direct mailing company in West Virginia. Before joining BDi, he was the Vice President and Market Manager for the largest, locally owned radio station group in Charleston, SC.
