ThecustomerisresponsiblefortransportfromtheTERRAnetworklocationpremisestothecustomerpremise.

ETHERNETSERVICE:

EthernetNetworkServiceDescription:Customershavefullsymmetricalaccesstotheconfiguredcapacitywithavailabilityof99.95%ornogreaterthan1296secondsofoutagepermonth(the“AvailabilityStandards”).EthernetServiceisdesignedtoprovidepoint-to-pointorpoint-to-multi-pointconnectivity.Customersmayordermultiplenetworks,includingmultiplehubandedgeportpairsforpoint-to-pointservice,orhubtomultipleedgeportcombinations,withintheiroverallvolumecommitment.Onlyonehubportmaybeorderedpernetwork.

EthernetNetworkServiceispostalized;thepriceperportdoesnotvarydependingondistance.Noadditionalusagechargesapply.

• Roundtriplatencynottoexceed50milliseconds1,2• Packetlossnottoexceed0.1%averagedover30days2• Jitternottoexceed20millisecondsonaverageover30days2

TERMS&CONDITIONSFORETHERNETSERVICE:

1. InadditiontotheseTerms&Conditions,theprovisionofEthernetServiceissubjecttoacontractbetweenGCIandcustomer.

2. Subjecttoavailability,GCIshallprovidetothecustomerIP/MPLSservicesand/orLayer2EthernetoverMPLSserviceamongTERRAlocations.

3. AnEthernetservicenetworkshallconsistofonehubportatasinglelocationandoneormoreEdgePort(s)atoneormoredifferentlocations.

4. AggregateEthernethubcapacityandaggregateEthernetedgecapacityeachmustbeorderedinincrementsofoneMbps,althoughthecapacitymaybeprovisionedinincrementsoflessthanoneMbpsatindividuallocation(s).

5. TheaggregateEthernetcapacityofthehubportinaservicenetworkshallequaltheaggregateEthernetcapacityoftheedgeportsinaservicenetwork.

6. Oneormoreservicenetworksmaybeorderedunderasinglecontract.

7. Duringtheservicetermandsubjecttoanyapplicableconditionsinthecustomer’scontract,customershallbeentitledtochangetheallocationoftheaggregateEthernetServicehubandedgecapacity(includingthemodificationoreliminationofexistingServiceNetworksandthecreationofnewServiceNetworks)amongTERRALocationssolongassuchreallocation:

(a) Meetstherequirementsofparagraphs3,4,and5above.(b) In the sole judgment and discretion of GCI, is technically feasible and commercially

reasonable,takingintoaccount,amongotherfactors,TERRA’savailablecapacity.(c) DoesnothavetheeffectofreducingthetotalMonthlyRecurringChargessetforthin

customer’sservicecontract.

8. Additionalcapacitymaybeaddedduringthetermofthecontract,subjecttotherequirementsinparagraphs3,4and5.Thisadditionalcapacitymustbemaintainedfortheremainingdurationofthecontracttermandshallnotchangethecontractedcapacity.

9. Terminationpenaltiespursuanttoacontractshallnotapplyifthecustomerreplacesacurrentcontractwithanewcontractthathasaservicetermgreaterthanorequaltotheremainingtermofserviceunderthecurrentcontract,andhavingmonthlychargesunderthenewcontractgreaterthanorequaltothemonthlychargesunderthecurrentcontract.Iftwoormorecurrentcontractsarereplacedwithasinglecontract,thenewcontractmusthaveatermofservicegreaterthanorequaltothelongestremainingtermofserviceinanyofthecontractsbeingreplaced,andthemonthlychargesunderthenewcontractmustbegreaterthanorequaltotheaggregatemonthlychargesinallcontractsbeingreplaced.

10. Pricingshallbedeterminedinaccordancewiththepricingtablesbelowasfollows:

(a) TotalingallofthehubcapacityinTables1and2orderedinincrementsof1Mbpsorgreater

underasinglecontractandapplyingthehubpricingrateineachTablebasedontheaggregatecommitment.Portslessthan1Mbpsreceiveonlytermdiscountsandarenotincludedincalculatingcapacitydiscounts.

(b) TotalingalloftheedgecapacityinTables1and2orderedinincrementsof1MbpsorgreaterunderasinglecontractandapplyingtheedgepricingrateineachTablebasedontheaggregatecommitment.Portslessthan1Mbpsreceiveonlytermdiscountsandarenotincludedincalculatingcapacitydiscounts.

11. Servicerestoration

(a) IntheeventofanoutageataTERRAnetworklocationwhereacustomerhasordered

service,servicewillberestoredwherepossibleviapre-designatedsatellitestations;(b) ServicemaybereconfiguredwithintheTERRAnetworkasavailabletore-routetraffic.

Networkreconfigurationforrestorationpurposesintheeventofserviceoutagewillbearrangedonanindividualcasebasis.

ForthepurposesofTERRApricing,CriticalCommunityFacilities(“CCF”)arepublicfacilitiesthatprovidecommunityservicesessentialforsupportingthesafety,healthandwellbeingofresidents.CCFsinclude,butarenotlimitedto,emergencyresponse,publicsafety,hospitals,healthclinics,librariesandschools.InlieuofthestandardtermandvolumediscountsavailableinTable1andTable2above,CCFsmayelecttoreceivea25%discountofftheTERRApublishedmonth-to-monthrates.

NON-RECURRINGCHARGES(NRC):

NofeeshallbechargedtoinitiallyprovisionserviceonTERRA.Subsequently,anNRCof$95.00(perlocation)shallbechargedforanyServiceNetworkchange.

APortExtensionprovidesaconnectionbetweenaTERRAPortandacustomer’spremisesatthesameTERRAlocation.See“PortExtensions”underOtherTermsandConditionsforafulldescription.

PortExtensionCapacity NRC MRC1to10Mbps ICB $300perPortExtension11to20Mbps ICB $350perPortExtension21to30Mbps ICB $400perPortExtension31to40Mbps ICB $420perPortExtension41to100Mbps ICB $450perPortExtensionRateappliestoanindividualPortExtension.MbpsaremeasuredatthespecificportwherethePortExtensionisordered,andnotaggregatedacrossmultiplePortExtensions.PortExtensionsarelocation-specificandmaynotbere-located.

OTHERTERMSANDCONDITIONS:

Otherchargesmaybeincurredforconditioning,modems,etc.Thecustomerisresponsibleforpayingactualchargesdeterminedatthetimeofinstallation.Thecustomerisresponsibleforallapplicablechargesandsurchargesimposedbyothercarriersforlocalconnections.

PORTEXTENSIONS:

TERRAmayprovideaPortExtensiononitsfacilitieswhereavailabletoacustomerpremiseswithinthesamelocalexchangeareaastheTERRAlocationwherethecustomerhaspurchasedaPort.PortExtensionsincludetransportandterminationequipmentatthecustomerpremises.PortExtensionchargesareinadditiontothePortchargeattheTERRAendpoint,andincludenon-recurringchargesandmonthlyrecurringcharges.PortExtensionsoutsidealocalexchangeareawillbeconsideredonanindividualcasebasisandrecurringandnon-recurringchargesmayvary.

TERMINATION:

Followingtheexpirationofthecontract-specifiedserviceterm,serviceswillcontinueonamonth-to-monthbasisuntilsuchtimethatGCIreceiveswrittennoticeoftermination,whichshallbeprovidedtoGCIbythecustomernolessthansixty(60)dayspriortotherequestedterminationdate.

CREDIT:

Acashdepositorcommercialletterofcreditmayberequiredbasedonacustomer'sfinancialqualificationsandthecombinedvalueofallpaymentsrequiredundertheServiceOrder.

LIQUIDATEDDAMAGES:

FailuretohonortheCapacity/TermCommitmentswillresultindamagestoGCI.Liquidateddamageswillbecalculatedinaccordancewiththefollowingformula:

(a) The stream of MRCs from the date that the customer fails to honor the Capacity/TermCommitments (the“BreachDate”) throughthedate theTermendsshallbediscountedtopresentvalue,usingadiscountrateof10%.

(b) AnypaymentsowedbythecustomerpriortotheBreachDateshallbeaddedtotheamountcalculatedabove.

(c) AnypaymentsreceivedfromthecustomeraftertheBreachDateshallbesubtractedfromtheamountcalculatedunderthissection.

(d) TheamountcalculatedunderthissectionshallbetheliquidateddamagesowedbycustomertoGCI.

LOCALACCESSCIRCUITS:

CustomershallberesponsibleforarrangingandpayingforlocaltelephoneorothertailcircuitfacilitiestoconnecttheTERRAlocationPOPtothepremisesofthecustomer.
