(VennootschapOnder Firma - VOF) • It must have at least two members are necessary for
incorporating a general partnership in Holland • It should have the partnership agreement which
stipulates all restrictions in terms of management and running of the partnership.
• The Partners can be individuals or legal entities • The shareholders can be Dutch residents or not • There is no minimum capital for setting up a Dutch
general partnership.
Dutch Limited Partnership (CommanditaireVennootschap - CV)
• It is a special form of a general partnership• The Partners can be active or limited • The active partners are responsible for all the
company’s obligations and decisions • The limited partners can only have liability to
the extent of their contribution • The responsibilitys can be stipulated in the
partnership agreement.
Steps for company formation in Netherlands
