Achieve More Together: innovating to provide customer satisfaction

In July 2015, our UpCard® product was given its European community market authorisation. This product was designed to bring real improvements to animal quality of life and to the daily life of pet owners. As well as being a source of pride for our teams, this innovative product is changing the way veterina-rians treat congestive heart failure in dogs.

We have set up a joint venture with the leading veterinary pharmaceutical laboratory in Japan. In order to launch our brand on the 9th largest animal health market in the world, we are joining forces with Zenoaq KK and pooling our expertise and our products.

A CAPTIVATING STORYIt all began at a pharmacy in the town of Lure, in north-eastern France near the Swiss and German borders. Joseph Frechin drew on his entrepreneurial intuition: next to his dispensary he set up a business manufacturing pharma-ceutical specialities for people, under the name «Laboratoires biochimiques de l’Est». He then had the idea of using the antiseptic properties of oxyquin-oline to treat animals. The remedy, baptised Vétoquinol, quickly made a name for itself, and Joseph Frechin added a veterinary department to his laboratory.

By 1948, Vetoquinol had set up production and packaging facilities to meet demand. The catalogue included more than 80 products and by 1970, this figure had already risen to 250.

INTERNATIONAL DIMENSIONStepping up growth and increasing exports, Vetoquinol was generating 20% of its revenues outside France by the 1980s. It created its first subsidi-aries in the Netherlands, Ireland and Belgium.

Vetoquinol set up an office in China in 2004 and created a subsidiary in India in 2009, followed by another in

Brazil in 2011. It grew its international presence further in 2014 with its arrival in Australia and in 2015 a joint venture saw its entry into Japan. Today, with 130 distributors and a presence in 24 countries across four continents - Europe, North and South America, and Asia-Pacific - Vetoquinol has developed a genuinely international network with its 2,000 employees.

A SHARED PHILOSOPHYBalanced growth hinges on robust roots. Those roots have been central to the Vetoquinol spirit since the very beginning. The scientific, production, sales and administrative teams all share the same passion, energy and commitment. 2 MAIN MARKETSVetoquinol relies on a clear and effec-tive organisation structure adapted to the two main animal health markets: livestock and pets. These two markets are distinguished by their marketing approaches and the needs of their final customers, namely livestock breeders and pet owners.

> Livestock

Increasing demand for animal pro-teins is spurring livestock profession-als worldwide to improve productiv-ity while fully ensuring the health of their animals. Be it in the production of milk, beef or pork, Vetoquinol with its veterinary network provides advice, products and services in response to the challenges faced by livestock professionals.

> For pets:

The pet segment is characterised by moderate growth in mature econo-mies and strong growth potential in countries with growing econo-mies. Commensurate with the unique emotional relationships between owners and their pets, Vetoquinol has developed products blending efficacy and ease of administration.

The specific offer proposed to each of these two markets is the result of team

work, involving country representa-tives liaising continuously with their customers and the Group functions.

4 STRATEGIC SPECIESTo optimise R&D and marketing, the Group focuses on four key species: dogs, cats, cattle and pigs.

RIGOROUS CHOICES IN PATHOLOGIES AND PRODUCTSVetoquinol specifies its future prod-ucts in line with market needs, trends, the intensity of the competition and the expectations of customers.

The offer for pets comprises anti- infection products; treatments for pain and inflammation, behaviour, urinary incontinence, liver diseas-es, cardio-nephrology, external and internal anti-parasitics; and care and hygiene products.

For livestock, major emphasis is placed on anti-infection products to address the main respiratory, digestive, loco-motor, reproductive and udder diseases, and on the corresponding anti-inflam-matory treatments. This offer is rounded off by a reproduction range and coun-try-specific products.

> Infectious diseases

Vetoquinol, a creator of innovative antibiotics, has established itself as a European leader in anti-infection products, promoting the rational use of antibiotics. Forcyl®, an anti-infec-tion treatment for livestock, highlights the Group’s commitment through the SISAAB (Singe Action Short Acting Antibiotic) concept, or how to effec-

tively fight against acute respiratory pathologies in cattle while minimising the risk of the development of bacteri-al resistance to antibiotics.

> Pain and inflammation

Vetoquinol proposes a comprehen-sive range of products to prevent and relieve pain. By contributing to animal well-being, the Group fulfils an ethical and therapeutic objective, as pain is known to have a damaging effect on health.

> Cardio-nephrology

Heart and kidney failure are respective-ly the most frequent chronic illnesses in elderly dogs and cats. In 2015, Vetoquinol launched Upcard®, a genuinely innovative medecine which changes how veterinarians treat congestive heart failure.

> Behaviour

In parallel, Vetoquinol has moved into pet stress management, a market having grown considerably in the last five years. An innovative, patented product, Zylkène® helps dogs and cats to cope with unusual and potentially disturbing situations.

> Reproduction

With the acquisition in 2014 of Bioniche Animal Health, a major player in reproduction, particu-larly in North America, Vetoquinol offers a complete range of products to support its customers from concep-tion through to birth. The Group is now one of the world leaders in this field, and this is primarily due to Folltropin®.

PRAGMATIC ORGANISATIONAbout 150 employees are developing innovative products to meet market needs.

A LONG AND EXPENSIVE PROCESSThe development of a new drug requires time (on average five to ten years), the participation of multidisciplinary teams and major investments of between €3 million and €15 million. The process remains complex and uncertain, with just 5% of candidate projects becoming a drug in the long term.

TECHNOLOGICAL INNOVATION PROGRAMMEVetoquinol has implemented a “Tech-nological Innovation” program to envision numerous paths of innova-tion for projects underway. This forg-es a firmer understanding of efficacy, tolerance and observance.

The pharmaceutical technologies with highly innovative formulations devel-oped as part of this programme are applied to different galenic forms. They are applied both in products for livestock and for pets.

Through these technological advances, Vetoquinol is able to meet the needs of its customers by creating new- generation drugs featuring controlled release, improved bioavailability, and the concealed taste of active ingre-dients for enhanced palatability.

INNOVATION, A TEAM JOBThe Business Development Divi-sion, Research and Medical Division, Product Project Division, and Product Development Division... Each pro-ject is built in close collaboration by pluridisciplinary teams and a number of departments. All of these structures belong to the Scientific Department in order to ensure internal coherence and make it possible to unlock synergies. The marketing of a drug hinges on receiving marketing authorisation (MA). Granted on the basis of an exhaustive file; MA proves that the product meets the requirements of the health authorities in terms of quality, safety and efficacy.

PARIS MARATHONIn April, 29 Vetoquinol employees took part in the Paris Marathon. Several subsidiaries of the Group were represented: France, USA, United Kingdom, Poland and Mexico. Employees from the United King-dom and the USA were running to raise money for two charities. They all gave it everything they had and reached the finish line at the end of their 26.2 mile run.

Since October, Vetoquinol has been marketing Permacyl® in Europe. Permacyl® is an injectable antibiotic from the penicillin family which is indicated for the treatment of mastitis in dairy cattle. This product is fully in line with the mastitis strategy by supplementing the Group’s product offering.

FIRST STEPS IN JAPANVetoquinol and Nippon Zenyaku Kogyo Co., Ltd., which operates under the trade name «Zenoaq», have ente-red into a joint venture agreement to develop, register and market a range of animal health products in Japan.

ACHIEVE MORE TOGETHERVetoquinol first launched its new identity among its employees: each subsidiary and each entity worked together to establish how it wanted to interpret this tagline practically within its teams.The internal launches also provided opportunities for get-togethers, unique creations and ever more productive discussions.

NEW EQUIPMENT FOR THE WATER PURIFICATION EQUIPMENTThe new «perozonation» equipment for the water purification plant at the Lure site was officially launched in September 2015.

Remaining true to its values of inno-vation, Vetoquinol is the first French veterinary pharmaceutical company to implement this kind of liquid waste treatment system, which is based on hydrogen peroxide and ozone.

UPCARD®

Vetoquinol is innovating in the field of cardiology with the launch of Upcard©, the first torasemide-based diuretic registered for veterinary use, thereby strengthening its product offering in the field of animal cardiology.

Heart disease is common in dogs and is becoming increasingly common as dogs are now living longer.

Most treatments must be adminis-tered several times a day and for the remainder of the animal’s life, and this causes considerable inconvenience to pet owners.

The launch of this product was accom-panied by training which has been given to our veterinary customers throughout the world.

“This new reference product is a valuable addition to our offering and is fully in line with the implementation of our strategy“.

Registration Document is drawn up to comply with the requirements of the financial markets. Vetoquinol’s Social and Environmental Reporting

is also part of this spirit of excellence and was thus ranked first by the GAIA* Index in 2014 and 2015.

Board of Directors

The Group has committed to a transpar-ent and demanding corporate govern-ance system based on the MiddleNext corporate governance code of listed companies.

The Board of Directors comprises eight members, three of whom are independent directors. The Board is chaired by Etienne Frechin, who was responsible for the operational man-agement of the Vetoquinol group for over thirty years. The Audit, Remuner-ation and Strategy Committees work to supplement the information of the Board members.

The Board of Directors meets as often as the interests of the company require, and at least four times a year.

Executive Committee

The Executive Committee, the unique management body, is chaired by Matthieu Frechin, Chief Executive Officer of Vetoquinol. It is responsible for the operational management of the Group and is assisted by eight members. The Executive Committee meets every

month. It undertakes all the actions necessary to the implementation of strategy. It is tasked with enhancing the value of the Group’s human resources. It sets operational objectives and de-termines the actions required to meet those objectives.
