Shared Corporate Allowance Plans (SCAP): A SCAP allows the data and voice allowances of multiple SIM’s to be pooled and shared across a fleet of vessels. A SCAP requires a minimum of 5 activated SIM’s at any one time. Each SIM must be activated on the same plan. SCAP is only available on 1GB, 4GB and 8GB plans.

All Airtime charges listed apply only to voice calls or data traffic originating from your Fleet One satellite terminal. Charges for calls made to your satellite terminal from landlines, terrestrial mobiles or other telecommunication services are not covered by our airtime contracts and will incur additional charges as determined by your terrestrial telecommunications provider

Prepaid vouchers must be activated within 365 days of purchase. After a voucher has been activated, prepaid units remain valid for the "Unit Validity" period shown above.

3. Voice call charges listed above apply only to voice calls originating from your Fleet One satellite terminal. Charges for calls made to your satellite terminal from landlines, terrestrial mobiles or other telecommunication services are not covered by this contract and will incur additional charges as determined by the provider of your landline, mobile or other service.

Fleet One Prepaid: is only available for vessels under 500GWT.

Prepaid balance: can be checked by dialling short access code 591# (toll free) from the terminal; or by dialing +870 772000591 from a terrestrial telecoms service (premium rates apply - contact your terrestrial provider).

If prepaid balance has reached zero, additional units can still be purchased by calling short access code 33# (toll free) during Australian eastern business hours and asking Inmarsat Customer Support to connect you through to Electrotech Australia.

A SIM cannot be upgraded/downgraded between Coastal and Global plans.

Coastal Plan: Data services are only available in the "Home Region", voice calls available globally. Please see the Fleet One Home Region Coverage Map for details.

BGAN Services

Data Usage Units:

1 Gigabyte (GB) = 1,024 Megabytes (MB)

1 Megabyte (MB) = 1,024 Kilobytes (KB) = 1,048,576 Bytes

10 Kilobyte (KB) = 10,240 Bytes

Chargeable BGAN Service Components:

Background IP Background IP, also referred to as Standard IP, is the most popular class of data service used with BGAN. It is a best effort throughput service with different classes of terminal supporting varying maximum data speeds, as shown in Table 1. This is an IP based service compatible with commercial off the shelf IP devices. Some of the most common uses for the service include email, ftp, and web browsing.

The charge is volume-based traffic in any direction; either originated or terminated on a BGAN terminal, but excluding traffic to other MSS services.

An interactive class quality of service (QoS) is also available on the BGAN network for Standard IP; this is charged at the Standard IP rate per MB. However, Inmarsat does not support or promote this QoS as it is only accessible from AT commands and is not for general use. The Interactive IP traffic is charged at the same price as the Standard IP traffic.

In BGAN Mobile to Mobile each terminal pays. The pricing per MB can vary depending on which commercial pricing package the SIM card is activated. If the SIM card is activated on a geographical plan the price per MB also varies depending in which geography the terminal is being used. A higher rate per MB is charged for usage outside of the geographical region.

Voice (Circuit Switched) Services:

There are different voice rates for: BGAN to fixed (Terrestrial) BGAN to Cellular BGAN to BGAN, FleetBroadband, SwiftBroadband and GSPS (termed: on network calls) BGAN to Satellite Phone Services. BGAN to other Mobile Satellite Services (MSS) Voicemail

Single Global Charge: Currently there is one single global charge per voice type traffic. Specifically, there is one global charge for voice to terrestrial, one to voicemail, one to cellular, one to BGAN, one to FBB, SBB and GSPS, one to SPS and one global charge for each of the other MSS destinations. Inmarsat currently has not announced any concrete plans to change this yet, but might introduce zonal pricing based around call destinations for existing and new SIMs in the future in order to provide the lowest wholesale pricing to specific regions. Charges for circuit switched voice and ISDN services are currently based on the destination of such calls with such destinations differentiated as between fixed and cellular terminations. Circuit switched voice charges include terrestrial interconnection costs. There is no support for any form of Premium Mobile Originated voice calls. Voicemail:Unanswered voice calls will (if enabled at activation) automatically divert to the Inmarsat voice mail platform after a time period specified on the Launch Pad has elapsed. The called SIM will not be charged for the message left on the voicemail platform. SIMs will be charged for calling the voicemail platform to retrieve messages. There will be no charge for the notification of voicemail from the BGAN network. Call Forwarding: If the SIM has an alternative call forward number set-up on BGAN, then any additional costs associated with such call forwarding will be passed on to the SIM that has initiated the call forward. Example: A BGAN SIM has set-up call forwarding to its company’s head office. Someone calls the BGAN SIM and is automatically diverted to the call forward number. The caller will be charged for the call to the BGAN SIM. The BGAN SIM will be charged for the call leg from the BGAN network to the call forward destination number.

Streaming:

There are 10 different Streaming options: 32 kbit/s, 64 kbit/s, 128 kbit/s, 176 kbit/s, 256 kbit/s, 384+ kbit/s (named BGAN X-Stream) HDR Half Channel/64K, HDR Half Channel

Symmetric, HDR Full Channel/64k, HDR Full Channel Symmetric with the maximum streaming speed supported varying by terminal model, as shown in Table 2. Even though 8 kbit/s and 16 kbit/s Streaming is not commercially available on BGAN (FleetBroadband and SwiftBroadband do support these speeds) it is possible to set up a connection via AT Commands on the terminals. Note that these Streaming calls will be charged at the 32 kbit/s Streaming rate. The premium BGAN X-Stream service (384+) allows a guaranteed minimum video streaming rate of 384 kbps (in return direction, mobile to terrestrial), and 360kpbs (in forward direction) with up to 450kbps expected under optimal conditions. BGAN X-Stream was launched Q2 2009. The charges for streaming services in the BGAN Pricing spreadsheet are in respect of the costs of streaming such traffic within the BGAN network. This is excluding Inmarsat DP1020 costs for managing the initial origination and/or final delivery of such traffic from/to the end customer (Guaranteed Access). Should the volume of data transmitted be zero, there will still be the normal charge based on the time that the user has been connected to the network.

ISDN

Since service launch in 2005 there has been one single global charge for ISDN traffic. Inmarsat currently has not announced any plans to change this yet though might introduce zonal pricing based around call destinations for existing and new SIM cards in the future. It is possible to use the 3.1 kHz ISDN audio channel to make a voice call from a BGAN user terminal to either of a GAN, Fleet or Inmarsat B (ISDN) user terminal. Such voice calls are charged at the appropriate ISDN rate.

ISDN Mobile to Mobile charge is the same charge as for ISDN Mobile to Fixed.

For ISDN, the charges are for duration based traffic from BGAN terminals (including to BGAN terminals), but excludes traffic to other MSS services.

SMS

SMS is a low cost means of sending short text messages to and from BGAN. An SMS is up to 160 characters in size as defined by the GSM Association. For messages that contain more than 160 characters, an additional SMS will have to be generated manually for the excess characters and sent separately.

If an SMS is sent to more than one recipient, then there will be a separate CDR and charge for each recipient that this SMS is sent to.

SMS charges are made on the basis of submission of each message to the SMS-C and not on successful delivery to the recipient.

There is no charge to receive an SMS on a BGAN terminal for the BGAN user.

Inmarsat does not intend to support any form of Premium SMS, either Mobile Originated or Mobile Terminated. Where Inmarsat is aware of a Premium Rated destination, such as a Chat Line, then they will not support the connection of Premium Rated Voice or SMS for either call origination or termination.

Additional BGAN Access Types

BGAN Access Types descriptions

For customers using BGAN SIM cards Electrotech provides customers with a range of flexible IP address and access type solutions. These include public, private, dynamic and static IP addresses as well as various end-to-end streaming and private network solutions. These are designed to increase security, save money and offer the highest flexibility in terms

of access and application requirements. All of them can be combined with the pricing options as described in the next chapter. The charges are specified in your contract.

Private IP AccessA perfect fit for most BGAN, FleetBroadband and SwiftBroadband users, Private IP Access provides terminals with a private dynamic IP address in the range 10.x.x.x. The Inmarsat DP 1020 network takes care of the necessary network address translation (NAT) to allow terminals to access the Internet. There is no extra charge for Private IP Access. Private IP Access is ideally suited for customers with typical office application needs like web browsing, email, ftp and instant messaging. Several VPN solutions are also supported, but the success rate is highly dependent on the setup of the corporate VPN access node. More complex applications like video conferencing, certain crypto equipment and the use of servers are not supported by Private IP Access.

Public IP AccessWith Public IP Access, terminals get a single public IP address from Inmarsat’s range of public IP addresses. There is no NAT. Terminals are accessible from the Internet on the same IP address as the one used for traffic to the Internet. This address can be dynamically or statically allocated:

Public IP Access Dynamic - This public dynamic address will change with each data session.

Public IP Access Static - The User Terminal always gets the same IP-address regardless of its location globally.

Upon activation customers select the entry point to the Internet, called ‘Home-POP’, in the Inmarsat Dashboard (Amsterdam, New York or Hong Kong). The Home-POP chosen should be closest to internet destinations typically used by the customer. Forced Routing countries: some countries have a legal requirement that all traffic that originates from that country is first routed to a national POP of that country before being routed onwards. This is currently applicable for China and Russia. Inmarsat offers the option to allow the customer to disable a Forced Routing APN on a SIM card which means that the terminal will not be able to run data traffic in that country. Public IP Access is ideally suited for applications that require a public IP address. Some typical application examples are crypto devices, videoconferencing units, IP telephony, some VPN applications and web and email servers. Of course, all the applications that function with Private IP Access will also work with Public IP Access. There is a small monthly fee for Public IP Access. Key advantages of Public IP Access for customers:

The User Terminal always gets the same IP-address regardless of its location

There is no address translation happening on this address so an ideal fit for most applications By making it the default user profile in the Dashboard system the end user does not have to fill in any

Business Access: A Private Network Solution

Business Access provides a fully private network or Closed User Group solution between BGAN users and the corporate network by means of a secure interconnection via Leased Lines (FR, ATM, and MPLS) or IP/VPN (VPN tunnel between our network POP and customer location). This is set up via the global Nexus network. IP addressing will be tailored to the specific needs of the relevant corporate network.

Charges for ‘Orphan’ User Profiles

The BGAN access types which are part of a User Profile are normally linked to SIM cards. However, if the User Profiles are activated/set up separately from the SIM card the situation can occur that the User Profile is still available under the account but that it is not linked to any SIM card. For example, if the end user wants to keep the specific IP address and username/password for a later project where a different SIM card will be activated in the future. In this case the user will be charged against the Account. This type of user profile is named an ‘orphan user profile’. At the end of the month the Inmarsat I4 billing system for DP code 1020 checks if there are any orphan user profiles on the Account. If so then they are charged on the invoice for that specific month.

Minimum Contract Duration for Access Types:

Public IP Access does not have a minimum commitment term though the minimum charge is one month. Please note that these charges are not prorated meaning if you activate a static IP address halfway through the month, the charge will be for the full month.

For Business Access VPN there is no official minimum contract term but as a minimum the one-time fees and the monthly fee for a minimum of one month applies

For Business Access leased lines the minimum contract term shall depend on the minimum contract term that the local Telco has for the local tail part, so this is case by case. In most cases the minimum contract term from local Telco’s for leased lines are 12 months minimum.

Upgrades, Downgrades and Early Termination Fees:

For a SIM card to be considered for an upgrade or downgrade of a subscription, the existing rules apply where the upgrade or downgrade must be carried out within a 24-hour window i.e. 00:00:00 – 23:59:59 GMT.

Upgrade

If a single SIM is required to be upgraded into a SCAP, and a penalty charge is triggered, this charge will be waived automatically as this will be an upgrade.

SCAP or Shared Corporate Allowance Package: The regular SCAP packages are aimed at individual corporate entities buying significant numbers of SIMs for an extended duration or for extended projects aimed at opening up new and/or strategic markets. These Plans will typically allow for the sharing of allowances across a number of SIMs within a single corporate entity to reduce the risk of purchasing a number of individual allowance plans that otherwise may not be fully utilized.

Downgrade – Any single SIM downgrade, either during or outside the minimum commitment period, will not trigger a penalty charge on the SCAP unless it is the last SIM on the SCAP. In this case, if the SIM is downgraded or terminated, the whole SCAP will be terminated. If the termination is within the minimum commitment period, then the ETF will be charged accordingly.

Single SIMs can be upgraded or downgraded to a SCAP providing that:

The SCAP has not been terminated The group of SIMs has not been released by the DP back to their normal single SIM stock or that the SCAP has reached the maximum number of permitted SIMs.

Each group of SIMs in a SCAP can be upgraded, downgraded or disconnected as a group. The T&Cs for a single SIM will apply to the group of SIMs in the SCAP price plan.

SCAP Rate Plan upgrades and downgrades take effect immediately. The old and new subscription fees will be prorated based on the date of the upgrade/downgrade and the subscription period. There will be no activation charges when downgrading a SCAP package.

The subscription charge is for the group of SIMs included in the SCAP i.e. not for individual SIMs. The subscription charge commences when the first SIM is activated on the SCAP Plan, irrespective of whether this is a new SIM activation, or an upgrade or downgrade from another PRP.

For a change of package prior to the completion of the minimum commitment term of a chosen SCAP plan the SIM must be deactivated and a new activation carried out. The same SIM and MSISDN must be used to identify this as an upgrade or downgrade of the package. Failure to use the same SIM and MSISDN will result in possible deactivation and new activation charges.

Prepaid/Vouchers: BGAN Prepaid is based on e-vouchers with units which are available in several denominations with different validity periods to address all market needs. The vouchers can be used as building blocks to create customized prepaid packages for individual market segments. No special SIM card is required and any assigned BGAN SIM card can be activated as prepaid. There is no monthly subscription or minimum commitment for the prepaid package.

BGAN prepay SIM cards can be used everywhere under the I4 footprint. Effective August 2012 the previous prohibition on use within United States Territories has been removed.

Units per Service Type:

Each service option uses a certain number of units per MB/minute/SMS. See details below.

For example 1 unit = 1 minute of calling to a PSTN number while 1.2 units = 1 minute of calling to a cellular number. BGAN Service type

Circuit Switched Voice, SMS and Standard IP services are supported and are also mandatory

ISDN and Streaming are only supported in the BGAN Prepay Stream package in combination with BGAN Stream vouchers.

Minimum duration is 50 KB for Background IP and 30 seconds for voice calls.

Billing increment is 10 KB for Background IP and 15 seconds for voice calls.

Voucher Denominations:

Vouchers are available in 6 denominations between 0 and 5000 units per voucher. These are virtual vouchers (e-vouchers), so there are no physical cards. The vouchers are to be used in combination with an activated BGAN (or SPS/GSPS) SIM card activated under one of the prepaid packages explained above.

Vouchers must be ordered via Dashboard. Details are available in The Dashboard User Manual.

The voucher life is 365 days, (1 year) meaning that if the balance of the voucher has not been uploaded after 1 year to the Prepaid SIM card then the voucher will expire.

Expiry of Prepay Units:

The expiry period means the period in which units can be used once loaded onto the SIM card. Any unused units at the end of the validity period will expire and are non-refundable.

The expiry periods commence once balances have been successfully topped up using the prepaid voucher or when a balance is added to a SIM card via the Inmarsat Dashboard.

Example:

Customer purchases 50 units on November 5th, 2014. Units will expire after 365 days.

November 5th – 30th, 2014 = 25 days (top up day is not included)

December 2014 = 31 days

Jan – Nov 5th, 2015 = 309 days

Total Days = 365 days

As this voucher has a 365-day expiry period, the customer has until November 5th at 23:59:99 to reload the voucher before losing the unused units.

The Inmarsat Dashboard will show that the customers units are valid until November 5th at 00:00:00, which is the beginning of the 366th day.

Suspension: Where a subscriber’s services are suspended (SIM card cannot pass traffic), the validity period of the remaining units continues meaning no extra validity time is granted for suspension of the SIM card.

Top-ups (Loading Units on the SIM Card):

Top-ups can be done in units. A calculator is available in the Dashboard to help determine how many minutes/messages/MBs you get for the number of units placed on the cards. Top-ups can be done via Dashboard or via the Inmarsat Voice Response System (IVR).

When does Electrotech Invoice?

Electrotech invoices upon voucher ordering and upon top-up. If a customer already has vouchers in his possession and he upload them to the SIM card there is no additional charge for the uploading as he has already been invoiced when he ordered the vouchers.

In case the customer did not order vouchers upfront, but immediately does a top-up in the dashboard then this is handled in the background as a voucher ordering and will trigger the invoice to the customer.

Voucher purchases and top-ups made are non-refundable.

Cutting off Prepaid Calls in Progress:

There is a warning beep heard during voice calls (low balance and 0 balances). There is no warning when downloading data: in the middle of a download, the session can be terminated. Balance check prior to downloading large files is essential!

Balance Enquiries and contacting Customer services Check Balance: There are 3 ways to check your remaining balance: 1. Through Electrotech who will check the Dashboard (Refresh balance) 2. Through the BGAN terminal by dialling 591# (free of charge) 3. Through a land line by dialling +870772000591 (premium rates according to your terrestrial telecommunications provider (outside of Electrotech’s control)

The up and down volumes of a partial CDR are summed to calculate the raw partial volume The minimum duration rule (100k) is applied – if the sum of the raw partial volumes is less than 100k, then it is

rounded to 100k The increment rule is then applied (20k) – if the raw partial volume does not equal an increment of 20, then it is

rounded up to the nearest 20k increment.

Total raw partial volume is 150k. This is > than the 100k minimum requirement so no rounding required on this part, but it is then rounded up to 160k to meet the increment rule requirement.

For every session or call an end user is completing he will always be charged for the duration of 100k. A data session starts from when a SIM first connects to the network and lasts until the SIM is disconnected from the network by the user. If a SIM should be idle but still connected, then this will still be part of the original data session.

Call Data Records (CDR) are produced when logging off and with the following thresholds during log-on:

If a session exceeds the above thresholds, the full session will be broken down into partial CDRs and each partial CDR is rounded individually. The first partial CDR will be subject to the minimum duration rule (if the CDR exceeds this rule the billing increment rule will then apply), then all subsequent partial CDRs will be rounded based on the billing increment rule.

Example 1: if a user does a 240 Kbyte data session that lasted 36 hours, he will get three partial CDR’s for the total session:

1st partial CDR – 12 hour duration with 70 Kbytes of usage. This CDR will be rounded to 100 Kbytes using the minimum duration rule.

2nd partial CDR – 12 hour duration with 80 Kbytes of usage. This CDR will not be rounded as it meets the billing increment rule.

3rd partial CDR – 12 hour duration with 90 Kbytes of usage. This CDR will be rounded to 100 Kbytes using the billing increment rule.

Therefore, the total Kbytes for this 36 hour IP session will be 280 Kbytes.

Example 2: if a user does a 5101 Kbyte (5MB) data session, he will get three partial CDR’s for the total session:

1st partial CDR – 2048 Kbytes (2MB) that will be rounded to 2060 Kbytes using the billing increment rule as the total data exceeds the minimum duration rule of 100 Kbytes.

2nd partial CDR – 2048 Kbytes (2MB) that will be rounded to 2060 Kbytes using the billing increment rule. 3rd partial CDR – 1005 Kbytes that will be rounded to 1020 Kbytes using the billing increment rule.

Therefore, the total Kbytes for this IP session will be 5140 Kbytes

Electrotech reserves the right to change the above thresholds.

Minimum Contract Duration & Early Termination Fees:

Each subscription (except Prepaid) has a minimum commitment period which varies between 3 and 24 months:

When a SIM is deactivated before the end of this minimum duration period, any outstanding subscriptions will become due, unless the SIM is upgrading. If the SIM is upgrading, then ETF’s will not be applied.

For each SIM or SCAP terminated early or deactivated, prior to the end of the commitment period, early termination charges will apply that are equivalent to the full monthly fee for remainder of the outstanding commitment duration period.

In case of a downgrade or upgrade to a different package a new full minimum commitment term takes effect.

In case a 12-month SCAP subscription is being downgraded or deactivated before the minimum commitment period of 12 months has been reached, the early termination fee charge will be limited to a maximum period of 3 months or 1 calendar quarter subscription, except for annual in advance plans (no credit for the fees that have already been paid for).

Start of Contract Term

For all subscriptions, the month of activation counts as the first month of the commitment term, regardless of the actual day/date of the activation. Commitment periods can begin or end on any day of the month.

Example: A 24 month monthly, post-paid bundle is activated on 6th of April 2013; therefore the commitment period ends 5th of April 2015.

Automatic Renewal of Contract:

Subscriptions will continue to be charged after the minimum commitment period has expired. This means that a SIM card which is on a particular subscription will continue to be charged at that subscription rate until a service order is received to either deactivate the SIM card or to move it onto another subscription.

This auto renewal is also applicable in case a SIM card is suspended as the subscription fees and contract term just continue.

Monthly subscriptions can be deactivated on a monthly basis once the minimum commitment period has expired. The subscription fees and allowances will be prorated based on the deactivation date.

Advance paid packages will automatically renew for a new full payment term.

In case of an Annual subscription the customer will receive an invoice for a full year so 12 x the subscription and he will get the full allowance for the full year.

Example: This automatic renewal means that an annual allowance subscription plan will, at the beginning of the thirteenth month, commence with a second annual subscription charge with a corresponding annual allowance. This will then be automatically renewed again at the beginning of the twenty-fifth month and so on.

In case of a Quarterly subscription the customer will receive an invoice for a quarter and he can deactivate the subscription every quarter. Please note that a deactivation is not prorated meaning there will be a full quarter subscription charged for the specific quarter on the invoice regardless of the date it was deactivated in that quarter.

The above details indicate that after the minimum contract term duration has been reached that:

Monthly subscriptions can be deactivated every month Quarterly subscriptions can be deactivated every quarter Semi-Annual subscriptions can be deactivated every half year Annual subscriptions can be deactivated every year

Note: Deactivations can be scheduled in advance in the Dashboard. This can be convenient in cases where a package is required only for the minimum contract term to avoid an automatic renewal.

Subscription renewals continue during suspension of a SIM card.

Prorating of Recurring Fees and Allowances:

Monthly Subscriptions:

On a new activation, the subscription fee and allowance will be prorated for the first month and will be allocated based on the date of activation.

On deactivation, the subscription fee and allowance will be prorated based on the deactivation date. ETF’s will be charged if the customer deactivates prior to the commitment end date.

Quarterly/Semi/Annual Subscriptions:

On a new activation, the subscription fee and allowance that applies will not be prorated and will be allocated based on the date of activation. Customer will be required to pay the full subscription fee in advance and will receive the full subscription allowance.

On deactivation, the subscription fee and allowance will NOT be prorated.

ETF’s will be charged if the customer deactivates prior to the commitment end date.

Upgrades/Downgrades between Subscriptions/Packages:

Effective October 29th, 2013 changes were implemented to the billing system that impacted how upgrades/downgrades will be calculated.

The below table illustrates the new guidelines for upgrades/downgrades on subscriptions based on the timing of the package change.

If it is a downgrade, the ETF will be calculated from January 15th to the end of the commitment period. The allowance is prorated based on the day of the upgrade/downgrade. If at the time of the upgrade/downgrade the allowance usage exceeds the prorated allowance, an out of bundle rate will be charged for the overage. For example: a SIM is upgrading from a 200MB to a 6GB subscription on the 15th of January, on the date of the upgrade the SIM has used 150MB of the allowance. The prorated allowance for the 200MB plan for the time period of January 1st to the 14th would be 90.32 MB (14*200MB /31 days = 90.32) therefore the customer would be charged an out of bundle rate for 59.68MB. Quarterly/ Semi/ Annual No pro-rating of fees and

allowances on the activation of the new subscription. Previous subscription fees will not be reimbursed. Any unused allowance from the old subscription will be carried forward to the new subscription provided that the allowance types from the old subscription to the new subscription are the same.

No pro-rating of fees and allowances on the activation of the new subscription. Previous subscription fees will not be reimbursed. The renewal fees and allowances of the old subscription will be waived. The new subscription will not be pro-rated (as we are no longer required to start new subscriptions on the first of the following month). Any unused allowance from the old subscription will not be carried forward to the new subscription.

*Please note that ETFs are calculated based on a downgrade of a subscription only. Upgrades will not generate an ETF.

Upgrades and Downgrades within or between subscriptions are effective immediately as in the background these are treated as a deactivation/reactivation by customer service. Customers are able to change their subscriptions themselves in Dashboard via the order ‘change package’ without any loss of service or loss of phone numbers and IP addressing if applicable.

No activation fees will be charged on upgrading or downgrading to a different subscription if done by Inmarsat DP1020 Customer Services.

Please refer to the prioritization listing contained in this document which defines if a change is considered to be an upgrade or downgrade.

Carry Over of Unused Allowance (Quarterly/Semi/Annual subscriptions only):

If a SIM owner wishes to upgrade/downgrade his package or deactivate the SIM, this can be done at any point in time. There will not be any refund of subscription fees. Any unused allowance from the old subscription will be carried forward to the new subscription provided that the allowance types from the old subscription to the new subscription are the same. Otherwise the unused allowance will be lost.

The rules are:

All upgrades must be carried out within the same day, as per existing rules (MSISDN, IMSI and End user shall remain the same during the upgrade process)

Subscription period of existing plan must be greater than 1 month. If the SIM is currently on a monthly plan then any unused allowance will NOT be carried over.

The SIM card must stay with the same End User, if the customer changes, any unused allowance shall not be carried over to the upgraded rate plan.

Only unused allowance associated to the existing subscription period (quarter, semi-annual, annual) shall be carried over if an upgrade occurs.

Where unused allowance is carried over to an upgraded rate plan, expiry of total allowance shall be in line with subscription period of new rate plan.

Any carried over allowance can only be used in the first billing period of the upgraded rate plan. Any additional charges incurred by the SIM card for services other than Standard IP or for out of bundle run-on

charges will be invoiced on a monthly basis.

Accidental Deactivation/Reactivation:

Accidental deactivation/reactivation of a SIM on a Subscription:

In case of an accidental deactivation/reactivation, no new subscription registrations are required. The subscriptions remain unchanged based on the conditions being met for a deactivation/reactivation.

The following conditions are checked to determine if a deactivation and reactivation are accidental:

There must not be any changes to the rate plan – the package type and subscription plan has not changed. There must not be any changes to the IMSI and MSISDN The customer/end user must remain the same:

o The SIM card owner must remain the same

o The owners of the subscriptions have not changed

o The Group/Classic SCAP/Combo SCAP Id’s (if applicable) has not changed

o The billing profile has not changed

o And it must take place within the same calendar day (within 24 hours).

If the above conditions are met, then the usage balances will be picked up where they were prior to the accidental deactivation and the commitment periods will remain the same.

Accidental deactivation/reactivation of a SIM on a SCAP:

It is considered an accidental deactivation/reactivation of a SCAP if all SIMS in that SCAP are deactivated and any 1 SIM is reactivated within the same day.

The following conditions are checked to determine if a deactivation and reactivation are accidental:

There must not be any changes to the rate plan – the package type and subscription plan has not changed.

There must not be any changes to the IMSI and MSISDN

The customer/end user must remain the same:

o The SIM card owner must remain the same

o The owners of the subscriptions have not changed

o The Group/Classic SCAP/Combo SCAP Id’s (if applicable) has not changed

And it must take place within the same calendar day (within 24 hours).

It is not necessary for the last SIM to be reactivated. 20 SIMs could be deactivated and only 2 SIMs reactivated and this will still be considered an accidental deactivation/reactivation.

If the above conditions are met, then the usage balances will be picked up where they were prior to the accidental deactivation and the contract periods will remain the same.

Suspension of a SIM Card:

Should a SIM card be suspended, then the subscription charge will continue to be payable during the period of suspension, but no traffic will go through. This is valid for all types of subscriptions.

Also note that a subscription will automatically renew even though the SIM is suspended on the subscription renewal date.

Deactivation of a SIM Card:

Should a SIM card be cancelled or deactivated prior to the end of the minimum duration period, then that SIM will be charged the subscription that relates to the remaining portion of the applicable minimum duration period.

Example: If a SIM card with a 12-month contract term starting July 15th, 2013 gets deactivated after 5 months on December 15th, 2013 then there is an early termination fee that is calculated from December 16th to July 14th, 2014.

Should a SIM card be cancelled or deactivated after the end of the minimum duration period,

then that SIM will be charged.

In case of a subscription that is billed monthly: the subscription that relates to the remaining portion of the month during which the deactivation takes place will be charged.

In case of a subscription that is billed quarterly/semi/annually - the customer will be invoiced the remaining subscriptions for the outstanding period. Any unused allowance will be lost and will not be refunded.

Exceptions to this: in case a 12-month SCAP, a High or Super package rate plan is being deactivated before the minimum commitment period of 12 months has been reached, the early termination fee charge will be limited to a maximum period of 3 months or 1 calendar quarter subscription, except for annual in advance subscriptions (no credit for the fees that have already been paid for).

When a Prepaid SIM card is being deactivated then any unused allowance will be lost and will not be refunded.

Lost/Stolen/Damaged SIM Cards:

Lost, stolen or damaged SIM cards are handled on a case by case basis. Please report them ASAP to Electrotech and the applicable account manager who will further take this up. There are options to continue with the same subscription on a different SIM card.

Ability to Change T&C’s or Pricing:

Electrotech reserves the right to modify the terms and conditions or withdraw any of the packages and subscriptions. Electrotech will provide a minimum of 30 days’ notice to all its customers prior to the withdrawal of any of these packages and subscriptions. With the exception of promotional plans that can be eliminated without notice.

In the event that Electrotech discontinues any of their package plans, any existing activated SIMs will continue to use the discontinued subscription for the remainder of the minimum commitment period specified in their subscription. Once that minimum commitment period has elapsed, that SIM will be able to move to any of the alternative subscriptions that are available at that time.

Electrotech reserves the right to amend the prices on any packages and subscriptions. A minimum of 60 days’ notice will be provided to all customers for any price increases.

Subscriptions and Subscription Priorities: In order to explain the priorities please find an explanation of the terms Packages and Subscriptions, as used by Inmarsat in their systems. Packages: There are 19 different packages: Hardware Money Bundles Mid, BGAN Link VLA and Fixed Fee versions, BGAN Link Geo VLA and Fixed Fee versions, BGAN Link Geo Unlimited, Money SCAPs, Money Premium/Flexible, Volume SCAPs, Volume Premium/Flexible, Lite, Economy, Money Geographic Subscriptions, Geographic Subscriptions, Prepay Stream, Prepay, Prepay Geographic Stream, Prepay Geographic and Humanitarian SCAPs. Subscriptions: Within the above packages there are many subscriptions in each package. When a SIM card moves from one package or subscription to another package or subscription, it is deemed to be either an upgrade or a downgrade depending on the priorities shown in the tables below. Please note that “1” is the highest priority and “20” is the lowest priority. If a SIM card changes from one package to another package, then, irrespective of the priority of the subscription selected, it is the relative package priority that will determine if this change is an upgrade or downgrade. A change to a package or subscription of the same priority is treated as a downgrade. If a SIM changes from one subscription to another subscription (within the same package), then the relative priority of the new subscription selected will determine if this change is an upgrade or downgrade

Irrespective of whether a SIM downgrades or upgrades from a package or subscription to another package or subscription, there will be no activation fee as long as the deactivation and subsequent reactivation is made on the same day (00:00 – 23:59 GMT).

Pricing Rules and Terms & Conditions

This section sets out the pricing structure and related business rules of the Maritime Fleet One service offering. These pricing rules supplement and are in addition to the Mobile Satellite Services and Equipment Terms and Conditions listed below

Please note:

All Fleet One packages are fully integrated into our provisioning and online management system, Dashboard™. Electrotech are able to activate, manage, view traffic and create reports in the Dashboard. This is all fully automated and directly linked into the Inmarsat Business Support System; there is no manual interface involved.

Therefore it is very important that you as an end customers fully understand all the applicable Pricing Terms & Conditions.

All activations and changes therefore become effective and legally binding immediately after they have been confirmed by the customer in the Dashboard.

The Fleet One service components, to which a price is attached, are:

Background IP Circuit Switched Voice (to Fixed, to Cellular, Fleet One to Mobile, Fleet One to Fleet One, Fleet One to other

Mobile Satellite Services) Voicemail SMS

There are minimum durations and billing increments applicable to all traffic types. Besides individual service prices, the service components are also available via pre-defined subscription based packages with set minimum contract terms. The packages are available as post-paid and prepaid. This version of the Fleet One Pricing Rules provides details for these services. A general overview of the airtime plans is as follows.

Standard Plan / Prepay Plan

See sections below. The standard plan is a geographical per-SIM, post-pay plan with a 10 MB monthly allowance and subscription fee. The minimum contract term for this Standard Package Rate Plan is 12 months. In and Out of region pricing is outlined in the pricing contract.

Fleet One is offered as a voice and data service. Streaming or ISDN/3.1kHz Audio is not permitted on the Fleet One terminal. SQT is not offered as part of Fleet One.

Fleet One Services – Measurement and Charging

Voice (Circuit Switched) Services

There are different rates for:

Fleet One to Fixed (Terrestrial PSTN) Fleet One to Cellular Fleet One to Fleet One (or FleetBroadband or BGAN or SwiftBroadband or GSPS) Fleet One to other Mobile Satellite Services (MSS) Voicemail

Single Global Charge

Currently there is one single global charge per voice type traffic. Specifically, there is one global charge for voice to terrestrial, one to voicemail, one to cellular, one to Fleet One, and one global charge for each of the other MSS destinations. However, Electrotech plans to consider zone pricing in the future based around call destinations in order to provide the lowest wholesale pricing to specific regions.

Circuit switched voice charges include terrestrial interconnection costs. There is no support for any form of Premium Mobile Originated voice calls.

Voicemail

Unanswered voice calls will automatically divert to the Inmarsat voicemail platform after a time period specified on the LaunchPad or terminal firmware has elapsed.

The called SIM will not be charged for the message left on the voicemail platform.

SIMs will be charged for calling the voicemail platform to retrieve messages. To retrieve messages from a Fleet One terminal please dial 57#. To retrieve messages for your Fleet One terminal via a non Inmarsat I4 network including a terrestrial landline please dial +870 77200 1899. There will be no charge for the notification of voicemail from the Fleet One network.

Call Forwarding

If the SIM has an alternative call forward number set-up on Fleet One, then any additional costs associated with such call forwarding will be passed on to the SIM that has initiated the call forward.

Example: A SIM has set-up a call forward to its company’s head office. Someone calls the SIM and is automatically diverted to the call forward number. The caller will be charged for the call to the Fleet One SIM. The SIM will be charged for the call leg from the Fleet One network to the call forward destination number.

Background IP

Background IP, also referred to as Standard IP, is the most popular class of data service used with Fleet One. It is a best effort throughput service with different classes of terminal supporting varying maximum data speeds. This is

an IP based service compatible with commercial off the shelf IP devices. Some of the most common uses for the service include email, ftp, and web browsing.

The Background IP service is charged based on the volume of traffic in any direction; either originated or terminated on a Fleet One terminal, but excluding traffic to other MSS services (e.g. if you would have a background IP session from a Fleet One terminal to a Fleet 33 terminal via the MPDS service, the Fleet One terminal/SIM pays for the part between the Fleet One terminal and the PoP, the Fleet 33 user pays for the part between the PoP and the Fleet 33 terminal).

An Interactive Class quality of service (QoS) is also available on the Fleet One network for Standard IP; this is charged at the Standard IP rate per MB. However, Electrotech does not support or promote this QoS as it is only accessible from AT commands and is not for general use.

Preventing Unexpected Bills

Users are responsible for all charges for data sent or received by their Fleet One system. Due to the fact that Background IP is charged based on the volume of data sent and received over the satellite network it is extremely important to ensure that your system is optimized to avoid the transmission and receipt of unwanted data. Below are some basic tips to help correctly configure your system. Please refer to our Fleet broadband Best Practices Manual. Basic Tips for Controlling Traffic via Fleet One Your Computer Platform Set programs to notify before performing updates, for example:

o Anti-virus o Spyware o Microsoft and Adobe automatic updates Enable the local network or pc firewall onboard the vessel. A physical firewall is strongly recommended.

SMS

Supported on all classes of Fleet One terminals SMS is a low cost means of sending short text messages to and from Fleet One. Text messages sent to the terminal can be viewed either from the handset, Inmarsat LaunchPad application or the terminal user interface. A Fleet One user can send messages to the handset of a supported GSM provider.

An SMS is up to 160 characters in size as defined by the GSM Association. For messages that contain more than 160 characters, an additional SMS will have to be generated manually for the excess characters and sent separately.

If an SMS is sent to more than one recipient, then there will be a separate CDR and charge for each recipient address.

SMS charging will be on the basis of submission of each message to the SMS-C and not on successful delivery to the recipient.

There will be no charge to receive an SMS on a Fleet One terminal.

Electrotech does not intend to support any form of Premium SMS, either Mobile Originated or Mobile Terminated.

Fleet One Package Options

Standard Plan

Introduced May 1, 2014 the Fleet One Standard Plan is a single SIM Allowance plan exclusively aimed at the fishing and leisure markets. They incur an activation charge, a low subscription fee and a small allowance. There is a post-paid version available only.

Fleet One is offered as a voice and data service. Streaming or ISDN/3.1kHz Audio is not permitted on the Fleet One terminal. SQT is not offered as part of Fleet One.

Fleet One is a promotional plan designed to provide access to Electrotech services for leisure and fishing customers. To be eligible for this plan at all times during the Service Term:

(a) Vessels provisioned on Fleet One SIMS must either (i) not have or be required to have an IMO number or (ii) have an IMO and are vessels that are solely engaged in fishing or are pleasure yachts (in which case an IMO number must be provided)

(b) Vessels must not be merchant vessels, workboats or other commercial vessels

(c) Vessels must receive the service using an Inmarsat type approved Fleet One terminal and;

(d) Vessels must not be a floating, fixed platform or rigs

Upon request the vessel owner must demonstrate to Electrotech’s satisfaction (including providing all documents and information requested) that a vessel is eligible for the Fleet One Plan.

Any customer distributing or selling Fleet One to ineligible vessels will not be permitted to make further activations. In addition, Electrotech may terminate ineligible vessels on 14 days’ notice.

In this option there is an individual price for each Fleet One Service component. Charges are based on:

1. An activation / re-activation charge. This is not waived.

2. A monthly subscription fee for all active cards, including suspended cards. The monthly subscription fee includes an allowance of 10 MB of Background IP. At the end of the month any unused allowance will not roll over to the next month.

3. The SIM card subscriber will also be invoiced monthly for the charges for the usage per service component per month.

4. The monthly subscription will be on a pro rata basis based on the day of activation.

5. There is a 12-month minimum contract period.

6. In the case where a SIM is deactivated mid-month the monthly subscription charge will be prorated.

Geographic Regions

Inmarsat has provided geographical areas to which Fleet One In Region and Out of Region pricing applies. These are referred to “In regions‟. Vessels will be able to use the service and move from one In region to another and be eligible for the In Region price. However, where a vessel moves out of its designated In Region and uses the service, the Out of Region rate will be applied.

The map illustrated below highlights what is considered the In Region for Fleet One.

The Standard Plan megabyte allowance will only apply to MB traffic used In Region. If data usage is made Out of Region then the MB allowance will be charged the per MB Out of Region rate.

Prepaid Plan

The Fleet One Prepaid plan is based on e-vouchers with units which are available in 50-unit denominations. Prepaid is fully supported using the Dashboard’s existing functionality. No special SIM card is required, and any Fleet One SIM card can be activated as prepaid. However, please note that a SIM card active on a postpaid plan must first be deactivated before it can move to a prepaid plan. The expiry period for all voucher denominations is 30 days from the date of redemption. Vouchers must be redeemed within 365 days from the date of issue or they will expire. Upon redemption of a voucher the expiry date of any unused balance from previously redeemed vouchers shall be updated to 30 days.

Units from redeemed vouchers will be added to a subscribers existing balance. Upon redemption of a voucher, a subscriber’s balance expiry date will be the date falling at the end of the balance expiry period from redemption of a voucher (as indicated below) or the subscribers existing balance expiry date, whichever is later.

Activation and Maintenance of Prepaid SIM Cards

For a more detailed description of the maintenance of prepaid SIM cards please refer to relevant section of the User Guide for Dashboard. A brief overview follows.

Setting the end-user price per unit

This must be set before a SIM card can be activated on a prepaid plan. A default price can be applied to all prepaid cards on your account. Please note that this default price can only be set at the top-level customer ID and is not available on sub-customers or vessels. It is also possible to set a different price on each individual card.

Adding units to cards

This can be done in one of two ways:

a. Adding top-ups directly to the SIM card via contacting Electrotech (fastest and recommended method)

b. Purchasing a voucher and then redeeming it via the VRS ( Voice Response System on toll free 591# from the terminal )

Purchasing Vouchers

Vouchers can be purchased upfront and can then be activated when required via the Inmarsat Voice Response System.

Expiry of Units

The expiry period means the period in which units can be used once loaded onto the SIM card. Any unused units at the end of the expiry period will expire and are non-refundable. The expiry periods commence once balances have been successfully topped up using the prepaid voucher or when balance is added to a SIM card via the Inmarsat Dashboard by Electrotech staff. The subscriber balance expiry is 30 days. All Fleet One Prepaid vouchers are to be redeemed (used for top up) within 365 days or they will expire.

Suspension: Where a subscriber’s services are suspended in Dashboard (SIM card cannot pass traffic), the expiry period of the remaining prepaid units continues meaning no extra expiry time is granted for suspension of the SIM card.

Top-ups (Loading Units on the SIM Card)

Top-ups can be done in units. A calculator is available in the Inmarsat Dashboard to help determine how many minutes you get for the amount of units placed on the cards.

Adding Units to a SIM card via Dashboard can be accomplished in two ways:

1. Top-Up (recommended method) :Go to SIM card installed base; select the SIM card to top up; select “Top-Up” and the top up amount; complete the order.

2. Upload Voucher: Purchase your voucher via the Inmarsat Solutions Dashboard, next go to Voucher Installed Base and select “Top-Up”. Next select the SIM card you want to top up and complete the order.

Charging the Top-up

When a top-up (reload) on a prepaid card is being done there are two different ways of charging the top-up:

1. Charge the top-up to your Billing Account meaning your invoice: the units will be rated against your own Prepaid rate that is listed in your contract with Inmarsat Solutions.

2. Charge the top-up to the end-user’s Credit Card. This will be charged at the end-user price you have set for this SIM card on Inmarsat Solutions Dashboard. The costs for the top-up will be charged to your monthly invoice. There are no additional fees for this payment. Tax will be calculated if applicable.

Top-up Charged to the End-User’s Credit Card

This option is available both on the customer level and end-user level. If you want to use this option and top-up the card on behalf of your end-user, your end-user will have to supply you with their credit card details. The cost for the top up will be charged to the credit card. There are additional credit card payment costs for this order.

When does Electrotech Invoice?

Electrotech invoices upon voucher ordering and upon top-up.

If a customer already has vouchers in his possession and he uploads them to the SIM card there is no additional charge for the uploading as he has already been invoiced when he ordered the vouchers.

In case the customer did not order vouchers upfront but immediately does a top-up in the Inmarsat Dashboard then this is treated as a voucher order and will trigger the invoice to the customer. Once made a voucher purchase or top-up is non-refundable and cannot be transferred to any other cards.

Cutting off Prepaid Calls in Progress

The prepaid platform will issue a warning beep on voice calls (low balance and 0 balance).

4. Pricing Principles

4.1 Activation Fee

This is a one-off fee that applies to each SIM activation. Where a SIM has been suspended and then this suspension is lifted, there will be no additional activation Fee.

4.2 Measurement and Billing Increments

The SIM card is the entity for which usage will be measured and charged; this is opposed to Inmarsat‟s Existing and Evolved (E&E) Services where usage is based on the user terminal. Only one subscription can apply to a single SIM card at any one time. The measurement units and billing increments for these services are as follows:

it is rounded up to the nearest 20k increment.

Example 1:

For every session or call an end user is completing they will always be charged for the duration of 100k. A data session starts from when a SIM first connects to the network and lasts until the SIM is disconnected from the network by the user. If a SIM should be idle but still connected, then this will still be part of the original data session.

CDR Thresholds

If a session exceeds the above thresholds, the full session will be broken down into partial CDRs and each partial CDR is rounded individually. The first partial CDR will be subject to the minimum duration rule (if the CDR exceeds this rule the billing increment rule will then apply), then all subsequent partial CDRs will be rounded based on the billing increment rule.

Example 1: if a user does a 240 Kbyte data session that lasted 36 hours, he will get three partial CDR‟s for the total session:

1st partial CDR – 12 hour duration with 70 Kbytes of usage. This CDR will be rounded to 100 Kbytes using the minimum duration rule.

2nd partial CDR – 12 hour duration with 80 Kbytes of usage. This CDR will not be rounded as it meets the billing increment rule.

3rd partial CDR – 12 hour duration with 90 Kbytes of usage. This CDR will be rounded to 100 Kbytes using the billing increment rule.

Therefore the total Kbytes for this 36 hour IP session will be 280 Kbytes.

Example 2: if a user does a 5101 Kbyte (5MB) data session, he will get three partial CDR‟s for the total session:

1st partial CDR – 2048 Kbytes (2MB) that will be rounded to 2060 Kbytes using the billing increment rule as the total data exceeds the minimum duration rule of 100 Kbytes.

2nd partial CDR – 2048 Kbytes (2MB) that will be rounded to 2060 Kbytes using the billing increment rule.

3rd partial CDR – 1005 Kbytes that will be rounded to 1020 Kbytes using the billing increment rule.

Therefore the total Kbytes for this IP session will be 5140 Kbytes

Minimum Contract Duration & Early Termination Fees

The Standard Plan has a 12 month minimum contract duration which will generate an ETF upon early deactivation, there is no refund of subscription fees if a SIM is upgraded or deactivated anytime during the commitment month, any unused allowance will also be lost.

When a SIM is deactivated before the end of this minimum duration period, the remainder outstanding subscriptions will become due, unless the SIM is upgrading. If the SIM is upgrading, then ETF‟s will not be applied.

For any SIM terminated early or deactivated, prior to the end of the commitment period, early termination charges will apply that are equivalent to the remainder of the outstanding commitment duration period.

Example: A 12-month contract starts on January 15, 2013. If that contract is deactivated or downgraded on May 4th, 2013, an ETF will be calculated from May 5th, 2013 to the end of the contract January 14th, 2014.

Start of Contract Term

For all subscriptions, the month of activation counts as the first month of the commitment term, regardless of the actual day/date of the activation. Commitment periods can begin on any day of the month.

Example: A 12 month post-paid plan is activated on 6th of April 2013, therefore the commitment period ends 5th of April 2014.

Automatic Renewal of Contract

Subscriptions will continue to be charged after the minimum commitment period has expired. This means that a SIM card that is on a particular subscription will continue to be charged at that subscription rate until a service order is received to either deactivate the SIM card or to move it onto another subscription.

This auto renewal is also applicable in case a SIM card is suspended as the subscription fees and contract term just continue.

Monthly subscriptions can be deactivated on a monthly basis once the minimum commitment period has expired. The subscription fees and allowances will be pro-rated based on the deactivation date.

The above means that after the minimum commitment term duration has been reached that:

Monthly subscriptions can be deactivated every month

Note: Deactivations can be scheduled in advance in the Dashboard. This can be convenient in cases where a subscription is required only for the minimum commitment term to avoid an automatic renewal.

Package renewals continue during suspension of a SIM card.

Prorating of Recurring Fees and Allowances

Monthly Subscriptions: On a new activation, the subscription fee and allowance for the first month will be prorated and will be allocated based on the date of activation.

On deactivation, the subscription fee and allowance will be prorated based on the deactivation date. ETF‟s will be charged if the customer deactivates prior to the commitment end date.

Unused Allowances

If a SIM owner wishes to deactivate the SIM, this can be done at any point in time. However, any unused allowance will be lost and will not be refunded.

Accidental Deactivation/Reactivation

Accidental deactivation/reactivation of a SIM on a Subscription:

In case of an accidental deactivation/reactivation, no new subscription registrations are required. The subscriptions remain unchanged based on the conditions being met for a deactivation/reactivation.

The following conditions are checked to determine if a deactivation and reactivation are accidental:

There must not be any changes to the rate plan, There must not be any changes to the IMSI and MSISDN The customer/end user must remain the same And it must take place within the same calendar day.

If the above conditions are met, then the usage balances will be picked up where they were prior to the accidental deactivation and the commitment periods will remain the same.

Suspension of a SIM

Should a SIM card be suspended, then the subscription charge will continue to be payable during the period of suspension but no traffic will go through. This is valid for all types of subscriptions.

Also note that a subscription will automatically renew even though the SIM is suspended on the subscription renewal date.

Deactivation of a SIM

Should a SIM card be cancelled/deactivated prior to the end of the minimum duration period, then that SIM will be charged the subscription that relates to the remaining portion of the applicable minimum duration period.

Example: If a SIM card with a 12 month contract term starting July 15th, 2013 gets deactivated after 5 months on December 15th, 2013 then there is an early termination fee that is calculated from December 16th to July 14th, 2014.

Should a SIM card be cancelled or deactivated after the end of the minimum duration period, then that SIM will be charged the subscription that relates to the remaining portion of the month during which the deactivation takes place will be charged.

When a Prepaid SIM card is being deactivated then any unused allowance will be lost and will not be refunded.

Lost/Stolen/Damaged Cards

Lost, stolen or damaged SIM cards are handled on a case by case basis. Please report them ASAP to Inmarsat DP1020 Customer Service and the applicable account manager who will further take this up. There are options to continue with the same subscription on a different SIM card.

Ability to Change Terms & Conditions or Pricing

Electrotech reserves the right to modify the terms and conditions or withdraw any of the packages and subscriptions. Inmarsat will provide a minimum of 30 days notice to all its customers prior to the withdrawal of any of these packages and subscriptions. With the exception of promotional plans that can be eliminated without notice.

In the event that Inmarsat discontinues any of their package plans, any existing activated SIMs will continue to use the discontinued subscription for the remainder of the minimum commitment period specified in their subscription. Once that minimum commitment period has elapsed, that SIM will be able to move to any of the alternative subscription that are available at that time.

Electrotech reserves the right to amend the prices on any packages and subscriptions. A minimum of 60 days’ notice will be provided to all customers for any price increases.

Package and Subscription Priorities

In order to explain the priorities please find an explanation of the terms used by Electrotech in their system which are subscriptions and subscriptions:

When a SIM moves from one package or subscription to another package or subscription, it is deemed to be either an upgrade or a downgrade depending on the priorities. Please note that “1” is the highest priority.

If a SIM changes from one package to another package, then, irrespective of the priority of the subscription selected, it is the relative package priority that will determine if this change is an upgrade or downgrade.

A change to the same priority for a package or subscription is treated as a downgrade.

If a SIM changes from one subscription to another subscription (within the same package), then the relative priority of the new subscription selected will determine if this change is an upgrade or downgrade.

Irrespective of whether a SIM downgrades or upgrades from a package or subscription to another package or subscription, then there will be no activation fee as long as the deactivation and subsequent reactivation is made on the same day (00:00 – 23:59 GMT).

FOR THE UTILIZATION OF THE INMARSAT SPACE SEGMENT BY SHIP EARTH STATIONS AND LAND MOBILE EARTH STATIONS

Article 1

Scope of Terms and Conditions

(A) These Terms and Conditions shall apply to the authorization between Electrotech Australia Pty. Ltd. ("Electrotech") and the Owner or Licensee of the Mobile Earth Station ("MES") ("the MES Owner") described in the applicable Activation Request Form ("ARF"), with respect to the utilization of the Inmarsat space segment by the MES.

(B) For the purpose of these Terms and Conditions:

(1) "ARF" means an application made by the MES Owner for utilization of the Inmarsat space segment;

(2) Airtime Provider (AP) means the entity responsible for processing the ARF which is Electrotech.

(C) The MES Owner shall ensure that any operator or user of the MES ("the MES Operator") is informed of and complies with these Terms and Conditions, as far as applicable, at all times.

Article 2

MES Performance, Criteria and Operations

(A) Authorization Subject to Compliance with Technical, Operating and Other Requirements

(1) Throughout its utilization of the Inmarsat space segment, the MES shall comply with the criteria and performance standards to which it was type-approved, and the MES Owner and Operator shall comply with the operating procedures notified by Electrotech to the MES Owner and MES Operator at any time or times.

(2) The MES Owner and Operator shall not utilize the Inmarsat space segment in a manner contrary to the environmental usage and distress and safety conditions specified in the ARF, the MES manuals or contrary to these Terms and Conditions.

(B) Sanctions in the Case of Non-compliance

(1) Electrotech shall be entitled, at any time or times, and with immediate effect, unilaterally to modify, restrict, suspend or terminate, temporarily or permanently, the authorization by notification to the MES Owner and the MES Operator, if Electrotech deems the MES or the MES Owner or the MES Operator to not so comply, or to practise a utilization not so authorized, no matter what the cause or causes of such non-compliance or practice.

(2) Unless the authorization has been terminated, Electrotech shall lift such modification, restriction or suspension, if it is demonstrated to Electrotech's satisfaction that compliance has been resumed and will be maintained, or that such unauthorized practice has been and will be discontinued by the MES Owner or MES Operator.

(C) Suspension for Non-Payment of Accounts and Other Causes

(1) Without prejudice to any of the other remedies and provisions of these Terms and Conditions or at law, Electrotech and any or all of the land earth station (LES) Operators in the Inmarsat system may, individually or jointly, suspend the authorization due to non-payment of accounts for the telecommunications services provided by the LESs, unauthorized use of the MES, loss or theft of the MES, fraudulent use of or by the MES, other non-compliance with these Terms and Conditions, insolvency of the MES Owner or MES Operator or their designated entity responsible for payment of accounts, or any other reason established under Electrotech's Barring Procedures in force at the relevant time.

(2) Upon being satisfied that the causes of the suspension have been remedied, Electrotech and the LES Operators may lift the suspension.

(3) In the case of a ship earth station, the suspension shall not restrict an MES from transmitting a distress alert and distress priority message. Electrotech and the LES Operator shall use reasonable efforts to restore access to the space segment for subsequent safety communications associated with the distress situation.

(4) In connection with the administration of Electrotech's Barring Procedures, Electrotech and the LES Operators may share information about the status of the MES with each other, with Nominated Barring Authorities designated by LES Operators and, in the case of SESs, with Maritime Inspection Agencies.

(E) Compliance with National and International Regulations

In utilizing the Inmarsat space segment, the MES Owner and MES Operator shall comply with all applicable national laws and regulations governing the use of radio communications in the territorial sea, the ports, or national territory of any State in which the MES is located at any time, and any other applicable national or international laws and regulations and the MES Owner shall indemnify Electrotech and any LES Operator concerned against any loss incurred by them as a result of any non-compliance with this paragraph. Electrotech shall hold the benefit of this indemnity as trustee for any such LES Operator.

Article 3

Financial Obligations

The establishment of charges for the telecommunications services provided by the land earth stations (LESs) is the prerogative of the owner and/or operator of the LES. All accounts for telecommunications services via the LESs must be paid by the MES Owner without delay. In the event of delayed payment Electrotech and the LES Operators concerned may discontinue telecommunications services for the MES in default, except for the exchange of distress traffic, in accordance with Article 2(D) (3) above. If an LES Operator is unable to collect charges from the Accounting Authority,

ISP,AP or other billing entity specified in the ARF, personal and corporate details of the MES Owner or Operator may be disclosed to the LES Operator for the purposes of debt collection.

Article 4

Telecommunications Disclaimer

(A) This Article applies to Electrotech for itself and as trustee for the benefit of the lessors, manufacturers, or other providers of the Inmarsat space segment; the owners or operators of LESs; and the directors, officers, employees, agents or assignees, of any of them ("the other indemnities").

(B) Subject to paragraph (D) below, neither Electrotech nor any of the other indemnities shall be liable for any claims attributable to any unavailability, delay, interruption, disruption or degradation in or of the Inmarsat space segment capacity; modification, restriction, suspension or termination of the authorization in accordance with Article 2(D)(1) above; failure to restore access in accordance with Article 2(D)(2) and (3) above; or sharing of information about the status of the MES in accordance with Article 2(D)(4) or Article 3 above regardless of the cause or causes thereof. Such waiver of claims shall also extend to any direct or consequential loss, damage, liability or expense, loss of revenue or business harm of any kind.

(C) The MES Owner agrees to indemnify Electrotech and the other indemnities and hold them harmless from any claims that might be made by the MES Operator or any other entity or person, attributable to any of the causes referred to in paragraph (B) above.

(D) Nothing in this Article 4 shall exclude or limit liability for death or personal injury in any jurisdiction where, as a matter of law, such liability cannot be excluded or limited.

Article 5

Language and Communications

(A) These terms and conditions and all documentation and communications required there under shall be in the English language.

(B) All communications pertinent to the authorization or to these Terms and Conditions shall be made or confirmed by telex, facsimile, data transmission or other written or electronic form. Communications by Electrotech the Company to the MES Owner shall be sent to their last known address.

Article 6

Amendments

The terms and conditions as herein stated are subject to amendment by Electrotech such amendment to become effective upon the date specified by Electrotech but not less than thirty (30) days after the date of notification of the amendment to the MES Owner and the MES Operator
